RECITALS

WHEREAS,theSellerisengagedinthebusinessofmanufacturingandselling[descriptionofgoods],andhasthelegalrightandabilitytoexportthegoods;

WHEREAS,theBuyerdesirestopurchasethegoodsfromtheSellerfor[purposeofpurchase].

TERMSANDCONDITIONS

1.DescriptionofGoods

TheSellershallsellandtheBuyershallbuythefollowinggoods(the“Goods”):

QualityStandard:TheGoodsshallconformtotheinternationalstandards[specifytherelevantinternationalstandards,suchasISOstandards,ASTMstandards,etc.]andthespecificqualityrequirementsagreeduponbybothpartiesinwriting.IfthereareanysamplesprovidedbytheSeller,theGoodsshallbeconsistentwiththesamplesintermsofquality,appearance,andperformance.

2.PriceandPaymentTerms

UnitPrice:TheunitpriceoftheGoodsis[currency][unitpriceamount]per[unitofmeasurement].

TotalPrice:ThetotalpriceoftheGoodsis[currency][totalpriceamount],whichiscalculatedbasedonthequantityoftheGoodsactuallydelivered.

IfthepaymentmethodisL/C,theBuyershallopenanirrevocable,confirmed,andtransferableLetterofCreditinfavoroftheSelleratafirstclassbankacceptabletotheSellerwithin[numberofdays]daysafterthesigningofthisContract.TheLetterofCreditshallbevalidfor[numberofdays]daysfromthedateofshipmentandshallcoverthefullamountoftheContractprice.

3.DeliveryTerms

DeliveryTime:TheSellershalldelivertheGoodstotheportofshipment[nameofport]within[numberofdays]daysafterreceivingthedeposit(ifapplicable)ortheopeningoftheLetterofCredit(ifapplicable).

DeliveryPlace:TheSellershallberesponsiblefordeliveringtheGoodstotheportofshipment[nameofport].TheriskoflossordamagetotheGoodsshallpassfromtheSellertotheBuyerwhentheGoodspasstheship'srailattheportofshipmentinaccordancewithIncoterms[specifytherelevantIncotermsversion,suchasIncoterms2020].

ShippingMarks:TheSellershallmarktheGoodswiththefollowingshippingmarks:[specifytheshippingmarks,includingthenameoftheBuyer,thecontractnumber,thedestinationport,thepackagenumber,etc.].

4.Packing

TheSellershallpacktheGoodsinamannersuitableforlongdistanceoceantransportationandprotectionoftheGoodsfromdamage,moisture,andrust.Thepackingmaterialsshallbeofgoodqualityandinlinewithinternationaltransportationrequirements.TheSellershallbearthecostofpacking.

5.InspectionandAcceptance

PreshipmentInspection:Beforeshipment,theSellershallconductacomprehensiveinspectionoftheGoodsinaccordancewiththecontractrequirementsandtherelevantqualitystandards.TheSellershallprovidetheBuyerwithaninspectionreportissuedbyarecognizedthirdpartyinspectionagency[nameoftheinspectionagency]atleast[numberofdays]daysbeforeshipment.

ArrivalInspection:AftertheGoodsarriveatthedestinationport,theBuyershallhavetherighttoconductaninspectionoftheGoodswithin[numberofdays]days.IftheBuyerfindsthattheGoodsdonotconformtothecontractrequirements,theBuyershallnotifytheSellerinwritingwithin[numberofdays]daysaftertheinspection.TheSellershall,within[numberofdays]daysafterreceivingthenotice,replytotheBuyerandtakeappropriatemeasures,suchasreplacement,repair,orrefund.

6.RightsandObligationsoftheSeller

Rights:

TheSellerhastherighttoreceivethepaymentfromtheBuyerinaccordancewiththecontractterms.

TheSellerhastherighttoadjustthequantityoftheGoodswithintheagreedtolerancerange.

Obligations:

TheSellershallmanufacture,pack,anddelivertheGoodsinaccordancewiththecontractrequirementsandtherelevantlawsandregulations.

TheSellershallprovidetheBuyerwithallnecessarydocumentsrelatedtotheGoods,suchascommercialinvoices,billsoflading,packinglists,certificatesoforigin,andinspectionreports.

TheSellershallberesponsibleforobtainingallnecessaryexportlicensesandpermitsfortheGoods.

7.RightsandObligationsoftheBuyer

Rights:

TheBuyerhastherighttoinspecttheGoodsandrejecttheGoodsthatdonotconformtothecontractrequirements.

TheBuyerhastherighttorequiretheSellertotakecorrectivemeasuresincaseofnonconformityoftheGoods.

Obligations:

TheBuyershallpaytheSellerinaccordancewiththecontractterms.

TheBuyershallprovidetheSellerwithallnecessaryinformationanddocumentsrequiredfortheimportoftheGoods,suchasimportlicensesandpermits.

TheBuyershalltakedeliveryoftheGoodsatthedestinationportinatimelymanner.

8.LiabilityforBreachofContract

Seller'sLiability:IftheSellerfailstodelivertheGoodsontime,failstomeetthequalityrequirements,orfailstoperformotherobligationsunderthisContract,theSellershallbeliableforbreachofcontract.TheSellershallcompensatetheBuyerforalldirectandindirectlossescausedbythebreach,includingbutnotlimitedtothecostofpurchasingsubstitutegoods,transportationcosts,andlostprofits.

Buyer'sLiability:IftheBuyerfailstopaytheSellerinaccordancewiththecontractterms,failstoopentheLetterofCreditontime,orfailstoperformotherobligationsunderthisContract,theBuyershallbeliableforbreachofcontract.TheBuyershallcompensatetheSellerforalldirectandindirectlossescausedbythebreach,includingbutnotlimitedtothestoragecostoftheGoods,thecostofarrangingalternativesales,andlostprofits.

9.ForceMajeure

NeitherpartyshallbeliableforfailureordelayinperformanceofitsobligationsunderthisContractduetoforcemajeureevents,suchasnaturaldisasters,wars,riots,strikes,andgovernmentactions.Thepartyaffectedbyforcemajeureshallnotifytheotherpartyinwritingwithin[numberofdays]daysaftertheoccurrenceoftheforcemajeureeventandprovidetheotherpartywithacertificateissuedbyarelevantgovernmentagencyorarecognizedthirdpartyorganizationwithin[numberofdays]daysafterthenotice.Theaffectedpartyshalltakeallreasonablemeasurestominimizetheimpactoftheforcemajeureeventandresumeperformanceofitsobligationsassoonaspossible.

10.Confidentiality

BothpartiesshallkeepconfidentialallinformationobtainedfromtheotherpartyduringtheperformanceofthisContract,includingbutnotlimitedtobusinesssecrets,technicalinformation,andcustomerinformation.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldisclosesuchinformationtoanythirdparty.

11.GoverningLawandDisputeResolution

GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[country],whichisinlinewiththerelevantprovisionsoftheCivilCodeofthePeople'sRepublicofChinaoninternationalcontracts(refertotherelevantconflictoflawsrules).

DisputeResolution:AnydisputearisingoutoforinconnectionwiththisContractshallbefirstsettledthroughfriendlynegotiationsbetweentheparties.Ifthenegotiationsfail,thedisputeshallbesubmittedto[arbitrationinstitution]forarbitrationinaccordancewithitsarbitrationrules.Thearbitrationawardshallbefinalandbindingonbothparties.

12.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupers
