PartyAhascertainpaymentobligationsorrequirementsinrelationtospecifictransactionsorservices.PartyB,beingexperiencedandqualifiedinhandlingpaymentrelatedmatters,iswillingtoactasanagentforPartyAtocarryoutthepaymentproceduresonitsbehalf.

III.ScopeofAuthorization

1.DescriptionofTransactionsorServices

PartyAherebyauthorizesPartyBtomakepaymentsonitsbehalfforthefollowingspecifictransactionsorservices:

GoodsPurchase:PartyAhasenteredintopurchaseagreementswith[Suppliernames]fortheacquisitionof[Descriptionofgoods,includingquantity,specifications,etc.].Forexample,PartyAhasagreedtopurchase[X]unitsof[Productname]withmodelnumber[Modelnumber]ataunitpriceof[Priceperunit]from[Supplier1].Thetotalamountpayableforthispurchaseis[Totalamount].

IV.RightsandObligationsoftheParties

A.RightsandObligationsofPartyA

1.Rights

PartyAhastherighttoreceiveregularreportsfromPartyBregardingtheprogressofpayments,includingpaymentdates,amounts,andthestatusofeachpaymenttransaction.

PartyAhastherighttoinspectandverifythepaymentrecordsandrelateddocumentsmaintainedbyPartyBatanyreasonabletime.

PartyAhastherighttorevokethisauthorizationatanytimebyprovidingwrittennoticetoPartyB.However,PartyAshallberesponsibleforanycostsorlossesincurredbyPartyBduetotherevocation,ifsuchrevocationisnotinaccordancewiththetermsofthisAgreement.

2.Obligations

PartyAshallprovidePartyBwithaccurateandcompleteinformationregardingthepaymentrelatedtransactions,includingthenamesandcontactdetailsofthethirdparties,theamountspayable,theduedates,andtherelevantcontractterms.

PartyAshallensurethattherearesufficientfundsintheauthorizedpaymentaccountsorprovidePartyBwithtimelyfundstocoverthepaymentamounts.

PartyAshallindemnifyPartyBagainstanylosses,damages,liabilities,orexpensesarisingoutoftheinaccurateorincompleteinformationprovidedbyPartyA.

B.RightsandObligationsofPartyB

1.Rights

PartyBhastherighttoreceiveareasonableservicefeefromPartyAforthepaymentagencyservicesprovidedunderthisAgreement.TheservicefeeshallbecalculatedinaccordancewiththetermsspecifiedinArticleVofthisAgreement.

PartyBhastherighttoseekreimbursementfromPartyAforanyreasonableoutofpocketexpensesincurredintheprocessofmakingpaymentsonbehalfofPartyA,suchasbanktransferfees,checkissuingfees,etc.

2.Obligations

PartyBshallmakepaymentsonbehalfofPartyAinatimelymannerinaccordancewiththeinstructionsanddeadlinesprovidedbyPartyA.

PartyBshallmaintainstrictconfidentialityregardingallinformationobtainedfromPartyA,includingbutnotlimitedtopaymentdetails,businesssecrets,andpersonalinformationofPartyAandthethirdpartiesinvolvedinthetransactions.

PartyBshallkeepaccurateanddetailedrecordsofallpaymenttransactions,includingpaymentvouchers,invoices,andcorrespondencewiththethirdparties,andshallprovidesuchrecordstoPartyAuponrequest.

V.ServiceFeeandPaymentTerms

1.ServiceFee

VI.RepresentationsandWarranties

PartyArepresentsandwarrantsthatallinformationprovidedtoPartyBisaccurate,complete,anduptodate.

2.PartyB'sRepresentationsandWarranties

PartyBrepresentsandwarrantsthatithasthenecessaryqualifications,experience,andresourcestoperformthepaymentagencyservicesinaccordancewiththetermsofthisAgreement.

PartyBrepresentsandwarrantsthatitwillcomplywithallapplicablelaws,regulations,andindustrystandardsintheprocessofprovidingtheservices.

VII.Confidentiality

1.DefinitionofConfidentialInformation

ConfidentialinformationincludesallnonpublicinformationdisclosedbyonepartytotheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtobusinessplans,customerinformation,paymentdetails,andtradesecrets.

2.ObligationsofConfidentiality

Bothpartiesshallkeeptheconfidentialinformationoftheotherpartystrictlyconfidentialandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty,exceptasrequiredbylaw.

VIII.LiabilityforBreachofContract

1.PartyA'sLiability

IfPartyAfailstoprovidePartyBwithaccurateinformation,sufficientfunds,orbreachesanyotherobligationsunderthisAgreement,PartyAshallbeliableforanylosses,damages,orexpensessufferedbyPartyBasaresultofsuchbreach.PartyAshallalsopayPartyBapenaltyequivalentto[Percentage]ofthetotalpaymentamountinvolvedintheaffectedtransactions.

2.PartyB'sLiability

IfPartyBfailstomakepaymentsontime,misusestheconfidentialinformation,orbreachesanyotherobligationsunderthisAgreement,PartyBshallbeliableforanylosses,damages,orexpensessufferedbyPartyAasaresultofsuchbreach.PartyBshallalsopayPartyAapenaltyequivalentto[Percentage]ofthetotalpaymentamountinvolvedintheaffectedtransactions.

IX.DisputeResolution

1.Negotiation

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshal
