I.Parties

Hereinafter,PartyAandPartyBshallbecollectivelyreferredtoasthe“Parties”.

II.Background

ThePartiesenteredintothe[OriginalContractName](the“OriginalContract”)on[dateoftheoriginalcontract].InordertofurtherclarifytherightsandobligationsofthePartiesandtomakesupplementaryprovisionsoncertainmattersoftheOriginalContract,thePartiesherebyreachthefollowingsupplementaryagreementthroughfriendlyconsultationsinaccordancewiththerelevantprovisionsoftheCivilCodeofthePeople'sRepublicofChina.

III.SubjectMatterorServiceDescription

1.SubjectMatter

IftheOriginalContractinvolvesthetransferofgoods,thegoodsunderthisSupplementaryAgreementshallbefurtherspecifiedasfollows:

Packaging:Thegoodsshallbepackagedin[PackagingMaterial],whichshallbesuitableforlongdistancetransportation,moistureproof,shockproof,andcorrosionresistant.PartyAshallberesponsibleforensuringthatthepackagingmeetstheaboverequirements.

IftheOriginalContractinvolvestheprovisionofservices,theservicesunderthisSupplementaryAgreementshallbedescribedindetailasfollows:

ScopeofServices:[Describethespecificscopeofservices.Forexample,“PartyBshallprovidesoftwaredevelopmentservicesforPartyA,includingbutnotlimitedtorequirementsanalysis,systemdesign,coding,testing,andaftersalesmaintenance.Thesoftwareshallbedevelopedbasedontheprogramminglanguage[Language]andshallbecompatiblewiththeoperatingsystems[Listofoperatingsystems].”]

ServiceStandards:PartyBshallperformtheservicesinaccordancewiththeindustryrecognizedbestpracticesandthespecificrequirementsagreeduponbytheParties.TheservicesshallbecompletedwithintheagreedtimeframeandshallmeetthequalitystandardsspecifiedinthisAgreement.

IV.RightsandObligationsoftheParties

A.RightsandObligationsofPartyA

1.Rights

PartyAhastherighttoinspectthegoodsorservicesprovidedbyPartyBinaccordancewiththetermsofthisAgreement.Ifthegoodsorservicesdonotmeettheagreedstandards,PartyAhastherighttorequirePartyBtomakecorrectionswithinareasonabletime.

PartyAhastherighttoreceiveallrelevantdocumentationandreportsrelatedtothegoodsorservices,suchasproductmanuals,testreports,andserviceprogressreports.

2.Obligations

PartyAshallpaythecorrespondingfeestoPartyBinaccordancewiththepaymenttermsspecifiedinthisAgreement.PartyAshallprovidePartyBwithallnecessaryinformationandassistancerequiredfortheperformanceofthisAgreementinatimelymanner.

PartyAshallkeepconfidentialanytradesecrets,technicalinformation,andbusinessinformationofPartyBobtainedduringtheperformanceofthisAgreement.

B.RightsandObligationsofPartyB

1.Rights

PartyBhastherighttoreceivethefeespayablebyPartyAinaccordancewiththepaymenttermsofthisAgreement.

PartyBhastherighttorequestPartyAtoprovidenecessarycooperationandassistancefortheperformanceofthisAgreement.

2.Obligations

PartyBshallprovidethegoodsorservicesinstrictaccordancewiththetermsofthisAgreement.PartyBshallberesponsibleforanydefectsinthegoodsorservicesandshalltaketimelymeasurestorectifythem.

PartyBshallkeepconfidentialanytradesecrets,technicalinformation,andbusinessinformationofPartyAobtainedduringtheperformanceofthisAgreement.

V.PaymentTerms

1.TotalAmount:ThetotalamountpayablebyPartyAtoPartyBunderthisSupplementaryAgreementis[Amountinfigures]([Amountinwords]).

3.PaymentSchedule

InterimPayment:AfterPartyBhascompleted[Percentage]%oftheworkordelivered[Percentage]%ofthegoods,PartyAshallpay[Percentage]%ofthetotalamount,i.e.,[Amountinfigures]([Amountinwords]),toPartyBwithin[Numberofdays]daysuponreceiptofPartyB'spaymentrequestandthecorrespondinginvoices.

FinalPayment:AfterPartyBhascompletedalltheworkordeliveredallthegoodsandpassedtheacceptanceinspectionbyPartyA,PartyAshallpaytheremaining[Percentage]%ofthetotalamount,i.e.,[Amountinfigures]([Amountinwords]),toPartyBwithin[Numberofdays]daysuponreceiptofPartyB'spaymentrequestandthecorrespondinginvoices.

VI.DeliveryandAcceptance

1.Delivery

Ifitisagoodsrelatedtransaction,PartyAshalldeliverthegoodstoPartyBatthefollowingdeliverylocation:[Deliveryaddress]within[Numberofdays]daysafterthesigningofthisAgreement.PartyAshallbearallthecostsandrisksassociatedwiththedeliveryofthegoodsuntilthegoodsaredeliveredtoPartyBattheagreedlocation.

Ifitisaservicerelatedtransaction,PartyBshallstartprovidingtheserviceswithin[Numberofdays]daysafterthesigningofthisAgreementandshallcompletetheserviceswithin[Numberofdays]days.

2.Acceptance

PartyBshallconductanacceptanceinspectionofthegoodsorserviceswithin[Numberofdays]daysafterthedeliveryofthegoodsorthecompletionoftheservices.IfPartyBfindsanynonconformitywiththetermsofthisAgreement,PartyBshallnotifyPartyAinwritingwithin[Numberofdays]days.PartyAshalltakecorrectivemeasureswithin[Numberofdays]daysuponreceiptofPartyB'snotice.Afterthecorrectivemeasuresaretaken,PartyBshallconductareacceptanceinspection.

VII.LiabilityforBreachofContract

1.LiabilityofPartyA

IfPartyAfailstopaythefeestoPartyBinaccordancewiththepaymenttermsofthisAgreement,PartyAshallpayPartyBalatepaymentpenaltyattherateof[Percentage]%oftheoverdueamountperday.IfPartyA'sdelayinpaymentexceeds[Numberofdays]days,PartyBhastherighttosuspendtheperformanceofthisAgreementorterminatethisAgreementandclaimcompensationforalllossescausedbyPartyA'sbreach.

IfPartyAfailstoprovidethenecessaryinformationorassistancerequiredfortheperformanceofthisAgreement,resultinginPartyB'sinabilitytoperformtheAgreementontimeorinfull,PartyAshallbeliableforalllossessufferedbyPartyB.

2.LiabilityofPartyB

IfPartyBfailstodeliverthegoodsorprovidetheservicesinaccordancewiththetermsofthisAgreement,PartyBshallpayPartyAapenaltyattherateof[Percentage]%ofthetotalamountofthisAgreementperdayforeachdayofdelay.IfPartyB'sdelayexceeds[Numberofdays]days,PartyAhastherighttoterminatethisAgreementandclaimcompensationforalllossescausedbyPartyB'sbreach.

IfthegoodsorservicesprovidedbyPartyBdonotmeettheagreedqualitystandards,PartyBshallberesponsibleforreworking,replacing,orrefundingthefees,andshallcompensatePartyAforalllossessufferedasaresult.

VIII.Confidentiality

1.EachPartyshallkeepconfidentialallconfidentialinformationobtainedfromtheotherPartyduringtheperformanceofthisAgreement.Confidentialinformationincludesbutisnotlimitedtotradesecrets,technicalinformation,businessplans,customerinformation,andanyotherinformationmarkedasconfidentialbythedisclosingParty.

2.ThereceivingPartyshallnotdisclose,disseminate,orusetheconfidentialinformationforanypurposeotherthantheperformanceofthisAgreementwithoutthepriorwrittenconsentofthedisclosingParty.

3.TheconfidentialityobligationshallsurvivetheterminationofthisAgreementforaperiodof[Numberofyears]years.

IX.ForceMajeure

1.IfeitherPartyisunabletoperformthisAgreementinwholeorinpartduetoforcemajeureevents,suchasnaturaldisasters,wars,governmentregulations,orotherunforeseeable,unavoidable,andinsurmountableevents,theaffectedPartyshallpromptlynotifytheotherPartyinwritingandproviderelevantproofwithin[Numberofdays]days.

2.TheaffectedPartyshalltakeallreasonablemeasurestominimizetheimpactofforcemajeureevents.Duringtheperiodofforcemajeure,theperformanceofthisAgreementshallbesuspended,andtheperformanceperiodshallbeextendedaccordingly.

3.Iftheforcemajeureeventlastsformorethan[Numberofdays]days,thePartiesshallnegotiateingoodfaithtodeterminewhethertocontinuetoperformthisAgreementortoterminatethisAgreement.
