II.Background

PartyAandPartyBpreviouslyenteredintoacontract(the“OriginalContract”)dated[dateoftheoriginalcontract]regarding[briefdescriptionofthesubjectmatteroftheoriginalcontract].Dueto[reasonsforthesupplementaryagreement,suchaschangesincircumstances,additionalrequirements,etc.],thepartiesherebyagreetoenterintothisSupplementaryAgreementtoamendandsupplementtheOriginalContractinaccordancewiththerelevantprovisionsoftheCivilCodeofthePeople'sRepublicofChina.

III.AmendmentsandSupplementstotheOriginalContract

A.DescriptionoftheSubjectMatterorServices

1.OriginalSubjectMatterorServicesintheOriginalContract

TheOriginalContractwasmainlyconcernedwith[detaileddescriptionoftheoriginalsubjectmatterorservices].Forexample,ifitwasasalescontract,itmightinvolvethesaleof[productname],includingitsspecifications(suchasmodel,size,qualitystandard),quantity([number]),anddeliveryrequirements(suchasdeliverytime,place,andmethod).Ifitwasaservicecontract,itcouldbeabout[servicetype],includingthescopeofservices(suchasspecifictasks,workprocesses),serviceduration([startandenddates]),andservicelocation.

2.AmendedorSupplementarySubjectMatterorServices

B.RightsandObligations

1.RightsandObligationsofPartyA

Rights

PartyAhastherighttoinspectthequalityoftheproductsorservicesprovidedbyPartyBinaccordancewiththeagreedstandards.Iftheproductsorservicesdonotmeettherequirements,PartyAhastherighttorequestPartyBtomakecorrectionswithinareasonabletimelimit.

PartyAhastherighttoreceiverelevantdocumentsandcertificatesrelatedtotheproductsorservices,suchasqualityinspectionreports,operationmanuals,etc.

PartyAhastherighttobeinformedofanysignificantchangesintheprogressoftheproductsorservicesbyPartyBinatimelymanner.

Obligations

PartyAshallpaythecorrespondingconsiderationtoPartyBinaccordancewiththepaymenttermsagreedinthisSupplementaryAgreement.Thepaymentshallbemadewithin[numberofdays]afterthereceiptoftheproductsorcompletionoftheservices.

PartyAshallprovidenecessaryassistanceandcooperationtoPartyBduringtheperformanceofthecontract,suchasprovidingrelevantinformation,accesstofacilities,etc.

PartyAshallkeepconfidentialanytradesecretsandconfidentialinformationofPartyBobtainedduringthecooperation.

2.RightsandObligationsofPartyB

Rights

PartyBhastherighttoreceivetheconsiderationfromPartyAinaccordancewiththeagreedpaymentterms.

PartyBhastherighttorequestPartyAtoprovidenecessaryassistanceandcooperationasagreed,andifPartyAfailstodoso,PartyBhastherighttoclaimcompensationforanylossescausedthereby.

PartyBhastherighttoprotectitsintellectualpropertyrightsrelatedtotheproductsorservices.

Obligations

PartyBshallprovideproductsorservicesthatmeetthequalitystandardsandspecificationsagreedinthisSupplementaryAgreement.PartyBshallberesponsibleforanydefectsorproblemswiththeproductsorserviceswithinthewarrantyperiod.

PartyBshallcompletetheproductionorprovisionofserviceswithintheagreedtimelimit.Ifthereareanydelays,PartyBshallnotifyPartyAinadvanceandexplainthereasons.

PartyBshallalsokeepconfidentialanytradesecretsandconfidentialinformationofPartyAobtainedduringthecooperation.

IV.PaymentTerms

1.OriginalPaymentTermsintheOriginalContract

IntheOriginalContract,thepaymenttermswereasfollows:[describetheoriginalpaymentmethod,amount,andschedule].Forexample,PartyAwasrequiredtopayPartyBatotalamountof[originalamount]in[numberofinstallments],withthefirstinstallmentof[amount]tobepaiduponsigningthecontract,andtheremaininginstallmentstobepaidatcertainintervalsorupontheachievementofspecificmilestones.

V.LiabilityforBreachofContract

1.LiabilityofPartyA

IfPartyAfailstopaytheconsiderationtoPartyBinaccordancewiththeagreedpaymentterms,PartyAshallpayPartyBalatepaymentpenalty.Thelatepaymentpenaltyshallbecalculatedat[percentage]oftheoverdueamountperdayuntilthefullpaymentismade.

IfPartyAfailstoprovidenecessaryassistanceandcooperationtoPartyB,resultinginPartyB'sinabilitytoperformthecontractproperly,PartyAshallcompensatePartyBforanydirectlossessufferedbyPartyB,includingbutnotlimitedtoadditionalcosts,lostprofits,etc.

2.LiabilityofPartyB

IfPartyBfailstoprovideproductsorservicesthatmeettheagreedqualitystandards,PartyBshallberesponsibleforreworking,replacing,orrefundingtheconsiderationtoPartyA.Inaddition,PartyBshallcompensatePartyAforanylossescausedbythenoncompliantproductsorservices,suchaslossesduetoproductiondelays,customercomplaints,etc.

IfPartyBfailstocompletetheproductionorprovisionofserviceswithintheagreedtimelimit,PartyBshallpayPartyAapenaltyof[amount]foreachdayofdelay.Ifthedelayexceeds[numberofdays],PartyAhastherighttoterminatethisSupplementaryAgreementandclaimcompensationforalllossessuffered.

VI.DisputeResolution

1.Negotiation

IncaseofanydisputesarisingfromtheperformanceofthisSupplementaryAgreement,thepartiesshallfirstattempttoresolvethedisputesthroughfriendlynegotiation.Thenegotiationshallbecarriedoutwithin[numberofdays]aftereitherpartynotifiestheotherpartyofthedispute.

2.ArbitrationorLitigation

Ifthenegotiationfails,thepartiesagreetoresolvethedisputesthrough[arbitration/litigation].

Arbitration:Ifarbitrationischosen,thearbitrationshallbeconductedinaccordancewiththearbitrationrulesof[arbitrationinstitution].Thearbitrationawardshallbefinalandbindingonbothparties.Theplaceofarbitrationshallbe[arbitrationlocation].

VII.Miscellaneous

1.Severability

IfanyprovisionofthisSupplementaryAgreementisheldtobeinvalidorunenforceable,thevalidityandenforceabilityoftheotherprovisionsshallnotinanywaybeaffectedorimpaired.Thepartiesshallnegotiateingoodfaithtoreplacetheinvalidorunenforceableprovisionwithavalidandenforce
