2025年廣告服務(wù)合同范本
Parties
ThisAdvertisingServicesAgreement("Agreement")isenteredintoasof[StartDate],byandbetween:
[ProviderCompanyName],havingitsprincipalplaceofbusinessat[ProviderAddress]("Provider"),and
[ClientCompanyName],havingitsprincipalplaceofbusinessat[ClientAddress]("Client").
Background
WHEREAS,ClientdesirestoengageProvidertodevelop,execute,andmanageadvertisingcampaignstoachievespecificmarketingobjectives;and
WHEREAS,ProvideriscapableofprovidingtheadvertisingservicesrequiredbyClient;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesagreeasfollows:
1.ScopeofServices
1.1Providershallprovidethefollowingadvertisingservices("Services")toClient(the"Campaign"):
a)CreativeServices:Developmentofadvertisingcreative,includingconceptcreation,copywriting,visualdesign,videoproduction,andmultimediacontent,inaccordancewithClient'sbrandguidelinesandspecificationsprovidedunderExhibitA.
b)MediaPlanningandBuying:Formulationofmediastrategies,selectionofappropriateadvertisingchannels(includingbutnotlimitedtodigitalplatforms,socialmedia,searchengines,programmaticadvertising,television,radio,andprint),executionofmediapurchases,andongoingcampaignmonitoring.
c)DigitalAdvertisingManagement:ManagementofClient'sdigitaladvertisingaccountsonplatformssuchas[Listspecificplatforms],includingcontentoptimization,bidmanagement,audiencetargeting,andperformancetracking.
d)PerformanceAnalyticsandReporting:Provisionofregularreportsdetailingcampaignperformanceagainstagreed-uponKeyPerformanceIndicators(KPIs),includingmetricssuchasClick-ThroughRate(CTR),ConversionRate(CVR),CostPerAcquisition(CPA),ReturnonAdSpend(ROAS),andbrandsentimentanalysis.Reportsshallbeprovided[Specifyfrequency,e.g.,monthly]within[Specifynumber,e.g.,5]businessdaysfollowingtheendofthereportingperiod.
e)OptimizationandAdjustments:ContinualmonitoringandoptimizationoftheCampaignbasedonreal-timeperformancedatatomaximizeeffectivenessandefficiency.
1.2ThespecificdetailsoftheCampaign,includingobjectives,targetaudience,budget,andkeydeliverables,arefurtherdefinedinExhibitAattachedheretoandincorporatedbyreferenceherein.
2.TermandCommencement
2.1ThisAgreementshallcommenceon[StartDate]andcontinueforaperiodof[Specifyduration,e.g.,twelve(12)months]("Term"),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.TheTermmaybeautomaticallyrenewedforsuccessive[Specifynumber,e.g.,twelve(12)]monthperiodsunlesseitherPartyprovides[Specifynumber,e.g.,ninety(90)]days'writtennoticeofitsintentionnottorenewpriortotheendofthethen-currentTerm.
2.2TheCampaignshallcommenceon[SpecifyCampaignStartDate].
3.CampaignObjectivesandKPIs
3.1TheprimaryobjectivesoftheCampaign,asagreeduponbytheparties,areto[Clearlystateobjectives,e.g.,increasebrandawarenessby15%withinthetargetdemographic,generate2,000qualifiedleadspermonth,achieveaCVRof3%onthepromotedproduct].
3.2Thekeyperformanceindicators(KPIs)tomeasurethesuccessoftheCampaignareasfollows:
a)[ListKPI1,e.g.,GrossRatingPoints(GRPs)forTVspots]
b)[ListKPI2,e.g.,ReachandImpressionsonsocialmediacampaigns]
c)[ListKPI3,e.g.,AverageCostPerClick(CPC)fordigitalsearchads]
d)[ListKPI4,e.g.,TotalnumberofconversionstrackedviaUTMparameters]
e)[ListKPI5,e.g.,NetPromoterScore(NPS)relatedtothepromotedproduct]
4.Budget
4.1ClientshallpayProvideratotalCampaignfeeof[Specifyamount,e.g.,$50,000USD]fortheServicesprovidedunderthisAgreement.Thisfeeisanall-inclusivefeecoveringtheServicesdescribedinSection1,subjecttothepaymenttermsoutlinedinSection6.
4.2ThebudgetallocationfortheCampaignisasfollows:
a)[SpecifypercentageoramountforCreativeDevelopment,e.g.,20%oftotalfee]
b)[SpecifypercentageoramountforMediaBuying,e.g.,50%oftotalfee]
c)[SpecifypercentageoramountforDigitalManagement,e.g.,25%oftotalfee]
d)[Specifyanyadditionalcosts,e.g.,costsforthird-partyplatformsorproductionvendors,andhowtheywillbebilled,e.g.,separatelyuponinvoice]
5.DataPrivacyandCompliance
5.1BothProviderandClientagreetocomplywithallapplicablelawsandregulationsconcerningthecollection,use,storage,andtransferofpersonaldatarelatedtotheCampaign,includingbutnotlimitedtotheGeneralDataProtectionRegulation(GDPR),theCaliforniaConsumerPrivacyAct(CCPA),andthePersonalInformationProtectionLaw(PIPL)ofthePeople'sRepublicofChina.
5.2Providershallobtainandmanageuserconsentsfordataprocessingactivitiesasrequiredbyapplicablelaw,maintainrecordsofsuchconsents,andprovideClientwithaccesstorelevantconsentrecordsuponrequest.
5.3Providershallimplementreasonabletechnicalandorganizationalmeasurestoprotectpersonaldatafromunauthorizedaccess,disclosure,alteration,ordestruction.ClientshallprovideProviderwithnecessarydataaccesscredentialsandinstructionsfordataprocessing.
5.4Clientisresponsibleforensuringthattheadvertisingcontentdoesnotinfringeupontheprivacyrightsorpersonaldataprotectionobligationsofanyindividual.ProvidershallnotbeliableforanyclaimsarisingfromClient'sfailuretocomplywithdataprivacyrequirements.
6.FeesandPaymentTerms
6.1Client'spaymentobligationsunderthisAgreementshallbeasfollows:
a)Aninitialsetupfeeof[Specifyamount]duewithin[Specifynumber,e.g.,10]businessdaysoftheCommencementDate.
b)Progresspaymentstotaling[Specifyamountorpercentage]due[Specifyschedule,e.g.,monthly]basedonthecompletionofmilestonesoutlinedinExhibitA.
c)Afinalpaymentof[Specifyamountorpercentage]duewithin[Specifynumber,e.g.,30]businessdaysfollowingtheendoftheCampaignTermoruponmutualagreementforearlytermination.
6.2AllpaymentsshallbemadebyClienttoProviderintheformof[Specifymethod,e.g.,electronictransfer]tothebankaccountprovidedbyProviderunderExhibitB.
6.3ProvidershallissueaninvoicetoClient[Specifynumber,e.g.,10]businessdayspriortoeachduepaymentdate,detailingtheservicesrenderedandtheamountdue.Paymenttermsarenet[Specifynumber,e.g.,30]daysfromthedateofinvoice.
6.4AnylatepaymentbyClientshallaccrueinterestatarateof[Specifyrate,e.g.,oneandone-halfpercent(1.5%)permonth]ontheoutstandingamountfromtheduedateuntilthedateofpayment.
7.IntellectualPropertyRights
7.1UponfullpaymentofallfeesdueunderthisAgreement,ProvidershallgrantClientanon-exclusive,royalty-free,worldwidelicensetousethecreativeassetsdevelopedspecificallyfortheCampaignsolelyforthepurposesoftheCampaignobjectives.
7.2Clientshallownallpre-existingintellectualpropertyrightsitpossessesandanymodificationsmadebyProvidertoitsoriginalcreativeconcepts.Providershallretainownershipofitsproprietarytools,technologies,andmethodologiesusedinprovidingtheServices.
7.3AllreportsandanalyticsgeneratedbyProviderduringtheCampaignareprovidedtoClientsubjecttothetermsofthisAgreementandProvider'sinternalconfidentialityobligations.ClientshallnotreproduceordistributethesereportsortheinformationcontainedthereinexceptaspermittedbythisAgreement.
8.Confidentiality
8.1EachParty("DisclosingParty")shallholdinthestrictestconfidenceallnon-publicinformation("ConfidentialInformation")disclosedbytheotherParty("ReceivingParty")inconnectionwiththisAgreement.Thisincludesbutisnotlimitedtobusinessplans,financialdata,clientlists,creativematerials,technicalinformation,andstrategies.
8.2TheReceivingPartyshalluseConfidentialInformationsolelyforthepurposeoffulfillingitsobligationsunderthisAgreementandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty.TheReceivingPartyshalltakereasonablemeasurestoprotecttheconfidentialityofConfidentialInformation.
8.3ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[Specifynumber,e.g.,three(3)]yearsaftertheendoftheTerm.
9.LiabilityandIndemnification
9.1Provider'stotalliabilitytoClientunderthisAgreementforanycauseshallnotexceedthetotalfeespaidbyClienttoProviderunderthisAgreementduringthetwelve(12)monthspriortothedateoftheclaim.
9.2ProvidershallindemnifyandholdharmlessClientfromandagainstanyandallclaims,losses,damages,liabilities,awards,penalties,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromProvider'sbreachofthisAgreement,Provider'snegligence,orProvider'sviolationofanyapplicablelaworregulation,providedthatClientpromptlynotifiesProviderofsuchclaimorbreach.
9.3ClientshallindemnifyandholdharmlessProviderfromandagainstanyandallclaims,losses,damages,liabilities,awards,penalties,andexpensesarisingoutoforresultingfromClient'sbreachofthisAgreement,Client'snegligence,orClient'sviolationofanyapplicablelaworregulation,providedthatProviderpromptlynotifiesClientofsuchclaimorbreach.
10.Termination
10.1EitherPartymayterminatethisAgreementatanytimeupon[Specifynumber,e.g.,60]days'writtennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.
10.2UponterminationorexpirationofthisAgreement,Providershall:
a)DelivertoClientallfinaldeliverablescreatedspecificallyfortheCampaign.
b)ProvideClientwithaccesstocampaigndataandanalyticsforaperiodof[Specifynumber,e.g.,four(4)]weeksfollowingtermination,unlessotherwiseagreedinwriting.
c)Returnanypre-paidamountsorunusedportionsofprepaidservicessubjecttothepaymentterms.
d)MaintainconfidentialityregardingClientinformation.
11.DisputeResolution
11.1Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallbesettledamicablythroughnegotiationbetweentheparties.Ifnegotiationisunsuccessful,thedisputeshallbesubmittedto[Specifyvenue,e.g.,thecompetentcourtlocatedintheCityof[CityName],Stateof[StateName],USAorarbitrationundertherulesofthe[SpecifyArbitrationInstitution]inaccordancewiththe[SpecifyArbitrationRules]].
12.GoverningLaw
12.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[SpecifyState]withoutregardtoitsconflictoflawprinciples.TheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(CISG)shallnotapplytothisAgreement.
13.Notices
13.1Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgiven(a)whendeliveredpersonally,(b)uponconfirmationofreceiptwhensentbyemail,or(c)upondepositwitharecognizedovernightcourierserviceortheU.S.PostalService,returnreceiptrequested,postageprepaid.
13.2AllnoticesunderthisAgreementshallbeaddressedtothepartiesasfollows:
a)ToProvider:[ProviderLegalContactName],[ProviderLegalDepartmentAddress]
b)ToClient:[ClientLegalContactName],[ClientLegalDepartmentAddress]
14.EntireAgreement
14.1ThisAgreement,includingExhibitAandExhibitBincorporatedherein,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten.

15.1Noamendment,modification,orwaiverofanyp
