cetype,e.g.,中國(guó)人民保險(xiǎn)公司(PICC)OceanMarineCargoClauses(C)/InstituteCargoClauses(C)],forthecoverageagainstallrisksmentionedinthepolicy.TheinsurancecertificateshallbeprovidedtotheBuyeruponrequest.8.Liability:*ExceptfortheindemnitiesandliabilitiesspecificallysetforthinthisContract,neitherpartyshallbeliableforanyindirect,incidental,consequential,special,orpunitivedamages.*TheSeller'stotalliabilitytotheBuyerunderthisContractforanycausewhatsoevershallnotexceedthetotalvalueoftheProductsconcernedsubjecttothisContract.*TheSellershallbeliableforanyclaimsarisingfromtheProducts'non-compliancewiththequalitystandardsorspecifications.9.Confidentiality:EachpartyagreestokeepconfidentialallinformationdisclosedbytheotherpartyduringthetermofthisContractandforaperiodof[Insertnumber,e.g.,two]yearsthereafter,whichshallnotincludeinformationthat:(a)wasknowntothereceivingpartypriortodisclosure;(b)becomesgenerallyknowntothepublicthroughnowrongfulactoromissionofthereceivingparty;(c)isobtainedfromathirdpartywithoutbreachofsuchthirdparty'sobligationsofconfidentiality;or(d)isindependentlydevelopedbythereceivingpartywithoutuseoftheotherparty'sconfidentialinformation.10.ForceMajeure:NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayiscausedbyForceMajeure,definedaseventsbeyondthereasonablecontroloftheaffectedparty,including,butnotlimitedto,war,riots,civilcommotion,earthquakes,floods,fires,strikes,andgovernmentalactions.Theaffectedpartyshallpromptlynotifytheotherpartyofsucheventandproviderelevantevidence.Theperformanceoftheaffectedparty'sobligationsunderthisContractshallbesuspendedduringtheperiodofForceMajeureandforareasonabletimeafteritstermination,dependingonthenatureoftheevent.11.ContractVariationandTermination:*AnyamendmentormodificationtothisContractshallbevalidonlyifmadeinwritingandsignedbyauthorizedrepresentativesofbothparties.*ThisContractmaybeterminatedbyeitherpartyupon[Insertnoticeperiod,e.g.,30]days'writtennoticetotheotherpartyiftheotherpartycommitsamaterialbreachofthisContractandfailstoremedysuchbreachwithinthespecifiedperiod.*Intheeventoftermination,theSellershallbeentitledtoreceiveallpaymentsdueunderthisContractuptothedateoftermination.12.GoverningLawandDisputeResolution:*ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.*AnydisputearisingoutoforinconnectionwiththisContractshallfirstbeattemptedtobesettledthroughfriendlynegotiationbetweentheparties.*Ifthedisputecannotbesettledthroughnegotiationwithin[Insertnumber,e.g.,30]days,itshallbesubmittedtothe[Chooseone:ChinaInternationalEconomicandTradeCourt/ShenzhenInternationalArbitrationCenter]forarbitration.The仲裁rules[SpecifyRules,e.g.,theShenzhenInternationalArbitrationCenterArbitrationRules]shallgovernthearbitration.Thearbitralawardshallbefinalandbindinguponbothparties.Thecostsofarbitrationshallbebornebythelosingparty,unlessthearbitralawardsoprovides.13.Notices:Allnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbedeemedgiven(a)whendeliveredpersonally;(b)uponconfirmationofreceiptwhensentbyrecognizedcourierservice;(c)onebusinessdayafterdepositwiththepost;or(d)uponpublicationinanewspaperofgeneralcirculationinthecitywherethereceivingpartyhasitsprincipalplaceofbusiness.AllnoticesshallbeaddressedtothepartiesattheaddressessetforthinSection1aboveortosuchotheraddressasapartymaydesignatebynoticetotheotherpartyinwriting.14.EntireAgreement:ThisContract,includingitsexhibitsandattachments,constitutestheentireagreementbetweenthepartiesconcerningthesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten.15.Severability:Ifany
