2025國際海上貨物運(yùn)輸合同（總承包）中英文對照2025InternationalMarineCargoTransportationContract(Turnkey)(Sino-EnglishVersion)正文：ThisContractisenteredintoonthisdayof,2025,byandbetweenthefollowingParties:甲方(PartyA):名稱(Name):地址(Address):聯(lián)系方式(ContactInformation):法定代表人(LegalRepresentative):乙方(PartyB):名稱(Name):地址(Address):聯(lián)系方式(ContactInformation):法定代表人(LegalRepresentative):第一條合同范圍與定義(ScopeandDefinitions)1.1工程范圍Uponcarefulconsiderationandmutualagreement,PartyAhasauthorizedPartyBtoactasthegeneralcontractorfortheinternationalmarinecargotransportationproject(hereinafterreferredtoasthe"Project").ThescopeofPartyB'sresponsibilitiesincludes,butisnotlimitedto,thefollowing:Thetransportationofgoodsfromtheloadingport(LoadingPort)tothedestinationport(DestinationPort).Arrangementoftransportationvessels,crew,andallnecessaryequipment.Handlingofshippingdocumentation,includingbutnotlimitedtotheBillofLading,PackingList,andInvoice.Marineinsuranceforthegoodsduringtransportation.Compliancewithallapplicableinternationalanddomesticlaws,regulations,andconventions,includingbutnotlimitedtotheUnitedNationsConventiononContractsfortheInternationalcarriageofGoodsbySea(CMРConvention).1.2DefinitionsForthepurposesofthisContract,thefollowingtermsshallhavethemeaningsasdefinedbelow:Goods:AllitemstobetransportedunderthisContract,includingbutnotlimitedto.LoadingPort:.DestinationPort:.Vessel:.ProjectCompletionDate:ThedatebywhichPartyBisrequiredtocompletethetransportationoftheGoods,asspecifiedinArticle4.第二條合同價格與支付方式(ContractPriceandPaymentTerms)2.1TotalContractPriceThetotalcontractpriceforthetransportationoftheGoodsisagreedtobe(hereinafterreferredtoasthe"ContractPrice").2.2PaymentScheduleTheContractPriceshallbepaidbyPartyAtoPartyBinaccordancewiththefollowingschedule:Anon-refundabledepositof%oftheContractPrice,tobepaiduponsigningofthisContract.Theremaining%oftheContractPrice,tobepaidwithindaysofthesuccessfulcompletionoftheProjectanddeliveryoftheGoodstotheDestinationPort.2.3CurrencyAllpaymentsunderthisContractshallbemadein.2.4LatePaymentPenaltiesIfPartyAfailstomakeanypaymentdueunderthisContract,PartyBshallbeentitledtochargealatepaymentpenaltyof%oftheoverdueamount,calculatedfromthedateonwhichpaymentwasdueuntilthedateofactualpayment.第三條權(quán)利與義務(wù)(RightsandObligations)3.1ObligationsofPartyAPartyAagreesto:(a)Provideallnecessaryinformation,documents,andassistancetoPartyBinordertofacilitatethesuccessfulcompletionoftheProject.(b)EnsurethattheGoodsarereadyforloadingattheLoadingPortonorbeforethedatespecifiedbyPartyB.(c)IndemnifyPartyBagainstanyclaims,damages,orlossesarisingfromdelaysordisruptionscausedbyPartyA'sfailuretomeetitsobligationsunderthisContract.3.2ObligationsofPartyBPartyBagreesto:(a)UseitsbesteffortstoensurethattheGoodsaretransportedsafelyandefficientlyfromtheLoadingPorttotheDestinationPortinaccordancewiththetermsofthisContract.(b)Complywithallapplicablelaws,regulations,andconventions,andobtainallnecessarypermitsandlicensesrequiredforthetransportationoftheGoods.(c)ProvidePartyAwithtimelyupdatesonthestatusofthetransportation,includingbutnotlimitedtovoyageupdatesandanyunexpecteddelays.(d)DelivertheGoodstotheDestinationPortonorbeforetheProjectCompletionDate.3.3ForceMajeureNeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayisduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,actsofGod,war,riots,orgovernmentalactions.第四條工程期限與延期(ProjectTimetableandDelays)4.1ProjectCompletionDateTheProjectCompletionDateissetas.4.2ExtensionofTimePartyBmay,uponprovidingwrittennoticetoPartyA,extendtheProjectCompletionDatebyareasonableperiodifdelaysoccurduetocircumstancesbeyondPartyB'scontrol,includingbutnotlimitedtovesselbreakdowns,adverseweatherconditions,orstrikes.4.3LiquidatedDamagesIfPartyBfailstocompletetheProjectbytheProjectCompletionDate,PartyBagreestopayliquidateddamagestoPartyAintheamountofperdayforeachdayofdelay,uptoamaximumof.第五條保險與賠償(InsuranceandIndemnification)5.1InsurancePartyBshallobtainmarineinsurancefortheGoodsintheamountof,coveringrisksoflossordamagetotheGoodsduringtransportation.5.2IndemnificationPartyBagreestoindemnifyandholdPartyAharmlessfromanyandallclaims,damages,orlossesarisingdirectlyorindirectlyfromPartyB'snegligenceorfailuretocomplywiththetermsofthisContract.第六條爭議解決(DisputeResolution)6.1友好協(xié)商AnydisputesarisingoutoforinconnectionwiththisContractshallbesettledthrough友好協(xié)商betweentheParties.6.2訴訟Ifthedisputescannotberesolvedthrough友好協(xié)商,eitherPartymaybringlegalactionagainsttheotherPartyinthecourtsof,andthelosingPartyshallbearallcostsassociatedwiththelitigation.6.3適用法律ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.第七條合同的修改與終止(AmendmentsandTermination)7.1合同修改AnyamendmentsormodificationstothisContractshallbeinwritingandsignedbybothParties.7.2合同終止EitherPartymayterminatethisContractwithimmediateeffectiftheotherPartybreachesanyofitsobligationsunderthisContractandfailstocuresuchbreachwithindaysofreceivingwrittennoticeofthebreach.7.3合同終止后的義務(wù)Upo
