2025附加協(xié)議英文合同范本2025AdditionalAgreementEnglishContractTemplateThisAdditionalAgreement("Agreement")enteredintoasof[Date](the"EffectiveDate"),byandbetween[PartyA],acompanyincorporatedunderthelawsof[Jurisdiction],withitsprincipalplaceofbusinessat[Address],and[PartyB],acompanyincorporatedunderthelawsof[Jurisdiction],withitsprincipalplaceofbusinessat[Address].WITNESSESOFTHEFACTS,Whereas,theOriginalAgreementdatedasof[Date](the"OriginalAgreement")waspreviouslyenteredintobyandbetweentheparties,governingthetermsandconditionsoftheirbusinessrelationship;AndWhereas,thepartiesdesiretoamend,modify,and/orsupplementthetermsandconditionsoftheOriginalAgreementasprovidedherein;NOW,THEREFORE,inconsiderationofthemutualcovenants,promises,andagreementscontainedherein,thepartiesheretoagreeasfollows:1.DEFINITIONSForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:"Agreement"shallmeanthisAdditionalAgreementandtheOriginalAgreement,togetherwithanyexhibits,schedules,orappendicesattachedheretoorthereto,asfromtimetotimeamended,supplemented,ormodified."Party"or"Parties"shallmean[PartyA]and[PartyB],individuallyorcollectively,asthecontextmayrequire."EffectiveDate"shallmeanthedatewrittenabove,whenthisAgreementbecomesbindingandenforceablebetweentheparties.2.TERMOFTHISAGREEMENTThisAgreementshallbeeffectiveasoftheEffectiveDateandshallcontinueinfullforceandeffectuntiltheterminationoftheOriginalAgreement,unlessearlierterminatedinaccordancewiththetermshereof.3.AMENDMENTSTOTHEORIGINALAGREEMENTTheOriginalAgreementisherebyamendedasfollows:3.1[SpecificClausetobeAmended]:Theoriginalclausestating[PreviousClause]isherebyreplacedwiththefollowing:[NewClause].3.2[AdditionalClauses]:ThefollowingnewclausesareherebyaddedtotheOriginalAgreement:a.[NewClause1]b.[NewClause2]4.ADDITIONALPROVISIONSThefollowingadditionalprovisionsareherebyagreeduponandincorporatedintotheOriginalAgreement:4.1EntireAgreement:ThisAgreement,togetherwiththeOriginalAgreement,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten,relatingtosuchsubjectmatter.4.2GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[Jurisdiction],withoutregardtoitsconflictoflawsprinciples.4.3DisputeResolution:AnydisputesarisingoutoforrelatingtothisAgreementshallberesolvedthrough[Arbitration/Litigation],asmutuallyagreeduponbytheparties.4.4Confidentiality:EachpartyagreestomaintaintheconfidentialityofallinformationexchangedpursuanttothisAgreement,unlessotherwiserequiredbylaw.4.5IntellectualProperty:AllintellectualpropertyrightscreatedordevelopedinconnectionwiththisAgreementshallbelongsolelyto[PartyA/PartyB],asspecifiedinExhibitAattachedhereto.5.MISCELLANEOUS5.1Notices:Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredorcertifiedmail,returnreceiptrequested,orsentbyovernightcourier,totherespectiveaddressesofthepartiesassetforthintheOriginalAgreement.5.2Severability:IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.5.3Waiver:ThewaiverofanyprovisionofthisAgreementshallnotoperateasawaiverofanyotherprovisionorasacontinuingwaiverofthesameprovision.5.4Counterparts:ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.6.EXECUTIONINWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.[PartyA][Name][Title][PartyB][Name][Title]EXHIBITA-INTELLECTUALPROPERTY[Detaileddescriptionofintellectualpropertyrightsandownership]EXHIBITB-[OtherExhibits,ifapplicable][Additionalexhibits,asneeded]ThisAdditionalAgreementisdesignedtoprovideacomprehensiveframeworkforupdatingorexpandingthetermsoft
