2025年商務(wù)會議中的英語合同談判情景對話CONTRACTFORBUSINESSCONFERENCEIN2025ThisContract(the"Contract")isenteredintoonthisdayof,2025,byandbetween(hereinafterreferredtoas"CompanyA")and(hereinafterreferredtoas"CompanyB"),withthefollowingdetails:CompanyA:Name:Address:ContactPerson:Email:CompanyB:Name:Address:ContactPerson:Email:1.DEFINITIONSANDINTERPRETATIONSForthepurposesofthisContract:"Services"referstothebusinessconferenceandrelatedservicestobeprovidedbyCompanyAasdescribedinthisContract."Term"referstotheperiodduringwhichthisContractisinforce,asspecifiedinSection3."ConfidentialInformation"referstoanyinformation,whetherwritten,oral,orelectronic,disclosedbyonePartytotheotherinconnectionwiththisContract,whichisclearlymarkedorunderstoodasconfidential."IntellectualProperty"referstoallrightsinintellectualproperty,includingbutnotlimitedtotrademarks,patents,copyrights,andtradesecrets,arisingoutofthisContract.2.SCOPEOFSERVICESCompanyAagreestoprovidethefollowingservicestoCompanyB:2.1Planningandorganizingabusinessconference,includingbutnotlimitedtovenuebooking,catering,andlogisticalsupport.2.2Providingmarketingandpromotionalmaterialsfortheconference.2.3Coordinatingwithspeakers,delegates,andotherparticipants.2.4Ensuringcompliancewithallapplicablelaws,regulations,andindustrystandards.3.TERMANDFEES3.1ThisContractshallcommenceonthedateofsignaturebybothPartiesandcontinueuntilthecompletionofthebusinessconference(the"Term").3.2ThetotalfeefortheServicesshallbe(the"Fee").TheFeeisinclusiveofallservicesandexpensesrelatedtothebusinessconference.4.PAYMENTTERMS4.1CompanyBshallpaytheFeetoCompanyAinfullwithindaysofthedateofthisContract.4.2AllpaymentsshallbemadeinaccordancewiththepaymentdetailsprovidedbyCompanyA.4.3Latepaymentsshallincurainterestchargeofpermonth,calculatedontheoverdueamount.5.OBLIGATIONSOFTHEPARTIES5.1CompanyAshall:(a)ProvidetheServicesinaprofessionalandefficientmanner.(b)Complywithallapplicablelaws,regulations,andindustrystandards.(c)MaintaintheconfidentialityofallConfidentialInformation.5.2CompanyBshall:(a)Provideallnecessaryinformation,assistance,andsupporttoenableCompanyAtoperformtheServices.(b)PaytheFeeinaccordancewiththetermsofthisContract.(c)IndemnifyCompanyAagainstanyclaims,damages,orexpensesarisingfromCompanyB'sbreachofthisContractoritsownnegligence.6.CONFIDENTIALITY6.1BothPartiesagreetomaintaintheconfidentialityofallConfidentialInformation.6.2TheobligationsunderthisSectionshallsurvivetheterminationofthisContract.7.INTELLECTUALPROPERTY7.1AllIntellectualPropertycreatedbyCompanyAinthecourseofprovidingtheServicesshallbelongtoCompanyB.7.2CompanyAshallnotuseanyIntellectualPropertycreatedforCompanyBforanypurposeotherthanasagreedinthisContract.8.TERMINATION8.1EitherPartymayterminatethisContractbygivingtheotherPartydays'writtennoticeiftheotherPartybreachesanymaterialtermorconditionofthisContractandfailstoremedythebreachwithinsuchperiod.8.2Intheeventoftermination,CompanyAshallpromptlyreturnanymaterials,documents,orpropertyprovidedbyCompanyB.9.WARRANTIESANDLIABILITIES9.1CompanyAwarrantsthatithasthenecessaryexpertiseandqualificationstoprovidetheServices.9.2CompanyAshallnotbeliableforanylossordamagearisingfromeventsbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,wars,orgovernmentalactions.10.GOVERNINGLAWANDDISPUTERESOLUTION10.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.10.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughfriendlynegotiations.Ifnegotiationsfail,themattershallbereferredtothearbitration機構(gòu)ininaccordancewiththerulesofarbitration.INWITNESSWHEREOF
