2025年外貿(mào)企業(yè)市場調(diào)研服務(wù)合同中英文版ThisContractismadeandenteredintoon[DateofSigning],in[PlaceofSigning],byandbetween:PartyA(Buyer):[CompanyNameofForeignTradeEnterprise],havingitsregisteredaddressat[RegisteredAddressofPartyA],andbeingrepresentedby[NameofLegalRepresentative/AuthorizedRepresentative]incapacityof[TitleofLegalRepresentative/AuthorizedRepresentative]("PartyA");PartyB(Seller):[CompanyNameofMarketResearchAgency/ConsultingFirm],havingitsregisteredaddressat[RegisteredAddressofPartyB],andbeingrepresentedby[NameofLegalRepresentative/AuthorizedRepresentative]incapacityof[TitleofLegalRepresentative/AuthorizedRepresentative]("PartyB").(Hereinafterreferredtoas"PartyA"and"PartyB"togetherasthe"Parties"andindividuallyasa"Party")Recitals:WHEREAS,PartyAseekstoexpanditsbusinessintointernationalmarketsandrequiresprofessionalmarketresearchservicestounderstandtargetmarkets,competitors,andcustomerneeds;andWHEREAS,PartyBpossessestheexpertise,resources,andexperiencetoprovidecomprehensivemarketresearchservicesforforeigntradeenterprises;andWHEREAS,thePartieswishtoengageinacollaborativerelationshipfortheprovisionofmarketresearchservicesbyPartyBtoPartyA,subjecttothetermsandconditionssetforthherein.NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thePartiesagreeasfollows:1.ScopeofServicesPartyBshallprovidemarketresearchservicestoPartyAregarding[SpecifyTargetMarket(s),e.g.,theChinesemarketforelectricvehicles]("TargetMarket")toachievethefollowingprimaryobjectives:a.ToassessthemarketpotentialandentryfeasibilityforPartyA's[SpecifyProduct/Service]intheTargetMarket.b.Toanalyzethecompetitivelandscape,identifyingkeycompetitors,theirmarketshare,productofferings,pricingstrategies,marketingapproaches,andSWOTanalysis.c.Tounderstandthetargetcustomerdemographics,preferences,purchasingbehavior,unmetneeds,andkeyconsiderationswithintheTargetMarket.d.Toevaluaterelevantmarketregulations,tradebarriers,culturalfactors,andpotentialrisksassociatedwithmarketentry.e.Toproviderecommendationsonpotentialmarketentrystrategies,marketingchannels,andpositioningforPartyA's[SpecifyProduct/Service].Thespecificdeliverablesshallinclude,butnotbelimitedto:a.AcomprehensiveMarketResearchReportdetailingthefindingsandanalysisunderObjectivesa)tod).b.Methodologydescriptiondocumentoutliningtheresearchapproach,datasources,andsamplingtechniquesused.c.Finalpresentationmaterials(PowerPoint)summarizingkeyfindingsandrecommendations.d.Theresearchreportshallbestructured,containrelevantdatavisualizations(charts,graphs),clearanalysis,andactionableconclusions.2.ResearchMethodologyPartyBshallemployappropriatemarketresearchmethodologies,whichmayinclude,butarenotlimitedto,secondaryresearch(analysisofindustryreports,governmentpublications,academicstudies),primaryresearch(onlinesurveystargetingpotentialcustomersintheTargetMarket,in-depthinterviewswithindustryexpertsandpotentialcustomers,focusgroupdiscussions),competitorwebsiteandproductanalysis,andexpertconsulting.ThespecificmethodologywillbedetailedinaproposalsubmittedbyPartyBtoPartyAforapprovalpriortothecommencementofmajorfieldwork.3.TermandScheduleThetermofthisContractshallcommenceon[StartDate]andshallconcludeuponthedeliveryofthefinalresearchreporttoPartyA,subjecttothepaymentofallapplicablefeesbyPartyA.PartyBshallsubmitadetailedprojectplanoutliningkeymilestonesandtimelinestoPartyAwithin[Number,e.g.,5]daysofContractsigning.Keymilestonesinclude[ListKeyMilestones,e.g.,Finalizationandapprovalofresearchmethodology-expectedby[Date],Deliveryofpreliminaryfindingspresentation-expectedby[Date],Finalreportsubmission-expectedby[Date]].PartyBshallusereasonableeffortstocompletetheprojectasscheduled,andanypotentialdelayshallbecommunicatedtoPartyAinadvance.PartyAshallprovidenecessaryinputsandfeedbackasmutuallyagreed.4.FeesandPaymentTermsPartyAshallpayPartyBatotalservicefeeof[AmountinCurrency,e.g.,USD50,000](the"ServiceFee")fortheprovisionofservicesunderthisContract.Thisfeeis[Chooseone:exclusiveof/inclusiveof]applicabletaxes.TheServiceFeeshallbepaidasfollows:a.Aninitialnon-refundabledepositof[Percentage,e.g.,50]%amountingto[AmountinCurrency]shallbepaidbyPartyAtoPartyBwithin[Number,e.g.,15]daysfromthedateofthisContractsigning.b.Theremainingbalanceof[Percentage,e.g.,50]%amountingto[AmountinCurrency]shallbepaidbyPartyAtoPartyBuponthedeliveryandacceptanceofthefinalMarketResearchReportbyPartyA.PaymentsshallbemadeviabanktransfertothefollowingaccountdetailsofPartyB:BankName:[BankNameofPartyB]AccountName:[AccountNameofPartyB]AccountNumber:[AccountNumberofPartyB]BankAddress:[BankAddressofPartyB]SWIFTCode:[SWIFTCodeofPartyB]Invoicesforapplicabletaxes,ifany,shallbeprovidedbyPartyBandshallbedueandpayableconcurrentlywiththeServiceFeepayment(s)towhichtheyrelate.5.PartyA'sObligationsPartyAshall,duringthetermofthisContract,providePartyBwithallnecessaryinformation,accesstofacilities,personnel,andcooperationrequiredtoenablePartyBtoperformitsobligationsunderthisContract.Thisincludes,butisnotlimitedto,providingdetailedproductinformation,identifyingkeycontactsforinterviewsorsurveys,andfacilitatingdatacollectionactivitiesasrequestedbyPartyB.PartyAshallreviewandprovidefeedbackontheresearchmethodologyandpreliminaryfindingswithin[Number,e.g.,7]daysofreceipt.PartyAshallpayPartyBallfeesdueunderthisContractpromptlyuponbecomingliableforpayment.PartyAshallkeepconfidentialallnon-publicinformationreceivedfromPartyBduringthetermofthisContract.6.PartyB'sObligationsPartyBshallperformthemarketresearchserviceswithdiligence,professionalism,andinaccordancewiththeagreedscope,methodology,andschedule.PartyBshallemployqualifiedresearchersandadheretoallrelevantindustrystandardsandethicalpractices.PartyBshalluseitsbesteffortstocompletetheprojectontimeandshallnotifyPartyApromptlyifitanticipatesanydelays.PartyBshallkeepconfidentialallnon-publicinformationreceivedfromPartyAduringthetermofthisContractandshallnotusesuchinformationforanypurposeotherthanperformingitsobligationsunderthisContract,exceptasrequiredbylaworwithPartyA'spriorwrittenconsent.PartyBshalldeliverthefinalMarketResearchReportandpresentationmaterialstoPartyAintheagreedformat.7.ConfidentialityEachPartyagreestoholdinstrictconfidenceallnon-publicinformationdisclosedbytheotherPartyduringthetermofthisContractandforaperiodof[Number,e.g.,three]yearsthereafter.Thisobligationshallnotapplytoinformation:(i)whichwasalreadyknowntothereceivingPartyatthetimeofdisclosure,(ii)whichbecomespubliclyknownthroughnoactoromissionofthereceivingParty,(iii)whichisobtainedfromathirdpartywithoutbreachofsuchthirdparty'sobligationsofconfidentiality,or(iv)whichisindependentlydevelopedbythereceivingPartywithoutuseoftheotherParty'sconfidentialinformation.EachPartyshallrestrictaccesstotheotherParty'sconfidentialinformationtoonlythoseofitsemployees,agents,orcontractorswhohaveaneedtoknowandwhoareboundbyconfidentialityobligationsatleastasstringentasthosesetforthherein.8.IntellectualPropertyRightsUponfullpaymentoftheServiceFeebyPartyA,theintellectualpropertyrightsinthefinalMarketResearchReport,includingthetext,data,analysis,conclusions,recommendations,andpresentationmaterials,shallbetransferredsolelytoPartyA.PartyBretainstherighttousethegeneralmethodologyandfindingsfromthisprojectforinternalpurposes,training,andbenchmarking,providedsuchusedoesnotmisrepresentPartyB'sroleorcapabilitiesordisclosePartyA'sconfidentialinformation.PartyBmayreferencethisprojectinitsportfolio,withPartyA'spermissionifrequiredforspecificclients,ensuringconfidentialityofPartyA'sdetails.9.LiabilityPartyBshallbeliabletoPartyAforanydirectdamagesresultingfromPartyB'snegligenceorwillfulmisconductinperformingitsobligationsunderthisContract.PartyB'stotalliabilityunderthisContractshallbelimitedtotheServiceFeepaidbyPartyAunderthisContract.PartyAreleasesPartyBfromanyliabilityforindirect,incidental,consequential,orpunitivedamages.NeitherPartyshallbeliableforanydelaysorfailurescausedbyforcemajeureevents.10.ForceMajeureNeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayiscausedbyaforcemajeureevent,whichisaneventbeyonditsreasonablecontrol,including,butnotlimitedto,actsofGod,war,terrorism,riots,strikes,civilcommotion,governmentalactionsorregulations,fire,flood,storm,orothernaturaldisasters.TheaffectedPartyshallpromptlynotifytheotherPartyinwritingofanyforcemajeureeventandshalltakeallreasonablestepstomitigateitseffects.PerformanceofobligationsunderthisContractshallbesuspendedduringtheforcemajeureeventbutshallresumeoncetheeventceasesanditisfeasibletoresume.11.DisputeResolutionAnydispute,controversy,orclaimarisingoutoforrelatingtothisContract,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtoberesolvedthroughgoodfaithnegotiationbetweentheParties.Ifthedisputecannotberesolvedthroughnegotiationwithin[Number,e.g.,30]days,thedisputeshallbefinallysettledby[Chooseone:arbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,ChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)]inaccordancewiththearbitrationrulesofthe[SpecifyInstitution]effectiveatthetimeofthedispute,andtheplaceofarbitrationshallbe[SpecifyCity,e.g.,Shanghai].The仲裁awardshallbefinalandbindinguponbothParties./litigationbeforethecompetentpeople'scourthavingjurisdictionin[SpecifyCity,e.g.,Shanghai]].12.AmendmentandWaiverNoamendment,modification,orwaiverofanyprovisionofthisContractshallbeeffectiveunlessmadeinwritingandsignedbyauthorizedrepresentativesofbothParties.NowaiverbyeitherPartyofanybreachofthisContractshallbedeemedawaiverofanysubsequentbreach.13.EntireAgreementThisContract,includingtheattachedexhibits(ifany),constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetheroralorwritten.14.SeverabilityIfanyprovisionofthisContractisheldbyacourtofcompetentjurisdictiontobeinvalid,illegal,orunenforceable,theremainingprovisionsshallremaininfullforceandeffect.15.AssignmentNeitherPartymayassignanyrightsorobligationsunderthisContracttoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.Anyattemptedassignmentwithoutsuchconsentshallbenullandvoid.16.GoverningLawThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.17.NoticesAllnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygiven:(i)whendeliveredpersonally;(ii)uponconfirmationofreceiptwhensentbyemail
