2025年國(guó)際捐贈(zèng)合同協(xié)議PartiesThisAgreementismadeandenteredintoasof[Date],byandbetween[Donor'sFullLegalName],havingitsprincipalplaceofbusinessat[Donor'sAddress]("Donor"),and[Recipient'sFullLegalName],havingitsprincipalplaceofbusinessat[Recipient'sAddress]("Recipient").DefinitionsandInterpretation1.InthisAgreement,unlessthecontextotherwiserequires:a."Agreement"meansthisInternationalDonationAgreementtogetherwithallexhibits,attachments,andamendmentsthereto.b."Donation"meansthefunds,assets,orservicesprovidedbytheDonortotheRecipientpursuanttothisAgreement.c."Project"meansthespecificprojectoractivitydescribedinSection4.d."Representative"meansanindividualauthorizedbyaPartytoactonitsbehalf.e."ApplicableLaw"meansthelawsandregulationsof[Jurisdiction,e.g.,thePeople'sRepublicofChina]asamendedfromtimetotime.f."ForceMajeure"meansaneventbeyondthereasonablecontrolofaParty,includingbutnotlimitedtoactsofGod,war,terrorism,riots,civilcommotion,governmentaction,strikes,andpandemics.2.Thesingularincludestheplural,andthemasculineincludesthefeminine.GrantObjectivesandScope1.TheDonorherebyprovidesaDonationtotheRecipientforthepurposeofsupportingthe[Brieflydescribetheoverallgoal,e.g.,povertyreduction,environmentalprotection,educationimprovement]in[Specifyregion/country].2.ThespecificobjectivesandscopeoftheProjectsupportedbythisDonationareasdetailedinExhibitAattachedheretoandforminganintegralpartofthisAgreement.3.TheRecipientshallusetheDonationexclusivelyfortheProjectandinaccordancewiththeobjectivesandscopeoutlinedhereinandinExhibitA.GrantAmountandFundingSchedule1.ThetotalamountoftheDonationprovidedunderthisAgreementis[AmountinCurrency,e.g.,USDOneMillionTwoHundredFiftyThousand]([AmountinWords,e.g.,OneMillionTwoHundredFiftyThousandUnitedStatesDollars]).2.TheDonationconsistsof[Specifyfundingtype,e.g.,cashand/orin-kindcontributions,detailingifapplicable].3.TheDonationshallbedisbursedtotheRecipientinthefollowinginstallments:a.Aninitialinstallmentof[Amount]shallbereleasedupontheRecipient'ssubmissionofavalidLetterofAcceptanceandtheDonor'sreceiptoftheRecipient'sbankdetails,providedthatthisAgreementhasbeenfullyexecuted.b.Subsequentinstallmentsof[Amount]eachshallbereleased[Specifyconditionsandtiming,e.g.,upontheDonor'sreceiptofsatisfactoryprogressreportsandfinancialstatementsforthepriorinstallmentandverificationofcontinuedcompliancewiththisAgreement].4.Eachinstallmentshallbereleasedwithin[Number,e.g.,thirty(30)]daysfromthedatetheDonorreceivesallrequireddocumentationconfirmingtheconditionsforreleasehavebeenmet.UseofFunds/Assets1.TheRecipientshallusetheDonationexclusivelyfortheProjectpurposesasdetailedinExhibitA.TheRecipientshallnotassign,transfer,orpledgeanypartoftheDonation.2.TheRecipientshallusethefunds/assetsforthefollowingspecificpurposeswithrecommendedallocations[Detailpercentageoramountforkeycategories,e.g.,60%forprogramactivities,30%forprojectmanagement,10%formonitoringandevaluation],orasotherwisedetailedinExhibitA.3.TheRecipientshallmaintaindetailedrecordsofallexpendituresandshallprovidetheDonorwithaccesstotheserecordsforauditpurposesasspecifiedinSection11.4.TheRecipientagreesnottousetheDonationforanypurposeotherthantheProject,includingbutnotlimitedtopoliticalcampaigning,religiousactivitiesunrelatedtotheProject,oranyspeculativeinvestments.ProjectImplementationandManagement1.TheRecipientshallberesponsiblefortheoverallimplementationoftheProjectaccordingtotheProjectPlansetforthinExhibitA.2.TheRecipientshalldesignateaProjectManagerwhoshallbetheprimarypointofcontactfortheDonorandshallhavetheauthoritytomanageProjectactivitiesrelatedtothisDonation.3.TheRecipientshallsubmitprogressreportstotheDonoratintervalsof[Number,e.g.,everythree(3)]months,detailingadvancementsagainsttheProjectPlan,financialexpenditures,andanysignificantchallengesencountered.4.TheDonorshallhavetherighttoconductreasonablesitevisitsandmeetingswiththeRecipient'spersonneltomonitortheProject'simplementation.TheRecipientshallfacilitatesuchvisitsatitsowncost.ReportingRequirements1.TheRecipientshallprepareandsubmitthefollowingreportstotheDonor:a.InitialReport:Within[Number,e.g.,thirty(30)]daysofreceivingthefirstinstallment.b.QuarterlyProgressReports:Bythe[Number,e.g.,15th]dayofthemonthfollowingtheendofeachquarter.c.AnnualFinancialReport:Within[Number,e.g.,six(6)]monthsaftertheendoftheProjectperiod.d.FinalReport:Within[Number,e.g.,thirty(30)]daysafterthecompletionoftheProject.2.EachreportshallbeinEnglish/[SpecifyLanguage]andshallinclude,butnotbelimitedto,theinformationspecifiedinExhibitB.3.Reportsshallbesubmittedelectronicallyto[Donor'sEmailAddress]andahardcopyshallbeprovideduponrequest.FinancialAdministrationandAuditing1.TheRecipientshallmaintainitsaccountsinaccordancewith[SpecifyAccountingStandard,e.g.,InternationalFinancialReportingStandards(IFRS)orGenerallyAcceptedAccountingPrinciples(GAAP)inthejurisdictionoftheRecipient].2.TheRecipientshallhaveitsfinancialstatementsauditedannuallybyanindependentregisteredauditor.AcopyoftheauditreportshallbesubmittedtotheDonorwiththeannualfinancialreport.3.TheDonor,oritsdesignatedindependentauditor,shallhavetherighttoconductperiodicorspecialauditsoftheRecipient'saccountsandrecordsrelatedtotheDonationattheRecipient'spremisestoensurecompliancewiththisAgreementandproperuseoffunds.ThecostsofsuchauditsshallbebornebytheRecipientunlesstheauditisrequestedduetotheRecipient'sfailuretocomplywithreportingrequirements.TermandRenewal1.ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforaperiodof[Number,e.g.,three(3)]years,oruntilthecompletionoftheProject,whicheveroccursfirst.2.EitherPartymayproposeanextensionoftheAgreementterm.Ifanextensionisagreedupon,itshallbeformalizedbyaseparatewrittenamendmentsignedbyauthorizedRepresentativesofbothParties.Theextensionshallnotexceed[Number,e.g.,two(2)]yearsbeyondtheoriginalexpirationdate.Confidentiality1.EachPartyacknowledgesthatduringthetermofthisAgreementandforaperiodof[Number,e.g.,five(5)]yearsthereafter,itmayacquireconfidentialinformationfromtheotherParty("ConfidentialInformation").2.EachPartyagreestoholdtheConfidentialInformationinstrictconfidenceandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaw,regulation,orcourtorder,ortoitsemployees,consultants,orlegaladvisorswhoneedtoknowsuchinformationfortheperformanceofthisAgreementandwhoareboundbyconfidentialityobligations.3.Theobligationsofconfidentialityshallnotapplytoinformationwhich:(a)waspubliclyknownandmadegenerallyavailableinthepublicdomainpriortothetimeofdisclosurebytheDisclosingParty;(b)becomespubliclyknownandmadegenerallyavailableafterdisclosurebytheDisclosingPartytotheReceivingPartythroughnoactionorinactionoftheDisclosingParty;(c)wasalreadyinthepossessionoftheReceivingPartyatthetimeofdisclosure;or(d)isindependentlydevelopedbytheReceivingPartywithoutuseoforreferencetotheDisclosingParty'sConfidentialInformation.IntellectualPropertyRights1.Allintellectualpropertyrights,includingbutnotlimitedtocopyright,patent,trademark,andtradesecretrights,inanymaterialscreatedordevelopedbytheRecipientoritsagentsinconnectionwiththeProjectshallbethepropertyoftheRecipient.2.TheDonorshallhavetherighttouse,reproduce,anddistributeanyreports,publications,orothermaterialsproducedbytheRecipientunderthisAgreementforthepurposeofpromotingtheProjectandtheDonor'scontributions,providedthatsuchusedoesnotinfringeuponanythird-partyintellectualpropertyrightsandthatappropriateacknowledgementisgiventotheRecipient.3.IftheRecipientutilizesanyintellectualpropertydevelopedbytheDonororprovidedbythirdparties,theRecipientshallcomplywithallapplicablelicensingtermsandconditionsandshallinformtheDonorinadvance.DisputeResolution1.Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtoberesolvedamicablythroughgoodfaithnegotiationsbetweenauthorizedRepresentativesoftheParties.2.Ifthedisputecannotbesettledthroughnegotiationwithin[Number,e.g.,thirty(30)]daysfromthedateeitherPartyproposesnegotiation,thedisputeshallbesubmittedtothe[SpecifyArbitrationInstitution,e.g.,InternationalChamberofCommerce(ICC)ArbitrationCourt]forarbitration.3.Thearbitrationshallbeconductedin[SpecifyCity,e.g.,Beijing],China,inaccordancewiththeRulesofArbitrationofthe[SpecifyArbitrationInstitution]ineffectatthetimeofthesubmission.The仲裁languageshallbeEnglish.4.ThedecisionofthearbitraltribunalshallbefinalandbindinguponbothParties.ThecostsofarbitrationshallbesharedequallybythePartiesunlessthearbitraltribunaldeterminesotherwise.ForceMajeure1.NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyForceMajeure.2.ThePartyaffectedbyForceMajeureshallpromptlynotifytheotherPartyinwritingoftheoccurrenceofsuchevent,providingdetailsandexpectedduration.3.ThePartyshallusereasonableeffortstomitigatetheeffectsofForceMajeure.TheAgreementmaybesuspendedorterminatedbyeitherPartyuponwrittennoticeiftheForceMajeurecircumstancescontinueforaperiodof[Number,e.g.,ninety(90)]consecutivedays.4.NoPartyshallbeliableforanylosses,damages,orclaimsarisingdirectlyorindirectlyfromtheoccurrenceofForceMajeure.ApplicableLawandJurisdiction1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.2.AnylegalactionorproceedingarisingoutoforrelatedtothisAgreementshallbeinstitutedexclusivelyinthecourtsofthePeople'sRepublicofChinalocatedin[SpecifyCity,e.g.,Beijing].ThePartiesherebyirrevocablysubmittotheexclusivejurisdictionofsuchcourts.AmendmentsandModifications1.Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessmadeinwritingandsignedbyauthorizedRepresentativesofbothParties.2.AllamendmentsandmodificationsshallbecomepartofthisAgreementandshallsupersedetheoriginalprovisionstotheextentoftheinconsistency.GoverningDocumentsThisAgreement,includingExhibitAandExhibitB,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetheroralorwritten.NoticesAllnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygiven:a.Whendeliveredpersonally;b.Uponconfirmationofreceiptwhensentbyemail(providedtheemailshowssuccessfuldelivery);orc.One(1)businessdayafterdepositwithanationallyrecognizedovernightcourierserviceormailregisteredorcertified,returnreceiptrequested,postageprepaid.EntireAgreementThisAgreement,includingitsattachments,constitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.SeverabilityIfanyprovisionofthisAgreementisheldbyacourtofcompetentjurisdictiontobeinvalid,illegal,orunenforceableforanyreason,suchprovisionshallbeeliminatedorlimitedtotheminimumextentsuchthattheremainingprovisionsoftheAgreementwillcontinueinfullforceandeffect.AssignmentTheRecipientmaynotassignortransferanyrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheDonor.TheDonormayassignitsrightsunderthisAgreementwithouttheRecipient'sconsent,providedtheDonorprovides
