2025年化妝品原料出口貿(mào)易合同范本ThisContractismadeandenteredintoon[Date],in[Place],byandbetween:Seller:[Seller'sCompanyName],havingitsregisteredofficeat[Seller'sAddress],representedby[Seller'sLegalRepresentativeName],[Title](hereinafterreferredtoas"Seller");Buyer:[Buyer'sCompanyName],havingitsregisteredofficeat[Buyer'sAddress],representedby[Buyer'sLegalRepresentativeName],[Title](hereinafterreferredtoas"Buyer").(Hereinaftercollectivelyreferredtoasthe"Parties")Whereas,Sellerdesirestosellanddeliver,andBuyerdesirestobuyandreceive,thefollowingcommodity(hereinafterreferredtoas"Goods"):1.DescriptionofGoodsTheGoodsareButyrospermumParkii(Shea)Butter,CAS8001-34-3,withthefollowingspecifications:-Purity:≥99%-ActiveIngredientContent:Asperanalysisreport-MoistureContent:≤3%-AcidValue:≤4mgKOH/g-PeroxideValue:≤20meq/kg-HeavyMetals(Lead):≤10ppm-HeavyMetals(Arsenic):≤2ppm-MicrobiologicalLimits:ComplywithISO17512:2015-Packaging:25kgnetweightinfood-gradeHDPEdrumslinedwithaluminumfoilbagsThequantityoftheGoodsis10metrictons(MT),withapermissibletoleranceof+/-3%ontheGrossWeight.2.PriceTermsTheunitpriceoftheGoodsisUSD[Amount]perkg,netweight.ThetotalpriceoftheGoodsisUSD[TotalAmount],inclusiveofallcostsincurredbytheSelleruptotheportofshipment(Incoterms?FCA[PortofShipment]exworks).3.PaymentTermsPaymentshallbemadeby100%irrevocableLetterofCredit(L/C)payableatsight,openingwith[IssuingBankName],tobeconfirmedby[ConfirmingBankName,ifapplicable].TheL/Cmustbeavailablefornegotiationatleast15daysbeforethescheduledtimeofshipment.TheL/Cnumberis[L/CNumber]andexpirydateis[L/CExpiryDate].AllbankchargesoutsidetheSeller'scountryshallbebornebytheBuyer.TheBuyershallpay30%ofthetotalcontractvalueasadvancepaymentbyT/TtotheSeller'sbankaccount[Seller'sBankAccount]within10daysafterthesigningofthisContract.Theremaining70%shallbepaidbeforetheGoodsareshipped,upontheSeller'spresentationofthefollowingdocumentsthroughL/C:oneoriginalcleanonboardBillofLadingconsignedtotheorderof[Seller'sCompanyName],oneoriginalcommercialinvoiceintriplicate,oneoriginalpackinglistintriplicate,oneoriginalCertificateofAnalysisissuedbyamutuallyrecognizedindependentlaboratory,andoneoriginalCertificateofOrigin.4.ShipmentandTransportationTheGoodsshallbeshippedfrom[PortofShipment]to[PortofDestination]duringtheperiodfrom[StartDate]to[EndDate].TheSellershallarrangeforthecarriageoftheGoodsbyseainsuitablevessels.Thecarriershallbe[CarrierName,ifpre-agreed].TheSellershallissueoneoriginalcleanonboardBillofLadingcoveringtheGoodsconsignedtotheorderof[Seller'sCompanyName],marked"FCA[PortofShipment]exworks".Allfreight,demurrage,andpilotagechargesincurredaftertheGoods'loadingshallbebornebytheBuyer.TheSellershallnotifytheBuyeroftheBillofLadingnumberandshipmentdetailsbyemailwithin3daysaftershipment.TheriskoflossordamagetotheGoodsshallpassfromtheSellertotheBuyerwhentheGoodsaredeliveredtothecarrierattheportofshipmentunderFCAterms.5.QualityGuaranteeandInspectionTheGoodsshallbeofgoodqualityandconformtothespecificationsstipulatedinthisContract.ACertificateofAnalysisissuedbyamutuallyagreedindependentlaboratoryshallbeattachedasanappendixtothisContract.TheinspectionshallbeconductedattheSeller'spremisesbeforeshipment.ThecostsofinspectionshallbebornebytheBuyer.IftheresultsoftheinspectionconfirmthattheGoodscomplywiththeContract,theBuyershallpaythebalanceofthepaymentasstipulatedinClause3.IftheresultsshowanydiscrepancywiththeContractspecifications,theSellershall,atitsownexpense,makenecessaryreplacementsoradjustmentstoensuretheGoodsconformtotheContractwithinareasonableperiod.6.Marking,PackagingandLabelingTheGoodsshallbepackedin25kgnetweightfood-gradeHDPEdrums,eachdrumlinedwithanaluminumfoilbagcontainingoneportionoftheGoods.Thedrumsshallbeproperlymarkedwiththefollowingmarksandlegends:consignee'snameandaddress,shipper'snameandaddress,portofshipment,portofdestination,packagenumber,netweight,grossweight,"Fragile-HandlewithCare","KeepAwayfromHeat","ButyrospermumParkii(Shea)Butter",CAS8001-34-3,batchnumber[BatchNo.],productiondate[ProductionDate],expirydate[ExpiryDate],countryoforigin(China),andthemanufacturer'snameandaddress.Thelabelingshallcomplywithallapplicablelawsandregulationsoftheimportingcountry.7.PackingListandProformaInvoiceTheSellershallprovidetheBuyerwithadetailedPackingListandaProformaInvoicecoveringthefullContractvalueatleast30daysbeforethescheduledtimeofshipment.8.ForceMajeureIfeitherPartyisunabletoperformitsobligationsunderthisContractduetoforcemajeurecausesbeyonditsreasonablecontrol,suchaswar,earthquake,flood,fire,epidemic,oractsofgovernment,theaffectedPartyshallpromptlynotifytheotherPartyinwritingandproviderelevantproof.TheperformanceoftheContractshallbesuspendedduringtheforcemajeureperiod.TheaffectedPartyshallnotbeliableforanyfailuretoperformitsobligationscausedbyforcemajeure.TheContractshallautomaticallyterminateiftheforcemajeurecircumstancescontinueformorethan90days.9.GoverningLawandDisputeResolutionThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.AnydisputearisingoutoforinconnectionwiththisContractshallfirstbesettledthroughfriendlynegotiationbetweentheParties.Ifthedisputecannotbesettledthroughnegotiationwithin30days,itshallbesubmittedtothe[SpecifyArbitrationInstitution,e.g.,ChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)]forarbitrationaccordingtothearbitrationrulesofthe[SpecifyArbitrationInstitution].The仲裁awardshallbefinalandbindinguponbothParties.The仲裁costsshallbebornebythelosingParty.10.NoticesAllnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredpost,courier,oremailtotheaddressessetforthinClause1ortosuchotheraddressaseitherPartymaydesignateinwriting.11.AmendmentsAnyamendmentormodificationtothisContractshallbevalidonlyifitismadeinwritingandsignedbyauthorizedrepresentativesofbothParties.12.EntireAgreementThisContract,includingitsAppendices,constitutestheentireagreementbetweenthePartiesconcerningthesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,betweentheParties.13.SuccessorsandAssi
