工業(yè)互聯(lián)網(wǎng)平臺接入?yún)f(xié)議（2025年智能）PartiesThisAgreementisenteredintoandmadeeffectiveasof[EffectiveDate],byandbetween[PlatformProviderCompanyName],withitsprincipalplaceofbusinessat[PlatformProviderAddress](hereinafterreferredtoasthe"PlatformProvider"),and[SubscriberCompanyName],withitsprincipalplaceofbusinessat[SubscriberAddress](hereinafterreferredtoasthe"Subscriber").DefinitionsandInterpretationsForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:1."IndustrialInternetPlatform"(hereinafterreferredtoas"Platform")meansthesoftwareandhardwaresystemprovidedbythePlatformProvider,includingbutnotlimitedtothecloudinfrastructure,applicationinterfaces,datamanagementsystems,analyticalengines,andothercomponentsthatenabletheconnection,collection,processing,analysis,andapplicationofindustrialdataforintelligentmanufacturingandindustrialoperations.2."IntelligentDevice"meansanyequipment,machine,sensor,orsystemcapableofgenerating,collecting,ortransmittingdata,andwhichiscapableofconnectingtoandinteractingwiththePlatform.3."Data"meansanyinformation,regardlessoftheformormediuminwhichitiscreated,generated,sent,received,stored,orprocessed,includingbutnotlimitedtooperationaldata,productiondata,equipmentstatusdata,qualitycontroldata,maintenancerecords,andotherrelevantinformationgeneratedorcollectedbyIntelligentDevicesorthroughtheuseofthePlatform.4."NetworkSecurity"meansthemeasurestakentoprotectthePlatformandconnectedsystemsfromunauthorizedaccess,use,disclosure,disruption,modification,ordestruction,includingphysicalsecurity,softwaresecurity,accesscontrols,encryption,intrusiondetection,andothersecurityprotocols.5."IntellectualPropertyRights"meansallrights,title,andinterestsinandtoanyintellectualproperty,includingbutnotlimitedtocopyrights,patents,trademarks,tradesecrets,andknow-how,relatedtothePlatformandtheservicesprovidedthereunder.6."ServiceLevelAgreement(SLA)"meansanyagreed-uponstandardsormetricsdefiningtheperformance,availability,andreliabilityofthePlatformservicesprovidedbythePlatformProvider.7."TechnicalSupport"meanstheassistanceprovidedbythePlatformProvidertotheSubscriberinconnectionwiththeinstallation,configuration,operation,andmaintenanceofthePlatformandrelatedservices.8."RecurringFee"meanstheperiodicpaymentmadebytheSubscribertothePlatformProviderforthecontinueduseofthePlatformservices.9."UsageFee"meansthepaymentmadebytheSubscribertothePlatformProviderbasedontheactualusageofthePlatformservices,suchasdatastoragevolume,datatransfervolume,orthenumberofIntelligentDevicesconnected.10."ConfidentialInformation"meansanynon-publicinformation,whethertangibleorintangible,disclosedbyonepartytotheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtotechnicalinformation,businessinformation,customerinformation,anddata,whetherinwritten,oral,orelectronicform.PlatformDescriptionandCapabilitiesThePlatformProvidershallprovidethePlatform,whichshallbecapableofsupportingtheconnection,collection,storage,processing,analysis,visualization,andapplicationofindustrialdatageneratedbyIntelligentDevices.ThePlatformshallincorporateadvancedtechnologies,includingbutnotlimitedtoartificialintelligence,machinelearning,edgecomputing,anddigitaltwinning,toenableintelligentmanufacturing,predictivemaintenance,qualitycontrol,andotherindustrialapplications.ThespecificfunctionsandcapabilitiesofthePlatformshallbedetailedinthePlatformDocumentationprovidedbythePlatformProvider.AccessandConnectivity1.TheSubscribershallbegrantedtherighttoaccessthePlatformthroughthemethodsandinterfacesprovidedbythePlatformProvider,includingbutnotlimitedtoApplicationProgrammingInterfaces(APIs),SoftwareDevelopmentKits(SDKs),anddevicegateways.2.TheSubscribershallberesponsibleforensuringthatitsIntelligentDevicesarecompatiblewiththePlatformandmeetthetechnicalrequirementsspecifiedbythePlatformProvider.3.ThePlatformProvidershallprovidedocumentationandtechnicalsupporttoassisttheSubscriberinestablishingandmaintainingconnectivitytothePlatform.4.TheconnectivitybetweentheSubscriber'sIntelligentDevicesandthePlatformshallbesubjecttothesecuritymeasuresandprotocolsestablishedbythePlatformProvider.DataProvisionandManagement1.TheSubscribershallhavetherightandobligationtoprovideDatatothePlatformforprocessingandanalysis.TheSubscribershallberesponsiblefortheaccuracy,completeness,andlegalityoftheDataitprovides.2.TheSubscribershallgrantthePlatformProvideranon-exclusive,royalty-free,worldwide,perpetual,irrevocable,andtransferablelicensetouse,copy,modify,adapt,distribute,perform,display,anddisclosetheDatasolelyforthepurposeofprovidingandoperatingthePlatformservicestotheSubscriber.3.ThePlatformProvidershallberesponsibleforthesecurestorage,processing,andmanagementoftheDataprovidedbytheSubscriber.ThePlatformProvidershallimplementappropriatetechnicalandorganizationalmeasurestoprotecttheDatafromunauthorizedaccess,loss,ordestruction.4.ThePlatformProvidershallcomplywithallapplicablelawsandregulationsregardingdataprivacyandprotection,includingbutnotlimitedtotheGeneralDataProtectionRegulation(GDPR)andtheCaliforniaConsumerPrivacyAct(CCPA).TheSubscribershallberesponsibleforensuringthatitsDataprocessingactivitiescomplywithapplicabledataprivacylaws.5.TheSubscribershallhavetherighttoaccess,modify,anddeleteitsDatastoredonthePlatform,subjecttothetermsandconditionsspecifiedbythePlatformProvider.6.ThePlatformProvidermayuseaggregatedandanonymizedDataforresearch,development,andimprovementofthePlatformservices.AggregatedandanonymizedDatashallnotidentifyanyindividualSubscriberorIntelligentDevice.UsageRightsandRestrictions1.TheSubscribershallbegrantedanon-exclusive,non-transferablelicensetousethePlatformservicesforitsinternalbusinesspurposes.2.TheSubscribershallnotusethePlatformservicesforanyillegal,fraudulent,harmful,orunethicalpurposes.3.TheSubscribershallnotattempttogainunauthorizedaccesstothePlatform,otherSubscriber'sdata,oranycomputersystem,orengageinanyactivitythatdisruptstheavailabilityoroperationofthePlatform.4.TheSubscribershallnotremove,modify,ordisableanyproprietarynoticesorlabelsonthePlatformorassociatedmaterials.5.TheIntellectualPropertyRightsinthePlatformandrelatedmaterialsshallremainthepropertyofthePlatformProvider.TheSubscriber'slicensetousethePlatformdoesnotincludeanyrightstothePlatformProvider'sIntellectualPropertyRights.ServiceLevelsandSupport1.ThePlatformProvidershallprovidethePlatformservicessubjecttothetermsandconditionsofthisAgreementandtheapplicableServiceLevelAgreement(SLA),ifany.TheSLAshallspecifytheServiceLeveltargets,suchasuptime,responsetime,andresolutiontime.2.ThePlatformProvidershallprovidetechnicalsupporttotheSubscribervia[specifysupportchannels,e.g.,email,phone,onlineportal].Theleveloftechnicalsupportshallbe[specifysupportlevel,e.g.,standard,premium].3.ThePlatformProvidershallprovide[specifytrainingservices,e.g.,onlinedocumentation,tutorials,webinars,on-sitetraining]toassisttheSubscriberinusingthePlatformserviceseffectively.FeesandPaymentTerms1.TheSubscribershallpaythePlatformProviderthefeesforthePlatformservicesasspecifiedinthisAgreement.Thefeesshallinclude,butnotlimitedto,RecurringFeesandUsageFees.2.TheRecurringFeeshallbe[specifyamountandpaymentfrequency,e.g.,$Xpermonth].3.TheUsageFeeshallbecalculatedbasedon[specifyusagemetrics,e.g.,datastoragevolume,datatransfervolume,numberofIntelligentDevices]andshallbebilled[specifybillingfrequency,e.g.,monthly].4.PaymentsshallbemadebytheSubscribertothePlatformProvideratthePlatformProvider'saddressspecifiedinthisAgreementwithin[specifypaymentterm,e.g.,30days]afterthedateoftheinvoice.5.ThePlatformProvidermayadjustthefeesforthePlatformservicesuponreasonablenoticetotheSubscriber,providedthattheadjustmentisbasedonchangesinthecostofprovidingtheservicesortheadditionofnewfeaturesorfunctionalities.SecurityandConfidentiality1.ThePlatformProvidershallimplementandmaintainreasonableNetworkSecuritymeasurestoprotectthePlatformandtheDatastoredthereon.ThePlatformProvidershallcomplywithallapplicablelawsandregulationsregardingnetworksecurity.2.TheSubscribershallimplementandmaintainreasonablesecuritymeasurestoprotectitsIntelligentDevicesandtheDataitgenerates.TheSubscribershallnotifythePlatformProviderimmediatelyofanysecuritybreachorsuspectedsecuritybreachaffectingthePlatformoritsData.3.BothpartiesshallkeepthetermsofthisAgreementandanyinformationdisclosedbytheotherpartyunderthisAgreementconfidential.EachpartyshallusetheConfidentialInformationoftheotherpartyonlyforthepurposesofthisAgreementandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaworasnecessarytoenforcethetermsofthisAgreement.TermandTermination1.ThisAgreementshallcommenceontheEffectiveDateandcontinueineffectfor[specifyterm,e.g.,oneyear]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.2.ThisAgreementshallautomaticallyrenewfor[specifyrenewalterm,e.g.,oneyear]unlesseitherpartyprovideswrittennoticeofitsintentionnottorenewatleast[specifynoticeperiod,e.g.,60days]beforetheendofthecurrentterm.3.EitherpartymayterminatethisAgreementatanytimebyprovidingwrittennoticetotheotherparty.Upontermination,theSubscribershallceaseusingthePlatformservicesandshallremoveallcopiesofthePlatformandrelatedmaterialsfromitspossessionorcontrol.4.NotwithstandingtheterminationofthisAgreement,theconfidentialityobligations,liabilityprovisions,andotherprovisionsthatbytheirnatureshouldsurviveterminationshallremainineffect.LiabilityandIndemnification1.ThePlatformProvidershallbeliabletotheSubscriberonlyfordirectdamagesarisingoutofthebreachofthisAgreement.ThePlatformProvidershallnotbeliabletotheSubscriberforanyindirect,consequential,special,orpunitivedamages.2.ThetotalliabilityofthePlatformProvidertotheSubscriberunderthisAgreementshallnotexceed[specifylimit,e.g.,thetotalamountoffeespaidbytheSubscribertothePlatformProviderunderthisAgreementduringtheprecedingtwelvemonths].3.TheSubscribershallindemnifyandholdharmlessthePlatformProviderfromandagainstanyclaims,losses,liabilities,damages,andexpensesarisingoutoforresultingfromtheSubscriber'sbreachofthisAgreementoritsuseofthePlatformservicesinviolationofthisAgreement.DisputeResolution1.Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallberesolvedby[specifydisputeresolutionmethod,e.g.,arbitration,litigation].2.Ifarbitrationisselected,thearbitrationshallbeconductedbefore[specifyarbitrationinstitution,e.g.,theInternationalChamberofCommerce(ICC)]inaccordancewiththe[specifyarbitrationrules,e.g.,ICCRulesofArbitration]andshallbeheldin[specifylocation]intheEnglishlanguage.3.Iflitigationisselected,thelitigationshallbebroughtinthecourtsof[specifyjurisdiction,e.g.,theStateofNewYork]andshallbegovernedbythelawsof[specifylaw,e.g.,theStateofNewYork].GoverningLawandJurisdiction1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[specifyjurisdiction,e.g.,theStateofNewYork],withoutregardtoitsconflictoflawprinciples.2.Thepartiesherebyirrevocablysubmittotheexclusivejurisdictionofthecourt
