2026年國際海運(yùn)貨運(yùn)代理協(xié)議ThisInternationalOceanFreightForwardingAgreement("Agreement")ismadeandenteredintoasof[EffectiveDate,e.g.,January1,2026],byandbetween:[Agent'sFullLegalName]havingitsprincipalplaceofbusinessat[Agent'sAddress]("Agent")and[Shipper'sFullLegalName]havingitsprincipalplaceofbusinessat[Shipper'sAddress]("Shipper")(Each,a"Party",andcollectively,the"Parties")RECITALSWHEREAS,theAgentisengagedinthebusinessofprovidingfreightforwardingservicesforthecarriageofgoodsbysea;andWHEREAS,theShipperdesirestoengagetheservicesoftheAgenttoarrangefortheinternationalcarriageofgoodsbysea;andWHEREAS,theAgentdesirestoaccepttheengagementoftheShippertoprovidetheservicesrequested;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thePartiesagreeasfollows:1.ServicesTheAgentshallprovidethefollowingservices("Services")totheShipperwithrespecttothecarriageofgoodsbysea(the"Goods")underthisAgreement(collectivelyreferredtoasthe"Engagement"):1.1Providemarketinformationandquotationsforoceanfreightservices.1.2UpontheShipper'sinstructionsandsubjecttotheShipper'sapprovalofthetermsandconditions,obtainbookingswithcarriers.1.3ProvidebookingconfirmationstotheShipper.1.4Prepareandsubmitshippingdocuments(including,butnotlimitedto,bookingnotes,shippingorders,andcommercialinvoices)upontheShipper'sinstructions.1.5IssueoceanbillsofladingorothertransportdocumentsasrequestedbytheShipper,subjecttotheShipper'sinstructionsandtheapplicablecarrier'srequirements.1.6AdvisetheShipperonrelevantchargesandobtaintheShipper'sauthorizationforpaymentofadditionalchargesimposedbycarriersorthirdparties.1.7FacilitatethepickupandhandlingofGoodsfromtheShipper'slocation(ifapplicable)subjecttotheShipper'sinstructionsandarrangements.1.8ProvidetrackinginformationregardingtheGoods'shipmentstatus.1.9AssisttheShipperinresolvingissuesarisingduringthetransportationprocessupontheShipper'srequest.2.AuthorityTheShipperherebygrantstotheAgenttheauthoritytoactontheShipper'sbehalfinperformingtheServicesunderthisAgreementwithinthescopeof[Specifythescopeofauthority,e.g.,"asexpresslyinstructedbytheShipper",or"totheextentrequiredtosecureabookingwithcarriersbasedontheShipper'sspecifications",or"limitedtotheauthoritysetforthintheattachedSchedule,ifany"].3.ChargesandPayment3.1TheShippershallpayallchargesincurredinconnectionwiththeEngagement,includingbutnotlimitedto,oceanfreight,demurrage,detention,storage,portcharges,terminalhandlingcharges,surcharges(asdefinedbythecarriers),inlandtransportationcosts,insurancepremium(ifarrangedbytheAgent),andtheAgent'scommissionasagreed.3.2Allchargesshallbecalculatedinaccordancewiththepublishedratesofthecarriersorotherapplicableratesasmutuallyagreedupon.3.3PaymentsshallbemadebytheShippertotheAgentin[Specifycurrency,e.g.,UnitedStatesDollars($)]within[Specifynumber,e.g.,thirty(30)]daysafterthedateoftheAgent'sinvoice,unlessotherwisespecifiedinwritingbytheAgent.3.4TheAgent'scommissionshallbe[Specifyamountorpercentage,e.g.,"5%oftheoceanfreightinvoicevalue",or"asspecifiedintheRateSheetattachedhereto",or"assetforthintheSchedule"].ThecommissionisdueuponreceiptofpaymentofthefreightandotherchargesbytheShipper.4.Shipper'sObligations4.1TheShipperrepresentsandwarrantsthatallinformationprovidedtotheAgentregardingtheGoods,includingbutnotlimitedtodescription,weight,dimensions,value,andmarks,isaccurate,complete,andtrue.4.2TheShippershallbesolelyresponsibleforallliabilities,damages,andclaimsarisingfromtheinaccuracies,deficiencies,orfalsificationsoftheinformationprovidedbytheShipper.4.3TheShippershallprovideallnecessarydocuments,includingbutnotlimitedtocommercialinvoices,packinglists,certificatesoforigin,andanyotherdocumentsrequiredbytheAgent,carriers,orcustomsauthorities,attheShipper'sexpense.4.4TheShippershallpromptlypayallchargesdueunderthisAgreement.4.5TheShippershallindemnifyandholdharmlesstheAgentfromandagainstanyandallclaims,losses,liabilities,damages,andexpensesarisingoutoforresultingfromtheShipper'sbreachofanyrepresentation,warranty,orobligationhereinorunderanydocumentssubmittedbytheShippertotheAgentorcarriers.5.Agent'sObligations5.1TheAgentshallusereasonablediligencetoarrangetransportationfortheGoodsasrequestedbytheShipper.5.2TheAgentshallpromptlyinformtheShipperofquotationsreceivedfromcarriersandshallsecurethebestavailabletermsconsistentwiththeShipper'sinstructions,providedtheShipper'sinstructionsarenotunreasonable.5.3TheAgentshallpromptlycommunicatebookingconfirmationsandanyrelevantnoticesfromcarriersorthirdpartiestotheShipper.5.4TheAgentshallprepareandsubmitshippingdocumentsasinstructedbytheShipper,ensuringtheyareinaccordancewiththecarrier'srequirementstothebestoftheAgent'sability.5.5TheAgentshallexercisereasonablecareinthehandlingandforwardingoftheGoodsanddocuments.5.6TheAgentshallkeeparecordofallcommunicationsanddocumentsrelatedtotheEngagement.6.Liability6.1TheAgent'sliabilitytotheShipperunderthisAgreementshallbe[Chooseone:e.g.,"limitedtothevalueoftheGoodsbeingcarried",or"limitedtothesumof[Amount][Currency]",or"limitedtotheactuallossincurred",or"inaccordancewiththetermsoftherelevantcarrier'sbilloflading",or"asprovidedbytheapplicableinternationalconventions,suchastheHague-VisbyRules,unlessotherwiseagreed"].6.2TheAgentshallnotbeliableforanylossordamagetotheGoodsunlesssuchlossordamageiscausedbytheAgent'swillfulmisconduct,grossnegligence,orbreachofthespecificinstructionsgivenbytheShipper.6.3TheAgentshallnotbeliableforanylossordamagearisingfromdelays,interruptions,orfailuresinthetransportationprocesscausedbyfactorsbeyondtheAgent'sreasonablecontrol,includingbutnotlimitedtoactsofGod,war,terrorism,strikes,civilcommotion,riots,actsofpublicauthorities,carrierdefaults,orshortagesofshippingspace.6.4TheAgentshallnotbeliableforanylossordamageoccasionedbytheuseofanyparticularcarrier,route,ormodeoftransportationunlessexpresslyagreedinwriting.6.5TheAgentshallnotbeliableforanylossordamagearisingfromtheinaccuracyorcompletenessofthedocumentssubmittedbytheShipper.6.6TheAgentshallbeentitledtoclaimfromtheShipperanyadditionalchargesrequiredbycarriersorthirdpartieswhichwerenotpreviouslyadvisedtotheShipperandforwhichtheShipperhasnotauthorizedpayment.7.Documents7.1AlldocumentspreparedorissuedbytheAgentunderthisAgreementshallbedeemedcorrectandtrueonlytotheextentthattheyarepreparedorissuedbasedontheinformationandinstructionsprovidedbytheShipper.7.2TheShippershallbefullyresponsibleforallconsequencesarisingfromtheerrorsoromissionsinthedocumentssubmittedbytheShipperorinstructionsgiventotheAgent.7.3Theissuance,signing,anddeliveryofoceanbillsofladingorothertransportdocumentsshallbesubjecttothetermsandconditionsstipulatedbythecarriersandtheShipper'sinstructions.8.ConfidentialityEachPartyagreestokeepconfidentialallconfidentialinformationdisclosedbytheotherPartyinconnectionwiththisAgreementandtheEngagement."ConfidentialInformation"meansanynon-publicinformation,whetheroralorwritten,concerningtheotherParty'sbusiness,affairs,clients,employees,orthisAgreement.EachPartyshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaworcourtorder,ortoitsemployees,agents,oradvisorswhohaveaneedtoknowsuchinformationforthepurposeoffulfillingtheirobligationsunderthisAgreement,providedsuchindividualsareboundbysimilarconfidentialityobligations.9.Indemnification9.1TheShippershallindemnifyandholdharmlesstheAgentfromandagainstallclaims,liabilities,damages,losses,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromanybreachoftheShipper'srepresentations,warranties,orobligationsunderthisAgreement.9.2TheAgentshallindemnifyandholdharmlesstheShipperfromandagainstallclaims,liabilities,damages,losses,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromanybreachoftheAgent'srepresentations,warranties,orobligationsunderthisAgreement,providedsuchbreachoccurredwithoutthefaultornegligenceoftheShipper.10.ForceMajeure10.1NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyForceMajeure."ForceMajeure"meansaneventorcircumstancebeyondthereasonablecontroloftheaffectedParty,including,butnotlimitedto,actsofGod,war,hostilities(whetherdeclaredornot),terrorism,riots,civilcommotion,strikes,lockouts,actsofgovernmentorpublicauthorities,火災(zāi),flood,earthquake,storm,epidemic,orothereventssimilarincharactertothosedescribedherein.10.2ThePartyaffectedbyForceMajeureshallpromptlynotifytheotherPartyinwritingoftheoccurrenceofsucheventandshalltakeallreasonablestepstomitigatetheeffectsthereof.TheAgreementshallbesuspendedduringtheperiodofForceMajeure.IftheForceMajeureconditioncontinuesforaperiodof[Specifynumber,e.g.,ninety(90)]days,eitherPartymayterminatethisAgreementbywrittennoticetotheotherPartywithoutfurtherliability.11.TermandTermination11.1ThisAgreementshallcommenceontheEffectiveDateandshallcontinueineffectfor[Specifyterm,e.g.,"one(1)year"]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreementorotherwiseterminateduponthemutualwrittenconsentoftheParties.11.2ThisAgreementmaybeterminatedbyeitherPartyupon[Specifynoticeperiod,e.g.,"sixty(60)days"]writtennoticetotheotherPartyiftheotherPartycommitsamaterialbreachofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.11.3UponterminationorexpirationofthisAgreement,thePartiesshallperformallobligationsincumbentuponthempursuantheretofortheremainderoftheperiodthenoutstanding.11.4TheterminationofthisAgreementshallnotreleaseanyPartyfromitsliabilityforanybreachofthisAgreementoccurringpriortotheeffectivedateoftermination.12.GoverningLawandJurisdiction12.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction,e.g.,"Singapore"],withoutregardtoitsconflictoflawsprinciples.12.2Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallbefinallysettledbyarbitrationadministeredbytheInternationalChamberofCommerce(ICC)inaccordancewiththeRulesofProcedureforArbitrationClausesandAdditionalRulesoftheICC,andheldin[SpecifyCity,e.g.,Singapore].Theseatofthearbitrationshallbe[SpecifyCity,e.g.,Singapore].The仲裁languageshallbe[SpecifyLanguage,e.g.,English].TheTribunalshallconsistof[Specifynumber,e.g.,"one(1)orthree(3)arbitrators"]appointedinaccordancewiththeICCRules.ThedecisionoftheTribunalshallbefinalandbindingontheParties.13.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,suchprovisionshallbeseveredfromthisAgreement,andtheremainingprovisionsshallcontinueinfullforceandeffectasiftheinvalid,illegal,orunenforceableprovisionhadneverbeenpartofthisAgreement.14.EntireAgreementThisAgreement,includinganyreferencedattachmentsorschedules(ifany),constitutestheentireagreementbetwee
