2025年碳捕集利用與封存協(xié)議PartiesThisCarbonDioxideCapture,Utilization,andStorageAgreement(the"Agreement")ismadeandenteredintoasof[EffectiveDate],byandbetween:[CapturePartyName],a[legalstructure]organizedandexistingunderthelawsof[State/CountryofCaptureParty],havingitsprincipalplaceofbusinessat[CapturePartyAddress]("CaptureParty"),and[Utilization/StoragePartyName],a[legalstructure]organizedandexistingunderthelawsof[State/CountryofUtilization/StorageParty],havingitsprincipalplaceofbusinessat[Utilization/StoragePartyAddress]("Utilization/StorageParty").BackgroundandPurposeWHEREAS,CapturePartyoperatesorhasunderconstructionafacility(the"CaptureFacility")capableofcapturingCarbonDioxide(CO2)from[describeemissionsourceorsourcecategory]("CapturedCO2");WHEREAS,Utilization/StoragePartyhasthecapabilityanddesiretoutilizeorstoreCO2capturedfromCaptureParty("CO2Delivery");WHEREAS,thePartieswishtoestablishaframeworkfortheCapturePartytocaptureCO2attheCaptureFacilityanddeliversuchCO2totheUtilization/StoragePartyforutilizationorstorageinaccordancewiththetermsandconditionsofthisAgreement;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thePartiesagreeasfollows:1.ScopeofWork1.1ThisAgreementshallgovernthecapture,delivery,utilization,and/orstorageofCO2betweentheParties.1.2ThescopeofworkunderthisAgreementshallinclude,butnotbelimitedto,thecaptureofCO2attheCaptureFacility,thetransportationofCO2fromtheCaptureFacilitytotheDeliveryPoint(asdefinedinSection4),andtheutilizationorstorageofCO2attheUtilization/StorageFacility(asdefinedinSection4)byUtilization/StorageParty.1.3ThespecificdetailsregardingtheCaptureFacility,transportationmethods(ifany),DeliveryPoint,andUtilization/StorageFacilityshallbefurtherdefinedinthisAgreementand/ortheattacheddocumentsreferencedherein.2.CarbonDioxideCapture2.1CapturePartyshalloperateandmaintaintheCaptureFacilityinamannerconsistentwiththedesignspecificationsandoperationalmanualsthereof,capturingCO2fromthedesignatedemissionsourcewithanefficiencyofatleast[percentage]%basedonfluegasflowrate.2.2TheCapturedCO2shallmeetthepuritystandardof[specifypuritylevel,e.g.,95%byvolumeCO2]asmeasuredattheDeliveryPoint.2.3CapturePartyshallprovideUtilization/StoragePartywithmonthlyreportsdetailingthequantityofCO2capturedandthepurityofsuchCO2,asmeasuredattheDeliveryPoint,using[describemeasurementmethodandequipment,e.g.,calibratedorificemetersandmassspectrometers].3.CarbonDioxideTransport3.1[Ifapplicable]TransportationofCO2shallbeperformedvia[describetransportmethod,e.g.,dedicatedpipelinesystemowned/operatedbyCaptureParty/Utilization/StorageParty/ThirdParty].Thepipelineshallhaveadesigncapacityof[volume]andshallbelocatedalongtheroutespecifiedinExhibitA.3.2CaptureParty/TransportOperatorshallberesponsiblefortheoperationandmaintenanceofthetransportationsystem,ensuringitsintegrityandreliabilityforCO2delivery.3.3CaptureParty/TransportOperatorshallmonitorthepipelinesystemforleaksorotherincidentsandshalltakeimmediatecorrectiveactions.Allcostsassociatedwiththetransportationshallbeborneby[specifyparty,e.g.,CapturePartyorincludedinCO2price].4.CarbonDioxideDeliveryandUtilization/Storage4.1DeliveryPoint:TheDeliveryPointshallbelocatedat[describelocation,e.g.,CO2receivingterminalofUtilization/StoragePartyfacility](the"DeliveryPoint").4.2Utilization:Utilization/StoragePartyshallutilizetheCO2deliveredattheDeliveryPointfor[describespecificutilizationprocess,e.g.,productionofmethanol,enhancedoilrecovery(EOR)].4.3Utilization/StoragePartyshallberesponsiblefortheoperationandmaintenanceofitsutilizationfacilitiesandshallensurethattheutilizationprocesscomplieswithallapplicableenvironmentalandsafetyregulations.4.4Storage:[Ifapplicable]StorageofCO2shallbeconductedatthesitespecifiedinExhibitB.Thestoragecapacityofthesiteisestimatedat[volume],andtheinjectionrateshallnotexceed[rate]peryear.Utilization/StoragePartyshallberesponsibleforobtainingandmaintainingallnecessarypermitsforCO2storageandshallconductongoingmonitoringandreportinginaccordancewiththetermsofsuchpermitsandregulatoryrequirements.5.PriceandCharges5.1CO2Price:CapturePartyshallchargeUtilization/StoragePartyapriceof[amountorspecifyformula,e.g.,$XXpermetrictonofCO2]("CO2Price")foreachmetrictonofCO2deliveredbyCapturePartytoUtilization/StoragePartyattheDeliveryPoint,asmeasuredandverifiedinaccordancewithSection4.5.2PriceAdjustment:TheCO2Priceshallbeadjustedeffective[dateoreventtrigger,e.g.,firstanniversaryofAgreement]every[period,e.g.,oneyear],basedonchangesinthe[specifyindex,e.g.,HenryHubNaturalGasPrice]adjustedby[percentage]%.5.3OtherCharges:Utilization/StoragePartyshallpayCaptureParty[amountordescription]fortransportationcosts[orspecifywhobearstransportationcosts,e.g.,includedinCO2price].Utilization/StoragePartyshallalsobearallcostsassociatedwiththeutilizationorstorageofCO2,includingbutnotlimitedtomonitoring,reporting,andregulatorycompliancecosts.6.PaymentTerms6.1PaymentPeriod:PaymentsforCO2shallbedueandpayablemonthlyinarrears.EachpaymentshallcoverCO2deliveredduringtheprecedingcalendarmonth.6.2PaymentCondition:EachpaymentshallbeconditionaluponCapturePartyprovidingUtilization/StoragePartywithavalidinvoicedetailingthequantityofCO2delivered,themeasuredpurity,andtheapplicableCO2Pricefortheprecedingmonth,alongwithallrequiredsupportingdocumentation.6.3PaymentMethod:PaymentsshallbemadebyUtilization/StoragePartytoCapturePartywithin[number,e.g.,30]daysaftertheendoftherelevantmonth,by[paymentmethod,e.g.,wiretransfer]tothebankaccountofCapturePartyspecifiedontheinvoice.6.4LatePaymentInterest:IfanypaymentisnotreceivedbyCapturePartywithinthepaymentperiodspecifiedinSection6.3,Utilization/StoragePartyshallpayinterestontheoverdueamountatarateof[rate,e.g.,primerateplusonepercentagepoint]perannum,calculateddailyfromtheduedateuntilthedateofpayment.7.TermandTermination7.1Term:ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforatermof[number]years("InitialTerm"),unlessterminatedearlierinaccordancewithSection7.4.TheInitialTermmaybeextendedby[number]yearperiods("ExtensionPeriods"),subjecttotheprovisionsofSection7.4.7.2TerminationforCause:ThisAgreementmaybeterminatedbyeitherPartyupon[number,e.g.,thirty(30)]days'writtennoticetotheotherPartyiftheotherPartycommitsanymaterialbreachofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.7.3TerminationforConvenience:EitherPartymayterminatethisAgreementatanytimeupon[number,e.g.,sixty(60)]days'writtennoticetotheotherPartywithoutcause.7.4TerminationConsequences:UponterminationorexpirationofthisAgreement,Utilization/StoragePartyshallpayCapturePartyforallCO2deliveredandforwhichpaymenthasnotbeenmade.EitherPartyshallhavetherighttorequiretheotherPartytoreturnordestroyanyCO2remainingattheDeliveryPointorwithinUtilization/StorageParty'sfacilities,atthereceivingParty'sexpense.[Specifyhandlingofequipmentandpermits].8.Legal,Compliance,andRegulatory8.1ApplicableLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State]withoutregardtoitsconflictoflawsprinciples.8.2Compliance:EachPartyagreestocomplywithallapplicablefederal,state,andlocallaws,regulations,andpermitsrelatedtothecapture,transportation,utilization,and/orstorageofCO2.CapturePartyshallberesponsibleforobtainingandmaintainingallnecessarypermitsforcapturingCO2attheCaptureFacility,andUtilization/StoragePartyshallberesponsibleforobtainingandmaintainingallnecessarypermitsforutilizingorstoringCO2atitsfacilities.8.3RegulatoryChanges:EachPartyshallnotifytheotherPartyofanymaterialchangesinapplicablelawsorregulationsthatcouldaffecttheperformanceofthisAgreement.ThePartiesshallusereasonableeffortstomodifythisAgreementtoaccommodatesuchchanges,iffeasible.9.Environmental,Social,andGovernance(ESG)9.1EnvironmentalResponsibility:CapturePartyshallcomplywithallenvironmentalregulationsrelatedtoCO2captureandshallimplementreasonablemeasurestomonitorandpreventuncontrolledreleasesofCO2orotherpollutants.Utilization/StoragePartyshallcomplywithallenvironmentalregulationsrelatedtoCO2utilizationand/orstorageandshallconductongoingmonitoringandreportingtoensurecompliance.9.2SocialResponsibility:EachPartyshallactresponsiblyregardingthesocialimpactoftheactivitiesundertakenunderthisAgreementandshallendeavortocooperatewithlocalcommunities.9.3Governance:AJointSteeringCommitteeshallbeestablishedcomprising[number]representativesfromeachParty,whoseroleshallbetocoordinatetheperformanceofthisAgreement,resolveanydisputesorissuesthatarise,andmakerecommendationstothePartiesregardingoperationalmatters.10.IntellectualProperty10.1EachPartyretainsallright,title,andinterestinandtoitsownintellectualpropertyexistingpriortotheexecutionofthisAgreement.10.2[Ifapplicable]AnyintellectualpropertydevelopedjointlybythePartiesduringthetermofthisAgreementshallbeownedequallybytheParties.ThePartiesshallagreeinwritingonanyfurtherlicensingorcommercializationofsuchjointlydevelopedintellectualproperty.11.Confidentiality11.1EachParty("DisclosingParty")agreestoholdinstrictconfidenceallnon-publicinformationdisclosedtotheotherParty("ReceivingParty")inconnectionwiththisAgreement,includingbutnotlimitedtotechnicaldata,commercialinformation,andoperationaldetails.11.2TheReceivingPartyshallusethedisclosedinformationonlyforthepurposeoffulfillingitsobligationsunderthisAgreementandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty.11.3TheconfidentialityobligationsunderthisSection11shallsurvivetheterminationorexpirationofthisAgreementforaperiodof[number,e.g.,five(5)]yearsafterthedateofterminationorexpiration.12.Liability,Indemnification,andInsurance12.1LimitationofLiability:Exceptasexpresslyprovidedherein,neitherPartyshallbeliabletotheotherPartyforanyindirect,incidental,consequential,special,orpunitivedamagesarisingoutoforinconnectionwiththisAgreement.12.2CaptureParty'sIndemnification:CapturePartyshallindemnifyandholdharmlessUtilization/StoragePartyfromandagainstanylosses,damages,claims,orliabilitiesarisingfromthecapture,transportation(ifapplicable),anddeliveryofCO2thatisattributabletoanybreachbyCapturePartyofthisAgreementoranythird-partyclaimsrelatedtothequalityorsafetyoftheCO2capturedattheCaptureFacility.12.3Utilization/StorageParty'sIndemnification:Utilization/StoragePartyshallindemnifyandholdharmlessCapturePartyfromandagainstanylosses,damages,claims,orliabilitiesarisingfromtheutilizationorstorageofCO2thatisattributabletoanybreachbyUtilization/StoragePartyofthisAgreementoranythird-partyclaimsrelatedtothehandling,utilization,orstorageofCO2attheUtilization/StorageFacility.12.4Insurance:EachPartyshallmaintain,duringthetermofthisAgreement,adequateinsurancecoverage,asdeterminedbytheotherPartyinwriting,includingbutnotlimitedtoliabilityinsurancecoveringenvironmentaldamageandthird-partyclaimsrelatedtoCO2capture,transportation,utilization,and/orstorage.EachPartyshallprovidetheotherPartywithproofofsuchinsurancecoverageuponrequest.13.RiskAllocation13.1ThePartiesrecognizethatsignificantrisksareassociatedwithCCUSprojects,includingtechnologicalrisks,marketrisks,andenvironmentalrisks.ThePartieshaveattemptedtoallocaterisksinthisAgreementinacommerciallyreasonablemanner,butunforeseenrisksmayarise.13.2EachPartyshallbearitsowncostsinrelationtoitsownactivitiesandoperationsunderthisAgreement.ThespecificriskallocationrelatedtoCO2capture,transportation,utilization,and/orstorageshallbegovernedbythetermsofthisAgreement,includingbutnotlimitedtoSections2,3,4,5,8,9,12,and13.14.DisputeResolution14.1Negotiation:ThePartiesagreetofirstattempttoresolveanydisputesordisagreementsarisingoutoforinconnectionwiththisAgreementthroughgoodfaithnegotiationsbetweenauthorizedrepresentativesoftheParties.14.2Arbitration:IfthePartiesareunabletoresolveadisputethroughnegotiationwithin[number,e.g.,thirty(30)]days,thedisputeshallbesubmittedtoarbitrationadministeredbythe[specifyarbitrationinstitution,e.g.,AmericanArbitrationAssociation]("AAA")inaccordancewiththe[specifyarbitrationrules,e.g.,AAARulesofArbitration]("ArbitrationRules").Thearbitrationshallbeheldin[city,state/country]andshallbeconductedin[language,e.g.,English].The仲裁panelshallconsistof[number,e.g.,oneorthree]arbitrator(s)appointedinaccordancewiththeArbitrationRules.14.3Jurisdiction:Intheeventofanarbitration,thePartiesagreethatthecourtsoftheStateof[State]shallhavejurisdictiontoenforcetheawardrenderedbythearbitrator(s).15.GoverningLawandJurisdiction15.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State]withoutregardtoitsconflictoflawsprinciples.15.2ForpurposesofanylegalactionorproceedingarisingoutoforinconnectionwiththisAgreement,thePartiesagreethatthecourtsof[County]County,[State]State,andtheUnitedStatesDistrictCourtforthe[Northern/Middle/Federal]Districtof[State]shallhaveexclusivejurisdiction,andthatthePartiesherebyconsenttothepersonaljurisdictionandvenueinsuchcourts.16.EntireAgreement16.1ThisAgreement,includingtheexhibitsattachedhereto,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetheroralorwritten.17.AmendmentsandSupplements17.1Noamendment,modification,orsupplementtothisAgreementshallbeeffectiveunlessinwritingandsignedbyauthorizedrepresentativesofbothParties.18.Assignment18.1NeitherPartymayassignanyofitsrightsorobligationsunderthisAgreement,inwholeorinpart,toanythirdpartywithoutthepriorwrittenconsentoftheotherParty.Anyattemptedassignmentwithoutsuchconsentshallbenullandvoid.19.Severability19.1IfanyprovisionofthisAgreementisfoundbyacourtofcompetentjurisdictiontobeinvali
