2026年漁業(yè)船舶租賃服務(wù)協(xié)議范本英文版ThisAgreementismadeandenteredintoasof[StartDate],2026,byandbetween[LessorCompanyName],havingitsprincipalplaceofbusinessat[LessorAddress]("Lessor"),and[LesseeCompanyName],havingitsprincipalplaceofbusinessat[LesseeAddress]("Lessee").RecitalsWHEREAS,Lessorownsandpossessesafishingvessel(the"Vessel")suitableforcommercialfishingoperations;andWHEREAS,LesseedesirestoleasetheVesselfromLessorforaspecifiedperiodforthepurposeofconductingcommercialfishingactivities;andWHEREAS,thepartieswishtosetforththetermsandconditionsgoverningtheleaseoftheVessel.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesagreeasfollows:1.VesselDescription1.1.TheVesselbeingleasedisidentifiedasfollows:[VesselName],IMONumber[IMONumber],HullNumber[HullNumber],VesselIdentificationNumber[VIN],a[TypeofVessel,e.g.,freezertrawler]ofapproximately[Length]metersinlength,[Beam]metersinbeam,[Draft]metersindraft,havingaGrossTonnageof[GrossTonnage]andaNetTonnageof[NetTonnage],poweredby[EngineMakeandModel]engine(s)withatotaloutputofapproximately[PowerOutput]kilowatts,capableofcarryingacrewof[CrewSize]andequippedwith[Listkeyfishinggearandequipment,e.g.,sterntrawlinggear,fishholdrefrigerationunit,VHFcommunicationequipment,EPIRB,GPSnavigationsystem].1.2.TheVesseliscurrentlyingoodworkingorderandcondition,asmoreparticularlydescribedintheVesselConditionReportdated[DateofSurvey]preparedby[SurveyorNameor"theSurvey"],acopyofwhichisattachedheretoandincorporatedbyreferenceherein(the"Survey").TheVesselisvaluedat[AgreedValue,ifapplicable]asoftheCommencementDate.2.LeaseTermandCharterPartyType2.1.ThisLeaseshallcommenceon[StartDate,2026]andcontinueforaperiodof[LeaseDurationinmonthsoryears],subjecttothetermsandconditionssetforthherein(the"LeaseTerm").2.2.ThisLeaseshallbea[TimeCharter/BareboatCharter]underthetermsandconditionsof[Specifyrelevantcharterpartyinstituterules,e.g.,the1994RevisedF.I.R.A.TimeCharterPartyInstituteRulesorthe1982RevisedLloydsInstituteofLondonBareboatCharterPartyRules],asamendedbythe2026supplement(the"CharterPartyRules"),unlessotherwiseexplicitlystatedherein.2.3.TheVesselshallbeusedsolelyforthepurposeofcommercialfishingactivitiesinaccordancewithapplicablelaws,regulations,andfishingquotasinthe[Specifygeneralfishingareaorregions](the"IntendedUse").TheVesselshallnotbeusedforanypurposewhatsoeverotherthantheIntendedUsewithoutthepriorwrittenconsentofLessor,includingbutnotlimitedtotrading,transportation,research,oranyactivitythatisillegalorcontrarytotheVessel'sclassificationorcertificates.3.CharterHire3.1.InconsiderationfortheleaseoftheVessel,LesseeshallpaytoLessoracharterhire(the"CharterHire")of[Amount][Currency]per[Unit,e.g.,day,month],calculatedfromtheCommencementDateuntiltheEndDateinclusive.3.2.TheCharterHireshallbepaid[PaymentFrequency,e.g.,inadvanceonthefirstdayofeachmonth,inarrearsonthe[Number]thdayofthemonthfollowingtheendofeachmonth]by[PaymentMethod,e.g.,banktransfertoLessor'saccountdetails].3.3.AllpaymentsofCharterHireshallbedueandpayablefreefromset-off,counterclaim,oroffsetagainstanyotherclaimordemandwhatsoever.4.SecurityDeposit4.1.AspartialsecurityfortheperformancebyLesseeofitsobligationsunderthisLease,LesseeshalldepositwithLessor,asoftheCommencementDate,aSecurityDeposit(the"Deposit")intheamountof[Amount][Currency].4.2.TheDepositshallbeheldbyLessorwithoutinterestduringtheLeaseTermandshallbeappliedtowardsthesettlementofanyamountowedbyLesseetoLessorunderthisLease,includingbutnotlimitedtounpaidCharterHire,damagesforlossordamagetotheVessel,costsofrepairorreplacementofequipmentinstalledbyLessee,andexpensesincurredbyLessorinconnectionwiththerecoveryofanysuchamounts.4.3.SubjecttothetermsofthisSection4andSection9,theDepositshallbereleasedtoLesseewithin[Number,e.g.,30]daysaftertheVesselisreturnedtoLessorintheconditionrequiredunderSection9,providednosuchamountisdueorpayabletoLessorunderthisLease.5.Crew5.1.TheVesselshallbecrewedby[Number]officersand[Number]ratings.TheLessorshallprovidethecrewfreeofchargetoLessee,includingtheirwages,socialsecuritycontributions,livingaccommodation,food,andnecessarymedicalcareinaccordancewiththerequirementsofthe[Mentionrelevantflagstateorinternationalconventions,e.g.,SeafarersInternationalUnion(SIU)Agreement]andallapplicablelocallawsandregulationsregardingcrewingoffishingvessels.5.2.Lesseeshallberesponsibleforthecrew'sinstructionsregardingfishingoperations,navigation,andthegeneralconductoftheVesselwhileatsea.Lessorshallremainresponsibleforthefitnessofthecrewandtheircompliancewithsafetyandoperationalstandards.6.MaintenanceandRepairs6.1.LessorshallberesponsibleformaintainingtheVesselinasafeandseaworthyconditionatalltimes,inaccordancewiththestandardsexpectedforavesselofitstypeandage,andshallbearallcostsofsurvey,classification,andmaintenancerequiredtokeeptheVessellegallycompliantandoperationallyfit.6.2.LessorshallbesolelyresponsibleforallcostsincurredintherepairoftheVessel'shull,superstructure,mainengines,auxiliarymachinery,andnavigationandcommunicationequipment,providedsuchrepairsarenecessarytomaintaintheVesselinasafeandseaworthyconditionandarenotcausedbynegligence,abuse,orfailuretocomplywithoperatinginstructionsormaintenancerequirementsbyLesseeorthecrew.6.3.LesseeshallberesponsibleforthecostofrepairstoanyequipmentinstalledbyLesseeontheVessel,forthecostofrepairsarisingfromnormalwearandtear,forthecostofrepairsresultingfromthenegligenceofthecrewemployedbyLessee,andforthecostofrepairscausedbyanybreachofLessee'sobligationsunderthisLease.6.4.LessorshallberesponsibleforthecostofreplacinganysparepartsthatformanintegralpartoftheVessel'soriginalconstructionormainequipmentprovidedbyLessor,unlesssuchpartsarewornoutbynormaluseoraredestroyedbyperilsofthesea.7.Insurance7.1.LesseeshallberesponsibleforarrangingandpayingforallinsurancerequiredbylaworbytheVessel'sclassificationsociety,includingbutnotlimitedtoHullandMachineryinsurance(H&M),Cargoinsurance(ifapplicable),Liabilityinsurance(includingP&IandD&O),andWarRiskinsurance,asmayberequiredfromtimetotime.ThecoverageshallbeinthenameofbothLessorandLessee,covertheVesselgloballyinallfishingoperations,andmeettheminimumlimitsspecifiedintheSurvey.7.2.AllinsurancepoliciesshallbekeptinfullforceandeffectfortheentiredurationofthisLease.LesseeshallprovideLessorwithcertificatesofinsuranceevidencingsuchcoverageatleast[Number,e.g.,15]dayspriortotheexpirationofanypolicy,andshallfurnishLessorwithadditionalcertificatesasrequired.7.3.LesseeshallbesolelyresponsibleforallpremiumsandexpensesincurredinconnectionwiththeinsurancerequiredunderthisSection7.8.TitleandRegistration8.1.LessorrepresentsandwarrantsthatitisthelegalandbeneficialowneroftheVesselandthattheVesselisfreefromallencumbrances,liens,orclaims,exceptforthosewhicharedisclosedtoLesseeinwritingpriortotheCommencementDate.8.2.LessorshallprovideLesseewithalldocumentsnecessarytoregistertheVesselinthenameofLesseeorasrequiredbylaw,andshallbearallcostsassociatedwithsuchregistration.8.3.TheVesselshallremainregisteredunderLessor'snameduringtheLeaseTerm,unlesspriorwrittenconsentisobtainedfromLessor.9.DeliveryandReturnoftheVessel9.1.OntheCommencementDate,LessorshalldelivertheVesseltoLesseeat[DeliveryPort,AddressorCoordinates],intheconditiondescribedintheSurvey,fullyequippedwithallgearandequipmentlistedinSection1.1,andwithafullsupplyof[Specify,e.g.,fuel,ice,stores]sufficientforthefirst[Number,e.g.,7]daysofoperation.9.2.LessorshallprovideLesseewithallrelevantdocuments,includingbutnotlimitedtothecertificateoftitle,registrationdocuments,surveyreport,classificationcertificates,insurancedocuments,crewlists,andlogbooks.9.3.OntheterminationofthisLease,LesseeshallreturntheVesseltoLessorat[ReturnPort,AddressorCoordinates]inthesamecondition,includingfairwearandtear,inwhichitwasdelivered,togetherwithafullsupplyof[Specify,e.g.,fuel,ice,stores]attheexpenseofLessee.9.4.Priortofinalhandover,LessorshallhavetherighttocarryoutasurveyoftheVessel'scondition,includinganinventoryofstoresandequipment.TheVesselshallbedeemedtohavebeenreturnedintheconditionrequiredunderthisSection9.3unlessapre-agreedscheduleofdiscrepancies,damages,orshortagesisdocumentedbythesurveyorandagreeduponbybothparties.Lesseeshallbeliableforallcostsofrepair,rectification,orreplacementrelatedtosuchdiscrepancies,damages,orshortages,andshallpayLessoranyadditionalamountdueasaresultofsuchconditionuponreturn.10.AlterationsandImprovements10.1.ExceptwiththepriorwrittenconsentofLessor,Lesseeshallnotmakeanyalterations,additions,modifications,orimprovementstotheVessel,itshull,superstructure,mainengines,auxiliarymachinery,navigationorcommunicationequipment,oranypartthereof.AnysuchconsentshallbegrantedwithoutobligationonthepartofLessortoindemnifyLesseeortomakeanypaymentoradjustmentinrespectoftheVessel.10.2.Anyalterations,additions,modifications,orimprovementsmadebyLesseewithoutsuchconsentshallbethesoleresponsibilityofLessee,andLessorshallnotbeliableforanyloss,damage,orliabilityarisingfromsuchalterations.10.3.AttheendoftheLeaseTerm,LesseeshallrestoretheVessel,orsuchpartsthereofasareaffectedbyalterations,additions,modifications,orimprovementsmadebyLessee,totheiroriginalcondition,exceptforfairwearandtear,attheexpenseofLessee.Lessorshallhavetherighttoremoveanysuchalterations,additions,modifications,orimprovementsatLessee'sexpense.11.WarrantiesandIndemnities11.1.LessorwarrantsthatithasgoodandmarketabletitletotheVesselandthattheVesselislawfullyoperatedandequipped.11.2.LessorwarrantsthattheVesselisatthetimeofdeliveryfitfortheIntendedUseandwillremainsothroughouttheLeaseTerm.11.3.LesseeshallindemnifyandholdharmlessLessor,itsaffiliates,officers,directors,employees,andagentsfromandagainstalllosses,damages,liabilities,costs,andexpenses(includingreasonablelegalfees)incurredbyLessorarisingoutoforresultingfromanybreachofLessee'sobligationsunderthisLease,includingbutnotlimitedtonegligence,wilfulmisconduct,orviolationofanylaw,regulation,orordinance.12.GoverningLawandDisputeResolution12.1.ThisLeaseshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLawJurisdiction,e.g.,theEnglishLaw]withoutregardtoitsconflictoflawsprinciples.12.2.Anydispute,controversy,orclaimarisingoutoforrelatingtothisLease,includingitsbreach,termination,orinvalidity,shallbefinallysettledby[ArbitrationorLitigation:e.g.,arbitrationinaccordancewiththeRulesforArbitrationofthe[SpecifyArbitrationInstitute,e.g.,LondonMaritimeArbitratorsAssociation]administeredbythe[SpecifyInstitute,e.g.,LondonMaritimeArbitratorsAssociation]pursuanttothe[Year,e.g.,2010]Rules,orlitigationintheHighCourtofJusticeofEnglandandWalesat[City]].13.EntireAgreement13.1.ThisLeaseconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetheroralorwritten.13.2.Noamendment,modification,orwaiverofanyprovisionofthisLeaseshallbeeffectiveunlessinwritingandsignedbyauthorizedrepresentativesofbothparties.14.Notices14.1.Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisLeaseshallbeinwritingandshallbedeemedtohavebeendulygiven:(a)whendeliveredpersonally;(b)onebusinessdayafterdepositwithanationallyrecognizedovernightcourierservice;or(c)threebusinessdaysaftermailingbyregisteredorcertifiedmail,returnreceiptrequested,postageprepaid,totheaddressessetforthaboveortosuchotheraddressaseitherpartymaydesignateinwriting.15.ForceMajeure15.1.NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisLeaseifsuchfailureordelayiscausedbyaForceMajeureevent,definedasaneventbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,terrorism,riots,civilcommotion,strikes,lockouts,fire,flood,explosion,explosionofgas,explosionorburstingofboiler,breakdownofmachinery,failureofpublicutilities,andgovernmentalactionsorregulations,theoccurrenceofwhichcouldnothavebeenreasonablyforeseenorprevented.15.2.IfaForceMajeureeventpreventsapartyfromperformingitsobligations,suchpartyshallnotifytheotherpartyinwritingwithin[Number,e.g.,7]daysoftheoccurrenceoftheeventandshallusereasonableeffortstomitigatetheeffectsthereof.TheobligationsoftheaffectedpartyunderthisLeaseshallbesuspendedduringtheperiodoftheeventandforareasonableperiodthereaftertoenableittoovercometheeffectsthereof.16.Termination16.1.ThisLeasemaybeterminatedbyeitherpartyupon[Number,e.g.,30]days'writtennoticetotheotherpartyiftheotherpartycommitsamaterialbreachofanyprovisionofthisLeaseandfailstocuresuchbreachwithin[Number,e.g.,15]daysafterreceiptofwrittennoticefromthenon-breachingparty.16.2.IntheeventofterminationunderthisSection16.1,LesseeshallimmediatelyceasealloperationsandreturntheVesseltoLessorinaccordancewithSection9.3.AllpaymentsdueunderthisLeaseshallbecomeimmediatelypayableupontermination.16.3.ThisLeasemayalsobeterminatedimmediatelybyeitherpartyuponwrittennoticeifthe
