2026年農(nóng)業(yè)無(wú)人機(jī)采購(gòu)國(guó)際合同ThisInternationalContractismadeandenteredintoon[InsertDate],in[InsertCity],[InsertCountry],byandbetween:[Buyer'sFullLegalName][Buyer'sAddress][Buyer'sContactInformation][Buyer'sRepresentativeName,Title(ifapplicable)](Hereinafterreferredtoasthe"Buyer")And[Seller'sFullLegalName][Seller'sAddress][Seller'sContactInformation][Seller'sRepresentativeName,Title(ifapplicable)](Hereinafterreferredtoasthe"Seller")WHEREAS,theBuyerdesirestopurchaseandtheSellerdesirestosellAgriculturalDrones(hereinafterreferredtoasthe"Drones")foragriculturaluse,asmoreparticularlydescribedherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesheretoagreeasfollows:1.ProductsandQuantityTheSelleragreestosellandtheBuyeragreestopurchase[InsertNumber]unitsofAgriculturalDrones,specificallymodel[InsertDroneModelName/Number],configuration[InsertConfigurationDetails],asdescribedindetailinthetechnicalspecificationsprovidedbytheSellerandacceptedbytheBuyer.ThetechnicalspecificationsformanintegralpartofthisContract.2.PriceThepricefortheDronesshallbe[InsertCurrency][InsertAmount]perunit,totaling[InsertCurrency][InsertTotalAmount]for[InsertNumber]units.ThispriceexcludesexportdutiesortaxesincurredbytheSeller,importduties,taxes,andinsurancefeespayablebytheBuyer.AllpricesarequotedexclusiveofVATorsimilarindirecttaxes,unlessotherwisespecifiedinwritingbytheSeller.3.PaymentTermsThepurchasepriceshallbepaidbytheBuyertotheSellerin[InsertNumber,e.g.,two]equalinstallmentsuponthefollowingconditions:(a)Thefirstinstallmentof[InsertCurrency][InsertAmount](50%ofthetotalprice)shallbepaidbytheBuyertotheSelleruponsigningofthisContractandreceiptbytheSellerofaconfirmed,irrevocable,non-negotiableLetterofCredit(L/C)issuedby[InsertBankName,ifapplicable]infavoroftheSeller,payableatsight,coveringthefullamountofthisContract,subjecttothetermsandconditionsoftheUniformCustomsandPracticeforDocumentaryCredits(UCP600).(b)Thesecondinstallmentof[InsertCurrency][InsertAmount](50%ofthetotalprice)shallbepaidbytheBuyertotheSellerwithin[InsertNumber,e.g.,thirty]daysaftertheBuyerhasreceivedthefullshipmentandconfirmedreceiptoftheoriginalBillofLadingorAirWaybillissuedbythecarrier.Allpaymentsshallbemadewithoutdeduction,set-off,orcounterclaim.4.Delivery(a)Date:TheSellershalldelivertheDronestotheportof[InsertPortName,e.g.,Shanghai]inthePeople'sRepublicofChinawithin[InsertMonth,e.g.,June]2026,andtheBuyershalltakedeliverythereofwithin[InsertTimePeriod,e.g.,thirty]daysafterthegoodsaresoshipped.(b)Incoterms:ThesaleshallbegovernedbythetermsofIncoterms[InsertYear,e.g.,2020]rules,specificallyunderthe[InsertRule,e.g.,CIF]term.Thesellerisresponsibleforthecostofcarriage,insurance,anddeliveringthegoodsontothevessel/vessel'sholdattheportofshipment.RiskpassestotheBuyerwhenthegoodsareplacedonboardthevessel.TheSellershallprovidetheBuyerwithaclean,negotiableBillofLadingissuedtoorderindicatingtheportofloadingandtheportofdischarge[InsertPortName,e.g.,LosAngeles].(c)Insurance:TheSellershallprocuremarineinsurancecoveringAllRisksfor110%oftheinvoicevalueaspertheInstituteCargoClauses(A)(ICC(A))publishedbytheInstituteofInternationalChamberofCommerce(IICC),makinggoodanylossordamagetothegoodsduringthecarriage.TheSellershallprovidetheBuyerwithacopyoftheinsurancepolicyuponrequest.5.ExportandImportProceduresTheSellershallberesponsibleforall出口(export)formalities,includingobtaininganynecessaryexportlicensesandcertificates,andforthecostofpackingthegoodsinsuitablecontainerssuitableforlong-distanceseaorairtransportation,clearlymarkedandlabeledasrequiredbythecarrierandIncoterms[InsertYear]rules.TheBuyershallberesponsibleforallimportformalities,includingobtaininganynecessaryimportlicenses,payingallimportduties,taxes,andfeesintheBuyer'scountry.6.QualityandStandardsTheDronesshallbenew,unused,andofperfectworkmanshipandmaterial,conformingtothetechnicalspecificationsagreeduponandshallcomplywithallapplicableinternationalandnationalregulationsandcertificationsrequiredfortheiruseintheBuyer'scountry,includingbutnotlimitedto[Listrelevantcertifications,e.g.,CE,FAAPart107].TheSellershallprovidecertificatesofconformityorapprovalcopiesupondelivery.7.Inspection(a)TheSellershallconductpre-shipmentinspectionandprovideacertificateofinspectionconfirmingthatthegoodsconformtotheContractspecifications.(b)TheBuyershallhavetherighttoinspectthegoodsuponarrivalattheportofdestinationwithin[InsertNumber,e.g.,fifteen]daysafterarrival.IftheBuyerdetectsanydiscrepancybetweenthegoodsandtheContractwithinthisperiod,theBuyershallimmediatelynotifytheSellerinwriting,providingdetailedinformation,andtheSellershallhavetherighttoinvestigate.IfthediscrepanciesaretheSeller'sfault,theSellershallmakethenecessaryrectificationatitsownexpense.Iftheinspectionconfirmscompliance,thegoodsshallbedeemedtohavesatisfiedthequalityrequirements.8.WarrantyTheSellerwarrantsthattheDronesshallbefreefromdefectsinmaterialsandworkmanshipundernormaluseforaperiodof[InsertNumber,e.g.,twelve]monthsfromthedateofdeliverytotheBuyer,subjecttothetermsandconditionssetforthintheSeller'sstandardwarrantyagreement,whichisincorporatedbyreferenceintothisContract.TheSellershall,atitsownexpense,rectifyanydefectsfoundwithinthewarrantyperiod.TheBuyershallprovidepromptnoticeofanyallegeddefectstotheSeller.9.After-SalesServiceTheSellershallprovidetechnicalsupportandassistancetotheBuyervia[InsertMethod,e.g.,remoteassistance,phone]duringthewarrantyperiod.ChargesforanyservicesbeyondthewarrantyperiodshallbeattheSeller'sstandardrates,subjecttopriorwrittenagreementbytheBuyer.10.TitleThetitleandriskoflossoftheDronesshallpassfromtheSellertotheBuyerupondeliveryofthegoodsontothevesselattheportofshipment(asperCIFterms)oruponfullpaymentofthepurchasepricebytheBuyer(asperFOBterms,ifapplicable,orasotherwiseclearlydefinedbythechosenIncotermsrule).11.GoverningLawandDisputeResolutionThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthe[InsertJurisdiction,e.g.,People'sRepublicofChina].AnydisputearisingoutoforinconnectionwiththisContractshallfirstbeattemptedtobesettledamicablythroughnegotiationbetweentheparties.Ifthedisputecannotbesettledthroughnegotiationwithin[InsertNumber,e.g.,thirty]days,thedisputeshallbesubmittedtothe[InsertArbitrationInstitution,e.g.,InternationalChamberofCommerce(ICC)ofChina,CIETAC]forarbitration.The仲裁shallbeconductedin[InsertLanguage,e.g.,Chinese]inaccordancewiththearbitrationrulesofthe[InsertArbitrationInstitution]effectiveatthetimeofsubmission.Thearbitralawardshallbefinalandbindinguponbothpartiesandshallbeexecutedasifitwereafinaljudgmentofacourtofcompetentjurisdiction.12.NoticesAllnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredpost,airmailregistered,ortransmittedbycableortelex/telegram,addressedtothepartiesattheaddressessetforthaboveortosuchotheraddressoraddressesaseitherpartymaydesignateinwriting.13.AmendmentandWaiverNoamendment,modification,orwaiverofanyprovisionofthisContractshallbevalidunlessmadeinwritingandsignedbyauthorizedrepresentativesofbothparties.NowaiverbyeitherpartyofanybreachofthisContractshallbedeemedawaiverofanysubsequentbreach.14.EntireAgreementThisContract,includingthereferencedIncotermsrulesandtechnicalspecifications,constitutestheentireagreementbetweenthepartiesconcerningthesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingthereto.15.AssignmentNeitherpartyshallassignortransfer,inwholeorinpart,anyrightsorobligationsunderthisContractwithoutthepriorwrittenconsentoftheotherparty.Anyattemptedassignmentwithoutsuchconsentshallbenullandvoid.16.SeverabilityIfanyprovisionofthisContractisheldbyacourtorarbitraltribunalofcompetentjurisdictiontobeinvalid,illegal,orunenforceableforanyreason,suchinvalidity,illegality,orunenforceabilityshallnotaffectanyotherprovisionhereof,andthisContractshallbeconstruedasiftheinvalid,illegal,orunenforceableprovisionhadneverbeencontainedherein.17.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayiscausedbyForceMajeure,definedasaneventbeyonditsreasonablecontrol,including,butnotlimitedto,actsofGod,war,terrorism,riots,civilcommotion,strikes,fire,flood,earthquake,explosion,andgovernmentalactionsorregulations.TheaffectedpartyshallpromptlynotifytheotherpartyoftheoccurrenceofForceMajeureandprovideawrittencertificatefromacompetentauthorityorexpert.ObligationsunderthisContractshallbesuspendedduringtheperiodofForceMajeure,butshallbecomedueandpayableupontheexpirationorterminationoftheForceMajeureevent.18.ConfidentialityEachpartyagreestokeepconfidentialalltechnicalandbusinessinformationdisclosedbytheotherpartytoitinconnectionwiththisContractandnottousesuchinformati
