2026年生物識別系統(tǒng)技術(shù)授權(quán)協(xié)議PartiesTHISAGREEMENTISMADEANDENTEREDINTOON[InsertDate],BYANDBETWEEN:[LicenseeName],acompanyorganizedandexistingunderthelawsof[LicenseeCountry]("Licensee"),havingitsprincipalplaceofbusinessat[LicenseeAddress]("Licensor");AND[LicenseeName],acompanyorganizedandexistingunderthelawsof[LicenseeCountry]("Licensee"),havingitsprincipalplaceofbusinessat[LicenseeAddress]("Licensor");(Each,a"Party",andcollectively,the"Parties")DefinitionsForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:1."Technology"meanstheproprietarybiometricsystemtechnology,includingbutnotlimitedtothealgorithms,softwarecode,sourcecode,objectcode,documentation,designspecifications(bothhardwareandsoftware),know-how,andassociateddatasets,developedbyLicensorasoftheEffectiveDate,particularlyrelatingto[SpecifyBiometricModality,e.g.,facialrecognition,fingerprintidentification],andidentifiedinExhibitAattachedhereto(the"Exhibit").TheTechnologymayinclude,withoutlimitation,anyimprovementsormodificationstotheTechnologymadebyLicensorduringtheTerm.2."LicensedProducts"meanstheproducts,softwareapplications,systems,orservicesdeveloped,manufactured,ordistributedbyLicensee,whichincorporateorutilizetheTechnology.3."EffectiveDate"meansthedateonwhichallPartieshavesignedthisAgreement.4."Term"meanstheperiodcommencingon[InsertStartDate,e.g.,January1,2026]andendingon[InsertEndDate,e.g.,December31,2030],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.5."UpfrontFee"meanstheinitialpaymentmadebyLicenseetoLicensorasspecifiedinSection6.6."RoyaltyRate"meansthepercentage[SpecifyPercentage,e.g.,5%]oftheNetSalesRevenuegeneratedfromtheLicensedProducts.7."NetSalesRevenue"meansthetotalrevenuereceivedbyLicenseeoritscustomersfromthesaleofLicensedProducts,lessanyreturns,allowances,anddiscountsdirectlyrelatedtosuchsales,andcalculatedsolelywithrespecttosalesmadewithintheTerritory.8."Territory"means[SpecifyGeographicArea,e.g.,allofthePeople'sRepublicofChina].9."ConfidentialInformation"meansanynon-publicinformation,whethertangibleorintangible,disclosedbyaPartytotheotherParty,includingbutnotlimitedtotechnicaldata,businessplans,financialinformation,customerlists,sourcecode,algorithms,documentation,andanyinformationderivedfromsuchinformation,whetherornotmarkedas"confidential"or"proprietary".10."IntellectualPropertyRights"meansallright,title,andinterest,whetherpermissiveorownership,inandtoanypatents,copyrights,tradesecrets,know-how,designs,trademarks,servicemarks,andallotherintellectualpropertyrights,throughouttheworld,relatedtotheTechnology.11."GoverningLaw"meansthelawsofthePeople'sRepublicofChinaasamendedfromtimetotime.12."Jurisdiction"meansthecourtsofthePeople'sRepublicofChinalocatedin[SpecifyCity,e.g.,Beijing].GrantofLicense1.授權(quán)許可.SubjecttothetermsandconditionssetforthinthisAgreement,LicensorherebygrantstoLicenseeanon-exclusive,non-transferable,limitedlicensetousetheTechnologysolelyforthepurposeofdeveloping,manufacturing,marketing,andsellingtheLicensedProductswithintheTerritoryduringtheTerm.2.授權(quán)范圍.ThelicensegrantedunderSection1includestherighttousethespecificalgorithms,softwarecode,documentation,anddesignspecificationssetforthinExhibitA.ThislicensedoesnotincludeanylicenseorrighttouseanyotherintellectualpropertyrightsownedbyLicensorexceptasmaybeexpresslygrantedherein.3.地域限制.LicenseeshallonlyusetheTechnologyandmarkettheLicensedProductswithintheTerritory.4.使用目的限制.LicenseeshallnotusetheTechnologyforanypurposeotherthanthedevelopmentandcommercializationoftheLicensedProductsspecifiedherein.Licenseeshallnotreverseengineer,decompile,disassemble,orcreatederivativeworksbasedontheTechnologyoranypartthereof,exceptaspermittedbyapplicablelaw.5.禁止轉(zhuǎn)授.Licenseeshallnotsublicense,assign,transfer,orotherwisepermitanythirdpartytousetheTechnologyoranyrightshereunder,inwholeorinpart,withoutthepriorwrittenconsentofLicensor.TermandTermination1.授權(quán)期限.TheTermofthisAgreementshallcommenceon[InsertStartDate,e.g.,January1,2026]andshallcontinueforaperiodof[e.g.,five(5)]years(the"Term"),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.2.終止權(quán)利.LicensormayterminatethisAgreementatanytimeduringtheTermuponprovidingLicenseewiththirty(30)days'priorwrittennoticeifLicenseebreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthirty(30)daysafterreceiptofthenotice.LicenseemayterminatethisAgreementatanytimeduringtheTermuponprovidingLicensorwithsixty(60)days'priorwrittennoticeifLicensorbreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinsixty(60)daysafterreceiptofthenotice.3.終止后果.UponterminationorexpirationofthisAgreement,Licensee'slicensetousetheTechnologyshallceaseimmediately.LicenseeshallpromptlyceasealluseoftheTechnology,destroyallcopiesthereof(includingbutnotlimitedtosourcecode,objectcode,documentation,andanymodifications),andreturnallConfidentialInformationtoLicensororcertifyinwritingitsdestruction.LicensorshallhavetherighttoauditLicensee'srecordstoverifycompliancewiththisrequirementatanytimewithinone(1)yearfollowingterminationorexpiration.PaymentandFees1.許可費.Inconsiderationforthelicensegrantedherein,LicenseeshallpayLicensorthefeessetforthbelow:a.入門費.AnUpfrontFeeintheamountof[InsertAmount,e.g.,USDOneHundredThousandUnitedStatesDollars(USD100,000.00)]payablewithinthirty(30)daysaftertheEffectiveDate.b.提成費.ARoyaltyFeeequaltotheRoyaltyRatemultipliedbytheNetSalesRevenuegeneratedfromtheLicensedProductsduringeachcalendarquarter.Suchroyaltyshallbepayablewithinthirty(30)daysaftertheendofeachcalendarquarter.2.支付方式.AllpaymentsunderthisAgreementshallbemadewithoutdeduction,set-off,orcounterclaimandshallbepaidin[SpecifyCurrency,e.g.,UnitedStatesDollars(USD)]tothefollowingbankaccount:Bank:[InsertBankName]AccountName:[InsertAccountName]AccountNumber:[InsertAccountNumber]SWIFTCode:[InsertSWIFTCode]3.稅費.Alltaxes(including,withoutlimitation,value-addedtax,salestax,importduties,andcustomsduties)arisinginconnectionwithanypaymentsmadeunderthisAgreementshallbebornebythepayingParty.IntellectualPropertyRights1.所有權(quán)保留.Licensorretainsallright,title,andinterestinandtotheTechnologyandallassociatedIntellectualPropertyRights.ThelicensegrantedhereindoesnotconstituteatransferofanytitleinortotheTechnologyoranyIntellectualPropertyRights.2.專利許可.ThelicensegrantedhereinincludestherighttouseanypatentsownedorcontrolledbyLicensorthatarenecessaryorusefulforthepracticeoftheTechnologyasdescribedinExhibitA.Licensorrepresentsandwarrantsthatithastherightandauthoritytograntthelicenseherein.LicensorshallprovideLicenseewithpromptwrittennoticeofanymaterialpatentinfringementclaimsbroughtagainsttheTechnologybyathirdparty.Confidentiality1.保密義務.EachPartyshallholdtheConfidentialInformationoftheotherPartyinthestrictestconfidenceandshallusesuchConfidentialInformationsolelyforthepurposeoffulfillingitsobligationsunderthisAgreement.NeitherPartyshalldiscloseanyConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaw,regulation,orcourtorder;provided,however,thatanydisclosurerequiredbylaw,regulation,orcourtordershallbemadeonlytotheextentnecessaryandthatthereceivingpartyshallusereasonableeffortstolimitthedisclosuretosuchminimumextent.2.例外情況.Theobligationsofconfidentialityshallnotapplytoinformationthat:(a)waspubliclyknownandmadegenerallyavailableintheTerritorypriortothedisclosurebythereceivingParty;(b)becomespubliclyknownandmadegenerallyavailableintheTerritoryafterdisclosurebythereceivingPartythroughnobreachofthisAgreementbythereceivingParty;(c)wasalreadyinthepossessionofthereceivingPartyatthetimeofdisclosure;(d)isindependentlydevelopedbythereceivingPartywithoutuseoforreferencetothedisclosingParty'sConfidentialInformation;or(e)isobtainedfromathirdpartywithoutbreachofsuchthirdparty'sobligationsofconfidentiality.3.保密期限.TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[e.g.,three(3)]yearsaftertheterminationorexpirationdate.WarrantiesandRepresentations1.授權(quán)方保證.Licensorrepresentsandwarrantsthat:(a)ithasthefullrightandauthoritytograntthelicensegrantedherein;(b)theTechnologyisprovidedinamannerconsistentwithindustrystandardsandisgenerallysuitableforthepurposesforwhichitislicensed;(c)tothebestofitsknowledge,nothirdpartyhasanyrightorclaim,bycontract,patent,trademark,orotherwise,whichwouldinterferewithLicensee'suseoftheTechnologyinaccordancewiththisAgreement.2.被授權(quán)方聲明.Licenseerepresentsandwarrantsthat:(a)ithasthefullrightandauthoritytoenterintothisAgreementandperformitsobligationshereunder;(b)itwillcomplywithallapplicablelawsandregulationsinitsuseoftheTechnologyanditsdevelopment,marketing,andsaleoftheLicensedProducts.LiabilityandIndemnification1.責任限制.Licensor'stotalliabilityunderthisAgreementshallbelimitedtotheaggregateamountofallpaymentsmadebyLicenseetoLicensorunderthisAgreementduringthetwelve(12)monthspriortothedateoftheclaim.InnoeventshallLicensorbeliableforanyindirect,incidental,special,consequential,orpunitivedamages,includinglossofprofit,data,orgoodwill,whetherincontract,tort,orotherwise.2.相互賠償.EachPartyshallindemnifyandholdharmlesstheotherPartyfromandagainstanylosses,damages,costs,andexpenses(includingreasonableattorneys'fees)incurredbytheindemnifiedPartyarisingoutoforresultingfromtheindemnifyingParty'sbreachofanyrepresentation,warranty,orobligationunderthisAgreement.DisputeResolution1.協(xié)商.ThePartiesagreetofirstattempttoresolveanydisputeorcontroversyarisingoutoforrelatingtothisAgreementthroughgoodfaithnegotiationsbetweenauthorizedrepresentativesoftheParties.2.仲裁.IfthePartiesareunabletoresolvethedisputethroughnegotiationwithinthirty(30)daysafterthelaterParty'swrittenproposaltonegotiate,thedisputeshallbefinallysettledbyarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,ChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)]inaccordancewiththethen-currentRulesofArbitrationofthe[SpecifyArbitrationInstitution]("ArbitrationRules").Theplaceofarbitrationshallbe[SpecifyCity,e.g.,Beijing],andthelanguageofarbitrationshallbe[SpecifyLanguage,e.g.,Chinese].TheTribunalshallconsistof[SpecifyNumber,e.g.,three(3)]arbitratorsappointedinaccordancewiththeArbitrationRules.GoverningLawandJurisdiction1.適用法律.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChinaasamendedfromtimetotime.2.管轄法院.Anylegalsuit,action,orproceedingarisingoutoforrelatedtothisAgreementshallbeinstitutedexclusivelyinthecourtsofthePeople'sRepublicofChinalocatedin[SpecifyCity,e.g.,Beijing]andthePartiesherebyirrevocablysubmittothejurisdictionofsuchcourts.Miscellaneous1.完整協(xié)議.ThisAgreement,includingExhibitsattachedhereto,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetheroralorwritten.2.修訂與補充.AnyamendmentorsupplementtothisAgreementshallbeeffectiveonlyifmadeinwritingandsignedbyauthorizedrepresentativesofbothParties.3.通知.Allnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbedeemedgiven(a)whendeliveredpersonally;(b)uponconfirmationofreceiptwhensentbyrecognizedovernightcourierservice;(c)uponsuccessfultransmissionwhensentbyemail(providedasuccessfultransmissionisconfirmedbytherecipient);or(d)three(3)businessdaysafterdepositwithanationallyrecognizedovernightcourierservice.AllnoticesshallbeaddressedtothePartiesattheaddressessetforthaboveoratsuchotheraddressoraddressesaseitherPartymaydesignatebynotice.4.轉(zhuǎn)讓限制.NeitherPartym
