1.Inprocessingtransactions,themanufacturesneverhavetitleeithertothematerialsortothefinishedproducts.在加工貿易中，廠方對原材料或成品都無所有權。2.TheAppendixheretoshall,throughthecontractperiod,bedeemed(被認為)tobeconstructed(理解)aspartofthisContract.整個合同期間，本合同的附件應被視為合同的一部分予以理解。3.ThePartiesmay,throughconsultation,makeamendmentstoandrevisionsofthecontractasandwhentheneedarises.對方可在必要時，通過協(xié)商，修改本合同。4.TheContractorshall,withoutlimitinghisortheEmployee’sobligationsandresponsibilitiesunderClause20,insuretheWorks,togetherwithmaterialsandplantforincorporationtherein,tothefullreplacementcost.在不限制第20條中規(guī)定的承包人和業(yè)主的義務和責任的條件下，承包人應該以全部重置成本對工程、用于工程中的材料和工程配套設備進行保險。5.TheEmployerherebycovenantstopaytheContractorinconsiderationoftheexecutionandcompletionoftheWorksandtheremedyingofdefectsthereintheContractPriceorsuchothersumasmaybecomepayableundertheprovisionsoftheContractatthetimeandinthemannerprescribedbytheContract.業(yè)主特立此約保證在合同規(guī)定的期限內，按合同規(guī)定的方式向承包人支付合同價，或合同規(guī)定的其他應支付的款項，以作為本工程施工、竣工及修補工程中缺陷的報酬。6.WhetherthecustomofthePortiscontrarytothisClauseornot,theownerofthegoodsshall,withoutinterruption,bydayandnight,includingSundaysandholidays(ifrequiredbythecarrier),supplyandtakedeliveryofthegoods.Providedthattheownerofthegoodsshallbeliableforalllossesordamagesincludingdemurrageincurredindefaultontheprovisionshereof.不論港口習慣是否與本款規(guī)定相反，貨方都應晝夜地，包括節(jié)假日，無間斷地提供和提取貨物，貨方對違反本款規(guī)定所引起的所有損失或損壞，包括滯期應負擔賠償責任。7.“TechnicalDocuments”meansthedataandtheinformationspecifiedinAppendix1hereto,suchasengineering,manufacturingandoriginalinformationrelatingtothemanufactureandmaintenanceoftheContractProducts,includingdrawings,blueprints,designsheets,materialspecifications,photographs,photostatsandgeneraldata,anddesignandtheirspecificationsrelatingtomanufacturingeuipment,toolsandfacilities.Providedthattheabove-mentionedinformationshallbesuchinformationasisonlyavailabletoPartyBandapplicabletothebusinessoperationofPartyAunderthisContract.“技術資料”是指列于附件1與制造和維修合同產品有關的工程、制造及原始資料，包括與制造設備、工具和裝置有關的圖紙、藍本、設計圖表、材料規(guī)格、照片、影印資料和一般資料、設計及其說明書等。但上述資料僅限于乙方擁有的資料和甲方用于本合同業(yè)務活動的資料。8.ThisLawisherebyformulatedandpreparedinordertodeveloptheforeigntrade,maintaintheforeigntradeorderandpromotethehealthydevelopmentofthesocialistmarketeconomy.

Foreigntradementionedhereinshallcovertheimportandexportofgoods,technologyandtheinternationaltradeinservices.為了發(fā)展對外貿易，維護對外貿易秩序，促進社會主義市場經(jīng)濟的健康發(fā)展，茲制定本法，本法所稱對方貿易，是指貨物進出口、技術進出口、服務進出口。9WhenexistingChinese-foreignequityjointventures,Chinese-foreigncooperativejointventuresandwhollyforeign-ownedenterprises(hereinafterreferredtoas“enterpriseswithforeigninvestment”)applytoreorganizethemselvesintoacompany,theenterpriseswithforeigninvestmentshallhavearecordofmakingprofitsfortherecentthreeconsecutiveyears.

已設立的中外合資經(jīng)營企業(yè)、中外合作經(jīng)營企業(yè)，外資企業(yè)（以下稱為外商投資企業(yè)），如申請轉變?yōu)楣镜?，應有最近連續(xù)3年的盈利紀錄。10Thecontractorshallnot,withoutthepriorconsentoftheEmployer,assigntheContractoranypartthereof,oranybenefitorinterestthereinorthereunder,otherwisethanby:沒有業(yè)主的事先同意，承包人不得將合同或合同的任何部分，或合同中或合同名下的任何利益或好處進行轉讓，但下列情況除外：11“TestsonCompletion”meanssuchtestsspecifiedintheContractorotherwiseagreedbyandbetweentheEngineerandtheContractorasshallbemadebytheContractorbeforetheEmployertakesovertheWorksoranysectionorpartthereof.“竣工檢驗”指合同規(guī)定的或由工程師與承包人另行商定的檢驗。這些檢驗是由承包人在業(yè)主接收工程或工程任何部分，這段之前進行的。12Thecollectionordershallgivespecificinstructionsregardingtheprotest(orshalltakeotherlegalprocessinlieuthereof),intheeventofnon-acceptanceornon-payment.

Intheabsenceofsuchspecificinstructions,thebanksconcernedwiththecollectionshallhavenoobligationtoprovidetheprotest(ortotakeotherlegalprocessinlieuthereof)whenthebanksinquestionexperiencenon-acceptanceandnon-payment.

Anychargesand/orexpensesincurredbythebanksinconnectionwithsuchprotestorotherlegalprocessshallbebornebytheprincipal.托收指示應對于在遭到拒絕承兌或拒絕付款時，是否需要作出拒絕證書（或采取其它替代法律手續(xù)）給予特別指示。

如無此項特別指示，與托收有關的各銀行在遭到拒絕付款或拒絕承兌時，并無義務作出拒絕證書（或采取其它替代法律手續(xù)）。銀行由于作出拒絕證書或采取其它法律手續(xù)而發(fā)生的手續(xù)費或費用概由委托人負擔。13．TheBorrowershallpayfortheaccountoftheBanksacommitmentfeeofonehalfofonepercent(0.5%)perannumontheTotalLoanCommitment.ThecommitmentfeeshallbepaidfromthedateoftheconclusionoftheContract(inclusive)totheearlierdayoftheDisbursementDateandtheTerminationDate(butexcludingthedayinquestion).ThecommitmentfeeshallquarterlybepaidfromthedateinthethirdmonththereaftertotheearlierdayoftheDisbursementDateandtheTerminationDate.借款人每年應支付銀行貸款承諾總額0.5%的承諾費。支付時間從簽訂合同之日起（包括該日在內），到貸款發(fā)放日和終止日中較早之日（但不包括該日在內）為止，從其后第3個月的該日起開始按季支付至發(fā)放日與終止日中較早之日。14．TheDefectsLiabilityCertificatefortheWorksshall,within28daysaftertheexpirationoftheDefectsLiabilityPeriod,beissuedbytheEngineer,or,ifdifferentdefectsliabilityperiodsbecomeapplicabletodifferentSectionorpartsofthePermanentWorks,theexpirationofthelatestsuchperiod,orif,pursuanttoClause82,anyworksinstructedarecompletedtothesatisfactionoftheEngineer,theDefectsLiabilityCertificatethereforshallbeissuedbytheEngineerassoonaspossible.工程的缺陷責任證書應由工程師在缺陷責任期終止后28天內頒發(fā)，或者，如果不同的缺陷責任期適用永久工程的不同區(qū)段或部分時，則在最后一個缺陷責任期終止或根據(jù)第82條，在任何按指示進行的工程已完成并達到工程師滿意之后盡快簽發(fā)。15.Ifoneormoreofthefollowingeventsofdefault(hereinaftercalled“EventofDefault\")occursoroccurorcontinuesorcontinue,theAgentandtheBankshallbeentitledtotheremediesspecifiedinSub-Clause11.2oftheAgreement.(a)TheBorrowerfailstopayanyamountpayablethereunderasandwhensuchamountshallbecomepayable.

如果發(fā)生下列一種或一種以上違約事件（以下稱違約事件），或該違約事件正在繼續(xù)，代理行以及各行應行使第11.2款規(guī)定的救濟方法。（a）借款人未能支付根據(jù)該協(xié)議規(guī)定到期應付的款項。16.Acontractforsupplyanduseofelectricityreferstoacontractwherebythesupplierofelectricitysupplieselectricitytotheuserofelectricity,andtheuserofelectricitypaystheelectricfee.供用電合同是供電人向用電人供電，用電人支付電費的合同。17.TheboardmeetingshallbecalledandpresidedoverbytheChairman.ShouldtheChairmanbeabsent,thevice-Chairmenshall,inprinciple,callandpresideovertheboardmeeting.董事會應由董事長召集并主持，若董事長缺席，原則上應由副董事長召集主持。18.NowTherefore,inconsiderationofthepremisesandthecovenantsherein,contained,thepartiesheretoagreeasfollows:

茲以上述各點和契約所載條款為約因，訂約雙方協(xié)議如下：19.INTHEPRESENCEOFthepartiesheretohavehereundersettheirrespectivehandsandseals:

作為協(xié)議事項的證據(jù)，訂約雙方各自簽名蓋章如下：20.NotwithstandingtheprovisionsofthisClauseoranyotherClauseoftheContract,nopaymentcertificatesshallbeissuedbytheEngineeruntiltheperformancesecurityissubmittedbytheContractorundertheContractandapprovedbytheEmployer.盡管有本條款或任何其它合同條款的規(guī)定，在承包人提交履約保證并經(jīng)業(yè)主批準之前，工程師不對任何支付款開具證書。21.UnlessotherwiseexpresslyspecifiedintheContract,theEngineershallhavenoauthoritytorelievetheContractorofanyofhisobligationsundertheContract.除非在合同中明確規(guī)定，工程師無權解除合同規(guī)定的承包人的任何義務。22.InTestimonyWhereof,thisContractshallcomeintoeffectaftertheContractinquestionismadeandsignedbythePartiesheretoinduplicate,andeitherPartywillholdonecopy.本合同由雙方代表簽字后生效，一式兩份，雙方各執(zhí)一份。23.TheEngineershallhaveauthoritytoissuetotheContractor,fromtimetotime,suchsupplementaryDrawingsandinstructionsasshallbenecessaryforthepurposeoftheproperandadequateexecutionandcompletionoftheworksandtheremedyingofanydefectstherein.工程師有權隨時向承包人發(fā)出為合理和恰當施工，竣工及修補工程中的缺陷所必須的補充圖紙和指示。24.Alistedcompanyshall,pursuanttolawsandadministrativeregulations,makepublicperiodicallyitsfinancialandoperationalconditions.Thelistedcompanyshall,ineachfiscalyear,publishitsfinancialstatementsonceeverysixmonths.上市公司必須按照法律、行政法規(guī)的規(guī)定，定期公開財務狀況和經(jīng)營狀況，在每會計年度內半年公布一次財務會計報告。25.Saidsampleshallbetreatedasaninterpartofthiscontract.Thequalityofthegoodsdeliveredshallnotbelowerthanthesample.該樣品應視為本合同不可分割的部分，所交貨物的品質不得低于樣品。26.QualityandSpecificationsFordetails,seethespecificationandDesignattachedhereto,whichshallconstituteandintegralandequallyauthenticpartofthiscontract.品質規(guī)格：詳見所附說明書和圖樣，該項所附說明書和圖樣應視為構成本合同的組成部分，并且是有同等效力。27.型號PMC9-71323,顏色蘭，黃，白平均搭配為每打小/3，中/6,，大/3PMC9-71323，Blue,YellowandWhiteequallyassorted,S/3,M/6,L/3perdozen.28.制造商必須保證所交貨物的質量完全符合同規(guī)定，否則，賣方須免費更換所交貨物。Makershallguaranteethatmaterialsuppliedarestrictlyinaccordancewiththecontractandthatintheeventofanymaterialnotinaccordancewiththecontract,replacementshallbemadefreeofcharge.29.Incaseanydisputeand/orclaimariseinconnectionwiththepatent,utilitymodel,trademark,designorcopyright,sellerreserveseveryandallrightstocancel,makenullandvoidthiscontractathisdiscretion,andtoholdhimselffreefromanyliabilityarisingtherefrom;buyershallberesponsibleforeverylossandordamagecausedthereby.如因專利、新型、商標、設計或版權引起糾紛或索賠事情，賣方有權撤銷合同或使合同無效，并不負因此引起的任何責任，買方應負責賠償由此而招致的一切損失和損害。（第六章）30.Thesellerhastheoptionofdelivering5%moreorlessofthecontractedquantity.賣方有權決定按合同數(shù)量增減5%.31.ShouldtheweightascertainedasaresultofreweightingthegoodsattheportofdestinationdifferfromthebillofLadingweightbyuptoonepercentmoreorless,thebillofLadingweightshallbedeemedfinalforthesettlementofaccountsbetweentheparties.在目的港對貨物再次過磅所得重量如與提單重量相差僅10%增減，則提單重量應作為對方結算的最后依據(jù)。32.WhentheSellerdiliverstothebuyeraquantityofgoodslargerthanhecontractedtosell,thebuyermayacceptthegoodsincludedinthecontractandrejecttherest,orhemayrejectthewhole.Ifthebuyeracceptsthewholeofthegoodssodeliveredhemustpayforthematthecontractrate.賣方交付買方的數(shù)量，如多余契約所定出售數(shù)量，賣方可接受契約所定數(shù)量而拒接其余部分，也可拒絕全部貨物，如買方接受所交全部貨物則需按契約所定價格交付貨款。第七章33.木箱裝，內襯兩層蠟質，每箱凈重15公斤，4盒裝一木箱Goodstobepackedinwoodencasesof15kgsneteachlinedwithdoublewax-paper,4packetstoonewoodencase.34.SNKtobeputsideaTriangle.嘜頭刷為SNK第八章35.雙方同意以裝運港中國進出口商品檢驗局簽發(fā)的品質及數(shù)量檢驗證書為最后依據(jù)對雙方具有約束力。ItismutuallyagreedthatthegoodsaresubjecttoInspectionCertificateofQualityandInspectionCertificateofQuantityissuedbyChinaImportandExportcommoditybureauattheportofshipment.TheCertificatesshallbebindingonbothparties.36.棉花應在上海由賣方所指定的棉花檢驗人于抽樣前過磅，過磅應于卸貨后21天內在目的港碼頭上進行。CottonistobeweightedinShanghaibeforesampling,underthesupervisionofthecottoncontrollerappoontedbyseller,weighingshalltakeplacenotlaterthan21daysaftercompletionoflandingonwharfattheportofdestination.37.茲證明我廠業(yè)經(jīng)檢驗上述貨物或設備，并保證其品質、規(guī)格符合規(guī)定標準。Wecertifythatwehaveinspectedthegoodsand／orequipmentcoveredbythewarrantandthatisconformstoacceptedstandardsofquality,includingandspecificationsformingapartofthedescriptions.38.茲證明下列原料已經(jīng)檢驗。根據(jù)本公司檢驗人員報告及本公司的經(jīng)驗盒判斷，本公司的意見為：下列原料符合所批示的規(guī)定Wecertifythatthefollowingmaterialshasbeeninspectedandinaccordancewithouropinionbaseduponthatthereportofourinspcetorsandexperienceandjudgement,hasbeenacceptedundertheinstructionsprovided.39.我公司已盡責實施檢驗。但賣方不得借本證解除其對所裝運貨物的合同義務盒財務責任。Inspectionwascarriedouttothebestofourknowledgeandablity,however,thisinspectioninnowayrelievesthesellerofhiscontractualobligationnormakesfinanciallyresponsibleforthegoodsshipped.40.合同貨物品質、數(shù)量、包裝和重量應由買方所指定為賣方所接受的獨立公證人在黃埔于裝運時。該獨立公證人簽發(fā)的品質、數(shù)量、包裝和重量檢驗證應作為最后依據(jù)。檢驗費由賣方承擔。Inspectiononquality,quantity,packingandweightofthecontractedcargoshallbeperformedatthetimeofloadingatHuanpu.第九章41.Sellerreservestherighttoadjustthecontractedprice,ifpriortodelivery,thereisanyvariationinthecostofLabororrawmaterialorcomponentparts貨物在裝運前，若人工費用，原材料或零部件成本有所變動，賣方有權調整合同規(guī)定的價格。42.ShouldtheparityofPoundSterling,whichnowstg.$1.00=US$...,bedifferentonthedayofpayment,thepricewillbeadjustedinaccordancewiththecorrespondingchange.若以英鎊計價，現(xiàn)在1英鎊=。。美元，如支付日該匯率有變，貨物價格應按照變動的匯率相應予以調整。43.Less3%commissiontobeshownonseparatestatementonly。需用單獨聲明書列明扣3%傭金。第十章44.買方應于2009年1月1日前將全部貨款用電匯（信匯/票匯）方式預付賣方ThebuyersshallpaythetotalvaluetothesellersinadvancebyT／Tnotlatterthan1st,1,2009.45.買方應憑賣方開具的即期跟單匯票，于第一次見票時立即付款、付款交單。Uponfirstpresentation,thebuyersshallpayagainstdocumentarydraftdrawnbysellersatsight.Theshippingdocumentsaretobedeliveredagainstpaymentonly.46.憑全額發(fā)票金額的、保兌的、不可撤銷的、可轉讓的即期信用證。信用證應于裝運期前30天送達賣方，其議付有效期至上述裝運期后15點在中國有效。By100%confirmed,irrevocable,transferablesightL／Ctoreachthesellers30daysbeforethedateofshipmentandtoremainvalidfornegotiationinChinatillthe15thdayafterthefinaldateofshipment.47.以不可撤銷的信用證，憑賣方開具的見票后90天的跟單匯票議付，有效期為裝運期后15天在中國到期。該信用證須于合同規(guī)定的裝運月份前30天到達賣方。ByirrevocableL／Cavailablebysellersdocumentarydraftat90daysaftersight,tobevalidfornegotiationinChinauntil15daysafterthedateofshipment.TheL／Cmustreachthesellers30daysbeforethecontractedmonthofshipment.48.貨款60%以不可撤消即期信用證支付。其余40%托收，見票后30天付款交單，按發(fā)票金額全部付款后，全套貨運單據(jù)到達買方。60%ofthevalueofgoodsbyirrevocableL／Catsightandremaining40%oncollection’sbasis,D／Pat30daysaftersight.Thefullsetofshippingdocumentsaretobedeliveredtobuyersuntilforpaymentofincoicevalueismade.49.PaymentbyanirrevocableL/CavailablebysightdraftdrawnonthepeoplebankofChina,whenaccompaniedbythefollowingdocuments(1)cleanonboardbillsoflading(2)commercialinvoices(3)consularinvoices(4)Detailedweightnoteoftheshipperofofficialweigher第十一章50.從五月份開始分三批按月等量裝運，每批裝運20噸Inthreeequalmonthlyinsfallenteachof20tonsbeginningfromMay.51.貨物約等分兩批裝運，每批間隔25天Intwoapproxiamatelyequalshipmentsrequired25daysapart.52.賣方應保證每個晴天工作日裝700噸進入全部貨倉，或按可供貨倉數(shù)量的比例裝貨。每日的速遣費為600美元，滯期費為1200美元Sellersguaranteetoload700M／TWWDforallhatchesorprorataaccordingtoavailabilityofhatches.DispatchatUS$600perdayandDemurrageatUS$1200perday.53.本合同所定貨物一經(jīng)裝運，應即以電報通知買方Shipmenteffectedunderthiscontractshallbepromptlyinformedtothebuyerbycable.54．提單日期應作為裝運期，若延遲交貨，買方得撤銷合同，并索賠因違約所造成的損失。ThedateofBillofLadingshallbeconsideredasthedateofshipment.Intheeventofdelayinshipment,buyermaycanclethecontractandclaimdamagesforbreachofthecontract.第十二章55.由賣方按發(fā)票金額加10%投保一切險和戰(zhàn)爭險，其超過金額的保費由買方負擔。Tobeeffectedbythesellersforinvoiceamountplus10%,anyadditionalpremiumforinsurancecoverageover110%oftheinvoiceamountshallbebornebythebuyers.56.由買方委托賣方按CIF發(fā)票金額的110%代為投保一切險和戰(zhàn)爭險，按中國人民保險公司1981年1月1日有關海洋運輸貨物保險條款辦理。保險費由買方負擔。Insuranceistobecoveredbythesellersonbehalfofthebuyerfor110%ofinvoicevalueofCIFagainstAllRisksandWarRisksasperrelevantOceanMarineCargoClauseofPICCdated1stJanuary1981,theInsurancepremiumshallbeforbuyer’saccount.第十三章57.Ifbuyerfailstocarryout(perform)anyofthetermsofthisoranyothercontractwithSeller,orintheevent(incaseof)death,bankcruptcyorinsolvencyofbuyer,dissolutionormodificationofpartnershipofbuyerornon-paymentforanyshipment,Sellerhastherighttocancelthisand/oranyothercontractwithbuyerortopostphonetheshipment,ortostopthegoodsintransit,andbuyerisboundtoreimburseSellerforanylosssustainedtherefrom.若買方未能履行與賣方所訂本合同或其他合同的任何條款，或在買方死亡，倒閉，解散無力支付的情況下，賣方有權撤銷本合同或其他合同或延期交貨，或截留運輸中的貨物，買方應對賣方因此而遭受的損失予以補償。58.品質異議需于貨到目的港之日起30天之內提出，數(shù)量異議需于貨到目的港之日起15天內提出。但均需提供經(jīng)賣方同意的公證行的檢驗證明。如責任屬于賣方，賣方于收到異議20天內答復買方，并提出處理意見。Incaseofqualitydiscrepancy,claimshouldbefiledbythebuyer’swithin30daysafterthearrivalofthegoodsatportofdestination,whileforqualitydiscrepancyclaimshouldbefiledbythebuyer’swithin15daysafterthearrivalofthegoodsatportofdestination.Inallcasesclaimsmustbeaccompaniedbysurveyreportsofrecognizedpublicsurveyorsagreedtobythesellers.Shouldtheresponsibilityofthesubjectunderclaimbefoundtorestonthepartofthesellers,thesellerssellwithin20daysafterreceiptoftheclaim,sendhisreplytothebuyerstogetherwithsuggestionforsettlement.59.在所有不可抗力情況下，賣方對交貨延遲或不交貨或全部或部分貨物毀壞或變質或不能履約不承擔責任，包括禁止出口，戰(zhàn)爭，禁運，封鎖，民變，罷工，閉廠，缺電，爆炸，疫病，傳染病，火災，水災，潮汐，臺風，地震等。Intheeventofprohibitionofexport,war,blockade,embargoes,civilcommotions,strikes,lockout,shortageofpowersupply,explosion,plagueorotherepidemicsfire,floodtidalwavestyphoon,earthquakeoranyothercausesbeyondthecontrolofsellersorForceMajeure,sellershallnotbeliableforanydelayinshipmentornon-delivery,ordestructionordeterioration,ofalloranypartofthemerchandise,orforanydefaultinperformanceofthiscontractarisingthereform.60.由于直接或間接不可抗力原因造成延遲交貨，賣方不承擔責任。不可抗力包括水災，火災，地震，罷工，閉廠，戰(zhàn)爭，民變，敵對行動，封鎖，征用船只，禁止出口等事故。若發(fā)生上述任何事故，賣方應立即向買方提交有關事故發(fā)生存在的證明。ThesellersshallnotberesponsibleforthedelayinshipmentduedirectlyorindirectlytoForceMajeure,suchasfloods,fires,earthquakes,strikes,lockout,war,civilcommotion,hostilities,blockade,requisitionofvessels,prohibitionofexportandanyothercontingencies.Intheeventofanyofsuchcasesarising,documentsprovingtheiroccurrenceorexistenceshallbesubmittedbythesellerstothebuyerswithoutdelay.61.Shouldanydisputearisebetweenthecontractionparties,itshallbesettledthroughfriendlynegotiations.Butifthereisnoagreementtobereached,thedisputesarisingoutoftheexecutionorperformanceofthiscontractshallbesubmittedbythepartiesforarbitration.ArbitrationshallbeconductedbyChinaInternationalEconomicandTradeArbitrationCommissioninBeijinginaccordancewithitsprocedurerule.Theawar
