Airport, Shanghai Pudong International Airport Public Cargo Terminal Co., LTD (WEST)為了加快國際航空運(yùn)輸進(jìn)出港貨物(以下簡稱貨物)的運(yùn)作，經(jīng)平等協(xié)商，甲乙雙方就進(jìn)出港 貨物交接和費(fèi)用結(jié)算事宜達(dá)成如下協(xié)議：With the purpose o

Inbound/Outbound cargo, and hereafter referred to as “ Cargo ” ), the Parties reach an agreement, after negotiation with each other equally, oncargo handover andsettlement as follows:一. 總則ARTICLE 1 Ge neral1.1甲方作為貨物承運(yùn)人(國際航空公司)的貨物處理代理人，接受承運(yùn)人的委托，在浦東國 際機(jī)場內(nèi)

5、，處理承運(yùn)人承運(yùn)的進(jìn)出港貨物。Party A is authorized by the Carrier (Intl. Airlines) as the cargo handling agent at Pudong International Airport to handle Carrier' s inbound/outbound cargo.1.2乙方同意在本協(xié)議有效期內(nèi)遵守甲方的操作流程及有關(guān)規(guī)定，配合甲方迅速完成貨物的交 接，并保證貨物的正常操作。Party B agrees to comply with Party A' sopera tion procedures a

6、nd related regulations in the term of validity and cooperate with Party A to quickly complete delivery to ensure the cargo be handled normally.1.3本協(xié)議二、三項(xiàng)中所涉及的流程及雙方責(zé)任服從海關(guān)的規(guī)定并根據(jù)其變化而調(diào)整。The procedures and duties for two Parties mentioned in ARTICLE 2 and ARTICLE 3 should obey Customs Regulations and be

7、subject to Customs procedure changes and new requirements.二. 出港貨物交接ARTICLE 2 Outbound Handover2.1雙方同意根據(jù)實(shí)際需要配備人員設(shè)備，保證貨物交接順利進(jìn)行，乙方負(fù)責(zé)將出港貨物送到 甲方貨運(yùn)站，提交海關(guān)報(bào)關(guān)放行的航空貨運(yùn)單和貨物交接清單。The Parties agree to arrange manpower and equipment according to actual needs to ensure cargo hand-over smoothly. Party B is responsibl

8、e for transporting cargo to Party A and submitting the customs cleared AWB and the Delivery List (D/L).2.2由乙方負(fù)責(zé)打板裝箱的貨物，必須滿足民航安檢規(guī)定航班起飛前24小時(shí)入庫”，否則必須經(jīng)安檢檢查方能收貨。甲方對(duì)貨物內(nèi)容的短缺和損壞及貨物受潮后產(chǎn)生的損失不負(fù)責(zé)任。 木質(zhì)包裝至美、加等國的貨物需提供熏蒸證明。The cargo built- up by Party B must be put into the Party A' s warehouse in advance and t

9、he regulation,“ 24 hours prior to departure” issued by the CAAC, will be applicabOtherwise security check must bedone. Party A will not be liable for short in contents, loss and damage arising from damp. If cargo exporting to USA and Canada is packed with wood, Party B should provide the fumigation

10、certificate.2.3由甲方負(fù)責(zé)打板裝箱的貨物，乙方必須遵守第2.7條規(guī)定的截止交貨時(shí)間，甲方按交接清單現(xiàn)場查驗(yàn)，核收航空貨運(yùn)單和貨物，乙方負(fù)責(zé)將貨物搬運(yùn)上安檢入口，甲方負(fù)責(zé)在安檢 出口處接收，安檢過程中發(fā)生異常情況的貨物或發(fā)現(xiàn)不合規(guī)格貨物有可能使內(nèi)件短缺或損 毀等不正常情況，甲方可以拒收，交乙方處理，若發(fā)現(xiàn)貨物交接清單與實(shí)物不符，由乙方 負(fù)責(zé)更正后交甲方。Party B should comply with the Cut-off time stipulated in Item 2.7 to hand over the loose cargo to Party A which wil

11、l be responsible for build-up. Party A should check the AWB and cargo at spot in accordance with the D/L. Party B should move the cargo to X-Ray entrance and Party A receives the cargo at X-Ray exit. Party A has the right to refuse accepting cargo and returning it to Party B in case that Party A fin

12、d out some irregularities or cargo not being up to standard maybe potentially causes the contents short or damaged in the process of security check. Party B should be liable for modifying all documents and then do redelivery provided that the D/L is inconsistent with physical cargo.2.4甲方有權(quán)對(duì)貨物進(jìn)行實(shí)體檢查，

13、對(duì)不符合運(yùn)輸要求或存在潛在危險(xiǎn)的貨物，甲方可以拒絕 收貨。乙方在交運(yùn)甲方貨物中由于包裝不妥或其性質(zhì)發(fā)生變化而腐蝕污染其他貨物，乙方 應(yīng)承擔(dān)由此產(chǎn)生的一切責(zé)任和損失。貨物體積、重量超出噸控預(yù)定，導(dǎo)致發(fā)運(yùn)延誤，甲方 不承擔(dān)責(zé)任。Party A has the right to inspect the goods and refuse accepting the cargo provided that the package of cargo does not conform to the requirements for transportation or potential danger exi

In case that the cargo delivered by Party B corrodes and pollutes other cargo because of inappropriate package or alteration of the nature of cargo, Party B should responsible for all consequences arising therefrom. In case that the weight and volume of shipment exceed the tonnage control, Part

15、y A has no responsibility for the delay arising from it.2.5貨物清點(diǎn)完畢，甲方在交接單上簽字確認(rèn)收訖，加蓋收貨時(shí)間標(biāo)記，并簽發(fā)出港貨物交接 清單，雙方各留一份。Party A should sign on the D/L for acceptance confirmation and stamp time on it, and then issue the D/L for outbound cargo after delivery is completed.2.6甲方實(shí)測貨物重量和體積與貨運(yùn)單不符，乙方應(yīng)按海關(guān)和承運(yùn)航空公司有關(guān)規(guī)定更改

16、貨運(yùn) 單。In case that the cubage and weight on AWB is discrepant with the data measured actually, Party B should modify the AWB according to the concerned regulations issued by the Customs and Carrier.Cut-off Time),乙方如超出2.7乙方應(yīng)遵守甲方與其所代理的航空公司確定的截止交貨時(shí)間（ 規(guī)定時(shí)間交貨，由此造成的延誤發(fā)運(yùn)，甲方不承擔(dān)任何責(zé)任。Party B should obey the Cu

17、t-off time confirmed by Party A and the Carrier. Party A will not take on responsibility for delay in case that Party B hands over cargo later than the Cut-off time.三. 進(jìn)港貨物交接ARTICLE 3 Inbound Delivery3.1甲方應(yīng)在貨物實(shí)際到達(dá)其貨運(yùn)站后，在與航空公司商定的時(shí)間內(nèi)完成貨物的分解并通知乙 方。凡目的站為上海浦東，航空貨運(yùn)單上的收貨人為乙方或甲方認(rèn)定可由乙方代理交付的 貨物，均由乙方領(lǐng)收并代為交付與收貨

18、人。根據(jù)海關(guān)集中駁運(yùn)的原則，從甲方倉庫到乙方 倉庫的運(yùn)輸服務(wù)由同甲方簽約的第三方運(yùn)輸公司通過海關(guān)監(jiān)管卡車來實(shí)現(xiàn)。Party A should break down goods within the time as mutually agreed with the Carrier and inform Party B after the goods actually arrive at Party Ana'PsatefrBi can pick up and hand over to consignees forthose shipments with PVG as destination

19、 and Party B as receiver or maintained by Party A that Party B may do the pickup. According to the Customs' principle of“ centralized transportation portatior” , the transservice from Party A' swarehouse to Party B' swarehouse will be realized by the third party transportation company co

20、ntracted with Party A via Customs bonded trucks.3.2雙方同意用現(xiàn)場清點(diǎn)交接的方式交接航空貨運(yùn)單和貨物，由甲方先理出航空貨運(yùn)單，按航 空貨運(yùn)單制作交接清單，并將貨物移至交接區(qū)域；乙方按交接清單查驗(yàn)，核收航空貨運(yùn)單 和貨物，在交接單上簽字確認(rèn)收訖后監(jiān)督貨物裝車。The Parties agree to do the hand-over of AWB and goods on site. Party A should put AWB in proper order, make Delivery List and move the goods to h

21、andover area. Party B will check and accept goods and AWB according to Delivery List, then sign on Delivery List as pickup confirmation and supervise goods loading onto trucks.3.3乙方應(yīng)指派專人在甲方貨運(yùn)站進(jìn)行進(jìn)港貨物交接并核對(duì)航空貨運(yùn)單，交接清單與實(shí)際貨物 是否相符。如發(fā)現(xiàn)有破損，短缺等情況應(yīng)和甲方共同對(duì)貨物進(jìn)行檢查，作好事故記錄并經(jīng) 雙方簽字認(rèn)可。Party B should appoint and send de

22、dicated staff to do the handover and check of inbound goods & AWB against Delivery List. If any irregularities like goods damage and shortage etc take place, the Parties should check the goods and make records with signatures from two sides.3.4甲方同意就交接前貨物的丟失、短缺、毀壞、潮濕等情況與承運(yùn)人協(xié)商，分清職責(zé)，由過 失方承擔(dān)由此產(chǎn)生的經(jīng)濟(jì)損

23、失；乙方同意對(duì)交接后的丟失、短缺、破損、毀壞、潮濕及交 付錯(cuò)誤等負(fù)責(zé)，并承擔(dān)由此產(chǎn)生的一切經(jīng)濟(jì)損失。For the missing goods, shortage, damage and damp etc before delivery, Party A agrees to discuss with Carrier and clarify the duties, and the Party with failure should be responsible for the loss caused. For the missing goods, shortage, damage, destru

24、ction, damp and wrong distribution after delivery, Party B agrees to bear all possible loss arising.3.5乙方應(yīng)在其海關(guān)監(jiān)管倉庫配備必需的裝卸設(shè)備和人力，以保證貨物在運(yùn)達(dá)后及時(shí)完成卸貨 工作。Party B should arrange enough equipments and manpower to guarantee that breakdown is done timely after goods arrive at Party B's Customs bonded wareho

25、use.3.6進(jìn)入乙方倉庫的進(jìn)港貨物，乙方應(yīng)嚴(yán)格按照航空貨運(yùn)單上列明的收貨人，及時(shí)通知收貨人 提?。灰曳讲坏靡匀魏卫碛煞e壓貨物并以此向收貨人收取不正當(dāng)費(fèi)用，由此引起的一切后 果由乙方承擔(dān)。For the inbound goods arrived at Party B 's warehouse, Party B should timely inform the consignee to do the pickup strictly according to the name listed as consignee on AWB. Party B cannot make goods ov

26、erstocked and charge consignees unlawfully by any reasons. Otherwise Party B will be responsible for all consequences.3.7乙方如發(fā)現(xiàn)有甲方錯(cuò)分貨物時(shí)，乙方應(yīng)盡快將貨物退還甲方倉庫，不得以任何理由拖延。If Party B found any goods mistaken delivered by Party A, Party B should return the goods ASAP and cannot delay with any reason.四. 費(fèi)用結(jié)算ARTIC

27、LE 4 Settlement4.1甲方憑雙方簽字的貨物交接清單統(tǒng)計(jì)出每月的進(jìn)出港貨物公斤數(shù)，雙方同意按以下費(fèi)率以 人民幣結(jié)算費(fèi)用：Party A should calculate total kgs (outbound & inbound) per month according to the Delivery List with signatures from two sides, and both parties agree to settle at below rate in RMB:1)2)國際進(jìn)出港貨物倉庫使用費(fèi)Warehouse Use Charge for Int &#

Party A has the right to modify the items and prices in the Charge List after two-week publication.4.2雙方同意按月結(jié)算費(fèi)用，甲方在月初5個(gè)工

30、作日內(nèi)將應(yīng)收帳單交乙方，乙方收到帳單確認(rèn)無誤后應(yīng)在7日內(nèi)結(jié)清費(fèi)用，費(fèi)用結(jié)算方式可以采取現(xiàn)金、支票、貸記憑證等方式。 銀行帳號(hào)為：1) 發(fā)票由上海浦東國際機(jī)場貨運(yùn)站有限公司出具，匯款至 上海浦東發(fā)展銀行空港支行076389 - 4135002616；2) 發(fā)票由上海浦東國際機(jī)場西區(qū)公共貨運(yùn)站有限公司出具，匯款至 上海浦東發(fā)展銀行空港支行 076389 - 98910155300000373。Both parties agree that Party A should issue the invoice in the first 5 working days of each month. Afte

31、rreceive invoice and make sure no problem with invoiced items, Party B should pay within 7 days bycash, cheque, credit transfer and so on. 33、付款，甲方有權(quán)以逾期付款總額的0.5%按天收取滯納金。拖延付款達(dá)二個(gè)月的，甲方有權(quán)取消乙方月結(jié)帳資格，并保留采取其他相應(yīng)措施的權(quán)力。If Party B delays the settlement without any reasons, Party A has the right to charge Party B the overdue fine by 0.5 Percent per day. If this delay lasts up to 2 months, Party A will deprive Party B of qualification of month-settleme

34、nt and reserve the right to take other appropriate measures.五. 不可抗力ARTICLE 5 Force Majeure如遇戰(zhàn)爭、罷工、火災(zāi)、傳染病、國內(nèi)動(dòng)亂、政府或當(dāng)?shù)貙?shí)權(quán)人士的行為及其他協(xié)議雙方均不 可控制的情況等不可抗力事件，遭到不可抗力的一方須在事情發(fā)生24小時(shí)內(nèi)通知另一方，任何一方不得要求另一方履行本協(xié)議中規(guī)定的義務(wù)。In case that some force majeure, such as war, strike, conflagration, Infectious disease, domestic turmoil

35、, actionsof government or real powerful personage locally, is coming forth, any Party undertaking the force majeure should inform the other party within 24 hours and not ask its counterparty to perform the duties regulated in this Agreement.六. 有效期限ARTICLE 6 Valid Terms本協(xié)議的有效期限為1年，即自本協(xié)議生效之日起起算至 年_月_日

36、止。在本協(xié)議有效期限屆滿之前的三個(gè)月內(nèi)，雙方都沒有書面通知另一方終止本協(xié)議的，本協(xié)議自動(dòng)順延。The valid term of this agreement is 1 year from the date of Effectiveness to. 38、本協(xié)議由雙方的法定代表人或委托代理人簽字、單位蓋章，自2010年_月_日起生效。This contract is effective from 2010 after Legal Representatives or Authorized Representatives from twoparties sign and seal this agreement.八協(xié)議未盡事宜由雙方協(xié)商，妥善解決。本合同正本采用中英文兩種文字混合，一式2份，雙方各執(zhí)1份，兩種文字具有同等法律效力。兩種文字如有不符，以中文文本為準(zhǔn)。ARTICLE 8Any matters not stipulated in the
