1、不可抗力條款ForceMajeureFORCEMAJEURE不可抗力例1買(mǎi)賣(mài)雙方除履行付款義務(wù)外,因以下事由造成買(mǎi)賣(mài)任一方無(wú)法履行合同規(guī)定的義務(wù)或履行延誤的,買(mǎi)賣(mài)任一方均不對(duì)此承擔(dān)任何責(zé)任,事由具體內(nèi)容如下:因不可抗力所致超出買(mǎi)賣(mài)任一方力合理控制范圍內(nèi)的不可抗力事件,不可抗力發(fā)生,及出現(xiàn)的不可抗力情況,包括不影響前述事由的一般情況;天災(zāi),罷工,火災(zāi),洪水,材料損毀;事故,惡劣天氣所致無(wú)法履行義務(wù)或造成義務(wù)履行延誤;海難,禁運(yùn),事故,政府當(dāng)局公布的限制規(guī)定(包括配給,優(yōu)先事項(xiàng),征用,報(bào)價(jià)和價(jià)格控制等等)造成義務(wù)無(wú)法履行或義務(wù)履行延誤.Neithersellernorbuyershallbelia

2、bleindamagesorotherwiseforanyfailureordelayinperformanceofanyobligationhereunderotherthanobligationtomakepayment,wheresuchfailureordelaysiscausedbyforcemajeure,beinganyevent,occurrenceofcircumstancereasonablybeyondthecontralofthatparty,includingwithoutprejudicetothegeneralityoftheforegoing,failureor

3、delaycausedbyorresultingfromactsofgod,strikes,fires,floodsdestructionofthematerial,delaysofcarriersduetobreakdownoradverseweather,perilsofthesea,embargoes,accidents,restrictionsimposedbyanygovernmentalauthority(includingallocations,priorities,requisitions,quotasandpricecontrols).例2因前述條款說(shuō)明的事由所致,造成發(fā)貨期

4、貨物交貨延遲或無(wú)法交貨,合同規(guī)定的賣(mài)方發(fā)貨和買(mǎi)方接收貨物的時(shí)間在此交貨期則應(yīng)順延,順延期:30(叁拾)日.Thetimeofsellertomake,orbuyertoreceive,deliveryhereundershallbeextandedduringanyperiodinwhichdeliveryshallbedelayedorpreventedbyreasonofanyoftheforegoingclauses.Uptoatotalofthirty(30)days.例3合同規(guī)定的交貨若交貨延遲或無(wú)法交貨達(dá)30(叁拾)日以上,買(mǎi)賣(mài)任一方就此情況向合同另一方出具書(shū)面通知書(shū)之后,有權(quán)終止

10、hs,thetwopartiesofthecontractshouldsettlethecaseofcontinuingthecontractbyfriendlynegotiationassoonaspossible.ShouldthetwopartiesfailtoreachanagreementwillbesettledbyarbitrationaccordingtoClause12ofthecontractthereof.例8因人力不可抗拒事故使賣(mài)方不能在本售貨合約規(guī)定期限內(nèi)交貨或不能交貨賣(mài)方不負(fù)責(zé)任，但是賣(mài)方必須立即以電報(bào)通知買(mǎi)方。如果買(mǎi)方提出要求，賣(mài)方應(yīng)以掛號(hào)函向買(mǎi)方提供由中國(guó)國(guó)際貿(mào)

11、易促進(jìn)委員會(huì)或有關(guān)機(jī)構(gòu)出具的證明，證明事故的存在。買(mǎi)方不能領(lǐng)到進(jìn)口許可證，不能被認(rèn)為系屬人力不可抗拒范圍。TheSellersshallnotbeheldresponsibleiftheyfail,owingtoForceMajeurecauseorcauses,tomakedeliverywithinthetimestipulatedinthisSalesContractorcannotdeliverthegoods.However,theSellersshallinformimmediatelytheBuyersbycable.TheSellersshalldelivertotheBuye

12、rsbyregisteredletter,ifitisrequestedbytheBuyers,acertificateissuedbytheChinaCouncilforthePromotionofInternationalTradeorbyanycompetentauthorities,attestingtheexistenceofthesaidcauseorcauses.TheBuyersfailuretoobtaintherelativeImportLicenceisnottobetreatedasForceMajeure.例9如果任何一方由于自然災(zāi)害、戰(zhàn)爭(zhēng)、類(lèi)似于戰(zhàn)爭(zhēng)的情況、禁令、騷

13、亂、罷工、封鎖和其他不可預(yù)見(jiàn)和不受控制的、若沒(méi)有額外的成本和時(shí)間是不能得到解決的意外事故，而不能履行或遲延履行本合同的義務(wù)，則該方不應(yīng)對(duì)另一方承擔(dān)任何責(zé)任。如果發(fā)生了不可抗力，受影響方應(yīng)在不可抗力發(fā)生后的7天內(nèi)及時(shí)通知另一方，并在不可抗力發(fā)生后的15天內(nèi)提交由當(dāng)?shù)叵嚓P(guān)部門(mén)印發(fā)的用于證明不可抗力發(fā)生的文件材料。雙方當(dāng)事人應(yīng)當(dāng)協(xié)商并形成最佳解決方案，用于解決因不可抗力而導(dǎo)致的對(duì)本合同的遲延和中斷履行。如果不可抗力持續(xù)嚴(yán)重影響本合同項(xiàng)下重要義務(wù)的履行達(dá)3個(gè)月之久，則任何一方均有權(quán)以書(shū)面形式提前30天通知終止本合同。7canyPartydoesnotordelaystofulfiltheobligat

15、jeure,theaffectedPartyshallinformtheotherPartywithinsevendaysafteroccurringofsuchcaseandsubmitdocumentsissuedbylocalrelevantdepartmentusedtoprovetheoccurrenceofforcemajeurewithin15daysafteroccurringofsuchcase.Bothpartiesshallnegotiateandreachanoptimalsolutionusedtosolvethedelayandinterruptionproblem

16、ofthisContractduetoforcemajeure.IftheforcemajeurecontinuestoseriouslyimpactimplementationofcrucialobligationunderthisContractforthreemonths,eitherofthePartyshallhavetherighttoterminatethisContractbywrittennotice30daysinadvance.$A6O+M3vU2j$M,C0p0如果合同一方由于不可抗力因素而不能履行合同，比如地震、臺(tái)風(fēng)、洪水、火災(zāi)、戰(zhàn)爭(zhēng)及其他無(wú)法預(yù)見(jiàn)的事件，其發(fā)生和后果

17、也無(wú)法阻止、無(wú)法避免的，該方應(yīng)立刻以電報(bào)通知對(duì)方，并在其后十五天內(nèi)提交公證機(jī)關(guān)出具的詳細(xì)的事件描述及有效文件，用以解釋其無(wú)法履行合同全部或部分條款的原因。雙方應(yīng)通過(guò)協(xié)商，根據(jù)事件對(duì)履行合同的影響程度，確定是終止合同或是免除履行合同的責(zé)任，或延長(zhǎng)合同的履行。Shouldeitherofthepartiestothecontractbepreventedfromexecutingthecontractbyforcemajeure,suchasearthquake,typhoon,flood,fireandwarandotherunforeseeneventsandtheirhappeningand
