為確保協(xié)議充分履行之安全起見,買方應(yīng)在從本協(xié)議簽訂之日起3個銀行日〔在第15欄〔銀行工作日內(nèi)規(guī)定地點(diǎn)的銀行開門營業(yè)辦理商業(yè)交易事宜的受理日內(nèi),將購買價(jià)格的10%作為保證金匯款給由賣方指定,以買賣雙方共同名義開設(shè)的銀行賬戶。保證金的所有利息收益歸買方所有。銀行對保證金收取的費(fèi)用將由買賣雙方平均分?jǐn)?。保證金將作為購買價(jià)格的一部分,與剩余的90%〔詳見下文以同一方式支付給賣方?！瞓

在賣方按照本協(xié)議第7條遞交船舶交付準(zhǔn)備就緒通知書之后,買方應(yīng)立即將剩余的90%購買價(jià)款電匯到上述銀行。剩余款項(xiàng)應(yīng)當(dāng)在船舶交付時(shí),由買賣雙方代表人適當(dāng)簽署交付和接受協(xié)議議定書后,連同保證金一同支付給賣方。3.DOCUMENTATION 34a>AtthetimeofdeliveryoftheVessel,theSellersshallprovide 35theBuyerswiththefollowingdocuments 36<i>theBillofSale,dulynotarizedbyaNotaryPublic, 37specifyingthattheVesselisfreefromalldebts, 38encumbrances,mortgagesandmaritimeliens;and 39<ii>aletterfromtheSellersundertakingtosupplyaDeletion40CertificatefromtheRegistrystatedinBox4assoonas 41practicableaftertheVessel’sdelivery;and 42<iii>suchotherdocumentsasmaybemutuallyagreed. 43<b>UpondeliverytheBuyersandtheSellersshallexecuteand 44exchangeaProtocolofDeliveryandAcceptance,thereby 45confirmingthedateandtimeofdeliveryoftheVessel. 46<c>ClosingshalltakeplaceattheplacestatedinBox123、交接文件〔a

賣據(jù),經(jīng)公正人正式簽字認(rèn)證并明確載明該船舶沒有任何債務(wù)、負(fù)擔(dān)、抵押和船舶優(yōu)先權(quán)；和〔ii賣方的確認(rèn)函,保證在船舶交付之后盡可能提早提供在第4欄載明的船旗國注冊處簽發(fā)的注銷證書；和〔iii

可能相互約定同意的其他文件?！瞓

在交付時(shí),買賣雙方應(yīng)執(zhí)行和交換船舶交接議定書,以此來確認(rèn)交付船舶的時(shí)間和日期。〔c

交接會議應(yīng)在第12欄記載的地點(diǎn)進(jìn)行。4.DELIVERYPLACEANDTIME 48<a>TheSellersshallensurethattheVesselisreadyfordelivery 49withintheDeliveryRangestatedinBox13notbeforeand 50notlaterthanthedatesstatedinBox14,thelatterdatebeing 51theCancellingDate. 52<b>TheSellersshallkeeptheBuyersinformedoftheVessel’s 53itineraryandgivetheBuyersthirty<30>,fifteen<15>,seven 54<7>andthree<3>daysnoticeoftheexpecteddateandplace 55ofreadinessfordelivery. 56<c>IntheeventthattheVesselisnotreadyfordeliveryonor 57 beforetheCancellingDate,theBuyersshallhavetheoption 58 ofcancellingthisAgreement,providedsuchoptionshallbe 59exercisedinwritingwithintwo<2>WorkingDays<which 60shallbethedaysnotfallingonSaturdays,Sundays,orPublic 61holidaysintheplacestatedinBox15>fromtheCancelling 62Date.However,ifthefailuretodelivertheVesseliscaused 63byanyeventoverwhichtheSellershavenocontrol,then 64theCancellingDateshallbeextendedbythecorresponding 65timelostduetosucheventbutinnocaseshallsuchextension66beforaperiodofmorethanthirty<30>days. 67<d>IntheeventtheBuyersdonotelecttoexercisetheoptionto 68cancelthisAgreementinaccordancewithsub-clause<c>above, 69theyshallhavetherighttodesignateanewdatefordelivery 70oftheVessel,providedsuchrightisexercisedinwriting 71withintwo<2>WorkingDaysfromtheCancellingDate,and 72suchdesignateddateshallbethenewCancellingDateasif 73statedinBox14designatedbytheBuyersinaccordancewiththissub-clause 75thereshallbenofurtherCancellingDateandtheSellersshall 76delivertheVesselassoonaspracticable. 77<e>Notwithstandingtheexerciseofduediligencebythem,if 78theSellersanticipatethattheVesselwillnotbereadyfor 79deliverybytheCancellingDate,<whetheritbethefirstagreed 80CancellingDateoranysubsequentCancellingDateas 81providedforinsub-clause<d>above>,thentheSellersmay 82notifytheBuyersinwritingstatingthedatewhenthey 83anticipatethattheVesselwillbereadyfordeliveryand 84 proposingthatthatdateshallbethenewCancellingDate. 85UponreceiptofsuchnotificationtheBuyersshallhavethe 86optiontocancelthisAgreement,providedsuchoptionis 87exercisedinwritingwithintwo<2>WorkingDaysfromthe 88receiptoftheaforesaidnotificationfromtheSellers.Ifthe 89BuyersdonotexercisetheoptiontocancelthisAgreement, 90thedateproposedbytheSellersshallbethenewCancelling 91DateasifstatedinBox144、交付地點(diǎn)和時(shí)間〔a

賣方應(yīng)確保船舶在交付區(qū)域〔載于第13欄內(nèi)已做好交付準(zhǔn)備,不得早于且也不得晚于第14欄記載的時(shí)間,最后一天即為解約日。〔b

賣方應(yīng)保持通知買方船舶的行程,并提前30日、15日、7日和3日,發(fā)給買方關(guān)于船舶準(zhǔn)備就緒交船的預(yù)期時(shí)間和地點(diǎn)的通知?！瞔

萬一在解約日當(dāng)天或之前,船舶沒有備妥交付,買方有權(quán)取消該買賣協(xié)議,但是須在從解約日起2個工作日〔不應(yīng)發(fā)生在第15欄記載地點(diǎn)的周六、周日或公共假日范圍內(nèi)以書面形式提出行使此選擇權(quán)。然而,如果不能交付船舶是由于賣方不能控制的任何事件所引起的,那么,解約日將根據(jù)該事件造成的時(shí)間損失做相應(yīng)的延長,但最長不得超過30天期限?！瞕

在買方?jīng)]有根據(jù)上文〔c款行使取銷該協(xié)議的選擇權(quán)時(shí),他將有權(quán)指定一個新的船舶交付日,但須在從解約日起的兩個工作日內(nèi)以書面形式行使此權(quán)利,因此,該指定的日期應(yīng)成為新的解約日,如同第14欄已經(jīng)載明的一樣。然而,如果買方未根據(jù)上文〔c分條款進(jìn)行指定,則應(yīng)不存在新的解約日,那么,賣方應(yīng)盡快交付船舶?！瞖

盡管賣方已經(jīng)行使恪盡職守之職,如果賣方預(yù)計(jì)到船舶無法在解約日截止前準(zhǔn)備就緒交付〔無論是最初約定的解約日,還是根據(jù)上文〔d款規(guī)定,后來設(shè)定的任何解約日,那么賣方可以書面通知買方聲明他們預(yù)期準(zhǔn)備就緒交付的日期,并提議該日作為新的解約日。一旦收到賣方的書面通知后,買方應(yīng)有權(quán)在收到該通知起的2個工作日內(nèi)書面取消本協(xié)議。如果買方?jīng)]有行使選擇權(quán)去取消本協(xié)議,那么,賣方提議的新的日期將成為新的解約日,如同第14欄載明一樣。5.DELIVERYCONDITION 93<a>TheSellersshalldelivertheVesseltotheBuyersin 94substantiallythesameconditionaswhentheVesselwas 95InspectedbytheBuyersattheplacestatedinBox9,fair 96wearandtearexcepted,butfreefromoutstanding 97recommendationsandaveragedamageaffectingherpresent 98classandwithallherclass,nationalandinternationaltrading 99certificatescleanandvalidatthetimeofdelivery. 100<b>UpontheVesselbeingdeliveredtoandacceptedbythe 101BuyersinaccordancewiththisAgreementtheSellersshall 102havenoliabilitywhatsoeverforanyfaultordeficiencyin 103theirdescriptionoftheVesselorforanydefectsintheVessel 104regardlessofwhethersuchdefectwasapparentorlatentat 105thetimeofdelivery. 1065、交付條件〔a

賣方交付船舶的狀況應(yīng)該與買方在第9欄載明的地點(diǎn)檢查船舶時(shí)基本一致,正常損耗除外；但不得有任何影響船舶現(xiàn)有船級狀況未糾正的批注和海事?lián)p壞；而且在交船時(shí),保持所有船級證書,船旗國證書和國際營運(yùn)證書清潔和有效?！瞓

根據(jù)本協(xié)議,一旦船舶交付并由買方接受,對無論任何關(guān)于船舶描述的故障和缺陷,或交付時(shí)不論是顯現(xiàn)的或潛在的船舶缺陷,賣方均不應(yīng)承擔(dān)任何責(zé)任。6.UNDERWATERINSPECTION 107<a>TheSellersmaydelivertheVesselwithoutdrydocking, 108subjecttothefollowingprovisions. 109<b>PriortodeliveryoftheVesseltheBuyersshallhavetheright 110tohavediversapprovedbyaclassificationsocietyreferred 111toinBox5<"theClassificationSociety">,carryoutan 112inspectionoftheVessel’sunderwaterpartsbelowthesummer 113loadlineinthepresenceofasurveyoroftheClassification 114SocietyarrangedbytheSellers.Suchinspection,ifany,isto 115beattheBuyers’arrangement,riskandexpenseandisnot 116tointerferewiththeVessel’soperationanddeliveryschedule. 117<c>TheBuyersshallgiveawrittennoticeoftheirintentionto 118haveanunderwaterinspectioncarriedoutwithintwo<2> 119daysfromthereceiptoftheseven<7>daysnoticestipulated 120insub-clause<b>ofClause4.IftheBuyersfailtogivesuch 121awrittennoticewithintwo<2>days,theyshalllosetheir 122righttohaveanunderwaterinspection 123<d>UponreceiptoftheBuyers’noticetheSellersshallarrange 124withtheClassificationSocietytocarryoutanunderwater 125inspection.Thecostoftheunderwaterinspectionshallbe 126bornebytheBuyersunlessdamageaffectingtheclassis 127found,inwhichcasetheSellersshallbearthecost. 128<e>Shouldanydamageaffectingtheclassbefoundbysuch 129divers’inspectionthefollowingshallapply: 130<i>wherethedamageisofsuchnaturethatrepairsarenot 131requiredpriortothenextscheduleddrydockingbythe 132ClassificationSociety,thentheSellersandtheBuyers 133shalleachselectareputableshipyardintheDelivery 134RangestatedinBox13orneartheretoandobtainfrom 135suchshipyardaquotationforthecostofrepairsofthe 136damage.Eachquotationistobeforthedirectrepaircosts 137ofthedamageonlyandisnottoincludethecostof 138dockageandgeneralserviceexpenses.TheSellersshall 139thenhavetheoptiontoeitherrepairthedamagepriorto 140deliveryoftheVesselordelivertheVesselwithoutthe 141damagebeingrepairedwithareductionfromthePurchase 142Priceoftheestimatedcostofrepairs.Theestimatedcost 143ofrepairsshallbedefinedastheaverageofthetwo 144quotationsobtainedfromthetwoshipyards; 145<ii>wherethedamageisofsuchnaturethatrepairsare 146requiredpriortothenextscheduleddrydockingbythe 147ClassificationSociety,thentheSellersshallrepairthe 148damageattheircostandexpenseandtotheClassification 149Society’ssatisfaction. 150<f>IntheeventthattheVesselisdrydockedtoeffectrepairsof 151damageinaccordancewithsub-clause<e>hereof,theSellers 152shallhavetherighttodesignatethedrydockplaceasthe 153newdeliveryplaceifsuchdrydockplaceiswithinthe 154DeliveryRangestatedinBox13.InsucheventtheBuyers 155shallhavetherighttocleanandpainttheunderwaterparts 156oftheVesselattheirriskandexpenseandwithoutinterfering 157withtheworkoftheSellersandasurveyorofthe 158ClassificationSocietyandwithoutaffectingtheVessel’s 159deliveryschedule.HoweveriftheBuyers’workindrydock 160isstillinprogresswhentheSellershavecompletedtheir 161work,thentheadditionaldockingperiodnecessaryfor 162completingsuchworkshallbeattheBuyers’riskand 163expense,inwhicheventtheSellersshallhavetherightto 164tenderaNoticeofReadinessforDeliveryonorafter 165completionoftheirwork. 166<g>Ifrepairsarerequiredinaccordancewithsub-clause<e> 167hereof,thentheCancellingDateshallbeextendedbythe 168correspondingtimelosttoeffectsuchrepairsprovidedthat 169suchextensionshallnotinanyeventexceedthirty<30>days. 1706、水下檢驗(yàn)〔a

根據(jù)以下條款,賣方可以無需安排進(jìn)塢而交付船舶?！瞓

交付船舶前,買方應(yīng)該有權(quán)雇傭經(jīng)船級社〔第5欄批準(zhǔn)的潛水員執(zhí)行對船舶夏季載重線以下的水下部分進(jìn)行檢驗(yàn),且需賣方安排的船級社驗(yàn)船師在場監(jiān)督。該檢驗(yàn)〔如有由買方安排,風(fēng)險(xiǎn)、費(fèi)用也由買方承擔(dān),且不得干擾船舶的運(yùn)營計(jì)劃及交船進(jìn)度?！瞔

買方應(yīng)在收到〔第4條b次條規(guī)定的7日通知書之日起的2日內(nèi),書面通知賣方他們對船舶進(jìn)行水下檢驗(yàn)的意圖。如買方?jīng)]有在這2日內(nèi)給出書面通知,他應(yīng)將失去水下檢驗(yàn)的權(quán)利?！瞕一旦收到買方的書面通知后,賣方應(yīng)安排船級社開展水下檢驗(yàn)。水下檢驗(yàn)的費(fèi)用由買方承擔(dān),但如果發(fā)現(xiàn)影響船級的損壞,在這種情況下,費(fèi)用應(yīng)將由賣方承擔(dān)?！瞖

如果檢驗(yàn)發(fā)現(xiàn)影響船級的損壞,適用以下條款：〔i

當(dāng)損壞不需要在下一次船級社要求的定期塢檢之前進(jìn)行修理時(shí),那么,買賣雙方應(yīng)在第13欄載明的交船區(qū)域或其附近,各自挑選一家有良好信譽(yù)的船塢,并從船塢處獲得修復(fù)該損壞所需的報(bào)價(jià)。每份報(bào)價(jià)只是直接修復(fù)損壞的費(fèi)用,不包括船塢費(fèi)和一般服務(wù)費(fèi)用。賣方應(yīng)有選擇權(quán)在船舶交付前修復(fù)損壞,或不修復(fù)損壞但要從購船價(jià)款中扣除預(yù)計(jì)修復(fù)費(fèi)用。預(yù)計(jì)修復(fù)費(fèi)用應(yīng)由兩家船塢提供的報(bào)價(jià)平均計(jì)算得出?！瞚i

當(dāng)損壞需要在下一船級定期塢檢之前修復(fù)的,那么賣方應(yīng)自費(fèi)修復(fù)船舶直到船級社滿意為止?！瞗

當(dāng)船舶依上一次條之規(guī)定進(jìn)入船塢進(jìn)行修理損壞時(shí),賣方有權(quán)指定該船塢地作為新的交船地,如果該船塢是位于第13欄交船的地理范圍內(nèi)。在此情況下,買方應(yīng)有權(quán)在不影響交船進(jìn)程、不妨礙賣方及船級社驗(yàn)船師工作的前提下,自費(fèi)清洗和油漆船舶水下部分,且風(fēng)險(xiǎn)自負(fù)。然而,如果當(dāng)賣方已經(jīng)完成其工作而買方的塢修工作卻仍在繼續(xù),那么,額外在船塢期間的風(fēng)險(xiǎn)和費(fèi)用將由買方承擔(dān),此時(shí),賣方有權(quán)在完成其工作之時(shí)或之后遞交船舶準(zhǔn)備就緒交船通知書?！瞘

如果船舶根據(jù)上以次條〔第e次條需要修理,那么,解約日應(yīng)根據(jù)進(jìn)行修理所花費(fèi)的時(shí)間相應(yīng)地延長,條件是無論何種情形延長都不超過30日。7.NOTICEOFREADINESSANDLIQUIDATEDDAMAGES171<a>WhentheVesselbecomesreadyfordelivery,theSellersshall 172tendertotheBuyersaNoticeofReadinessforDelivery. 173<b>TheBuyersshalltakeovertheVesselwithinthree<3>Banking 174DaysfromthedayofreceiptofsuchNoticeofReadinessfor 175Delivery 176<c>IntheeventtheBuyersdonottakedeliveryoftheVessel 177withintheperiodspecifiedabove,theBuyersshallpayto 178theSellersforeachdayofthedelayuptothetenth<10th>day 179ofthedelaytheliquidateddamagesasstatedinBox16.If 180thedelayexceedsten<10>daysthentheSellersshallhave 181therighttocancelthisAgreementandclaimdamagesfor 182theirlossesflowingtherefrom. 1837、準(zhǔn)備就緒通知書和議定損害賠償金〔a
