雙方在同等互利基礎(chǔ)上，通過友好協(xié)商，特訂立本合同。

第一條貿(mào)易內(nèi)容

(一)乙方同意按甲方在合同中提出的嚴(yán)格標(biāo)準(zhǔn)和規(guī)格，用甲方供應(yīng)的原料生產(chǎn)甲方指定的產(chǎn)品。

依據(jù)乙方供應(yīng)的設(shè)計原型，圖紙與產(chǎn)品樣品，甲乙雙方共同制定規(guī)范，以滿意生產(chǎn)的須要，這種規(guī)范要符合加工成品的質(zhì)量和性能標(biāo)準(zhǔn)。此規(guī)范一經(jīng)雙方確定，任何變動只有依雙方書面協(xié)議修改。

第三條原材料供應(yīng)

(一)本協(xié)議期間，最遲在每個公歷季度前____月，甲方應(yīng)向乙方供應(yīng)該季度甲方定貨所需的生產(chǎn)原材料和消耗材料。

(二)乙方收到甲方供應(yīng)的原材料后，應(yīng)按甲方指定的檢查方法馬上對原材料進(jìn)行檢查，并將其結(jié)果在檢查完畢后____天內(nèi)向甲方報告。不符合甲方規(guī)格要求的原材料不能用來生產(chǎn)指定產(chǎn)品。

第四條加工費

(二)生產(chǎn)指定產(chǎn)品的加工費應(yīng)當(dāng)按上述價格執(zhí)行并在第一個____年期內(nèi)不變。在此____年期后，乙方可在不少于____是給甲方以書面通知，以求變更加工費。假如甲方接到變更加工費的通知后____月內(nèi)不作變更，此協(xié)議可以終止。

第五條支付條款

關(guān)于加工費的支付、甲方至少應(yīng)在每次完工的貨物裝船____天以前，由經(jīng)乙方認(rèn)可的銀行開立以乙方為受益人，金額足以支付裝船貨物的保兌的不行撤銷的信用證。該信用證憑乙方的商業(yè)發(fā)票、全套提單、裝箱單和商檢證明議付。

第六條技術(shù)資料和技術(shù)服務(wù)

(一)乙方同意向甲方供應(yīng)組裝加工成品所需的圖紙，說明書及成品測試、檢查標(biāo)準(zhǔn)等。

(二)甲方同意對乙方在加工裝配技術(shù)方面的質(zhì)疑予以適當(dāng)解答。

(三)在合同有效期內(nèi)，依據(jù)乙方懇求，乙方同意派遣其工程技術(shù)人員到乙方工廠進(jìn)行與加工裝配有關(guān)的技術(shù)指導(dǎo)。甲方派遣工程技術(shù)人員的全部旅行費用和生活費用將由乙方擔(dān)當(dāng)。

(四)在合同有效期內(nèi)，依據(jù)乙方懇求，甲方同意乙方人員到甲方工廠接受有關(guān)加工裝配的技術(shù)培訓(xùn)。但乙方每次派遣人數(shù)不得超過____人，停留時間不得超過____天。乙方派遣人員的全部旅行費用和生活費用將由乙方擔(dān)當(dāng)。

第七條質(zhì)量限制和檢測

(一)生產(chǎn)的成品應(yīng)由甲方指定的代理人或檢驗人進(jìn)行檢驗，證明產(chǎn)品與甲方指定的質(zhì)量標(biāo)準(zhǔn)和規(guī)范一樣。

(二)假如出現(xiàn)產(chǎn)品不符合甲方標(biāo)準(zhǔn)的狀況，甲方可拒絕收貨。但，甲方可依據(jù)甲乙雙方視每次詳細(xì)狀況的折扣議價予以接受。

(三)乙方為甲方生產(chǎn)的產(chǎn)品至少應(yīng)與目前第三者銷售的類似產(chǎn)品質(zhì)量相同。合同期間全部影響產(chǎn)品質(zhì)量、規(guī)格的變更應(yīng)在這種變更運用于產(chǎn)品之前____天通知甲方。甲方為充分服務(wù)市場的目的，可隨時建議變更或改進(jìn)產(chǎn)品，乙方應(yīng)真誠地考慮接受這些變更或改進(jìn)的看法。

第八條包裝與標(biāo)記

產(chǎn)品要嚴(yán)格根據(jù)甲方的指示和出口貨物商品常規(guī)進(jìn)行合適包裝。包裝要嚴(yán)格按甲方指示注明標(biāo)記。甲方應(yīng)至少在貨物完工交運前____天給乙方標(biāo)記指示。

在cfr和cif條件下，乙方應(yīng)在裝船期前____天內(nèi)將船只、船籍、船齡用電傳/傳真方式通知甲方。在未得甲方確認(rèn)時，裝運不得進(jìn)行。甲方應(yīng)在____工作日內(nèi)予以確認(rèn)，否則即認(rèn)為船只得到認(rèn)可。

第九條裝運及交貨

在cfr和cif條件下，乙方應(yīng)在裝船期前____天內(nèi)將船名、船籍、船齡用電傳/傳真方式通知甲方。在未得到甲方通知時，裝運不得進(jìn)行。甲方應(yīng)在____工作日內(nèi)予以確認(rèn)，否則即認(rèn)為船只得到認(rèn)可。

在fob條件下，由甲方負(fù)責(zé)根據(jù)合同規(guī)定的交貨日期洽定艙位。乙方應(yīng)在合同規(guī)定的裝船期前____日將合同號、貨物名稱、數(shù)量、金額、箱數(shù)、總重量、總體積及貨物在裝運港備妥待運的日期以電傳/傳真方式通知甲方。甲方應(yīng)在裝船期前____日通知乙方船號、預(yù)料裝船日期、合同號，以便乙方支配裝運。假如有必要變更裝運船只達(dá)日期，甲方或其運輸代理應(yīng)剛好通知乙方。如船只不能在甲方通知的船期后____日內(nèi)到達(dá)裝運港，甲方應(yīng)擔(dān)當(dāng)從第____之日起發(fā)生的貨物倉儲保管費用。

船只到達(dá)預(yù)定裝運港時，乙方如未按時將要裝載的貨物如約備足，則應(yīng)擔(dān)當(dāng)空艙費或滯期費。

在fob、cfr和cif條件下，乙方在貨物裝船完畢后馬上以電傳/傳真方式向甲方發(fā)出裝船通知。裝船通知應(yīng)包括合同號、貨物名稱、數(shù)量、毛重量、包裝尺碼、發(fā)票金額、提單號碼、啟航日期。

第十條料件耗用

在加工裝配過程中的料件耗用率為____%。料件耗用率低于____%，甲方將免費補充供應(yīng)已耗用的料件。如料件耗用率超過____%，乙方將擔(dān)當(dāng)補充耗用料件所發(fā)生的一切費用。

第十一條全部權(quán)和風(fēng)險轉(zhuǎn)移

甲方交給乙方的原材料和用此生產(chǎn)的產(chǎn)品全部權(quán)、原材料或產(chǎn)品丟失的或損壞的風(fēng)險，全部歸甲方。不過，從乙方收到運來的材料起至交付產(chǎn)品給甲方時止，乙方經(jīng)甲方同意，用甲方的費用，在保險公司就貨物的各種損壞、毀滅和丟失購買的全值保險，甲方應(yīng)為此保險的收益人。

第十二條不行抗力

任何一方對由于下列緣由而導(dǎo)致不能或短暫不能履行全部或部分合同義務(wù)的，不負(fù)責(zé)任：水災(zāi)、火災(zāi)、地震、干旱、斗爭或其他任何雙方在簽約時不能預(yù)料、無法限制且不能避開和克服的事務(wù)。但不行抗力影響的一方，應(yīng)盡快地將所發(fā)生的事務(wù)通知對方，并應(yīng)在事務(wù)發(fā)生后15天內(nèi)將有關(guān)機構(gòu)出具的不行抗力事務(wù)的證明寄交對方。

假如不行抗力事務(wù)之影響超過120天，雙方應(yīng)協(xié)商合同接著履行或終止履行的事宜。

第十三條仲裁

對于因履行本合同發(fā)生的一切爭議，雙方應(yīng)友好協(xié)商解決，如協(xié)商無法解決爭議，則應(yīng)將爭議提交中國國際經(jīng)濟仲裁委員會(北京)，依據(jù)其仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對雙方都有約束力。仲裁費用應(yīng)由敗訴一方擔(dān)當(dāng)，但仲裁委員會另有裁定的除外。

第十四條合同有效期

本合同自雙方簽字之日起生效，有效期____年。

第十五條合同修改

對本合同的修改，必需對甲、乙雙方簽署書面協(xié)議才能成立。

第十六條文字

本合同用中文和英文寫成，兩種文本具有同等效力。上述兩種文本如有不符，以中文本為準(zhǔn)。

chapter17liabilityforbreachofcontract

article42shouldthecooperativeventurecompanybeunabletocontinueitsoperationorachieveitsbusinesspurposeduetothefactthatoneofthecontractingpartiesfailstofulfiltheobligationsprescribedbythecontractandarticlesofassociation,orseriouslyviolatestheprovisionsofthecontractandarticlesofassociation,thatpartyshallbedeemedtohaveunilaterallyterminatedthecontract.theotherpartyshallhavetherighttoterminatethecontractinaccordancewiththeprovisionsofthecontractafterapprovalbytheoriginalexaminationandapprovalauthority,andtoclaimdamages.incasepartyaandpartybofthecooperativeventurecompanyagreetocontinuetheoperation,thepartywhofailstofulfilitsobligationsshallbeliablefortheeconomiclossescausedtherebytothejointventurecompany.

article46shouldeitherofthepartiestothecontractbepreventedfromexecutingthecontractbyforcemajeure,suchasearthquake,typhoon,flood,fire,warorotherunforeseenevents,andtheiroccurrenceandconsequencesareunpreventableandunavoidable,thepreventedpartyshallnotifytheotherpartybytelegramwithoutanydelay,andwithin15daysthereafterprovidedetailedinformationoftheeventsandavaliddocumentforevidenceissuedbytherelevantpublicnotaryorganizationexplainingthereasonofitsinabilitytoexecuteordelaytheexecutionofallorpartofthecontract.bothpartiesshall,throughconsultations,decidewhethertoterminatethecontractortoexemptpartoftheobligationsforimplementationofthecontractorwhethertodelaytheexecutionofthecontractaccordingtotheeffectsoftheeventsontheperformanceofthecontract.

article48anydisputesarisingfromtheexecutionof,orinconnectionwith,thecontractshallbesettledthroughfriendlyconsultationsbetweenbothparties.incasenosettlementcanbereachedthroughconsultations,thedisputesshallbesubmittedtotheforeigneconomicandtradearbitrationcommissionofthechinacouncilforthepromotionofinternationaltradeforarbitrationinaccordancewithitsrulesofprocedure.thearbitralawardisfinalandbindinguponbothparties.

article30laborcontractcoveringtherecruitment,employment,dismissalandresignation,wages,laborinsurance,welfare,rewards,penaltiesandothermattersconcerningthestaffandworkersofthecooperativeventurecompanyshallbedrawnupbetweenthecooperativeventurecompanyandthetradeunionofthecooperativeventurecompanyasawhole,ortheindividualemployeesinthecooperativeventurecompanyasawholeorindividualemployeesinaccordancewiththelawofthepeople’’srepublicofchinaonchinese-foreigncooperativejointventures.thelaborcontractsshall,afterbeingsigned,befiledwiththelocallabormanagementdepartment.

article31theappointmentofhigh-rankingadministrativepersonnelrecommendedbybothparties,theirsalaries,socialinsurance,welfareandthestandardoftravellingexpensesetc.shallbedecidedbythemeetingoftheboardofdirectors.

article33staffmembersandworkersofthecooperativeventurecompanyshallpayindividualincometaxaccordingtotheindividualincometaxlawofthepeople’’srepublicofchina.

article34thefiscalyearofthejointventurecompanyshallbefromjanuary1todecember31.allvouchers,receipts,statisticstatementsandreportsshallbewritteninchinese.(note:aforeignlanguagecanbeusedconcurrentlywithmutualconsent).

article35financialcheckingandexaminationofthecooperativeventurecompanyshallbeconductedbyanauditorregisteredinchinaandreportsshallbesubmittedtotheboardofdirectorsandthegeneralmanager.incasepartybconsidersitnecessarytoemployaforeignauditorregisteredinanother
