建設(shè)工程委托監(jiān)理合同(中英文)SUPERVISIONCONTRACTFORCONSTRUCTIONPROJECTPartIAgreement第一部分建設(shè)工程委托監(jiān)理合同ThisAgreementissignedbetween(hereinafterreferredtoas"theClient")andShanghaiTongjiProjectManagementandConsultingCo.Ltd.(hereinafterreferredtoasthe"Supervisor")throughmutualconsultation.

委托人與監(jiān)理人經(jīng)過雙方協(xié)商一致,簽訂本合同.

I.BriefinformationoftheprojectforwhichtheClientdesiresthosesupervisionservicesshouldbeperformedbytheSupervisor(hereinafterreferredtoas"theProject")isasfollows:

II.InthisAgreementwordsshallhavethesamemeaningsasareassignedtotheminPartIIofthisSupervisionContract(hereinafterreferredtoas“theContract”)-StandardConditions.

本合同的有關(guān)詞語含義與本合同第二部分<<標(biāo)準(zhǔn)條件>>中賦予它們的定義相同.

III.ThefollowingdocumentsshallbedeemedtoformpartofthisAgreement:

下列文件均為本合同的組成部分:

(1)ThisAgreement;

此協(xié)議書;

(2)StandardConditionsoftheContract;

本合同標(biāo)準(zhǔn)條件;(3)ConditionsofParticularApplication;

本合同專用條件;

(4)SupplementarydocumentsandamendmentsjointlysignedbythetwopartiesduringtheexecutionoftheContract.

在實(shí)施過程中雙方共同簽署的補(bǔ)充與修正文件.

⑸

監(jiān)理人在報(bào)價(jià)時(shí)確定的的擬派現(xiàn)場(chǎng)監(jiān)理人員名單和現(xiàn)場(chǎng)監(jiān)理人員進(jìn)場(chǎng)計(jì)劃作為本合同附件。

IV.InconsiderationofthepaymenttobemadebytheClienttotheSupervisorashereinaftermentioned,theSupervisorherebycovenantswiththeClienttoperformsupervisionservicesinthescopeasstatedintheConditionsofParticularApplicationinconformitywiththeprovisionsoftheContract.

考慮到以下提到的委托人向監(jiān)理人的付款，監(jiān)理人向委托人承諾,按照本合同的規(guī)定,承擔(dān)本合同專用條件中議定范圍內(nèi)的監(jiān)理業(yè)務(wù).

V.TheClientherebycovenantstopaytheSupervisor,inconsiderationoftheperformanceofthesupervisionservices,suchamountasmaybecomepayableundertheprovisionsoftheContractatthetimesandinthemannerandcurrencytypeprescribedbytheContract.

考慮到監(jiān)理人提供的監(jiān)理服務(wù)，委托人向監(jiān)理人承諾按照本合同注明的期限,方式,幣種,向監(jiān)理人支付報(bào)酬.

InwitnesswhereofthepartiesheretohavecausedthisAgreementtobeexecutedfromApril,2007toOctober,2008.Ifforanyreasonstheprojectstopsformorethanonemonthuninterrupted,theendingdatewillbepostponedwithsameperiods.

本合同自施工單位進(jìn)場(chǎng)時(shí)開始,至整個(gè)工程竣工驗(yàn)收止完成.如果項(xiàng)目進(jìn)行中，被停止連續(xù)時(shí)間超過一個(gè)月，完成時(shí)間應(yīng)該被順延。

PartIIStandardConditions第二部分標(biāo)準(zhǔn)條件Article1(3)"Supervisor"meansthepartywhoisemployedbytheClienttoperformsupervisionservicesandassumesupervisionliabilities,andlegalsuccessorstotheSupervisor.

Article5TheSupervisorshallexercisereasonablecareanddiligence,provideadviceatanappropriatelevelintheperformanceoftheobligationsundertheContracttotheClientandindemnifythelawfulrightsandinterestsofvariousparties.

Article6Article7DuringthecontractperiodoraftertheContractisterminated,withouttheconsentoftheClient,theSupervisorshallnotdisclosetheconfidentialinformationinrelationtotheProjectandtheContract.

ObligationsoftheClient委托人的義務(wù)Article8TheClientshallpayanadvancepaymenttotheSupervisorpriortothecommencementoftheservicesoftheSupervisor,ifsuchadvanceArticle9TheClientshallberesponsibleforallcoordinationofexternalrelationshipsinrelationtotheconstructionoftheProject.IftheClientassignspartorallofsuchcoordinationworkstotheSupervisorasisnecessary,thentheworktobeassignedandrelevanttermsofremunerationshallbespecifiedintheSupplementalClauses.Article10Article12TheClientshallappointaClient'sRepresentative(tobespecifiedintheConditionsofParticularApplication)whoisfamiliarwiththeProjectandabletomakedecisionwithinspecifiedtimeforthepurposeofcontactingtheSupervisor.ShouldtheClient'sRepresentativebereplaced,theClientshallnotifytheSupervisorinadvance.

Article13TheClientshalltimelynotifytheawardedContractor,inwriting,ofthepoweroftheSupervisor,rolesandauthoritiesofmainstaffoftheSupervisor.SuchinformationshallbemadeclearinthecontractsignedbytheClientandanythirdparty.

Article14TheClientshallnotifytoContractortoprovidethefollowinginformationtotheSupervisorwithinsuchatimethattheSupervisor'sworkwillnotbehampered:

(1)Listofsuppliers&manufacturersoftherawmaterials,componentsandparts,mechanicalequipmentetc.tobeusedintheProject;

與將用于本工程的原材料，構(gòu)配件，機(jī)械設(shè)備等的供應(yīng)和生產(chǎn)廠家名錄；

(2)Listofcoordinators,cooperatorsinrelationtothedevelopmentoftheProject.

與本工程有關(guān)的協(xié)作人，配合人的名錄。

Article15TheClientshallfurnishfreeofcharge(includingutilityfees)totheSupervisorthesiteoffice,telecommunicationconnection,accommodationandotherfacilitiesspecifiedintheConditionsofParticularApplication.

Article16Givencertaincircumstances,ifthetwopartiesagreethatRightsoftheSupervisor監(jiān)理人的權(quán)利Article17TheSupervisorshouldhavethefollowingrightswithinhisscopeofwork.ItisherebyunderstoodthatanyandallofthefollowingactivitiesshallalsobeconsideredastheobligationoftheSupervisor,whoshallperformthefollowingactivitieswheneveritisneededinordertoensurecompletionoftheProjectinthebestpossiblemannerandaccordingtotherelevantcontractualdocumentsandapplicablelaws:

(1)TherightandobligationtomakerecommendationsontheselectionoftheGeneralcontractor

(1)選擇工程總承包人的建議權(quán)和義務(wù)；

(2)TherightandobligationtomakerecommendationsontheselectionoftheSub-contractor

(2)選擇工程分包人的建議權(quán)和義務(wù)；

(3)TherightandobligationtomakerecommendationstotheClientintherespectsoftheprojectincludingprojectsize,designstandard,planningdesign,technologicaldesignandperformancerequirements.

(3)對(duì)工程建設(shè)有關(guān)事項(xiàng)包括工程規(guī)模、設(shè)計(jì)標(biāo)準(zhǔn)、規(guī)劃設(shè)計(jì)、生產(chǎn)工藝設(shè)計(jì)和使用功能要求，向委托人的建議權(quán)和義務(wù)；

(4)Therightandobligationtoadvise,intheprinciplesofsafetyandoptimum,theClientonthetechnicalproblemsinthedesign.IfthedesignisfoundtobenotinconformitywiththeQualityStandardspromulgatedbytheStateorspecifiedintheDesignContract,theSupervisorshallreporttotheClientinwriting.

(4)對(duì)工程設(shè)計(jì)中的技術(shù)問題,按照安全和最優(yōu)化的原則,有權(quán)利和義務(wù)向委托人提出建議.當(dāng)發(fā)現(xiàn)工程設(shè)計(jì)不符合國家頒布的建設(shè)工程質(zhì)量標(biāo)準(zhǔn)或設(shè)計(jì)合同約定的質(zhì)量標(biāo)準(zhǔn)時(shí),監(jiān)理人應(yīng)當(dāng)書面報(bào)告委托人.并提供處理方案

(5)TherightandobligationtoreviewtheconstructionmanagementplanandthetechnicalproposalandtomakerecommendationtotheClientforchangesthattheContractorcouldimplementtoensurequality,on-timecompletionandcostreduction.

(5)對(duì)審查工程施工組織和技術(shù)方案,按照保質(zhì)量、保工期和降低成本的原則,并就承包人有可能采取的變化監(jiān)理人有權(quán)利和義務(wù)向委托人提出建議并提供處理意見.

(6)Conductappropriatearrangementandco-ordinationwithrelevantorganisations,whichcanexertbeneficialinfluencetothedevelopmentoftheProject.ForallsuchmatterstheSupervisorshallfirstreporttotheClientinadvanceandseektheauthorityoftheClienttomakesucharrangementsandco-ordination.

(6)主持工程建設(shè)有關(guān)協(xié)作單位的組織協(xié)調(diào),對(duì)于所有協(xié)調(diào)項(xiàng)應(yīng)當(dāng)事先向委托人報(bào)告,并要求委托人授權(quán)以進(jìn)行組織協(xié)調(diào)工作.

(7)HavingobtainedtheconsentoftheClient,theSupervisorhastherighttogivecommandwithregardstocommencement,suspensionandresumptionoftheworks.Butbeforedoingso,heshallreporttotheClient.TheClient’sRepresentativewillbeavailableforcontactinginphonetodiscussemergencyandothermatters.

(7)征得委托人同意,監(jiān)理人有權(quán)發(fā)布開工令,停工令,復(fù)工令,但應(yīng)當(dāng)事先向委托人作出書面報(bào)告.委托人代表將可以隨時(shí)電話聯(lián)系到以就緊急情況和其他事宜與監(jiān)理人進(jìn)行研究.

(8)RightandobligationtocheckandinspectthematerialstobeusedintheProjectandqualityofconstructionandtoadvisetheContractorimmediatelyofanynon-conformities.ShouldtheContractorcontinuetousethematerialsafterthenon-conformityhasbeenidentified,thentheSupervisormustadvisetheClientthattheContractorshouldstopusingthem.Formaterials,componentsandparts,equipmentthatarenotinconformitywiththedesignrequirements,provisionsoftheConstructionContractandnationalqualitystandards,theSupervisorhastherighttonotifytheClientthattheContractorshouldstopusingthem;forworkingsequence,divisionalandsub-divisionalworksthatarenotinconformitywithrelevantcodesandqualitystandards,andconstructionoperationsthatposesafetyconcerns,theSupervisorhastherighttonotifytheClientthattheContractorshouldstopandmakecorrectionsorredotheworks.TheContractorcanresumeconstructiononlyafterhehasreceivedtheworkresumptioncommandfromtheSupervisionTeamviatheClient..

(8)工程上使用的材料和施工質(zhì)量的檢驗(yàn)權(quán)和義務(wù).發(fā)現(xiàn)不合格材料應(yīng)通知承包方，如果承包人在接到通知后仍繼續(xù)使用該不合格材料,監(jiān)理人必須及時(shí)通知委托人,讓承包人不得繼續(xù)使用.對(duì)于不符合設(shè)計(jì)要求和合同約定及國家質(zhì)量標(biāo)準(zhǔn)的材料,構(gòu)配件,設(shè)備,監(jiān)理人有義務(wù)通知委托人讓承包人停止使用;對(duì)于不符合規(guī)范和質(zhì)量標(biāo)準(zhǔn)的工序,分部分項(xiàng)工程和不安全的施工作業(yè),監(jiān)理人有義務(wù)及時(shí)通知委托人，監(jiān)理人有權(quán)讓承包人停工整改,返工.承包人只有通過委托人收到監(jiān)理機(jī)構(gòu)發(fā)出復(fù)工令后才能復(fù)工.

(9)Rightsandobligationtocheck,supervisetheprogressoftheconstruction.RighttoratifythattheactualcompletionisaheadorbehindthecompletiondatespecifiedintheConstructionContract.

(9)工程施工進(jìn)度的檢查、監(jiān)督權(quán)和義務(wù)，以及工程實(shí)際竣工日期提前或超過工程施工合同規(guī)定的竣工期限的簽認(rèn)權(quán)和義務(wù)；

(10)RightandobligationtocheckandcertifybysignaturethatthepaymenttotheconstructioncontractoriswithinthescopeoftheConstructionContract,torecheck,confirm,andnegatetothesettlementoftheaccounts.WithoutthesignatureandconfirmationfromtheChiefSupervisionEngineer,theclientwillnotmakepaymenttotheconstructioncontractor.

(10)在工程施工合同約定的工程價(jià)格范圍內(nèi)，工程款支付的審核和簽認(rèn)權(quán)和義務(wù)，以及工程結(jié)算的復(fù)核確認(rèn)權(quán)與否定權(quán)。未經(jīng)總監(jiān)理工程師簽字確認(rèn)，委托人不支付工程款。

Article18Duringsupervision,iftheemployee(s)oftheContractorisfoundtobeincapableofhisjob,theSupervisionTeamshallnotifytheClientoftheviewsoftheSupervisionTeamonthismatter.

第十八條在監(jiān)理過程中如發(fā)現(xiàn)工程承包人員工作不力,監(jiān)理機(jī)構(gòu)應(yīng)將其對(duì)此事的觀點(diǎn)告知委托人.

Article19Withinthescopeofwork,iftheClientandtheContractorhaveanydissentandrequirement(includingclaim)toeachother,andwheresuchdisputeisbeingmediatedbyanadministrativedepartmentinchargeofconstructionorbeingarbitratedbyarbitrationbody(ChinaInternationalEconomicandTradeArbitrationCommission,Shanghai),theSupervisorshallproviderelevantproof.

第十九條在委托的工程范圍內(nèi)，當(dāng)委托人和承包人對(duì)對(duì)方有任何意見和要求(包括索賠要求),雙方爭議由政府建設(shè)行政主管部門調(diào)解或仲裁機(jī)關(guān)（中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)－上海[H1]）仲裁時(shí)，監(jiān)理人應(yīng)當(dāng)提供相關(guān)證明。RightsoftheClient委托人的權(quán)利Article20TheClienthastherighttoappointtheContractorandenterintoacontractwiththatcontractor.

第二十條委托人有選定工程承包人，以及與其簽訂合同的權(quán)利。

Article21TheClienthastherighttodecidetheprojectsizeandagreethedesignstandard,planningdesign,technologicaldesignanddesignedperformancerequirements;andtherighttoapproveconstructioncost,programmeanddesignvariation.

第二十一條委托人享有對(duì)工程規(guī)模、設(shè)計(jì)標(biāo)準(zhǔn)，規(guī)劃設(shè)計(jì)、生產(chǎn)工藝設(shè)計(jì)和設(shè)計(jì)使用功能要求的認(rèn)定權(quán)，以及對(duì)工程造價(jià)、進(jìn)度計(jì)劃和設(shè)計(jì)變更的審批權(quán)。

Article22IntheeventthattheSupervisorwanttoreplacetheChiefSupervisionEngineer,heshallobtaintheClient’sconsentinadvanceduringtheContractconductingperiod.

第二十二條在履行本合同期間,監(jiān)理人調(diào)換總監(jiān)理工程師須事先經(jīng)委托人同意。

Article23TheClienthastherighttorequiretheSupervisortosubmitsupervisionreportandspecificreportineachdisciplinewithintheSupervisor’sscopeofwork..

第二十三條委托人有權(quán)要求監(jiān)理人提交監(jiān)理工作報(bào)告及監(jiān)理人業(yè)務(wù)范圍內(nèi)的專項(xiàng)報(bào)告。

Article24IntheeventthattheClientfindtheSupervisor’sstafffailstoperformdutiesundertheContract,orcauseanylosstotheProjectortheClientthroughcollusionwiththeContractor,theClientshallbeentitledtorequirethatsuchstaffbereplacedbytheSupervisororeventerminatetheContractanddemandtheSupervisortoassumeresponsibilitiesorcontiguousresponsibilitiesinpayingcompensation.

第二十四條當(dāng)委托人發(fā)現(xiàn)監(jiān)理人的職員不按本合同履行監(jiān)理職責(zé)，或與承包人串通給本工程或委托人造成任何損失的，委托人有權(quán)要求監(jiān)理人更換該職員，直到終止合同并要求監(jiān)理人承擔(dān)相應(yīng)的賠償責(zé)任或連帶賠償責(zé)任。

LiabilitiesoftheSupervisor監(jiān)理人的責(zé)任Article25TheSupervisor’sliabilityperiodisthevalidperiodoftheContract(ContractPeriod),includingthemaintenanceperiod.IntheeventthattheprojectprogrammeispostponedordelaywhichresultsintheContractPeriodtobeextended,thetwopartiesshallmakefurthernegotiationtoagreeanextensionoftheContractPeriod.監(jiān)理人的責(zé)任期即本合同有效期（合同期），包括維護(hù)期。如果因工程進(jìn)度的推遲或延誤而導(dǎo)致合同期將要延長，雙方應(yīng)進(jìn)一步協(xié)商約定的延長合同期。

Article26TheSupervisorshallperformhisdutiesduringtheContractPeriod.ShouldanyfinanciallossbecausedbythefaultoftheSupervisor,heshallpaycompensationtotheClient.Accumulatedamountofcompensation(exceptforthecompensationspecifiedinArticle24)shallnotexceedthetotalpaymentbytheClienttotheSupervisor(excludingincometax).

監(jiān)理人在合同期內(nèi)，應(yīng)當(dāng)履行約定的責(zé)任。如果因監(jiān)理人過失而造成了委托人的任何經(jīng)濟(jì)損失，其應(yīng)當(dāng)向委托人賠償。累計(jì)賠償總額（除第二十四條規(guī)定的賠償以外）不應(yīng)超過委托人向監(jiān)理人支付的報(bào)酬總數(shù)（除去稅金）。賠償按相關(guān)法律執(zhí)行[H2]Article27TheSupervisorshallbenotresponsibleforanyContractor’snonconformityinqualityrequirementsandcompletiontime(forsubmittingdrawingsordeliveryofgoods).IntheeventofanyforcemajeurewhichcausepartoralloftheexecutionoftheContracttobeimpossible,theSupervisorshallnotbeheldresponsible.ButforanyinfringementtoArticle5,theSupervisorshallpaycompensationtotheClient.

第二十七條監(jiān)理人對(duì)承包人違反施工合同規(guī)定的質(zhì)量要求和完工(交圖、交貨)時(shí)限，因監(jiān)理人失責(zé)應(yīng)承擔(dān)相應(yīng)的責(zé)任，因不可抗力導(dǎo)致本合同不能全部或部分履行，監(jiān)理人不承擔(dān)責(zé)任。但對(duì)違反第五條規(guī)定引起的與之有關(guān)的事宜，應(yīng)向委托人承擔(dān)賠償責(zé)任。

Article28IftheclaimmadebytheSupervisortotheClientcannotbejustified,theSupervisorshallberesponsibleforanycostincurredbytheClientinrelationtotheclaim.

第二十八條監(jiān)理人向委托人提出賠償要求不能成立時(shí)，監(jiān)理人應(yīng)當(dāng)補(bǔ)償由于該索賠所導(dǎo)致委托人的任何費(fèi)用支出。

委托人的責(zé)任LiabilitiesoftheClientArticle29TheClientshallcarryouthisdutiesasstatedintheContract.第二十九條委托人應(yīng)當(dāng)履行本合同約定的義務(wù)，如有違反則應(yīng)當(dāng)承擔(dān)違約責(zé)任，賠償給監(jiān)理人造成的直接經(jīng)濟(jì)損失。

Article30IftheclaimmadebytheClienttotheSupervisorcannotbejustified,theClientshallberesponsibleforanycostincurredbytheSupervisorinrelationtotheclaim.第三十條委托人如果向監(jiān)理人提出賠償?shù)囊蟛荒艹闪?，則應(yīng)當(dāng)補(bǔ)償由該索賠所引起的監(jiān)理人的各種費(fèi)用支出。

本合同的開始、變更與終止

Commencement,AlternationandTerminationoftheContractArticle31IfArticle32If如實(shí)際情況發(fā)生變化，使得監(jiān)理人由于法律原因或?qū)嶋H原因不能根據(jù)本合同全部或部分執(zhí)行監(jiān)理業(yè)務(wù)時(shí)，監(jiān)理人應(yīng)當(dāng)立即通知委托人。經(jīng)委托人認(rèn)可，該監(jiān)理業(yè)務(wù)的完成時(shí)間應(yīng)予延長。當(dāng)恢復(fù)執(zhí)行監(jiān)理業(yè)務(wù)時(shí)，應(yīng)當(dāng)增加不超過42日的時(shí)間用于恢復(fù)執(zhí)行監(jiān)理業(yè)務(wù)，并按雙方約定的數(shù)量支付監(jiān)理報(bào)酬。

監(jiān)理人向委托人辦理完竣工驗(yàn)收或工程移交手續(xù)，承包人和委托人已簽訂工程保修責(zé)任書，監(jiān)理人收到所有監(jiān)理報(bào)酬，本合同即終止，除了有關(guān)雙方的責(zé)任的條款，其應(yīng)可按照相關(guān)法律的時(shí)效期限用以索賠。保修期間的責(zé)任，雙方在專用條件中約定。

[H3]第三十五條監(jiān)理人在應(yīng)當(dāng)獲得監(jiān)理報(bào)酬之日起30日內(nèi)仍未收到支付單據(jù)，而委托人又未對(duì)監(jiān)理人提出任何書面解釋時(shí)，或根據(jù)第三十三條及三十四條已暫停執(zhí)行監(jiān)理業(yè)務(wù)時(shí)限超過六個(gè)月的，監(jiān)理人可向委托人發(fā)出終止合同的通知，發(fā)出通知后14日內(nèi)仍未得到委托人答復(fù)，可進(jìn)一步發(fā)出終止合同的通知，如果第二份通知發(fā)出后42日內(nèi)仍未得到委托人答復(fù)，可終止合同或自行暫?；蚶^續(xù)暫停執(zhí)行全部或部分監(jiān)理業(yè)務(wù)。委托人承擔(dān)違約責(zé)任。

Article36Ifthesupervisionservicesaresuspendedorterminatedduetocausesnot第三十六條監(jiān)理人由于非自己的原因而暫?；蚪K止執(zhí)行監(jiān)理業(yè)務(wù)，不可抗力除外，其善后工作以及恢復(fù)執(zhí)行監(jiān)理業(yè)務(wù)的工作致使監(jiān)理工期延長，經(jīng)委托人認(rèn)可，應(yīng)當(dāng)視為額外工作，有權(quán)得到額外的報(bào)酬。

Article37IfintheopinionoftheClientthattheSupervisorisnotdischarginghisrightswithoutjustifiablereasons,hecaninformtheSupervisorofsuchopinion.第三十七條當(dāng)委托人認(rèn)為監(jiān)理人無正當(dāng)理由而又未履行監(jiān)理義務(wù)時(shí)，可向監(jiān)理人發(fā)出指明其未履行義務(wù)的通知。若委托人發(fā)出通知后21日內(nèi)沒有收到答復(fù)，可在第一個(gè)通知發(fā)出后35日內(nèi)發(fā)出終止委托監(jiān)理合同的通知，合同即行終止。監(jiān)理人承擔(dān)違約責(zé)任。

Article38Termination第三十八條合同協(xié)議的終止并不影響各方應(yīng)有的權(quán)利和應(yīng)當(dāng)承擔(dān)的責(zé)任。

監(jiān)理報(bào)酬P(guān)aymentArticle39第三十九條正常工作、附加工作和額外工作的報(bào)酬，按照監(jiān)理合同專用條件中第九條的方法計(jì)算，并按約定的時(shí)間和數(shù)額支付。

Article40第四十條如果委托人在規(guī)定的支付期限內(nèi)未支付監(jiān)理報(bào)酬，自規(guī)定之日起，還應(yīng)向監(jiān)理人支付滯納金。滯納金從規(guī)定支付期限最后一日起計(jì)算。

Article41第四十一條本合同適用的貨幣幣種、匯率在專用條件中陳述。

Article42第四十二條如果委托人對(duì)監(jiān)理人提交的支付通知中報(bào)酬或部分報(bào)酬項(xiàng)目提出異議，應(yīng)當(dāng)在收到支付通知書24內(nèi)向監(jiān)理人發(fā)出表示異議理由的通知，但委托人不得拖延其他無異議報(bào)酬項(xiàng)目的支付。

其他OtherArticle43UndertheconsentoftheClient,costnecessarilyincurredbytheSupervisorforvisitstocitiesotherthanShanghaioninvestigationpurpose,testingofmaterialsandequipmentcanbereimbursedbytheClient,withinthebudgetscope,asitactuallyhappens.

委托人根據(jù)建設(shè)工程需要邀請(qǐng)的建設(shè)工程監(jiān)理所必要的監(jiān)理人員出外考察、材料設(shè)備復(fù)試，其費(fèi)用支出經(jīng)委托人同意的，在預(yù)算范圍內(nèi)向委托人實(shí)報(bào)實(shí)銷。

Article44Withinthescopeofsupervisionservices,ifexpertisneededtobeemployedforconsultingorassistancepurposes,theSupervisorshallbearsuchcostwhentheexpertisemployedbyhim,theClientshallbearsuchcostwhentheexpertisemployedbyhim.

第四十四條在監(jiān)理業(yè)務(wù)范圍內(nèi)，如需聘用專家咨詢或協(xié)助，由監(jiān)理人聘用的，其費(fèi)用由監(jiān)理人承擔(dān)；在監(jiān)理業(yè)務(wù)范圍外由委托人聘用的，其費(fèi)用由委托人承擔(dān)。

Article45IfprofitisgeneratedfortheClientasaresultofrecommendationsmadebytheSupervisor,theClientmaygivebonustotheSupervisor.

第四十五條監(jiān)理人在監(jiān)理工作過程中提出的合理化建議，使委托人得到了經(jīng)濟(jì)效益，委托人在可以給予監(jiān)理人經(jīng)濟(jì)獎(jiǎng)勵(lì)。

Article46Theon-siteSupervisionTeamoritsstaffshallnotacceptanyremunerationormoneyprovidedbytheContractor.

第四十六條監(jiān)理人駐地監(jiān)理機(jī)構(gòu)及其職員不得接受監(jiān)理工程項(xiàng)目施工承包人的任何報(bào)酬或者經(jīng)濟(jì)利益。

TheSupervisorshallnottakepartinanyactivitythatmayhaveconflictwiththeinterestsoftheClientandwiththeworktobeperformedaccordingtothiscontract.

監(jiān)理人不得參與可能與合同規(guī)定的與委托人的利益相沖突的任何活動(dòng)。

TheSupervisorshallnotdiscloseanyinformationthatisdeclaredbytheClienttobeconfidential.TheSupervisorshallnotdiscloseanyinformationprovidedanddeclaredtobeconfidentialbytheDesignerortheContractoreither.

第四十七條監(jiān)理人不得泄露委托人申明的秘密，監(jiān)理人亦不得泄露設(shè)計(jì)人、承包人等提供并申明的秘密。第四十八條監(jiān)理人對(duì)于由其編制的所有文件擁有版權(quán)，委托人僅有權(quán)為本工程使用或復(fù)制此類文件。

爭議的解決

SettlementofDisputers第四十九條因違反或終止合同而引起的對(duì)對(duì)方損失和損害的賠償，雙方應(yīng)當(dāng)協(xié)商解決，如未能達(dá)成一致，可提交主管部門協(xié)調(diào)，如仍未能達(dá)成一致時(shí)，根據(jù)雙方約定提交仲裁機(jī)關(guān)仲裁，或向人民法院起訴。

6、為本工程制定的有關(guān)技術(shù)文件及規(guī)定。

Article2Thescopeofsupervision

第二條監(jiān)理工作內(nèi)容

Tosupervisetheconstructionquality,progress,contract,andprojectinformation,tocoordinatebetweentheClientandtheGeneralContractor,andtourgetheGeneralContractortoconstructinasafetyandcivilizedmanner.ThedetailoftheSupervisionServiceisthefollows,

負(fù)責(zé)本項(xiàng)目的建筑質(zhì)量、進(jìn)度、合同、項(xiàng)目信息管理，協(xié)調(diào)委托人與總承包方的關(guān)系，督促并檢查施工單位安全文明施工,監(jiān)理工作具體有：

1.Toassisttheclienttosigntheconstructioncontract

1.協(xié)助委托人簽訂施工承包合同；

2.ToassisttheclientandthecontractortodrawuptheConstructionCommencementReport

2.協(xié)助委托人與施工單位編寫開工報(bào)告；

3.ToorganizethemeetingontheConstructionDrawingExplanationandCheck

3.組織設(shè)計(jì)交底與圖紙會(huì)審；

4.ToreviewtheConstructionPlan,SchemeandtheMasterScheduleoftheContractor

4.審核承建單位提出的施工組織設(shè)計(jì),施工技術(shù)方案和施工進(jìn)度計(jì)劃；

5.ToSupervisethecontractortoexecutetheConstructionContractandtheNationalTechnicalandConstructionCode,aswellasthedocumentsreferredtoatarticle1hereof,todealwiththecontractor’sviolationagainsttheregulationorthecode;

5.對(duì)承建單位執(zhí)行工程承包合同和國家工程技術(shù)規(guī)范標(biāo)準(zhǔn)，以及第一條所規(guī)定的文件的情況進(jìn)行督促,檢查,參與承包方違約事件的處理；

6.Tocheckthelistofthematerialandequipmentofthecontractor’s;toinspecttherawmaterial,semi-product,andpartswhichwillbeusedintheproject;torejectthedisqualifiedmaterial,partsandequipmentagainsttheconstructioncontractandstandard.

6.審查承建單位提出的材料和設(shè)備清單,對(duì)工程使用的原材料、半成品、構(gòu)件、設(shè)備進(jìn)行檢查,有權(quán)拒絕使用不符合合同要求和標(biāo)準(zhǔn)規(guī)定的材料,構(gòu)件,設(shè)備；

7.Toinspecttheconstructionprogressandquality;toinspectandacceptthedivisional,sub-divisionalandconcealedworks;toevaluatetheconstructionprogress

7.檢查工程進(jìn)度和施工質(zhì)量,驗(yàn)收分部分項(xiàng)工程和各項(xiàng)隱蔽工程,對(duì)工程進(jìn)度進(jìn)行評(píng)估。每周書面向委托人報(bào)告工程進(jìn)度，每周組織召開施工例會(huì)。

8.ToorganizetheClient,theDesignerandtheContractortohandlethequalityaccident;tosupervisetheexecutionofthetechnicalschemeforthequalityaccident;toinspect,acceptandissuethecertificateafterthequalityaccidentissettled.

8.組織委托人、設(shè)計(jì)、施工單位處理工程質(zhì)量事故并提供處理方案和責(zé)任劃分方案,監(jiān)督質(zhì)量事故技術(shù)處理方案的實(shí)施,并對(duì)事故處理進(jìn)行驗(yàn)收和簽證；

13.負(fù)責(zé)提供安全策略，現(xiàn)場(chǎng)安全監(jiān)督，現(xiàn)場(chǎng)健康控制，以及現(xiàn)場(chǎng)辦公室安全。

Article3Externalconditionsinclude:theClientisresponsibleforallthepublicrelationsandcoordinationfortheprojectincludingthelocalgovernmentandauthorities第三條外部條件包括：委托人負(fù)責(zé)本工程建設(shè)的所有包括政府等在內(nèi)的外部關(guān)系的協(xié)調(diào)；

Article4ProjectinformationrequestedbytheSupervisorshouldbeprovidedbytheClient,whereitisavailable,shallbeissuedbeforehand.

第四條對(duì)于監(jiān)理人讓委托人提供的工程資料，如果有，應(yīng)事先提供。

Article5Onreferred第五條委托人應(yīng)在5天內(nèi)對(duì)監(jiān)理人適當(dāng)?shù)貢嫣峤徊⒁笃渥鞒鰶Q定的事宜作出書面答復(fù)。

Article6TheClient'sRepresentativesare。第六條委托人的常駐代表為。

Article7DuringtheContractPeriod,第七條在合同期間，委托人應(yīng)自費(fèi)提供或安排其他方提供人員組成委托人的現(xiàn)場(chǎng)工作組。監(jiān)理機(jī)構(gòu)應(yīng)與委托人的現(xiàn)場(chǎng)工作組合作，但不對(duì)他們及其行為負(fù)責(zé)，也不依靠他們及他們的行為來開展監(jiān)理人負(fù)責(zé)的工作。

第八條監(jiān)理人派駐現(xiàn)場(chǎng)的監(jiān)理人員數(shù)量和人員資質(zhì)，必須符合雙方商定的人員表和分階段專業(yè)人員進(jìn)場(chǎng)計(jì)劃表的規(guī)定。根據(jù)各階段實(shí)際施工需要，監(jiān)理人有義務(wù)根據(jù)委托人要求，在人員表人員的范圍內(nèi)調(diào)整和增加人員。委托人有權(quán)根據(jù)專業(yè)人員進(jìn)場(chǎng)計(jì)劃表進(jìn)行人員資質(zhì)檢查和出勤考核。如發(fā)現(xiàn)有不符資質(zhì)及缺員情況，將斟情扣發(fā)監(jiān)理人報(bào)酬。
