協(xié)議編號(hào)：AgreementNo.:船舶污染去除協(xié)議AgreementforShipPollutionResponse中華人民共和國(guó)海事局制PrintedbyMaritimeSafetyAdministrationofthePeople’sRepublicofChina協(xié)議說明IntroductiontoAgreement一、為了有效實(shí)施船舶污染去除協(xié)議治理制度，依據(jù)《中華人民共和國(guó)船舶污染海洋環(huán)境應(yīng)急防范和應(yīng)急處置治理規(guī)定》其次十九條的規(guī)定,制定船舶污染去除協(xié)議樣本〔以下簡(jiǎn)稱本協(xié)議。ThisSampleAgreementforShipPollutionResponse(hereinafterreferredtoas“thisAgreement”)isformulatedinaccordancewiththeprovisionsofArticle29oftheRegulationsofthePeople’sRepublicofChinaonEmergencyPreparednessandResponseonMarineEnvironmentPollutionfromShipsforthepurposeofeffectivelyimplementingtheregimeofagreementforshippollutionresponse.〔甲方〕與取得相應(yīng)資質(zhì)的船舶污染去除單位〔乙方〕，應(yīng)當(dāng)依據(jù)《中華人民共和國(guó)防治船舶污染海洋環(huán)境治理?xiàng)l例》第三十三條以及《中華人民共和國(guó)船舶污染海洋環(huán)境應(yīng)急防范和應(yīng)急處置治理去除協(xié)議。Theowner,manageroractualoperatorofashiporenteringintoorleavingfromaport,concludethisAgreementwithaqualifiedshippollutionresponseorganization(PartyB)inaccordancewithArticle33 oftheRegulationsofthePeople’sRepublicofChina onAdministrationofthePreventionandControlofMarineEnvironmentPollutionfromShips,relevantprovisionsChinaonEmergencyPreparednessandResponseonMarineEnvironmentPollutionfromShipsandrelevantprovisionsoftheDetailedRulesofMaritimeSafetyAdministrationofthePeople’sRepublicofChinaontheImplementationoftheAdministrationRegimeofAgreementforShipPollutionResponse.更改其內(nèi)容。本協(xié)議未盡事項(xiàng)，協(xié)議雙方可另行補(bǔ)充商定，但不及應(yīng)擔(dān)當(dāng)?shù)牧x務(wù)。ThearticlesonrightsandobligationsofthisAgreementaremandatoryandbothpartiesshallnotchangethecontentsofthesearticles.FormattersnotcoveredinthisAgreement,thepartiesmayreachaseparatesupplementaryagreement.Innocaseshouldsuchsupplementary agreement violaterelevantprovisions of laws,regulationsandrulesaswellasstipulationsinthisAgreementconcerning both parties’fundamentalrights and obligations. TheconclusionofthisAgreement shall not prejudice the rights andobligationsthatshallbeenjoyedorbornebybothpartiesinaccordancewithrelevantlaws,regulationsandrules,includingtherightoflimitationofliability.填寫的內(nèi)容，雙方應(yīng)當(dāng)協(xié)商確定。對(duì)于雙方選擇的，在中括號(hào)以劃√方式選定，或者在空格中填寫；對(duì)于雙方不選擇的，應(yīng)在中括號(hào)或空格部位打×，以示刪除。Choicesofoptionswithsquarebracketsandthecontentstobefilledinblankspacesshallbedeterminedbybothpartiesthroughnegotiation.Asforthechoices,optionsshallbechosenbymarkinga“√”inthesquarebrackets,orfillingintheblankspaces.Withrespecttothosethatbothpartiesdonotapplyorchoose,a“×”shallbemarkedinthesquarebracketsorinblankspaces,indicatingdeletion.五、協(xié)議承受14位數(shù)字編號(hào)〔如其3位表示船舶污染去除單位資質(zhì)等級(jí)，分別用、2、3、4對(duì)應(yīng)一、二、三、四級(jí)船舶污染去除單位的資質(zhì)，第4至6各直屬海事局確定，第7至10位表示簽訂協(xié)議的年份，第11至1401，02，河北局0708，。TheAgreementadoptsfourteennumbersasitsserial number(suchas01-1001-2023-0001),amongstwhichthefirsttwonumbersrepresentthecodeofaMSAdirectlyundertheP.RChinaMSA;thethirdnumberrepresents the qualification level of the shippollutionresponseorganization,1,2,3and4respectivelyrepresentslevel-1,level-2,level-3andlevel-4;thefourthtosixthnumberrepresentsthecodeoftheshippollutionresponseorganizationandshallbedeterminedbytheMSAdirectlyundertheP.RChinaMSA;theseventhtotenthrepresentstheyearinwhichtheAgreementisconcluded;theeleventhtothefourteenthrepresentsthesequencenumberoftheAgreementandshallbedeterminedbytheshippollutionresponseorganization.CodesofMSAdirectlyundertheP.RChinaMSAareasfollows:LiaoningMSA:01,TianjinMSA:02,HebeiMSA:03,ShandongMSA:04,JiangsuMSA:05,FujianMSA:06,ShanghaiMSA:07,ZhejiangMSA:08,GuangdongMSA:09,ShenzhenMSA:10,GuangxiMSA:11,HainanMSA:12.甲方：PartyA:住宅地：Domicile:法定代表人：Legalrepresentative:聯(lián)系人：Contactperson:通訊地址：Correspondenceaddress:：電子信箱：E-mail:

：Fax:《中華人民共和國(guó)船舶污染海洋環(huán)境應(yīng)急防范和應(yīng)急處置治理〔〕等有關(guān)法律、法規(guī)和規(guī)章的規(guī)定，甲乙雙方經(jīng)過友好協(xié)商，在真實(shí)、充分地表達(dá)各自意愿的根底上，達(dá)成如下協(xié)議，并由雙方共同遵守。InaccordancewithrelevantprovisionsoftheContractLawofthePeople’sRepublicofChina,theMarineofthePeople’sRepublicofChina,theRegulationsofthePeople’sRepublicofChinaonAdministrationofthePreventionandControlofMarineEnvironmentPollutionfromShips(hereinafterreferredtoas“theRegulations”),theRegulationsofthePeople’sRepublicofChinaonEmergencyPreparednessand Response onMarineEnvironmentPollutionfromShips(hereinafterreferredtoas“theRules”)andtheDetailedRulesofMaritimeSafetyAdministrationofthePeople’sRepublicofChinaontheImplementationoftheAdministrationRegimeofAgreementforShipPollutionResponse(hereinafterreferredtoas“theDetailedRules”)andotherlawsandregulations,PartyAandPartyBagreeto reach the following agreement after equalconsultationandonthebasisoftruthfullyand/orcompletelyexpressingrespectiveintentions,andthesaidagreementshallbeabidedbybothPartyAandPartyB.第一條甲方的權(quán)利義務(wù)Article1 RightsandObligationsofPartyA1、甲方應(yīng)當(dāng)向乙方供給本協(xié)議框架下承受效勞船舶〔以下簡(jiǎn)稱協(xié)議船舶，見附錄一〕的根本信息，并依據(jù)雙方商定方式和內(nèi)容，在協(xié)議船舶進(jìn)入乙方效勞區(qū)域前的 天內(nèi)，向乙方供給船舶有關(guān)動(dòng)態(tài)信息甲方應(yīng)當(dāng)在協(xié)議船舶駛離乙方效勞區(qū)域前 小時(shí)，將船舶有關(guān)動(dòng)態(tài)信息告知乙方。甲方應(yīng)當(dāng)書面確認(rèn)已收到乙方依據(jù)本協(xié)議其次條其次款供給的應(yīng)急待命相關(guān)信息。PartyAshallprovidePartyBwithbasicinformationoftheships(hereinafterreferredtoas“theagreedships”,AppendixI)toreceiveservicesunderthisAgreement,andshall,within dayspriortotheagreedships’entryintoPartyB’sservicearea,informPartyBoftheagreedships’dynamicinformationinaccordancewiththetime,wayandcontentsagreedbybothparties.PartyAshall,hourspriortotheagreedships’departurefromPartyB’sservicearea,informPartyBoftheagreedships’relevantdynamicinformation.PartyAshallconfirminwrittenformthereceiptofinformationonrelevantemergencystandbyprovidedbyPartyBinaccordancewithstipulationsofparagraph2ofArticle2ofthisAgreement.2、甲方應(yīng)當(dāng)將本協(xié)議留存協(xié)議船舶上，并確保船上有關(guān)人員生疏協(xié)議內(nèi)容及乙方制定的污染去除作業(yè)方案。PartyAshallkeepthisAgreementonboardtheagreedships,andmakesurethatrelevantstaffsonboardtheshipsarefamiliarwiththecontentsofthisAgreementandthecontentsofPollutionResponseOperationPlanformulatedbyPartyB.3、甲方應(yīng)當(dāng)協(xié)作乙方依據(jù)《細(xì)則》規(guī)定開展船舶污染應(yīng)急演練。PartyAshallcooperatewithPartyBtocarryoutshippollutionemergencyexercisesinaccordancewiththeprovisionsoftheDetailedRules.4、甲方應(yīng)當(dāng)在協(xié)議船舶發(fā)生污染事故時(shí)，馬上通知乙方并方開展污染去除行動(dòng)評(píng)估。PartyAshall,whenapollutionaccidenthappenstotheagreedship, inform Party B immediately andcoordinate the pollutioncontrolandcleanupaction.PartyAshall,aftertheterminationofsuchactions,cooperatewithPartyBtocarryouttheevaluationonsuchactions.其次條乙方的權(quán)利義務(wù)Article2 RightsandObligationsofPartyB1、乙方應(yīng)當(dāng)具有海事治理機(jī)構(gòu)批準(zhǔn)的資質(zhì)，并保持相應(yīng)的應(yīng)急清污力量。PartyB shallqualification

(MSA),corresponding2、乙方應(yīng)當(dāng)書面確認(rèn)已收到甲方依據(jù)第一條第一款商定供給的協(xié)議船舶的根本信息和動(dòng)態(tài)信息，并依據(jù)雙方商定的時(shí)間、方式和內(nèi)容將乙方應(yīng)急待命的相關(guān)信息告知甲方。PartyBshallconfirminwrittenformthereceiptoftheagreedships’relevantbasicinformationanddynamicinformationprovidedbyPartyAinaccordancewithstipulationofparagraph1ofArticle1,andinformPartyAinformationonrelevantemergencystandbyprovidedbyPartyBinaccordancewiththetime,way,andcontentsagreedbybothparties.3、乙方應(yīng)當(dāng)在接收到協(xié)議船舶駛?cè)胄趨^(qū)域的通知后，保效勞區(qū)域的通知后，乙方可取消待命。PartyBshall,uponreceivingthenoticeconcerningtheagreedships’entryintotheservicearea,makesurethattheemergencyships,facilitiesandstaffsarestandby.AfterreceivingthenoticethattheagreedshipsofPartyAhavedepartedfromtheservicearea,PartyBmaycancelsuchstandbystatus.4、乙方應(yīng)當(dāng)在簽訂本協(xié)議時(shí)，將其制定的污染去除作業(yè)方案中英文文本向甲方供給。PartyBshall,whenconcludingthisAgreement,providePartyAwithaChineseand/orEnglishversionofthePollutionResponseOperationPlanformulatedbyPartyB.5、協(xié)議船舶發(fā)生污染事故時(shí)，乙方應(yīng)當(dāng)在甲方的組織下開污染去除行動(dòng)評(píng)估。Onceapollutionaccidenthappenstotheagreedships,PartyBshall,underthecommandofPartyA,carryoutpollutioncontrolandcleanupactions.andshallcooperatewithPartyAtoconducttheevaluationonsuchactions.第三條費(fèi)用Article3 feesandexpenses1、甲方應(yīng)依據(jù)雙方商定的收費(fèi)標(biāo)準(zhǔn)〔見附錄二〕和支付方式向乙方支付船舶污染去除協(xié)議費(fèi)用，用于應(yīng)急防范的合理支出。PartyAshallpayPartyBtheshippollutionresponseagreementfeesinaccordancetherates(appendixII)andmodeofpaymentagreedbybothpartiesforthepurposesofcompensatingPartyBtheincurredreasonablecostofemergencypreparation.2、協(xié)議船舶發(fā)生污染事故，乙方依據(jù)本協(xié)議開展污染掌握去除費(fèi)用。IfPartyBcarriesoutpollutioncontrolandcleanupactionsinaccordancewiththisAgreementafterapollutionaccidenthappens,Party A shall payParty B the actual and reasonable expensesincurredinsuchactions.3、為保證污染掌握和去除行動(dòng)順當(dāng)進(jìn)展，假設(shè)乙方開展的污染掌握和去除行動(dòng)超過了 個(gè)工作日，乙方可以要求甲方就已經(jīng)開展的污染掌握和去除行動(dòng)，每隔 個(gè)工作日向乙方支付一筆臨時(shí)費(fèi)用臨時(shí)費(fèi)用應(yīng)在乙方向甲方開具臨時(shí)費(fèi)用賬單后 個(gè)工作日內(nèi)匯到乙方指定賬戶，并從雙方最終結(jié)算的污染掌握和去除費(fèi)用中扣除。Whenapollutioncontrolandcleanupactionlastmore than working days, to ensure the smoothperformanceoftheactionsbyPartyB,PartyBmaydemandPartyAtopayaninterimsumeveryworkingdaysfortheactionsthathasbeencarriedoutbyPartyB.ThisinterimpaymentshallberemittedtotheaccountappointedbyPartyBwithin working days afterPartyBissuetheinvoicetoPartyBandsuchinterimpaymentshouldbedeductedfromthefinalinvoice.4、在污染掌握和去除行動(dòng)完畢后，乙方應(yīng)向甲方提交已產(chǎn)保。Uponterminatingthepollutioncontrolandcleanupactions,PartyBshallpresenttoPartyAabreakdownandpreliminaryevidencefortheexpensesincurred.PartyAshalltimely pay the undisputed sum and provide anappropriatesecurityforthesumindispute.第四條聯(lián)絡(luò)人Article4 Person1、甲乙雙方應(yīng)當(dāng)指定聯(lián)絡(luò)人，并確保聯(lián)絡(luò)人在依據(jù)本協(xié)議系應(yīng)當(dāng)為應(yīng)急聯(lián)系，并保持值守狀態(tài)。Both parties shall make arrangement for theirown contactpersons,andensurethatsuchcontactpersonscankeepintouchwitheachotherinthecourseoftheemergencypreparednessandresponseasperthisAgreement.ThetelephonenumberprovidedbyPartyBshall be an emergency number, and the numbershall be keptattended.2、甲乙任何一方需要變更聯(lián)絡(luò)人或聯(lián)系方式的，應(yīng)當(dāng)準(zhǔn)時(shí)書面通知另一方，在得到對(duì)方確認(rèn)后，方可變更。WhereanyPartyofthetwopartiesneedstochangeitscontactpersonorthecontactperson’scontactdetail,suchpartyshallinformtheotherpartybyawrittennoticeinatimelymannerandnoalterationshallbemadeuntilreceivingtheotherparty’snoticeforconfirmation.第五條保密義務(wù)Article5ConfidentialityObligation本協(xié)議簽訂后，無(wú)論本協(xié)議是否失效、終止，甲乙雙方應(yīng)當(dāng)?shù)孟蚱渌谌焦_資料、信息內(nèi)容。AfterconclusionofthisAgreement,nomatterwhetherthisAgreementisineffectornot,ornomatterwhetherthisAgreementisterminated,bothpartiesareobligedtokeepallthematerialsandinformationprovidedbytheotherpartyconfidential.ExceptthatsuchgovernmentauthoritiesastheMSAmayobtainthesaidmaterialsandinformationinaccordancewithlaw,bothpartiesshallnotmakeinpublicthecontentsofsuchmaterialsandinformation.第六條生效、變更和終止Article6 Entry into Effect, Modification TerminationofAgreement1、本協(xié)議有效期為：【】固定期限為 年〔或月；【】協(xié)議船舶的 個(gè)航次〔每一航次時(shí)間另行商定。本協(xié)議自雙方簽字蓋章后生效。The validity of thisAgreementis:[]Fixedtermof years voyagesoftheagreedships(thetimeofeachvoyageshallbedeterminedbyseparateagreement).ThisAgreementshallenterintoeffectasofsignedandstampedbybothparties.2、甲乙雙方如需變更或終止協(xié)議，應(yīng)當(dāng)依據(jù)商定的時(shí)間和方式通知對(duì)方，經(jīng)雙方協(xié)商全都后以書面形式確認(rèn)。但是，協(xié)議船舶進(jìn)入乙方效勞區(qū)域后，任何一方不得變更或終止本協(xié)議。IncasePartyAorPartyBneedstomodifyorterminatetheAgreement,theotherpartyshallbeinformedinaccordancewiththeagreedtimeandway,andsuchmodificationorterminationshallbeconfirmedinawrittenformbybothparties’consensusintentionthroughnegotiation.However,aftertheagreedship(s)has(have)enteredintotheserviceareaofPartyB,neitherpartyshallmodifyorterminatethisAgreement.3、甲乙雙方終止本協(xié)議，或者因一方違約導(dǎo)致本協(xié)議無(wú)效的，應(yīng)當(dāng)馬上向海事治理機(jī)構(gòu)報(bào)告。WherebothpartiesterminatethisAgreement,orwherethisAgreementbecomesinvalidduetooneparty’sbreachofthisAgreement,itshallbereportedtoMSAimmediately.第七條違約及侵權(quán)責(zé)任Article7LiabilityforBreachofContractandTort1、甲乙任何一方因違反本協(xié)議的商定或在履行本協(xié)議的過任或依照有關(guān)法律的規(guī)定向?qū)Ψ綋?dān)當(dāng)侵權(quán)責(zé)任。WhereaPartycausesanydamageorlosstotheotherPartyduetoitsbreachofthisAgreementorfaultinthecourseofperformingthisAgreement,suchPartyshall,inaccordancewiththisAgreement,beartheliabilityforbreachofcontracttotheotherParty,orbeliabletotheotherPartyforinfringementofrightsinaccordancewithprovisionsofrelevantlaws.2、在履行本協(xié)議的過程中，甲乙雙方造成第三人損害，或相應(yīng)的責(zé)任。WherePartyAorPartyBcausesanydamageorlosstoathirdpartyduetoperformanceofthisAgreement,orwhereathirdpartycausesanydamageorlosstoPartyAorPartyB,thepartyconcernedshallbearcorrespondingliabilityinaccordancewithprovisionsofrelevantlaws.3、甲方或者乙方因執(zhí)行船舶污染事故應(yīng)急指揮機(jī)構(gòu)或者海事治理機(jī)構(gòu)的指令或要求而未能履行或未能完全履行本協(xié)議約定的義務(wù)的，可免除其擔(dān)當(dāng)違約責(zé)任，但是，對(duì)于乙方依據(jù)本協(xié)的商定支付污染掌握和去除費(fèi)用。WherePartyAorPartyBfailstoperformorcompletelyperformtheobligationsunderthisAgreementduetoexecutingtheordersorrequirementsofShipPollutionAccidentEmergencyCommandingOrganorMSA,suchpartymaybeexemptedfromundertakingtheliability for breach of contract.However, Party A shall, inaccordancewiththestipulationofArticle3ofthisAgreement,payPartyBtheexpensesincurredinpollutioncontrolandcleanupactionsthatPartyBhasactuallyconductedinaccordancewiththisAgreement.第八條適用法律及管轄Article 8 Applicable Law Jurisdiction1、本協(xié)議及其項(xiàng)下爭(zhēng)議適用中華人民共和國(guó)法律。LawsofthePeople’sRepublicofChinashallbeappliedtothisAgreementanddisputesarisingfromthisAgreement.2、雙方對(duì)本協(xié)議及其項(xiàng)下的爭(zhēng)議，由雙方協(xié)商解決；協(xié)商不成的，依據(jù)下述方式解決：【】申請(qǐng)海事治理機(jī)構(gòu)調(diào)解；【】提交中國(guó)海事仲裁委員會(huì),依據(jù)申請(qǐng)仲
