18仲裁：

在履行協(xié)議過程中，如產(chǎn)生爭議，雙方應(yīng)友好協(xié)商解決。若通過友好協(xié)商未能達成協(xié)議，則提交中國國際貿(mào)易促進委員會對外貿(mào)易仲裁委員會，根據(jù)該會仲裁程序暫行規(guī)定進行仲裁。該委員會決定是終局的，對雙方均有約束力。仲裁費用，除另有規(guī)定外，由敗訴一方負擔(dān)。

ForceMajeure：

當(dāng)乙方的工作任務(wù)發(fā)生變化時，甲方可按規(guī)定調(diào)整其相應(yīng)的報酬。乙方接受新的工作任務(wù)后，即視作接受甲方按照該工作任務(wù)重新確定的報酬。

四、雇傭合同的解除和終止

ⅣContractCancellationandTermination

合同期滿雙方不再續(xù)簽或者雙方約定的合同終止條件出現(xiàn)時，雇傭合同即終止。

Thiscontractshallbeterminatedonceitexpiresandbothpartiesdonotextendthecontract.

經(jīng)合同雙方當(dāng)事人協(xié)商一致，本合同可以解除。

乙方應(yīng)遵守中國的法律、法規(guī)及有關(guān)規(guī)定，乙方如違反上述規(guī)定，甲方有權(quán)即時解除合同；乙方因健康原因，經(jīng)醫(yī)生證明連續(xù)病休15工作日后仍不能繼續(xù)工作，甲方有權(quán)提前終止合同。

PartyBshouldabidebyChinalaws,decreesandrelatedregulationsandPartyA’sworkingsystems.Duringtheduration,PartyAisentitledtocancelthecontractincasePartyBviolatesChinalawsanddecrees,andterminatethecontractbeforeexpirationincasePartyBcannotresumehisorherworkforhealthreasonsafterthemedicalcertificationofcontinuoussickrestfor15workingdays.

乙方因歸國或其他私人原因未正常出勤且超過十天且未向甲方做出書面說明的，本合同自動終止。ThecontractwillautomaticallyterminateincasePartyBisabsentforover10dayswithoutwrittenexplanationduetohomecomingorotherprivatereasons.

乙方被證明無法完成本合同項下的工作任務(wù)，甲方有權(quán)隨時解除本合同。

IncasePartyBisprovedtobenotcompetentfortheworkunderthecontract,PartyAisentitledtocancelthecontractatanytime.

乙方應(yīng)嚴格遵守甲方的工作規(guī)定以及規(guī)章制度，盡職盡責(zé)，否則，甲方有權(quán)隨時解除合同并追究因此而造成的經(jīng)濟損失，并有權(quán)對所造成的經(jīng)濟損失在乙方的報酬中作相應(yīng)扣除。

大眾汽車（中國）銷售有限公司（以前叫做“大眾汽車銷售有限公司”），該公司為外商獨資有限公司，依據(jù)_的法律組建而成，注冊地址為：

協(xié)議雙方于日簽署了一份蘭博基尼授權(quán)買家（經(jīng)銷商）合同（下文中稱為“經(jīng)銷商合同”）。

B.ThepartiesagreetoterminatetheDealerContractinaccordancewith,andsubjectto,thetermsandconditionsofthisAgreement.

協(xié)議雙方同意根據(jù)本協(xié)議的條款和條件終止所述經(jīng)銷商合同。

THEREFOREthepartiesherebyagreeasfollows:故此，本協(xié)議雙方現(xiàn)此約定如下：

1.Termination第一條協(xié)議的終止“EffectiveDate”).本協(xié)議雙方約定從日起終止所述經(jīng)銷商合同（生效日期）。

Eachparty’srightsandobligationsundertheDealerContractshallceaseimmediatelyontermination,exceptfortheclauseswhichareexpressedtosurvivetermination.TheDealerherebyrenouncesandsurrendersanyandallrightsgrantedpursuanttoorinrelationtoDealerContract.

所述經(jīng)銷商合同終止時，本協(xié)議各方在該合同項下的權(quán)利和義務(wù)立即終止，除非該合同中明確規(guī)定某權(quán)利和/或義務(wù)應(yīng)當(dāng)在合同終止后繼續(xù)生效。經(jīng)銷商現(xiàn)此放棄并讓出自己和所述經(jīng)銷商合同相關(guān)的所有權(quán)利。

TheDealerherebywaives,releasesandforeverdischargesVGIC,VGIC’semployeesandaffiliates,andanyreplacingdealershipappointedbyVGICagainstanyactions,proceedings,claims,demands,costsandexpenseswhichtheDealermaynowhaveorwouldhavehadfortheterminationoftheDealerContract,includingbutnotlimitedtoanyapplicablerightsuponterminationofagreementsithasmayhavehadundertheDealerContractoranyapplicablelaw.經(jīng)銷商現(xiàn)此放棄、免除并永遠解除大眾公司、大眾公司的雇員和附屬公司、大眾公司指定的任何替代經(jīng)銷商就經(jīng)銷商針對所述經(jīng)銷商合同的終止可能享有的、將會享有的任何起訴、訴訟程序、索賠、權(quán)利主張、花費和開支而應(yīng)當(dāng)承擔(dān)的責(zé)任，包括但不限于所述經(jīng)銷商合同終止時經(jīng)銷商依據(jù)任何適用的法律而享有的、可能享有的任何適用權(quán)利。

通過本協(xié)議的簽署，經(jīng)銷商代表經(jīng)銷商、以及過去、現(xiàn)在和將來和經(jīng)銷商可能有、已經(jīng)有、之后可能有法律關(guān)系、受益所有權(quán)或者其它利益關(guān)系的任何人員和實體、其各自的繼承人、執(zhí)行人、管理人、繼任人和受讓人（總體稱為“放棄權(quán)利人”），現(xiàn)此同意為了大眾公司并無條件地、不可撤銷地且永遠自愿地從生效日期起終止并讓出所述經(jīng)銷商合同以及和所述蘭博基尼品牌產(chǎn)品的銷售相關(guān)的其它任何協(xié)議，為了大眾公司放棄、終止和讓出因為所述經(jīng)銷商合同引起的或者與之相關(guān)的任何權(quán)利，包括但不限于延續(xù)、續(xù)展、續(xù)訂所述經(jīng)銷商合同或者大眾公司和經(jīng)銷商或者其它任何放棄權(quán)利人之間在生效日期后的任何相關(guān)業(yè)務(wù)關(guān)系的任何權(quán)利（如果有的話），因為大眾公司和經(jīng)銷商或者其它任何放棄權(quán)利人（或者其中的部分人員）在當(dāng)前或者今后可能具有或者取得該種業(yè)務(wù)關(guān)系。

ThepartiesheretointendthatthisAgreementconstituteageneralreleaseofallclaims,demands,actions,causesofaction,whetherknownorunknown,suspectedorunsuspected,thattheDealerand/oranyoftheotherReleasorshad,mayhaveormayclaimtohavetotheEffectiveDate.

本協(xié)議雙方約定：本協(xié)議構(gòu)成了全面免除，免除了生效日期之前經(jīng)銷商和/或其它任何權(quán)利放棄人享有的、可能享有的或者可能會聲稱享有的任何索賠、權(quán)利主張、起訴和訴因，無論是明確的還是不明確的，無論是疑似的還是非疑似的。

2.ObligationsFollowingSigningofThisAgreement第二條簽署本協(xié)議產(chǎn)生的義務(wù)

FollowingthesigningofthisAgreement,bothpartiesshallmakebesteffortstocooperatewitheachother,includingprovidingandexecutingallnecessarydocumentsandmaterialsand

takingallnecessaryactions,toensureanuninterruptedsupplyofpartsandaftersalesservicesasrequiredbycustomersafterthedateofterminationoftheDealerContract.

本協(xié)議簽署后，協(xié)議雙方應(yīng)當(dāng)盡最大努力展開合作，包括但不限于提供并簽署所有必要的文件和材料并采取必要的措施，確保所述經(jīng)銷商合同終止后，能夠按照客戶的要求不間斷地提供零部件和售后服務(wù)。

FollowingthesigningofthisAgreement,theDealerundertakestoVGICthatitshall:本協(xié)議一經(jīng)簽署，經(jīng)銷商即向大眾公司保證：經(jīng)銷商應(yīng)當(dāng)

(a)Immediatelyinformitscustomers(especiallyownersofvehiclessoldbytheDealer)oftheDealer’sclosureusingthemutuallyagreedtemplateattachedtothisAgreement,andobtainthecustomers’consenttothetransferofthecustomer’sinformationtoVGICandVGIC’suseofsuchinformationsubjecttotheapplicablelawsandregulationsofPRC;

使用本協(xié)議隨附的且雙方一致同意的方式，把經(jīng)銷商和大眾公司之間簽訂的所述經(jīng)銷商合同的終止情況立即告知經(jīng)銷商自己的客戶（特別是從經(jīng)銷商處購買了汽車的車主），取得客戶同意后，把客戶信息移交給大眾公司，大眾公司應(yīng)當(dāng)按照適用的_的法律和法規(guī)來使用該種信息。

(b)Immediatelyexecutethenecessarycontractsforthetransferofitsrepair,returnandreplacementobligationspursuanttotheapplicablelawsandregulationsandtheDealer’ssalescontractsforvehiclessoldbytheDealertoamutuallyagreedaffiliate;

立即根據(jù)適用的法律和法規(guī)以及經(jīng)銷商就銷售給雙方一致同意的附屬公司的車輛而簽訂的銷售合同，為維修義務(wù)、產(chǎn)品退回義務(wù)和替換義務(wù)的讓與而簽署必要的合同。

(c)immediatelytransfer,andensureitsaffiliatedcompaniestransfer,toVGICorotherVolkswagenGroupcompaniesrespectively,withoutanyconsideration,thetrademarksregisteredinthePRCand/ortrademarkregistrationappliedinthePRC,whichbelongtoVGICorotherVolkswagenGroupcompanies,andanydomainnamesregisteredinthePRC,whichcontaintheLamborghinitrademarksornameofVGICorotherVolkswagenGroupcompanies;

立即向大眾公司或者大眾集團的其它公司讓與全部歸大眾公司所有的或者大眾集團其它公司所有的、在_注冊的商標和/或在_申請的商標注冊，以及包含蘭博基尼商標或者大眾公司名稱或者其它大眾集團公司名稱的任何域名，不得收取任何對價，并確保經(jīng)銷商自己的附屬公司也這樣做。

(d)immediatelyceaseusing,andensureitssubsidiariesandbranches(ifany)toceaseusing,theLamborghinitrademarksand“Lamborghini”oritsChinesetranslationsinitscorporatename;立即停止使用并確保其子公司和分公司（如果有的話）停止在其公司名稱中使用蘭博基尼商標、“Lamborghini”和Lamborghini的漢語譯文“蘭博基尼”;

(e)notapply,andensureitsaffiliatedcompaniesnotapply,directlyorindirectly,forregistrationofanytrademarksornames(includinganyChinesetranslations)belongingtoVGICorotherVolkswagenGroupcompanies.Otherwise,VGICorotherVolkswagenGroupcompaniesareentitledtorequestsuchtrademarksand/ornamestransferredtoVGICorotherVolkswagenGroupcompanies,freeofcharge,atanytime;

不得直接或者間接地申請注冊屬于大眾公司或者大眾集團其它公司的任何商標或名稱（包括漢語譯名），并確保其附屬公司也這樣做。否則，大眾公司或者大眾集團其它公司有權(quán)在任何時間要求把該等商標和/或名稱讓與給大眾公司或者大眾集團的其它公司。

(f)immediatelyremoveandreturntoVGIC(orotherwisedisposeofasVGICmayinstruct)allsignboardandsymbolscontainingtheLamborghinitrademarks;and

立即移除包含蘭博基尼商標的任何招牌和標識并歸還給大眾公司（或者按照大眾公司的指示處理這些招牌和標識）；以及

(g)immediatelyreturntoVGICorotherwisedisposeofasVGICmayinstructallequipmentandtools,samples,instructionbooks,technicalpamphlets,catalogues,advertisingmaterials,specificationsandothermaterials,documentsorpaperswhatsoeverprovidedbyVGICtotheDealerandrelatingtoVGIC’sbusiness(otherthancorrespondencewhichhaspassedbetweentheparties)whichtheDealermayhaveinitspossessionorunderitscontrol.

立即把經(jīng)銷商可能會擁有的或者控制的、大眾公司提供給經(jīng)銷商的且和大眾公司的業(yè)務(wù)有關(guān)的任何設(shè)備、工具、樣品、說明書、技術(shù)手冊、目錄、廣告材料、技術(shù)規(guī)范和其它材料、文件和文據(jù)返還給大眾公司，或者按照大眾公司的指示加以處理。

大眾公司同意把元人民幣歸還給經(jīng)銷商，這個金額包括：

’sdealershipaccount;and元人民幣的經(jīng)銷商經(jīng)銷賬戶余額；以及

banktransferwithin30workingdaysfromtheexecutionofthisAgreementbytheparties.元人民幣的依據(jù)本協(xié)議規(guī)定歸還招牌和標識的費用，本協(xié)議簽署后三十天內(nèi)，通過銀行電子轉(zhuǎn)賬支付經(jīng)銷商。

Within30daysfollowingthesigningofthisAgreement,theDealershouldapplytoderegisteritselfwiththerelevantgovernmentauthoritiesasanauthorizeddealerofLamborghinibrandproducts,includingrevisingitsbusinessscopeshownonthebusinesslicenseaccordingly.

（10）裝運條件

TermsofShipment：

A．離岸價條款TermsofFOBDelivery：

a)裝運本合同貨物的船只，由買方或買方運輸代理人中國租船公司租訂艙位。賣方負擔(dān)貨物的一切費用風(fēng)

險到貨物裝到船面為止。

ForthegoodsorderedinthisContract,thecarryingvesselshallbearrangedbytheBuyersortheBuyers

ShippingAgentChinaNationalCharteringCorporation.TheSellersshallbearallthechargesandrisksuntilthe

goodsareeffectivelyloadedonboardthecarryingvessel.

b)賣方必須在合同規(guī)定的交貨期限三十天前，將合同號碼、貨物名稱、數(shù)量、裝運口岸及預(yù)計貨物運達裝

運口岸日期，以電報通知買方以便買方安排艙位。并同時通知買方在裝港的船代理。倘在規(guī)定期內(nèi)買方未

接到前述通知，即作為賣方同意在合同規(guī)定期內(nèi)任何日期交貨，并由買方主動租訂艙位。
