[PhoneNumber]WHEREAS,PartyAandPartyB,hereinaftercollectivelyreferredtoas"Parties"andindividuallyas"Party,"areengagedinscientificresearchanddevelopmentinthefieldof[SpecifyField],anddesiretocollaborateonajointresearchproject(hereinafterreferredtoasthe"Project")toadvanceknowledgeandpotentiallydevelopinnovativesolutionsinthisarea.NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thePartiesagreeasfollows:1.ObjectivesandScopeoftheProject1.1TheobjectiveoftheProjectisto[brieflydescribethemainobjectiveandexpectedoutcomesoftheresearchproject].1.2ThescopeoftheProjectincludes,butisnotlimitedto,[outlinethespecificresearchactivities,experiments,datacollection,analysismethods,etc.].2.RolesandResponsibilities2.1EachPartyshallcontributeitsrespectiveexpertise,resources,andpersonnelasspecifiedintheAnnexattachedhereto,whichformsanintegralpartofthisAgreement.2.2PartyAshallberesponsiblefor[specifictasks,e.g.,funding,equipment,dataanalysis].2.3PartyBshallberesponsiblefor[specifictasks,e.g.,researchdesign,executionofexperiments,reporting].3.IntellectualPropertyRights3.1Allintellectualpropertyrights(IPR)arisingfromtheProject,includingbutnotlimitedtopatents,copyrights,trademarks,tradesecrets,andknow-how,shallbeownedandmanagedasfollows:Anyinvention,discovery,ordevelopmentmadesolelybyonePartyshallbethesolepropertyofthatParty.JointinventionsordiscoveriesshallbeownedjointlybybothParties,witheachPartyhavinganequal,undividedinterest.ThePartiesshallagreeonaplanfortheprotection,management,andexploitationofjointIPR,includinganynecessarypatentfilingsandlicensingarrangements.3.2BothPartiesshallmaintainconfidentialitywithrespecttoallproprietaryandconfidentialinformationexchangedduringthecourseoftheProject,inaccordancewiththetermsofaseparateNon-DisclosureAgreement(NDA),ifapplicable.4.FundingandBudget4.1TheProjectshallbefundedasfollows:[describefundingsources,includingcontributionsfromeachParty,externalgrants,orothersources].4.2AdetailedbudgetfortheProject,outliningexpendituresforpersonnel,equipment,materials,travel,andothercosts,shallbeagreeduponbybothPartiesandattachedasanAnnex.5.ProjectManagementandCommunication5.1ThePartiesshallestablishaJointSteeringCommittee(JSC)comprisingrepresentativesfrombothPartiestooverseetheprogressoftheProject,resolveissues,andmakedecisionsasnecessary.5.2RegularmeetingsoftheJSCshallbeheld,eitherinpersonorvirtually,atleast[specifyfrequency,e.g.,onceeverytwomonths].AdditionalmeetingsmaybecalledbyanyPartywithreasonablenotice.5.3ThePartiesshallmaintainopencommunicationthroughouttheProject,promptlysharingresearchfindings,data,andanyotherinformationrelevanttotheProject'sobjectives.6.DurationandTermination6.1TheProjectshallcommenceon[InsertStartDate]andcontinueforaperiodof[InsertDuration,e.g.,twoyears],unlessextendedorterminatedearlierbymutualagreementoftheParties.6.2ThisAgreementmaybeterminatedbyeitherPartyupon[insertconditionsfortermination,e.g.,materialbreach,insolvencyofaParty,orfailuretosecurefunding].7.DisputeResolution7.1AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedfirstthroughfriendlynegotiationbetweentheParties.7.2IfthePartiesareunabletoresolvethedisputethroughnegotiation,theyshallsubmitthedisputeto[arbitration/mediation]inac
