5.Confidentiality

TheExpertagreestomaintaintheconfidentialityofallproprietaryandconfidentialinformationoftheEmployer,includingbutnotlimitedtotradesecrets,customerinformation,andtechnicaldata.TheExpertshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheEmployer.

6.Non-Compete

Foraperiodof[Non-CompeteDuration]followingtheterminationorexpirationofthisAgreement,theExpertagreesnottoengageinanycompetingbusinessoremploymentwithin[CompetitiveRadius]oftheEmployer'sbusinesslocation,providedthatsuchrestrictionshallnotapplytoanycompetingbusinessoremploymentinwhichtheExpertwasactivelyengagedpriortothedateofthisAgreement.

7.Termination

ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheotherParty,providedthat:

a.TheEmployermayterminatethisAgreementimmediatelyiftheExpertfailstoperformtheServicesinaprofessionalandcompetentmannerorviolatesanyprovisionofthisAgreement.

b.TheExpertmayterminatethisAgreementupon[NoticePeriod]days'writtennoticetotheEmployer.

8.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

9.EntireAgreement

6.Consultancy'sRightsandLimitations

a.TheConsultancyshallhavetherighttoreceivepaymentforitsintermediaryservicesinaccordancewiththetermsandconditionssetforthinExhibitBattachedhereto.

7.Client'sLiability
