1.AppointmentofAgent

2.ExclusiveRights

3.DutiesoftheAgent

TheAgentagreestouseitsbesteffortstomarketandsell[Principal'sProduct/Service]inthe[Territory]inaccordancewiththePrincipal'sspecificationsandstandards.TheAgentshallmakeallreasonableeffortstomaintainthereputationandgoodwillofthePrincipaland[Principal'sProduct/Service].

4.TermandTermination

5.Compensation

6.Confidentiality

Thepartiesagreetokeepconfidentialallinformation,technicaldata,andbusinesspracticesobtainedfromtheotherpartyduringthecourseofthisAgreement.ThepartiesfurtheragreenottouseanysuchinformationforanypurposeotherthantheperformanceofthisAgreement.

7.Indemnification

TheAgentshallindemnifyandholdharmlessthePrincipalfromandagainstanyandallclaims,actions,suits,demands,liabilities,damages,losses,costs,andexpenses(including,withoutlimitation,reasonableattorney'sfees)arisingoutoforinconnectionwiththeAgent'sactsoromissionsintheperformanceofitsdutiesunderthisAgreement.

8.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].
