2.2EmployeeshalldelivertheServicestocustomersinaprompt,efficient,andprofessionalmanner.

2.3EmployershallprovideEmployeewiththenecessaryequipmentandtrainingtoperformtheServices.

2.4Employeeshallcomplywithallapplicablelaws,regulations,andrulesrelatedtothedeliveryoffoodandotheritemswithintheServiceArea.

2.5EmployershallcompensateEmployeeforthedeliveryofServicesinaccordancewiththecompensationschedulesetforthinExhibitAattachedhereto.

2.6EmployershallprovideEmployeewithacopyofthisAgreementandanyotherrelevantdocumentsatthetimeofsigningthisAgreement.

TERMANDTERMINATION:

3.1ThetermofthisAgreement("Term")shallcommenceontheEffectiveDateandcontinueuntilterminatedasprovidedherein.

3.2EitherPartymayterminatethisAgreementuponwrittennoticetotheotherPartyatanytimeforanyreason.

3.3Intheeventoftermination,EmployershallpayEmployeeforanyServicesrendereduptothedateofterminationinaccordancewiththecompensationschedulesetforthinExhibitAattachedhereto.

3.4UponterminationofthisAgreement,EmployershallreturntoEmployeeanyequipmentandpropertyprovidedbyEmployertoEmployee.

CONFIDENTIALITY:

4.1ThePartiesagreetomaintaintheconfidentialityofanyandallinformation,includingbutnotlimitedtocustomerdata,businessplans,andfinancialinformation,thattheymayobtainduringtheTermofthisAgreement.

4.2TheconfidentialityobligationssetforthinthisSectionshallsurvivetheterminationorexpirationofthisAgreement.

DISPUTERESOLUTION:

5.1IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thePartiesshallendeavortoresolvesuchdisputeamicablythroughnegotiation.

5.2IfthePartiesareunabletoresolvethedisputeamicably,theyshallsubmitthedisputetobindingarbitrationinaccordancewiththerulesofthe[ApplicableArbitrationInstitution].
