TeaExportTradeContract

ThisTeaExportTradeContract(hereinafterreferredtoasthe"Contract")ismadeandenteredintoon[Date]byandbetween[Seller'sFullLegalName],acompanylegallyregisteredandexistingunderthelawsof[Seller'sCountry]withitsprincipalplaceofbusinessat[Seller'sAddress](hereinafterreferredtoas"Seller"),and[Buyer'sFullLegalName],acompanylegallyregisteredandexistingunderthelawsof[Buyer'sCountry]withitsprincipalplaceofbusinessat[Buyer'sAddress](hereinafterreferredtoas"Buyer").

WHEREAS,Sellerisengagedinthebusinessofproducingandsellingteaandisdesirousofexportingteatointernationalmarkets;

ANDWHEREAS,BuyerisengagedinthebusinessofimportingteaandisdesirousofpurchasingteafromSellerforresaleinitshomemarket.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:

1.SaleandPurchase

SelleragreestosellandBuyeragreestopurchasethefollowingteaproducts(hereinafterreferredtoas"Products")asspecifiedintheattachedScheduleA(the"Schedule"),whichisherebyincorporatedbyreferenceandmadeapartofthisContract.

2.PriceandPaymentTerms

ThepricefortheProductsshallbeasspecifiedintheSchedule.Thepriceisstatedin[Currency]andisexclusiveofanytaxes,duties,andotherchargeswhichmaybeimposedbyanygovernmentauthority.

PaymentfortheProductsshallbemadebyBuyertoSellerby[PaymentMethod]within[NumberofDays]daysafterthereceiptoftheshippingdocuments.

3.QualityandSpecifications

ThequalityandspecificationsoftheProductsshallbeinaccordancewiththestandardssetforthintheSchedule.SellerwarrantsthattheProductswillbefreefromanydefectinmaterialandworkmanshipandwillconformtothespecificationsprovided.

4.PackagingandMarking

SellershallpackagetheProductsinamannersuitableforexportandinaccordancewiththerequirementsspecifiedintheSchedule.Eachpackageshallbeclearlyand耐久地markedwiththedescriptionofthegoods,thegrossandnetweight,theshippingmarks,andanyotherinformationrequiredbytheScheduleorbythelawsandregulationsoftheexportingandimportingcountries.

5.ShipmentandDelivery

SellershallarrangefortheshipmentoftheProductstotheportofdestinationspecifiedintheSchedule.TheProductsshallbedeliveredtothecarrieringoodorderandcondition,andSellershallprovideBuyerwiththenecessaryshippingdocuments,includingbutnotlimitedto,billoflading,invoice,andcertificateoforigin.

6.Insurance

Sellershall,atitsownexpense,obtainandmaintaininsurancecoveragefortheProductsfromthetimeofshipmentuntildeliverytotheportofdestination.TheinsuranceshallbeforthefullinvoicevalueoftheProductsplustenpercent(10%)andshallcoverallrisksoflossordamagetotheProducts.

7.InspectionandClaim

BuyershallhavetherighttoinspecttheProductsattheportofdestination.Ifanynon-conformitywiththetermsofthisContractisfound,BuyershallnotifySellerinwritingwithin[NumberofDays]daysafterthearrivaloftheProductsattheportofdestination,providingdetailsofthenon-conformity.Sellershall,atitsownexpense,eitherreplacethenon-conformingProductsorrefundthepurchasepriceofsuchProducts.

8.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayinperforminganyofitsobligationsunderthisContracttotheextentthatsuchfailureordelayiscausedbyeventsbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,civilcommotion,orgovernmentalaction.

9.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLawCountry].AnydisputearisingoutoforinconnectionwiththisContractshallbesubmittedtoarbitrationin[ArbitrationLocation]inaccordancewiththerulesof[ArbitrationInstitution].Thearbitralawardshallbefinalandbindingonbothparties.

10.Termination

ThisContractmaybeterminatedbyeitherpartyintheeventofamaterialbreachbytheotherparty,providedthattheterminatingpartygiveswrittennoticeofthebreachandthebreachingpartyfailstocuresuchbreachwithin[NumberofDays]daysafterreceiptofsuchnotice.

11.Confidentiality

BothpartiesagreetokeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththisContract,exceptasrequiredbylawornecessaryfortheperformanceofthisContract.

12.EntireAgreement

ThisContract,includingtheSchedule,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andnegotiationsbetweentheparties.

13.AmendmentsandWaivers

AnyamendmentorwaiverofanyprovisionofthisContractshallbeeffectiveonlyifinwritingandsignedbybothparties.NowaiverofanyprovisionofthisContractshallbedeemedawaiverofanyotherprovisionorofthesameprovisiononasubsequentoccasion.

14.Assignment

NeitherpartymayassignitsrightsordelegateitsobligationsunderthisContractwithoutthepriorwrittenconsentoftheotherp
