1.IntroductionandNegotiationofTransactions

1.1TheAgentshalluseitsbesteffortstointroduceandnegotiatetheTransactionsonbehalfofthePrincipalwiththethirdpartiesinvolved.

1.2TheAgentshallberesponsiblefortheperformanceofitsobligationsunderthisContract,includingbutnotlimitedtotheidentificationandverificationofpotentialclients,thepreparationandsubmissionoftransactionproposals,andtheexecutionoftransactionagreements.

2.Commission

2.1TheAgentshallbeentitledtoreceiveacommissionfee(hereinafterreferredtoas“theCommission”)uponthesuccessfulcompletionoftheTransactions,inaccordancewiththefollowingprovisions:

2.1.1TheCommissionshallbecalculatedasapercentageofthetotaltransactionvalue;

2.1.2ThepercentagerateoftheCommissionshallbeagreeduponbetweenthePrincipalandtheAgentinwriting,andshallbesubjecttotheprovisionsofthisContract.

2.1.3TheAgentshallprovidethePrincipalwithadetailedinvoicewithin__daysofthecompletionoftheTransactions,forthepaymentoftheCommission.

3.Confidentiality

3.1ThePrincipalandtheAgentshallkeepconfidentialallinformationconcerningtheTransactionsandanyotherinformationprovidedtothembytheotherparty,andshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

4.GoverningLawandDisputeResolution

4.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.

4.2AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughfriendlynegotiationsbetweenthePrincipalandtheAgent.Ifsuchnegotiationsfailtoreachasettlement,thedisputeshallbesubmittedtothepeople'scourtofthejurisdictionwherethePrincipalortheAgentislocatedforarbitration.

2.1ThePrincipalhastherighttoapproveorrejectanypotentialclientintroducedbytheAgentortheThirdParty.

2.2ThePrincipalshallprovidetheAgentandtheThirdPartywithallnecessaryinformationanddocumentationrelatedtotheTransactions.

2.3ThePrincipalshallensurethattheTransactionscomplywithallapplicablelawsandregulations.

3.Agent’sRightsandObligations

5.CommissionandPaymentTerms

5.1TheCommissionshallbecalculatedasapercentageofthetotaltransactionvalue,asagreeduponbetweenthePrincipalandtheAgent.

5.2ThePrincipalshallpaytheCommissiontotheAgentwithin__daysofthecompletionoftheTransactions.

6.違約及限制條款

7.GoverningLawandDisputeResolution

5.2ThePrincipalshallprovidetheAgentwithinvoicesfortheServicesrendered,whichtheAgentshallpaywithinthespecifiedtimeframe.

6.違約及限制條款

6.1IfthePrincipalfailstoprovidetheServicesasagreed,theAgentshallhavetherighttowithholdpaymentorterminatethisContractandseekdamages.
