II.RightsandObligationsoftheParties

A.RightsandObligationsofPartyA

B.RightsandObligationsofPartyB

1.Rights

PartyBhastherighttorequestPartyAtocorrectanynonpliancewiththeContractterms.

2.Obligations

PartyBshallpayPartyAtheagreeduponpricefortheSubjectMatterinatimelymannerinaccordancewiththepaymenttermsofthisContract.

PartyBshallcooperatewithPartyAduringtheperformanceofthisContract,providingnecessaryinformation,accesstofacilities,andassistanceasrequired.

PartyBshallalsokeepconfidentialanytradesecrets,businessinformation,orotherconfidentialdataobtainedfromPartyAduringtheperformanceofthisContract.

III.PaymentTerms

1.Price

IV.WarrantyandLiability

1.Warranty

Forgoods,PartyAwarrantsthatthegoodsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[warrantyperiod]months/yearsfromthedateofdelivery.Duringthewarrantyperiod,ifanydefectisfound,PartyAshall,atitsownexpense,repairorreplacethedefectivepartsorgoods.

2.Liability

IfPartyAfailstoperformitsobligationsunderthisContract,suchasdeliveringtheSubjectMatterlateorprovidingdefectivegoodsorservices,PartyAshallbeliableforanydirectlossessufferedbyPartyBasaresultthereof.PartyA'sliabilityshallnotexceedthetotalpriceofthisContract.

IfPartyBfailstopaythepriceinatimelymannerorfailstocooperateasrequired,PartyBshallbeliableforanyadditionalcostsincurredbyPartyAduetosuchnonpliance.PartyBshallalsopayanyoverduepaymentinterestattherateof[overdueinterestrate]%perannumontheoverdueamount.

V.Confidentiality

1.ConfidentialInformationDefined

"ConfidentialInformation"referstoallinformationdisclosedbyonepartytotheotherpartyduringtheperformanceofthisContract,includingbutnotlimitedtotradesecrets,businessplans,customerlists,technicalknowhow,andanyotherinformationmarkedasconfidential.

2.ObligationtoKeepConfidential

EachpartyshallkeeptheConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

3.DurationofConfidentiality

TheobligationofconfidentialityshallsurvivetheterminationorexpirationofthisContractforaperiodof[numberofyears]years.

VI.TerminationandTerminationRights

1.TerminationbyAgreement

ThisContractmaybeterminatedbymutualwrittenagreementofthepartiesatanytime.

VII.DisputeResolution

1.Negotiation

IncaseofanydisputearisingoutoforinconnectionwiththisContract,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiationwithin[numberofdays]daysaftertheoccurrenceofthedispute.

2.ArbitrationorLitigation
