I.Introduction

PartyAdesirestoengagePartyBtoprovideengineeringservicesforaspecificproject,andPartyBagreestoundertakesuchservicesinaccordancewiththetermsandconditionsofthisAgreement.

II.ScopeofWork

A.ProjectDescription

PartyBshallprovideprehensiveengineeringservicesforthe[ProjectName],whichincludesbutisnotlimitedtothefollowingaspects:

1.EngineeringDesign:PartyBshallberesponsibleforthedesignoftheentireproject,includingbutnotlimitedtoarchitecturaldesign,structuraldesign,electricaldesign,mechanicaldesign,andplumbingdesign.Thedesignshallplywithallrelevantnationalandlocalbuildingcodes,regulations,andstandards.

2.EngineeringConsultation:PartyBshallprovideprofessionalengineeringconsultationservices,includingfeasibilitystudies,projectplanning,costestimation,andriskassessment.PartyBshallofferexpertadviceandrmendationstoassistPartyAinmakinginformeddecisionsthroughouttheprojectlifecycle.

3.ProjectManagement:PartyBshallmanagetheentireprojectfromstarttofinish,includingcoordinatingwithsubcontractors,suppliers,andotherrelevantparties.PartyBshallberesponsibleforensuringthattheprojectispletedontime,withinbudget,andtotherequiredqualitystandards.PartyBshalldevelopandimplementaprojectmanagementplan,whichshallincludeprojectschedules,costcontrolmeasures,qualitycontrolprocedures,andriskmanagementstrategies.

4.ConstructionSupervision:PartyBshallprovideonsiteconstructionsupervisionservicestoensurethattheconstructionworkiscarriedoutinaccordancewiththeapproveddesignplansandspecifications.PartyBshallinspecttheconstructionquality,monitortheconstructionprogress,andresolveanyconstructionrelatedissuesthatmayarise.PartyBshallprepareregularprogressreportsandsubmitthemtoPartyA.

B.Deliverables

1.DesignDrawingsandDocuments:PartyBshalldeliveralldesigndrawings,specifications,andotherrelevantdocumentsinaccordancewiththeagreeduponschedule.Thedesigndrawingsanddocumentsshallbeaccurate,plete,andinpliancewithallrelevantcodesandregulations.

2.ProjectReports:PartyBshallprepareandsubmitregularprojectreports,includingfeasibilitystudies,projectplans,progressreports,andfinalprojectreports.Theprojectreportsshallprovidedetailedinformationontheprojectstatus,progress,andanyissuesorchallengesencountered.

3.OtherDeliverables:PartyBshalldeliveranyotherdeliverablesasrequiredbythisAgreementorasagreeduponbytheparties.

III.RightsandObligationsoftheParties

A.RightsofPartyA

1.ReviewandApproval:PartyAshallhavetherighttoreviewandapprovealldesigndrawings,specifications,andotherdeliverablesprovidedbyPartyB.PartyAshallprovidewrittenfeedbackandmentswithintheagreedupontimeframe,andPartyBshallmakeanynecessaryrevisionsbasedonPartyA'sfeedback.

2.InspectionandSupervision:PartyAshallhavetherighttoinspecttheprojectsiteandreviewtheprogressoftheprojectatanytime.PartyAshallalsohavetherighttorequestPartyBtoprovideadditionalinformationorreportsasneeded.

3.Termination:PartyAshallhavetherighttoterminatethisAgreementintheeventofamaterialbreachbyPartyBoriftheprojectcannotbepletedforanyreason.Insuchcases,PartyAshallbeentitledtorecoveranydamagessufferedasaresultofthetermination.

B.RightsofPartyB

1.Payment:PartyBshallhavetherighttoreceivepaymentfromPartyAinaccordancewiththepaymenttermsofthisAgreement.

2.AccesstoInformation:PartyBshallhavetherighttoaccessallrelevantinformationanddataprovidedbyPartyAforthepurposeofperformingitsobligationsunderthisAgreement.

3.Subcontracting:PartyBshallhavetherighttosubcontractanypartoftheworktothirdparties,providedthatPartyBshallremainresponsiblefortheoverallmanagementandperformanceoftheproject.

C.ObligationsofPartyA

1.ProvideInformation:PartyAshallprovidePartyBwithallrelevantinformationanddatanecessaryforPartyBtoperformitsobligationsunderthisAgreementinatimelymanner.PartyAshallberesponsiblefortheaccuracyandpletenessoftheinformationprovided.

2.MakePayments:PartyAshallmakepaymentstoPartyBinaccordancewiththepaymenttermsofthisAgreement.PartyAshallpayallinvoiceswithintheagreedupontimeframe.

3.CooperatewithPartyB:PartyAshallcooperatewithPartyBandprovideanynecessaryassistanceorsupporttoenablePartyBtoperformitsobligationsunderthisAgreement.PartyAshallalsoensurethatitsemployees,agents,andcontractorscooperatewithPartyB.

D.ObligationsofPartyB

1.ProfessionalCompetence:PartyBshallperformitsserviceswiththehighestdegreeofprofessionalskill,care,anddiligence.PartyBshallensurethatitsemployeesandsubcontractorsarequalifiedandexperiencedintherelevantfieldsofengineering.

2.CompliancewithLawsandRegulations:PartyBshallplywithallapplicablelaws,regulations,andstandardsintheperformanceofitsobligationsunderthisAgreement.PartyBshallobtainallnecessarypermitsandapprovalsrequiredfortheproject.

3.Confidentiality:PartyBshallmaintaintheconfidentialityofallinformationanddataprovidedbyPartyAorobtainedinthecourseofperformingitsobligationsunderthisAgreement.PartyBshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA.

4.Insurance:PartyBshallobtainandmaintainallnecessaryinsurancecoveragefortheproject,includingbutnotlimitedtoliabilityinsurance,propertyinsurance,andworkers'pensationinsurance.PartyBshallprovidePartyAwithevidenceofinsurancecoverageuponrequest.

5.Warranty:PartyBshallwarrantthatalldeliverablesprovidedunderthisAgreementshallbefreefromdefectsandshallmeettherequirementsofthisAgreementandallrelevantcodesandregulations.PartyBshallprovideawarrantyperiodforthedeliverables,andshallberesponsibleforrepairingorreplacinganydefectivedeliverablesduringthewarrantyperiod.

IV.PaymentTerms

A.TotalContractAmount

ThetotalcontractamountfortheengineeringservicesprovidedbyPartyBunderthisAgreementshallbe[Amountinwords](infigures:[Amount]).

B.PaymentSchedule

1.AdvancePayment:PartyAshallpayPartyBanadvancepaymentof[Percentage]%ofthetotalcontractamountwithin[NumberofDays]daysaftertheexecutionofthisAgreement.TheadvancepaymentshallbeusedbyPartyBtocovertheinitialcostsoftheproject.

2.InterimPayments:PartyAshallmakeinterimpaymentstoPartyBbasedontheprogressoftheproject.PartyBshallsubmitmonthlyprogressreportstoPartyA,andPartyAshallreviewandapprovethereportswithin[NumberofDays].Basedontheapprovedprogressreports,PartyAshallpayPartyB[Percentage]%oftheamountpletedduringthemonthwithin[NumberofDays]daysaftertheapprovaloftheprogressreports.

3.FinalPayment:PartyAshallmakethefinalpaymenttoPartyBwithin[NumberofDays]daysafterthepletionandacceptanceoftheproject.Thefinalpaymentshallbeequaltothetotalcontractamountminusthesumofallpreviouspaymentsmade.

C.Invoices

PartyBshallsubmitinvoicestoPartyAonamonthlybasis.Theinvoicesshallincludeadetaileddescriptionoftheworkperformed,theamountdue,andthepaymentterms.PartyAshallpayallinvoiceswithintheagreedupontimeframe.

V.DurationoftheAgreement

ThisAgreementshallmenceonthedateofexecutionbybothpartiesandshallcontinueuntilthepletionandacceptanceoftheproject,unlessterminatedearlierinaccordancewiththetermsofthisAgreement.

VI.Termination

A.TerminationbyAgreement

BothpartiesmayterminatethisAgreementbymutualwrittenagreementatanytime.

B.TerminationforBreach

1.MaterialBreach:EitherpartymayterminatethisAgreementintheeventofamaterialbreachbytheotherparty.Amaterialbreachshallinclude,butisnotlimitedto,failuretoperformanyobligationunderthisAgreement,failuretomakepaymentswhendue,orviolationofanyapplicablelawsorregulations.

2.NoticeofBreach:ThepartyseekingtoterminatethisAgreementforbreachshallprovidewrittennoticetotheotherpartyspecifyingthenatureanddetailsofthebreach.Thenoticeshallgivethebreachingparty[NumberofDays]daystocurethebreach.Ifthebreachingpartyfailstocurethebreachwithinthespecifiedtimeframe,thenonbreachingpartymayterminatethisAgreement.

C.ConsequencesofTermination

1.PaymentforWorkPerformed:UponterminationofthisAgreement,PartyAshallpayPartyBforallworkperformeduptothedateofterminationinaccordancewiththepaymenttermsofthisAgreement.

2.ReturnofDocumentsandProperty:PartyBshallreturnalldocuments,drawings,andotherpropertyprovidedbyPartyAorobtainedinthecourseofperformingitsobligationsunderthisAgreement.

3.ReleasefromLiability:UponterminationofthisAgreement,bothpartiesshallbereleasedfromanyfurtherobligationsunderthisAgreement,exceptforanyobligationsthathaveaccruedpriortothedateoftermination.

VII.LiabilityandIndemnification

A.LiabilityofPartyB

PartyBshallbeliableforanydamages,losses,orclaimsarisingoutoforinconnectionwithitsperformanceoftheservicesunderthisAgreement.PartyBshallindemnifyandholdharmlessPartyA,itsemployees,agents,andcontractorsfromandagainstanyandallsuchdamages,losses,orclaims.

B.LiabilityofPartyA

PartyAshallbeliableforanydamages,losses,orclaimsarisingoutoforinconnectionwithitsfailuretoprovidethenecessaryinformationorcooperationasrequiredbythisAgreement.PartyAshallindemnifyandholdharmlessPartyB,itsemployees,agents,andcontractorsfromandagainstanyandallsuchdamages,losses,orclaims.

C.Indemnification

Eachpartyshallindemnifyandholdharmlesstheotherpartyfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingbutnotlimitedtoattorneys'fees,courtcosts,andsettlementamounts)arisingoutoforinconnectionwithanybreachofthisAgreementbysuchpartyoritsemployees,agents,orcontractors.

VIII.Confidentiality

A.ConfidentialInformationDefined

"ConfidentialInformation"shallmeananyinformationordataprovidedbyeitherpartytotheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtodesigndrawings,specifications,projectplans,costestimates,businesssecrets,andcustomerinformation.

B.ObligationtoMaintainConfidentiality

BothpartiesshallmaintaintheconfidentialityoftheConfidentialInformationandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.EachpartyshalltakeallreasonablemeasurestoprotecttheconfidentialityoftheConfidentialInformation,includingbutnotlimitedtoimplementingsecuritypoliciesandprocedures,restrictingaccesstotheConfidentialInformationtoauthorizedpersonnelonly,andusingconfidentialityagreementswithitsemployees,agents,andcontractors.

C.ExceptionstoConfidentiality

Theobligationtomaintainconfidentialityshallnotapplytoanyinformationordatathat:

1.Isalreadyinthepublicdomain;

2.Islawfullyobtainedbythereceivingpartyfromathirdpartywithoutanyobligationofconfidentiality;

3.Isrequiredtobedisclosedbylaworcourtorder;or

4.Isdisclosedbythereceivingpartytoitslegaladvisors,accountants,orotherprofessionaladvisorsforthepurposeofobtaininglegaladviceorconductinganaudit,providedthatsuchadvisorsarealsoboundbyconfidentialityobligations.

Ix.DisputeResolution

A.Negotiation

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.Thepartiesshallappointarepresentativetomeetwithin[NumberofDays]daysofthenoticeofdisputetodiscussandattempttoresolvetheissue.

B.Mediation

Ifthepartiesareunabletoresolvethedisputethroughnegotiationwithin[NumberofDays],eitherpartymayrequestmediation.Themediationshallbeconductedinaccordancewiththerulesof[MediationInstitution]oranyothermutuallyagreeduponmediationprocedure.Thepartiesshallparticipateinthemediationprocessingoodfaithandshallmakeeveryefforttoreachamutuallyacceptablesettlement.

C.Arbitration

Ifthedisputeremainsunresolvedaftermediation,thepartiesshallsubmitthedisputetoarbitrationinaccordancewiththerulesof[ArbitrationInstitution].Thearbitrationshallbeconductedin[ArbitrationLocation],andthelanguageofthearbitrationshallbe[Language].Thearbitralawardshallbefinalandbindingonbothparties.

D.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
