委托加工協(xié)議合同英文版?ThisEntrustedProcessingAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:PartyA:Name:[CompanyNameofPartyA]Address:[AddressofPartyA]LegalRepresentative:[NameofLegalRepresentativeofPartyA]PartyB:Name:[CompanyNameofPartyB]Address:[AddressofPartyB]LegalRepresentative:[NameofLegalRepresentativeofPartyB]I.SubjectMatterofEntrustmentPartyAherebyentrustsPartyBtoprocessthefollowinggoods(the"Goods"):1.DescriptionofGoods:[ProvidedetaileddescriptionoftheGoods,includingname,model,specifications,quantity,etc.].Forexample,ifitisaclothingitem,describethestyle,fabric,color,sizerange,andthequantityofeachsizerequired.TheGoodsshallplywiththequalitystandardsspecifiedinAttachment[x]tothisAgreement.2.PurposeofProcessing:TheprocessedGoodsshallbeusedbyPartyAfor[specificpurpose,e.g.,saleindomesticmarket,exporttocertainregions,etc.].II.RightsandObligationsofthePartiesA.RightsandObligationsofPartyA1.RighttoInspectandSupervise:PartyAhastherighttoinspecttheprocessingprogressandqualityoftheGoodsatanytimeduringtheprocessingperiod.PartyAmayappointrepresentativestovisitPartyB'sproductionsitetoconductinspectionsandprovidenecessaryguidanceandrequirements.2.ProvideNecessaryInformationandMaterials:PartyAshallprovidePartyBwithallthenecessaryinformation,drawings,samples,andmaterialsrequiredfortheprocessingoftheGoodsinatimelymanner.PartyAshallensuretheaccuracyandpletenessoftheprovidedinformationandmaterials.IfPartyAfailstoprovidethenecessaryinformationormaterialsinatimelymanner,resultingindelaysinprocessingorqualityissues,PartyAshallbearthecorrespondingresponsibilities.3.AccepttheProcessedGoods:PartyAshallaccepttheprocessedGoodsinaccordancewiththetermsandconditionsofthisAgreement.PartyAshallconductinspectionsonthequantity,quality,andspecificationsoftheGoodswithin[numberofdays]daysafterreceivingthenoticefromPartyBthattheGoodsarereadyfordelivery.IfPartyAfailstoconducttheinspectionswithinthespecifiedtimelimit,itshallbedeemedtohaveacceptedtheGoodsingoodcondition.4.PaymentObligation:PartyAshallpayPartyBtheprocessingfeesandotherexpensesinaccordancewiththepaymenttermsspecifiedinthisAgreement.B.RightsandObligationsofPartyB1.ComplywithLawsandRegulations:PartyBshallplywithallapplicablelaws,regulations,andindustrystandardsintheprocessofprocessingtheGoods.PartyBshallensurethattheprocessingactivitiesarecarriedoutinalegal,pliant,andethicalmanner.2.UsetheProvidedInformationandMaterialsProperly:PartyBshallusetheinformation,drawings,samples,andmaterialsprovidedbyPartyAonlyforthepurposeofprocessingtheGoodsunderthisAgreementandshallnotdiscloseorusethemforanyotherunauthorizedpurposes.PartyBshalltakereasonablemeasurestoprotecttheconfidentialityoftheinformationandmaterialsprovidedbyPartyA.3.PerformProcessinginaProfessionalManner:PartyBshallprocesstheGoodswithduecare,skill,anddiligenceinaccordancewiththequalitystandardsandprocessingrequirementsspecifiedinthisAgreement.PartyBshalluseappropriateequipment,technology,andprocessestoensurethequalityoftheprocessedGoods.PartyBshallberesponsibleforanyqualityissuesarisingfromitsprocessingactivities.4.NotifyPartyAofProgressandIssues:PartyBshallnotifyPartyAinwritingoftheprocessingprogressandanyissuesorproblemsthatmayaffectthedeliveryoftheGoodsinatimelymanner.PartyBshallcooperatewithPartyAtoresolveanyissuespromptlytoensurethesmoothprogressoftheprocessinganddelivery.5.DelivertheProcessedGoodsonTime:PartyBshalldelivertheprocessedGoodstothedeliverylocationspecifiedbyPartyAwithinthedeliveryperiodagreeduponinthisAgreement.PartyBshallberesponsibleforthetransportation,packaging,andinsuranceoftheGoodsduringthedeliveryprocess.IfPartyBfailstodelivertheGoodsontime,itshallbeliableforanylossesanddamagescausedtoPartyAasaresultofthedelay.III.ProcessingFeesandPaymentTerms1.ProcessingFees:Thetotalprocessingfeesforthisentrustedprocessingshallbe[amountincurrency].Theprocessingfeesshallbecalculatedbasedonthequantity,plexity,andprocessingrequirementsoftheGoods.2.PaymentTerms:PartyAshallpay[percentage]%oftheprocessingfeesasanadvancepaymenttoPartyBwithin[numberofdays]daysaftersigningthisAgreement.TheremainingprocessingfeesshallbepaidbyPartyAtoPartyBwithin[numberofdays]daysafterPartyAacceptstheprocessedGoods.3.PaymentMethod:Paymentshallbemadeby[paymentmethod,e.g.,banktransfer,cheque,etc.].PartyBshallprovidePartyAwithavalidinvoicefortheprocessingfeeswithin[numberofdays]daysafterreceivingeachpayment.IV.QualityControlandInspection1.QualityStandards:TheprocessedGoodsshallmeetthequalitystandardsspecifiedinAttachment[x]tothisAgreement.Thequalitystandardsshallincludebutnotbelimitedtoproductspecifications,performancerequirements,appearancequality,andsafetystandards.2.InspectionProcedures:PartyBshallconductselfinspectionsontheGoodsduringtheprocessingprocesstoensurethattheymeetthequalitystandards.Aftertheprocessingispleted,PartyBshallnotifyPartyAtoconductinspections.PartyAshallhavetherighttoconductrandominspectionsorfullinspectionsontheGoodsatPartyB'sproductionsiteoratthedeliverylocation.Ifanyqualityissuesarefoundduringtheinspections,PartyBshallberesponsibleformakingcorrectionsorreplacementsatitsownexpensewithinthespecifiedtimelimit.3.Warranty:PartyBwarrantsthattheprocessedGoodsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[warrantyperiod]monthsfromthedateofdelivery.Duringthewarrantyperiod,ifanyqualityissuesarefoundduetoPartyB'sprocessingreasons,PartyBshallberesponsibleforprovidingfreerepairs,replacements,orrefundsasrequiredbyPartyA.V.IntellectualPropertyRights1.OwnershipofIntellectualProperty:AllintellectualpropertyrightsrelatedtotheGoods,includingbutnotlimitedtopatents,trademarks,copyrights,anddesigns,shallremainthepropertyofPartyA.PartyBshallnotclaimanyrightstotheintellectualpropertyoftheGoods.2.NonUseofIntellectualPropertyforUnauthorizedPurposes:PartyBshallnotusetheintellectualpropertyoftheGoodsforanyunauthorizedpurposesotherthantheprocessinganddeliveryunderthisAgreement.PartyBshallnotdisclose,transfer,orlicensetheintellectualpropertyoftheGoodstoanythirdpartywithoutthepriorwrittenconsentofPartyA.VI.Confidentiality1.ConfidentialInformationDefined:BothpartiesacknowledgethatinthecourseofperformingthisAgreement,theymayhaveaccesstoeachother'sconfidentialinformation,includingbutnotlimitedtobusinesssecrets,technicalinformation,customerinformation,andprocessingdetails.2.ObligationtoKeepConfidential:Eachpartyshallkeeptheotherparty'sconfidentialinformationconfidentialandshallnotdisclose,use,orpermitanythirdpartytousesuchconfidentialinformationwithoutthepriorwrittenconsentoftheotherparty.ThisobligationofconfidentialityshallsurvivetheterminationorexpirationofthisAgreement.3.ExceptionstoConfidentialityObligation:Theobligationofconfidentialityshallnotapplytoinformationthat:Isorbespubliclyavailablethroughnofaultofthereceivingparty;Isrequiredtobedisclosedbylaworbyacourtorder;Isindependentlydevelopedbythereceivingpartywithoutreferencetotheotherparty'sconfidentialinformation;Isdisclosedtothereceivingpartybyathirdpartywhohastherighttodisclosesuchinformation.VII.TermandTermination1.TermofAgreement:ThisAgreementshalleintoforceasofthedateofsigningbybothpartiesandshallremainineffectforaperiodof[numberofmonths/years]unlessterminatedearlierinaccordancewiththetermsofthisAgreement.2.TerminationbyAgreement:BothpartiesmayterminatethisAgreementbymutualwrittenagreementatanytime.3.TerminationforBreach:IfeitherpartybreachesanyofthetermsandconditionsofthisAgreement,thenonbreachingpartyshallhavetherighttoterminatethisAgreementbygivingwrittennoticetothebreachingparty.Thebreachingpartyshallbeliableforanylossesanddamagescausedtothenonbreachingpartyasaresultofthebreach.4.ConsequencesofTermination:UponterminationofthisAgreement,bothpartiesshallimmediatelyceaseallactivitiesrelatedtothisAgreement.PartyBshallreturnallinformation,materials,andprocessedGoodsinitspossessiontoPartyAwithin[numberofdays]daysaftertermination.PartyAshallpayPartyBanyprocessingfeesthathavebedueandpayableuptothedateofterminationinaccordancewiththepaymenttermsofthisAgreement.VIII.LiabilityandIndemnification1.LiabilityforBreach:EachpartyshallbeliableforanylossesanddamagescausedtotheotherpartyasaresultofitsbreachofthisAgreement.Theliabilityofeachpartyshallbelimitedtothedirectlossesanddamagessufferedbytheotherpartyandshallnotincludeanyindirect,consequential,special,orpunitivedamages.2.Indemnification:Intheeventthateitherpartyissuedorotherwiseheldliableforanyclaims,losses,damages,orexpensesarisingoutoforinconnectionwiththisAgreement,theindemnifyingpartyshallindemnifyandholdtheindemnifiedpartyharmlessfromandagainstallsuchclaims,losses,damages,andexpenses,includingreasonablelegalfeesandcosts.Ix.DisputeResolution1.Negotiation:IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.2.ArbitrationorLitigation:Ifthepartiesareunabletoresolvethedisputethroughnegotiationwithin[numberofdays]days,eitherpartymaysubmitthedisputeto[arbitrationinstitution/court]forarbitrationorlitigationinaccordancewiththeapplicablelawsandregulations.x.Miscellaneous1.EntireAgreement:ThisAgreementconstitutesth
