2.**EmploymentofAgent**

TheEmployerherebyemploystheAgentasitsexclusiveagenttomarketandselltheProducts/ServiceswithintheTerritoryduringtheTerm,subjecttothetermsandconditionssetforthinthisAgreement.

3.**ObligationsoftheAgent**

TheAgentshall:

a)ActwithduediligenceandskillinthemarketingandsaleoftheProducts/ServiceswithintheTerritory;

b)Complywithallapplicablelaws,regulations,andstandardsoftheTerritory;

c)MaintainandpromotetheEmployer’sreputationandbrand;

d)ProvidetheEmployerwithregularreportsofitsactivitiesandperformance;

e)KeepconfidentialallConfidentialInformationdisclosedbytheEmployer;

f)NotengageinanyactivitiesthatwouldbedetrimentaltotheEmployer’sbusinessorreputation.

4.**ObligationsoftheEmployer**

TheEmployershall:

a)ProvidetheAgentwithallnecessarymarketingmaterials,productinformation,andsupportrequiredtoperformitsdutiesunderthisAgreement;

b)PaytheAgenttheCommissiononamonthlybasisforallGrossSalesgeneratedbytheAgentwithintheTerritoryduringthereportingperiod;

c)MaintainthequalityoftheProducts/ServicesofferedtocustomersintheTerritory;

d)ProvidetheAgentwithadetailedcommissionstatementuponrequest;

e)KeepconfidentialallConfidentialInformationdisclosedbytheAgent.

5.**PaymentofCommission**

6.**TermandTermination**

6.**Employer'sObligations**
