1.SubjectMatter

PartyAagreestoprovidePartyBwiththefollowingservices(hereinafterreferredtoasthe"Services"):

2.RightsandObligationsoftheParties

2.1PartyA'sRightsandObligations

PartyAshallhavetherighttoreceivetheagreeduponpensationfortheServicesprovidedinaccordancewiththisContract.

PartyAhastherighttoaccessPartyB'srelevantinformationanddatanecessaryfortheperformanceoftheServices,providedthatsuchaccessisinpliancewithapplicablelawsandconfidentialityobligations.

Obligations

PartyAshallperformtheServiceswithreasonablecare,skill,anddiligenceinaccordancewithindustrystandardsandbestpractices.

PartyAshalldelivertheServiceswithintheagreedupontimeframesandmeetallthequalityrequirementsandspecificationssetforthinthisContract.

PartyAshallkeepconfidentialallinformationobtainedfromPartyBduringtheperformanceoftheServicesandshallnotdiscloseittoanythirdpartywithoutPartyB'spriorwrittenconsent,exceptasrequiredbylaw.

2.2PartyB'sRightsandObligations

Rights

PartyBshallhavetherighttoreceivetheServicesasdescribedinthisContractandtorequirePartyAtocorrectanydeficienciesornonpliancewiththeContractterms.

PartyBhastherighttoreviewandprovidefeedbackontheprogressanddeliverablesoftheServices,subjecttotheoverallscheduleandperformancerequirementsoftheContract.

Obligations

PartyBshallcooperatewithPartyAbyprovidingallnecessaryinformation,access,andassistancerequiredfortheperformanceoftheServicesinatimelymanner.

PartyBshallpayPartyAtheagreeduponfeesfortheServicesinaccordancewiththepaymenttermsspecifiedinthisContract.

PartyBshallberesponsiblefortheaccuracyandpletenessoftheinformationprovidedtoPartyAforthepurposeofperformingtheServices.

3.CompensationandPaymentTerms

3.1Compensation

PartyBshallpayPartyAatotalpensationof[AmountinCurrency]fortheServicesprovidedunderthisContract.

3.2PaymentTerms

Paymentshallbemadeinthefollowinginstallments:

4.Confidentiality

4.1ConfidentialInformationDefined

ForthepurposesofthisContract,"ConfidentialInformation"shallincludeanyandallinformationdisclosedbyeitherpartytotheotherpartyinconnectionwiththeperformanceofthisContract,includingbutnotlimitedtobusinessplans,technicalknowhow,customerlists,financialinformation,andanyothernonpublicinformation.

4.2ConfidentialityObligations

EachpartyshallmaintaintheconfidentialityoftheConfidentialInformationoftheotherpartyandshallnotdisclose,use,orpermittheuseofsuchConfidentialInformationforanypurposeotherthantheperformanceofthisContract.

EachpartyshalltakereasonablemeasurestoprotecttheconfidentialityoftheConfidentialInformation,atleastasprotectiveasthemeasuresittakestoprotectitsownconfidentialinformationofasimilarnature.

ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisContractforaperiodof[ConfidentialityDurationinYears]years.

5.IntellectualPropertyRights

5.1OwnershipofIntellectualProperty

AnyintellectualpropertyrightscreatedordevelopedbyPartyAinthecourseofperformingtheServicesunderthisContractshallbethesolepropertyofPartyA,unlessotherwiseagreedinwriting.

PartyBshallnotclaimanyownershiprightsoversuchintellectualproperty,exceptfortherighttousetheintellectualpropertysolelyforthepurposeofreceivingandusingtheServicesprovidedunderthisContract.

5.2LicensetoUse

PartyAherebygrantsPartyBanonexclusive,nontransferablelicensetouseanyintellectualpropertyrightsofPartyAthatarenecessaryforPartyBtousetheServicesasprovidedinthisContract.ThislicenseshallbelimitedtothescopeanddurationofPartyB'suseoftheServicesandshallnotextendtoanyotherpurposeorthirdparty.

6.TermandTermination

6.1Term

ThisContractshallmenceonthedateofsigningandshallremaininforceforaperiodof[ContractDurationinYears/Months]unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

6.2Termination

TerminationbyAgreement:EitherpartymayterminatethisContractbywrittenagreementwiththeotherpartyatanytime.

TerminationforBreach:IfeitherpartymateriallybreachesanyprovisionofthisContractandfailstocuresuchbreachwithin[NumberofDays]daysafterreceivingwrittennoticeofthebreachfromthenonbreachingparty,thenonbreachingpartymayterminatethisContractimmediately.

TerminationuponInsolvencyorBankruptcy:Ifeitherpartybesinsolvent,bankrupt,orissubjecttoanyproceedingsforinsolvencyorbankruptcy,theotherpartymayterminatethisContractimmediately.

6.3ConsequencesofTermination

UponterminationofthisContract,bothpartiesshallimmediatelyceaseallactivitiesrelatedtotheperformanceofthisContract,exceptasrequiredtowindupanyunfinishedbusinessinaproperandorderlymanner.

PartyBshallpayPartyAforallServicesthathavebeenfullyperformeduptothedateofterminationinaccordancewiththepaymenttermsofthisContract.

Anyrightsandobligationsthatareintendedtosurvivetermination,suchasconfidentialityobligationsandpaymentobligationsforpletedservices,shallremaininforce.

7.WarrantyandLiability

7.1Warranty

PartyAwarrantsthattheServicesprovidedunderthisContractshallbeperformedinaccordancewithapplicablelaws,industrystandards,andthespecificationsandrequirementssetforthinthisContract.

PartyArepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisContractandtoperformtheServiceshereunder,andthattheperformanceoftheServiceswillnotinfringeupontheintellectualpropertyrightsorotherrightsofanythirdparty.

7.2Liability

LimitedLiability:Innoeventshalleitherpartybeliabletotheotherpartyforanyindirect,special,consequential,orpunitivedamages,includingbutnotlimitedtolossofprofits,lossofdata,orbusinessinterruption,evenifsuchpartyhasbeenadvisedofthepossibilityofsuchdamages.

DirectLiability:Eachpartyshallbeliableforitsowndirectdamagescausedbyitsownnegligence,willfulmisconduct,orbreachofthisContract.PartyA'sliabilityfordirectdamagesshallbelimitedtothetotalamountofthepensationreceivedbyPartyAunderthisContractfortherelevantServices,unlessotherwisedeterminedbyacourtofpetentjurisdiction.
