I.Introduction

III.RightsandObligationsoftheParties

A.RightsandObligationsofPartyA

PartyAshallsupplytheSubjectMatterinaccordancewiththetermsandconditionsofthisAgreement.PartyAwarrantsthattheSubjectMattershallbefreefromdefectsinmaterialsandworkmanshipandshallconformtothespecificationsandqualitystandardssetforthherein.

2.TitleandWarranty

PartyAshalltransfergoodandmarketabletitletotheSubjectMattertoPartyBupondelivery.PartyAshallprovideawarrantyfortheSubjectMatterforaperiodof[warrantyperiod]fromthedateofdelivery.Duringthewarrantyperiod,PartyAshall,atitsownexpense,repairorreplaceanydefectivepartsorponentsoftheSubjectMatter.

3.CompliancewithLawsandRegulations

PartyAshallensurethatthesupplyoftheSubjectMatterplieswithallapplicablelaws,regulations,andindustrystandards.PartyAshallindemnifyandholdPartyBharmlessfromanyclaims,losses,damages,orliabilitiesarisingoutofPartyA'sfailuretoplywithsuchlawsandregulations.

4.Documentation

PartyAshallprovidePartyBwithallnecessarydocumentationrelatedtotheSubjectMatter,includingbutnotlimitedtoproductmanuals,certificatesoforigin,qualityinspectionreports,andinstallationinstructions.

B.RightsandObligationsofPartyB

1.Payment

PartyBshallpayPartyAthetotalcontractpriceof[contractamount]inaccordancewiththepaymenttermssetforthbelow:

AdvancePayment:PartyBshallpay[advancepaymentamount]asanadvancepaymenttoPartyAwithin[advancepaymentperiod]daysaftertheexecutionofthisAgreement.

2.InspectionandAcceptance

PartyBshallusetheSubjectMattersolelyforthepurposespermittedbythisAgreementandshallnotuseitforanyotherunauthorizedpurpose.PartyBshallkeepconfidentialallinformationrelatedtotheSubjectMatterandthisAgreementthatisdisclosedtoitbyPartyA.PartyBshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA.

4.CompliancewithLawsandRegulations

PartyBshallensurethatitsuseoftheSubjectMatterplieswithallapplicablelaws,regulations,andindustrystandards.PartyBshallindemnifyandholdPartyAharmlessfromanyclaims,losses,damages,orliabilitiesarisingoutofPartyB'sfailuretoplywithsuchlawsandregulations.

IV.PaymentTerms

1.PaymentMethods

2.LatePayment

3.ShippingandPackaging

PartyAshallarrangefortheshippingandpackagingoftheSubjectMatterinamannerthatensuresitssafetransportation.PartyAshalluseappropriatepackagingmaterialsandmethodstoprotecttheSubjectMatterfromdamageduringtransit.

VI.IntellectualPropertyRights

1.Ownership

PartyAwarrantsthatithastherighttosupplytheSubjectMatterandthattheSubjectMatterdoesnotinfringeontheintellectualpropertyrightsofanythirdparty.PartyAshallindemnifyandholdPartyBharmlessfromanyclaims,losses,damages,orliabilitiesarisingoutofanyinfringementofintellectualpropertyrightsrelatedtotheSubjectMatter.

2.UseandLicensing

Unlessotherwiseagreedinwriting,PartyBshallnothavetherighttosublicense,assign,ortransferanyrightsrelatedtotheSubjectMatter.PartyBshallusetheSubjectMatterinaccordancewiththetermsofthisAgreementandshallnotuseittodeveloporcreateanyderivativeworkswithoutthepriorwrittenconsentofPartyA.

VII.Confidentiality

1.ConfidentialInformationDefined

ForthepurposesofthisAgreement,"ConfidentialInformation"shallincludeallinformationrelatedtotheSubjectMatter,thisAgreement,andthebusinessoperationsoftheParties,whetherdisclosedorally,inwriting,orbyanyothermeans.

2.ObligationtoKeepConfidential

EachPartyshallkeeptheConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.ThisobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[confidentialityperiod]years.

3.Exceptions

Thisconfidentialityobligationshallnotapplytoinformationthat:

Isalreadyinthepublicdomain;

IslawfullyobtainedbythereceivingPartyfromathirdpartywithoutanyobligationofconfidentiality;

Isrequiredtobedisclosedbylaworbyacourtorder;or

IsdisclosedbythereceivingPartytoitslegal,accounting,orotherprofessionaladvisorsinconnectionwiththeevaluationorperformanceofitsobligationsunderthisAgreement,providedthatsuchadvisorsarealsoboundbyconfidentialityobligations.

VIII.TermandTermination

1.Term

ThisAgreementshallmenceonthedateofexecutionandshallremaininforceforaperiodof[agreementterm]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

2.TerminationbyAgreement

ThePartiesmayterminatethisAgreementbymutualwrittenagreementatanytime.

3.TerminationforBreach

IfeitherPartybreachesanymaterialtermofthisAgreementandfailstocuresuchbreachwithin[cureperiod]daysafterreceivingwrittennoticefromtheotherParty,thenonbreachingPartyshallhavetherighttoterminatethisAgreementbygivingwrittennoticetothebreachingParty.

4.EffectofTermination

UponterminationofthisAgreement,thePartiesshallimmediatelyceaseallactivitiesrelatedtothisAgreement.PartyBshallreturntoPartyAanyundeliveredSubjectMatterinitspossession,andPartyAshallrefundtoPartyBanyprepaidamountsthathavenotbeenearnedasofthedateoftermination.

Ix.ForceMajeure

1.DefinitionofForceMajeure

"ForceMajeure"shallmeananyeventorcircumstancethatisbeyondthereasonablecontrolofaPartyandthatpreventssuchPartyfromperformingitsobligationsunderthisAgreement,includingbutnotlimitedtonaturaldisasters,actsofGod,wars,strikes,lockouts,governmentregulations,andanyothersimilareventorcircumstance.

2.EffectofForceMajeure

IfaPartyisunabletoperformitsobligationsunderthisAgreementduetoForceMajeure,suchPartyshallnotbeliableforanybreachofthisAgreementcausedbysuchForceMajeureevent.However,theaffectedPartyshallnotifytheotherPartyinwritingassoonaspossibleaftertheoccurrenceoftheForceMajeureeventandshalltakeallreasonabl
