2025b.購(gòu)銷(xiāo)合同補(bǔ)償協(xié)議（英文）PURCHASEANDSALECONTRACTAMENDMENTAGREEMENTContractNo.:2025BThisPurchaseandSaleContractAmendmentAgreement(hereinafterreferredtoasthe"Agreement")isenteredintoonthisdayof,2025,byandbetween:Seller:NameofSeller:Address:Phone:Email:Buyer:NameofBuyer:Address:Phone:Email:RECITALSWHEREAS,thepartiesheretohaveenteredintoaPurchaseandSaleContract(the"OriginalContract")datedon,2025,forthesupplyofgoodsorservices(the"Products/Services");ANDWHEREAS,itismutuallyagreedbythepartiestoamendcertaintermsandconditionsoftheOriginalContracttoreflectthe新的商業(yè)條款and;NOW,THEREFORE,thepartiesagreeasfollows:1.AMENDMENTOFTERMSANDCONDITIONS1.1GoodsorServicesTheProducts/ServicestobesuppliedunderthisAgreementshallbeasdetailedinExhibitA,attachedheretoandmadeanintegralpartofthisAgreement.1.2QuantityThequantityoftheProducts/ServicestobesuppliedshallbeasstatedinExhibitA.1.3PriceThepricefortheProducts/ServicesshallbeasagreeduponinExhibitB,attachedheretoandmadeanintegralpartofthisAgreement.1.4PaymentTermsTheBuyershallpaytheSellerinaccordancewiththetermsoutlinedinExhibitB.AllpaymentsshallbemadeinaccordancewiththecurrencyandmethodspecifiedinExhibitB.1.5DeliveryTermsTheProducts/ServicesshallbedeliveredinaccordancewiththetermsoutlinedinExhibitC,attachedheretoandmadeanintegralpartofthisAgreement.1.6WarrantiesandRepresentationsTheSellerwarrantsandrepresentsthattheProducts/Servicesshallbefreefromdefectsinmaterialandworkmanshipforaperiodofyearsfromthedateofdelivery.TheSellershallalsocomplywithallapplicablelaws,regulations,andstandardsinthemanufacturing,supply,anddeliveryoftheProducts/Services.1.7LiabilityTheSellershallbeliableforanydefectsor瑕疵intheProducts/Services,providedthattheBuyergiveswrittennoticeofsuchdefectswithindaysofdelivery.TheSellershall,atitsownexpense,repair,replace,orissuearefundforthedefectiveProducts/Services.2.ENTIREAGREEMENTTheOriginalContract,togetherwiththisAgreementandtheExhibitsattachedhereto,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof.Anyprioragreements,understandings,orrepresentations,whetheroralorwritten,aresupersededbythisAgreement.3.MISCELLANEOUS3.1GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionstatedinExhibitD,attachedhereto.3.2JurisdictionAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesstatedinExhibitD,or,ifarbitrationisnotelected,shallberesolvedinthecourtsofthejurisdictionstatedinExhibitD.3.3NoticesAllnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritinganddeliveredtotherespectiveaddressesofthepartiesassetforthhereinorasotherwisespecifiedbywrittennotice.Noticesshallbedeemedtohavebeendulygivenupondeliveryifsentbyregisteredorcertifiedmail,returnreceiptrequested,oruponconfirmationoftransmissionifsentbyemailorfacsimile.3.4AssignmentNeitherpartyshallassignortransferanyofitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty.3.5ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayisduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,strikes,orgovernmentalactions.3.6EntireAgreementClauseNoamendmentormodificationofthisAgreementshallbevalidunlessmadeinwritingandsignedbybothparties.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.Seller:Name:Title:Signature:Date:Buyer:Name:Title:Signature:Date:EXHIBITA-DESCRIPTIONOFPRODUCTS/SERVICES[DetaileddescriptionoftheProducts/Services,includingbutnotlimitedto,型號(hào),規(guī)格,數(shù)量,服務(wù)范圍,etc.]EXHIBITB-PRICINGANDPAYMENTTERMS[Detailsofpricingstructure,paymentschedule,discounts,ifany,andotherrelatedterms.]EXHIBITC-DELIVERYTERMS[Detailsofdeliveryschedule,deliverymethod,shipmentterms,andanyotherrelatedinformation.]EXHIBITD-GOVERNINGLAWANDJURISDICTION[DetailsofthegoverninglawandjurisdictionforthisAgreement,includingtherulesforarbitration
