2025版國際貿(mào)易投資合同英文范本與投資風險控制ThisInternationalTradeandInvestmentContract(hereinafterreferredtoasthe"Contract")isenteredintoon[Date]betweenthefollowingparties:PartyA:[FullNameofPartyA][LegalAddressofPartyA][RegistrationNumberofPartyA][ContactPersonofPartyA][PositionofContactPersonofPartyA]PartyB:[FullNameofPartyB][LegalAddressofPartyB][RegistrationNumberofPartyB][ContactPersonofPartyB][PositionofContactPersonofPartyB]WHEREAS,PartyAisengagedin[DescriptionofBusinessofPartyA],andPartyBisengagedin[DescriptionofBusinessofPartyB];WHEREAS,PartyAandPartyBwishtoestablishacooperativerelationshipforthepurposeofengagingininternationaltradeandinvestmentactivities;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:1.SubjectMatteroftheContractThesubjectmatterofthisContractshallbetheinternationaltradeandinvestmentactivitiesbetweenPartyAandPartyB,includingbutnotlimitedtothefollowing:a.Importandexportofgoodsandservices;b.Investmentintheestablishment,expansion,oracquisitionofenterprises;c.Transferoftechnologyandknowhow;d.Anyotheractivitiesagreeduponbothparties.2.TermoftheContract3.PerformanceObligationsa.PartyAshall:i.Providegoodsandservicesinaccordancewiththespecifications,quality,andquantityagreeduponinthisContract;ii.Ensurethatthegoodsandservicesmeettherequirementsofapplicablelawsandregulations;iii.ProvidenecessarytechnicalsupportandtrainingtoPartyBasagreedupon.b.PartyBshall:i.PayforthegoodsandservicesprovidedPartyAinaccordancewiththepaymenttermssetforthinthisContract;ii.Complywithallapplicablelawsandregulationsintheterritorywherethegoodsandservicesareused;iii.ProvidenecessarytechnicalsupportandtrainingtoPartyAasagreedupon.4.PaymentTermsa.Thepaymentforthegoodsandservicesshallbemadein[Currency]andshallbepaidinaccordancewiththefollowingterms:i.[Percentage]ofthetotalamountshallbepaiduponthesigningofthisContract;ii.[Percentage]ofthetotalamountshallbepaiduponthedeliveryofthegoodsandservices;b.Allpaymentsshallbemade[PaymentMethod],andthepaymentshallbedeemedtobereceiveduponthereceiptofthecorrespondingpaymentinstrument.5.InvestmentRiskControla.PartyAandPartyBacknowledgethattherearerisksassociatedwithinternationaltradeandinvestmentactivities.Bothpartiesagreetotakethefollowingmeasurestocontrolandmitigatesuchrisks:i.ConductthoroughduediligenceonthebusinessoftheotherpartypriortoenteringintothisContract;iii.Obtainappropriateinsurancecoveragetoprotectagainstpotentiallosses;iv.Establishcontingencyplanstoaddressunforeseenevents.b.IntheeventofadisputearisingfromtherisksassociatedwiththisContract,thepartiesagreetoseekaresolutionthroughnegotiationormediationbeforeresortingtoarbitrationorlitigation.6.IntellectualPropertyRightsa.Allintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,developedorusedinconnectionwiththisContractshallbeownedthepartythatcreatedoracquiredsuchrights.b.Thepartiesagreetoprotectandrespecteachother'sintellectualpropertyrightsandshallnotuseordisclosesuchrightswithoutthepriorwrittenconsentoftheowner.7.Confidentialitya.ThepartiesagreetokeepconfidentialallinformationdisclosedtothemtheotherpartyinconnectionwiththisContract,exceptforinformationthatisalreadypubliclyavailableorthatisrequiredtobedisclosedlaw.b.TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContract.8.ForceMajeurea.NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,orgovernmentactions.b.Theaffectedpartyshallpromptlynotifytheotherpartyoftheoccurrenceofanysucheventandshallusereasonableeffortstominimizetheimpactofsucheventontheperformanceofitsobligations.9.DisputeResolutiona.AnydisputearisingfromorinconnectionwiththisContractshallbesettledthroughfriendlynegotiationsbetweentheparties.b.Ifthepartiesfailtoreachasettlementthroughnegotiations,thedisputeshallbesubmittedto[NameofArbitrationInstitution]forarbitrationinaccordancewithitsrules.10.GeneralProvisionsa.ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.b.ThisContractmaybeamendedormodifiedonlyawrittenagreementexecutedbothparties
