ThisCompensationAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").

WHEREAS,[describetheeventsorcircumstancesleadingtotheneedforcompensation];

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

1.CompensationAmount

PartyAshallpaytoPartyBthesumof[amountinfigures]([amountinwords])(the"CompensationAmount")ascompensationfor[describethelossordamagebeingcompensated].

2.PaymentTerms

TheCompensationAmountshallbepaidbyPartyAtoPartyBinthefollowingmanner:[describethepaymentschedule,suchaslumpsumpaymentonaspecificdateorinstallmentpaymentswithdetailsofeachinstallmentamountandduedate].Paymentshallbemadeby[specifythepaymentmethod,e.g.,banktransfertoPartyB'sdesignatedaccountwiththefollowingdetails:bankname,accountnumber,routingnumber].

3.RepresentationsandWarranties

-PartyArepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtomakethepaymentshereinprovided.

-PartyBrepresentsandwarrantsthattheclaimsforwhichcompensationisbeingsoughtarevalidandhavenotbeenassignedortransferredtoanyotherpersonorentity.

4.Confidentiality

EachpartyshallkeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtothetermsofthisAgreement,thenatureoftheclaims,andanyrelatedbusinessortechnicalinformation.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreement.

5.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

6.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

7.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywayinanywaybeaffectedorimpaired.

8.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governinglawjurisdiction].

9.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrough[describethedisputeresolutionmechanism,e.g.,arbitrationin[arbitrationlocation]inaccordancewiththerulesof[arbitrationinstitution],orlitigationinthe[courtjurisdiction]].

INWITNESSWHEREOF,thepartieshaveexecutedthisCompensationAgreementasofthedatefirstabovewritten.
