LoanAgreement

ThisLoanAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[lender'sname],a[lender'sentitytype]organizedandexistingunderthelawsof[lender'sjurisdiction](the"Lender"),and[borrower'sname],a[borrower'sentitytype]organizedandexistingunderthelawsof[borrower'sjurisdiction](the"Borrower").

I.LoanAmount

TheLenderherebyagreestolendtotheBorrower,andtheBorrowerherebyagreestoborrowfromtheLender,theprincipalsumof[loanamountinfigures]([loanamountinwords])(the"LoanAmount").

II.InterestRate

TheLoanAmountshallbearinterestatanannualinterestrateof[interestratepercentage]%(the"InterestRate").InterestshallaccruefromthedateofdisbursementoftheLoanAmountandshallbecalculatedonthebasisofa[daycountconvention,e.g.,360-dayyear].

III.Repayment

1.RepaymentSchedule:TheBorrowershallrepaytheLoanAmountandaccruedinterestin[numberofinstallments]equalinstallmentsof[installmentamount]each.Thefirstinstallmentshallbedueandpayableon[firstduedate],andsubsequentinstallmentsshallbedueandpayableonthesamedayofeach[timeperiod,e.g.,month/quarter]thereafteruntiltheentireLoanAmountandallaccruedinterestarefullyrepaid.

2.Prepayment:TheBorrowermayprepayalloranypartoftheLoanAmountatanytimewithoutpenalty.AnyprepaymentshallbeappliedfirsttoaccruedinterestandthentotheprincipalbalanceoftheLoanAmount.

IV.Disbursement

TheLendershalldisbursetheLoanAmounttotheBorrowerbywiretransfertothefollowingbankaccountoftheBorrower:

-BankName:[bankname]

-AccountNumber:[accountnumber]

-RoutingNumber:[routingnumber]

-BankAddress:[bankaddress]

Thedisbursementshallbemadewithin[numberofdays]daysaftertheexecutionofthisAgreement,providedthatallconditionsprecedentsetforthhereinhavebeensatisfied.

V.RepresentationsandWarranties

1.Borrower'sRepresentationsandWarranties:TheBorrowerrepresentsandwarrantstotheLenderthat:

-ItisdulyorganizedandvalidlyexistingunderthelawsofitsjurisdictionoforganizationandhasthepowerandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

-Theexecution,delivery,andperformanceofthisAgreementhavebeendulyauthorizedbyallnecessarycorporateorotherorganizationalaction.

-ThisAgreementconstitutesthelegal,valid,andbindingobligationoftheBorrower,enforceableagainsttheBorrowerinaccordancewithitsterms.

-TheBorrowerhasnomaterialliabilitiesorobligations,contingentorotherwise,otherthanasdisclosedtotheLenderinwritingpriortotheexecutionofthisAgreement.

-TheBorrowerisnotindefaultunderanyotheragreementorobligationthatcouldmateriallyaffectitsabilitytoperformitsobligationsunderthisAgreement.

2.Lender'sRepresentationsandWarranties:TheLenderrepresentsandwarrantstotheBorrowerthat:

-ItisdulyorganizedandvalidlyexistingunderthelawsofitsjurisdictionoforganizationandhasthepowerandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

-Theexecution,delivery,andperformanceofthisAgreementhavebeendulyauthorizedbyallnecessarycorporateorotherorganizationalaction.

-ThisAgreementconstitutesthelegal,valid,andbindingobligationoftheLender,enforceableagainsttheLenderinaccordancewithitsterms.

-TheLenderhasthefundsavailabletomaketheLoanAmountasprovidedherein.

VI.ConditionsPrecedent

TheobligationoftheLendertodisbursetheLoanAmountissubjecttothesatisfactionofthefollowingconditionsprecedent:

1.TheBorrowershallhaveexecutedanddeliveredtotheLenderthisAgreementandallotherdocumentsandinstrumentsrequiredbytheLender.

2.TheBorrowershallhaveprovidedtheLenderwithsuchfinancialstatements,businessplans,andotherinformationastheLendermayreasonablyrequest.

3.AllrepresentationsandwarrantiesoftheBorrowercontainedinthisAgreementshallbetrueandcorrectasofthedateofdisbursement,andtheBorrowershallnotbeindefaultunderanyprovisionofthisAgreement.

4.TheLendershallhavereceivedallnecessaryapprovals,consents,andauthorizations,ifany,forthemakingoftheloan.

VII.EventsofDefault

Thefollowingshallconstituteeventsofdefault(eachan"EventofDefault")underthisAgreement:

1.TheBorrowerfailstomakeanypaymentofprincipalorinterestwhendueunderthisAgreementandsuchfailurecontinuesfor[numberofdays]daysafterwrittennoticethereoffromtheLendertotheBorrower.

2.TheBorrowerbreachesanyrepresentation,warranty,orcovenantcontainedinthisAgreement.

3.TheBorrowerbecomesinsolvent,filesforbankruptcy,ormakesanassignmentforthebenefitofcreditors.

4.TheBorrowerfailstopayanyotherindebtednesswhendue,andsuchfailurecouldmateriallyaffecttheBorrower'sabilitytoperformitsobligationsunderthisAgreement.

VIII.Remedies

UpontheoccurrenceofanEventofDefault,theLendershallhavethefollowingremedies:

1.DeclaretheentireunpaidprincipalamountoftheLoanAmountandallaccruedandunpaidinterestimmediatelydueandpayable.

2.ExerciseallrightsandremediesavailabletoitunderthisAgreement,atlaw,orinequity,includingbutnotlimitedtotherighttocollecttheLoanAmountandinterest,toforecloseonanycollate
