外貿(mào)返修件英文合同范本ContractforForeignTradeRepairPartsI.PartiestotheContractPartyA(Supplier):Name:[Fulllegalnameofthesuppliercompany]Address:[Completebusinessaddressofthesupplier]ContactPerson:[Nameofthecontactperson]ContactInformation:[Phonenumber,emailaddress]PartyB(Customer):Name:[Fulllegalnameofthecustomercompany]Address:[Completebusinessaddressofthecustomer]ContactPerson:[Nameofthecontactperson]ContactInformation:[Phonenumber,emailaddress]II.DescriptionoftheSubjectMatter(RepairServices)1.ScopeofRepairPartyAagreestoproviderepairservicesforthefollowingtypesofparts(the“RepairParts”)suppliedbyPartyB.TheRepairPartsshallbeclearlyspecifiedintheattachedlist(Appendix1),whichincludesdetaileddescriptionssuchaspartnames,partnumbers,modelnumbers,andquantity.2.RepairStandardsPartyAshallrepairtheRepairPartsinaccordancewiththeindustryrecognizedstandardsandthespecifictechnicalrequirementsprovidedbyPartyB.TherepairedpartsshallbeabletofunctionproperlyandmeettheperformancecriteriaspecifiedbyPartyB.PartyAshallalsoconductnecessarytestingandqualitycontrolproceduresbeforereturningtherepairedpartstoPartyB.III.RightsandObligationsofthePartiesA.RightsandObligationsofPartyA1.RightsPartyAhastherighttoreceivetheRepairPartsfromPartyBinatimelymannerandtorequestanynecessarytechnicalinformationordocumentationrelatedtotheRepairParts.PartyAhastherighttochargePartyBtheagreeduponrepairfeesasspecifiedinthiscontract.IncasePartyBfailstopaytherepairfeeswithintheagreedtimelimit,PartyAhastherighttoretaintherepairedpartsuntilthepaymentismadeinfull.2.ObligationsPartyAshallreceive,inspect,andrepairtheRepairPartswithintheagreedtimeframe.TheinspectionshallbecarriedoutuponreceiptoftheRepairPartstocheckforanypreexistingdamagesorissues.PartyAshallusehighqualityreplacementpartsandmaterialsduringtherepairprocess,andshallprovidePartyBwithadetailedlistofthereplacementpartsandmaterialsuseduponrequest.PartyAshallkeepPartyBinformedoftheprogressoftherepairworkonaregularbasis,especiallyifthereareanydelaysorunforeseenissuesduringtherepairprocess.PartyAshallberesponsibleforthesafestorageandhandlingoftheRepairPartsduringtherepairprocess.IncaseofanylossordamagetotheRepairPartsduetoPartyA'snegligence,PartyAshallcompensatePartyBforthefullvalueofthelostordamagedparts.B.RightsandObligationsofPartyB1.RightsPartyBhastherighttoreceivetherepairedpartsinatimelymannerandinaccordancewiththeagreeduponqualitystandards.PartyBhastherighttoinspecttherepairedpartsuponreceiptandtorequestrerepairiftherepairedpartsdonotmeetthespecifiedqualitystandards.PartyBhastherighttoobtainallrelevantdocumentationandinformationregardingtherepairwork,includingtherepairreport,thelistofreplacementpartsandmaterialsused,andthetestresults.2.ObligationsPartyBshallprovidePartyAwiththeRepairParts,alongwithallnecessarytechnicalinformationanddocumentation,withintheagreedtimeframe.PartyBshallpaytherepairfeestoPartyAinaccordancewiththepaymenttermsspecifiedinthiscontract.PartyBshallcooperatewithPartyAduringtherepairprocess,suchasprovidingadditionalinformationorassistancewhenrequested.IV.PaymentTerms1.RepairFeesThetotalrepairfeesfortheRepairPartsshallbe[Amountinfigures]([Amountinwords])in[Currency].Thebreakdownoftherepairfees,includinglaborcosts,costofreplacementpartsandmaterials,andotherrelevantexpenses,shallbeprovidedbyPartyAtoPartyBinadetailedinvoice.2.PaymentSchedulePartyBshallpayPartyA30%ofthetotalrepairfeesasadepositwithin5businessdaysaftersigningthiscontract.Theremaining70%oftherepairfeesshallbepaidwithin10businessdaysafterPartyBreceivesandacceptstherepairedparts.3.PaymentMethodPartyBshallmakethepaymenttoPartyAby[Paymentmethod,suchasbanktransfer].ThebankaccountinformationofPartyAshallbeprovidedtoPartyBinwriting.V.DeliveryTerms1.DeliveryTimePartyAshallcompletetherepairworkanddelivertherepairedpartstoPartyBwithin[Numberofdays]daysafterreceivingtheRepairPartsandallnecessarytechnicalinformationfromPartyB.Incaseofforcemajeureorotherunforeseeablecircumstances,thedeliverytimemaybeextendedwiththepriorwrittenconsentofPartyB.2.DeliveryLocationTherepairedpartsshallbedeliveredtothefollowingaddressspecifiedbyPartyB:[Deliveryaddress].PartyAshallberesponsibleforthetransportationandinsuranceoftherepairedpartsduringthedeliveryprocess.VI.Warranty1.WarrantyPeriodPartyAprovidesawarrantyfortherepairworkforaperiodof[Numberofmonths]monthsfromthedateofdeliveryoftherepairedpartstoPartyB.2.WarrantyScopeDuringthewarrantyperiod,PartyAshallberesponsibleforrerepairingorreplacinganydefectivepartsormaterialsusedintherepairworkfreeofchargeifthedefectsareduetoPartyA'sworkmanshiporthequalityofthereplacementpartsandmaterials.3.WarrantyClaimIfPartyBdiscoversanydefectswithinthewarrantyperiod,PartyBshallnotifyPartyAinwritingwithin[Numberofdays]daysafterthediscovery.PartyAshallthentakeappropriatemeasurestoresolvetheissuewithin[Numberofdays]daysafterreceivingthewrittennoticefromPartyB.VII.LiabilityforBreachofContract1.LiabilityofPartyAIfPartyAfailstocompletetherepairworkwithintheagreedtimeframeorfailstomeetthequalitystandardsspecifiedinthiscontract,PartyAshallcompensatePartyBforanylossessufferedbyPartyBasaresultofsuchbreach.Thecompensationshallinclude,butnotbelimitedto,theadditionalcostsincurredbyPartyBduetothedelay,andthelossofbusinessopportunitiescausedbythenoncomplianceoftherepairedparts.2.LiabilityofPartyBIfPartyBfailstopaytherepairfeeswithintheagreedtimelimit,PartyBshallpayPartyAalatepaymentpenaltyof[Percentage]%oftheunpaidamountforeachdayofdelay.Inaddition,PartyBshallberesponsibleforanylegalfeesandotherexpensesincurredbyPartyAintheprocessofcollectingtheoverduepayment.VIII.Confidentiality1.ConfidentialInformationDuringtheperformanceofthiscontract,bothpartiesmayhaveaccesstoeachother'sconfidentialinformation,includingbutnotlimitedtotechnicalinformation,businesssecrets,customerinformation,andtradesecrets.2.ObligationofConfidentialityBothpartiesshallkeeptheconfidentialinformationoftheotherpartystrictlyconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.Thisobligationofconfidentialityshallsurvivetheterminationofthiscontractforaperiodof[Numberofyears]years.IX.ForceMajeure1.DefinitionofForceMajeureForcemajeurereferstoanyeventthatisbeyondthecontrolofthepartiesandthatpreventseitherpartyfromperformingitsobligationsunderthiscontract,suchasnaturaldisasters,wars,riots,strikes,andgovernmentregulations.2.EffectofForceMajeureIncaseofforcemajeure,theaffectedpartyshallnotifytheotherpartyinwritingwithin[Numberofdays]daysaftertheoccurrenceoftheforcemajeureeventandshallprovidetheotherpartywithrelevantproofoftheforcemajeureevent.Theperformanceoftheaffectedparty'sobligationsunderthiscontractshallbesuspendedforthedurationoftheforcemajeureevent.Aftertheforcemajeureeventisover,theaffectedpartyshallresumetheperformanceofitsobligationsassoonaspossible.X.DisputeResolution1.NegotiationIncaseofanydisputesarisingoutoforinconnectionwiththiscontract,thepartiesshallfirstattempttoresolvethedisputesthroughfriendlynegotiationwithin[Numberofdays]daysafteronepartynotifiestheotherpartyofthedispute.2.ArbitrationIfthenegotiationfails,thedisputesshallbesubmittedto[Arbitrationinstitution]forarbitrationinaccordancewiththearbitrationrulesofthesaidinstitution.Thearbitrationshallbeconductedin[Arbitrationlocation].Thelanguageofthearbitrationshallbe[Language].Thearbitrationawardshallbefinalandbindingonbothparties.XI.GoverningLawThiscontractshallbegovernedbyandcon
