2025售后服務合同英文范本2025SERVICESUPPORTCONTRACTThisServiceSupportContract("Contract")isenteredintoonthisdayof,2025,byandbetween("Client"),whoseprincipalplaceofbusinessislocatedat,and("ServiceProvider"),whoseprincipalplaceofbusinessislocatedat.1.DEFINITIONSForthepurposesofthisContract:"Services"shallmeantheservicestobeprovidedbytheServiceProviderunderthisContract,asdescribedinExhibitA."Term"shallmeantheperiodduringwhichthisContractisineffect,asspecifiedinSection2."ServiceProvider"shallmeantheentityprovidingtheServices."Client"shallmeantheentityreceivingtheServices.2.TERMOFTHECONTRACTTheTermofthisContractshallcommenceon("StartDate")andcontinueforaperiodofmonths/years("InitialTerm").ThisContractshallautomaticallyrenewforsubsequent-month/yearperiods("RenewalTerm")unlesseitherpartyprovideswrittennoticeofterminationatleastdayspriortotheexpirationoftheInitialTermoranyRenewalTerm.3.SCOPEOFSERVICESTheServiceProvidershallprovidetheClientwiththefollowingservices:a);b);c).TheServicesshallbeprovidedinaccordancewiththespecificationsandtimelinesoutlinedinExhibitA,attachedheretoandincorporatedbyreference.4.SERVICELEVELAGREEMENT("SLA")TheServiceProvideragreestoprovidetheServicesincompliancewiththefollowingSLA:a)ResponseTime:TheServiceProvidershallrespondtoallservicerequestssubmittedbytheClientwithinhoursduringbusinesshours(Monday-Friday,9:00AMto5:00PMlocaltime).b)ResolutionTime:TheServiceProvidershallendeavortoresolveallservicerequestswithinbusinessdaysofreceipt,unlessotherwiseagreeduponinwriting.c)Availability:TheServicesshallbeavailable%ofthetimeduringnormalbusinesshours,excludingscheduledmaintenanceperiods.5.PAYMENTTERMSa)TheClientshallpaytheServiceProviderthefeeoutlinedinExhibitB("ServiceFee")inaccordancewiththepaymentschedulespecifiedtherein.b)Allpaymentsshallbemadein,andanylatepaymentsshallaccrueinterestatarateof%perannum.c)TheServiceProvidershallprovidetheClientwithinvoiceswithindaysoftheservicesbeingrendered,andtheClientshallreviewandremitpaymentwithindaysofreceipt.6.WARRANTYANDLIABILITYa)TheServiceProviderwarrantsthattheServicesshallbeprovidedinaworkmanlikemannerandincompliancewithapplicablelawsandregulations.b)TheServiceProvidershallnotbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutoforrelatedtotheServices,excepttotheextentsuchdamagesarecoveredbyinsurancemaintainedbytheServiceProvider.c)TheServiceProvidershallnotberesponsibleforanydelaysorinterruptionsintheServicescausedbytheClient'sfailuretoprovidetimelyaccess,information,orcooperation.d)TheClientshallindemnifyandholdharmlesstheServiceProvideragainstanyclaims,damages,orexpensesarisingfromtheClient'smisuseoftheServicesorfailuretocomplywithapplicablelaws.7.TERMINATIONa)EitherpartymayterminatethisContractwithdayswrittennoticeiftheotherpartybreachesanymaterialtermofthisContractandfailstocuresuchbreachwithindaysofreceivingwrittennotice.b)Upontermination,theClientshallpayalloutstandingfeesandanyterminationfeesspecifiedinExhibitB.c)TheServiceProvidershall,upontermination,transferallrelevantdataanddocumentationtotheClientasagreedinExhibitA.8.MODIFICATIONANDTRANSFERa)ThisContractmayonlybemodifiedoramendedbyawrittenagreementsignedbybothparties.b)NeitherpartyshalltransferorassignthisContractoranyofitsrightsorobligationswithoutthepriorwrittenconsentoftheotherparty.9.APPLICABLELAWANDJURISDICTIONThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.AnylegalactionorproceedingarisingoutoforrelatedtothisContractshallbebroughtexclusivelyinthecourtsof,andbothpartiessubmittothejurisdictionofsuchcourts.10.ARBITRATIONa)IntheeventofadisputearisingoutoforrelatedtothisContract,thepartiesagreetofirstattempttoresolvethedisputethroughfriendly協(xié)商.b)Ifthedispute無法resolvedwithindays,eitherpartymayreferthemattertoarbitrationinaccordancewiththerulesofArbitrationAssociation.Thearbitrationshalltakeplacein,andthedecisionofthearbitratorshallbefinalandbindingonbothparties.11.NOTICESAllnoticesandcommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhenpersonallydelivered,sentbyregisteredorcertifiedmail,returnreceiptrequested,orsentviaemailwithconfirmationofdeliverytothefollowingaddresses:FortheClient:Address:Email:FortheServiceProvider:Address:Email:12.ENTIREAGREEMENTThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten.AnyamendmentsormodificationstothisContractmustbeinwritingands
