RECITALS

WHEREAS,theSellerisengagedinthebusinessof[describeSeller'sbusiness,e.g.,manufacturingandselling[producttype]],andhastheabilityandauthoritytoselltheGoods(asdefinedbelow);

WHEREAS,theBuyerdesirestopurchasetheGoodsfromtheSellerunderthetermsandconditionssetforthherein.

AGREEMENT

Now,therefore,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesherebyagreeasfollows:

1.DEFINITIONS

"DeliveryDate":ThedateonwhichtheSellerisrequiredtodelivertheGoodstotheBuyer,whichshallbe[specifythedateoramethodtodeterminethedate,e.g.,"within30daysafterthereceiptoftheadvancepaymentbytheSeller."]

2.SALEANDPURCHASE

TheSelleragreestosell,andtheBuyeragreestopurchase,theGoodsonthetermsandconditionssetforthinthisContract.

3.PRICEANDPAYMENT

PaymentTerms:

4.DELIVERY

DeliveryDateandPlace:TheSellershalldelivertheGoodstotheDeliveryPlaceonorbeforetheDeliveryDate.

Shipping:TheSellershallberesponsibleforarrangingtheshippingoftheGoodsfromtheSeller'spremisestotheDeliveryPlace.Theshippingmethodshallbe[specifytheshippingmethod,e.g.,"byseafreight"],andtheSellershallbearalltheshippingcosts,includingbutnotlimitedtofreight,insurance,andcustomsclearancefeesattheportofdeparture.

RiskofLoss:TheriskoflossordamagetotheGoodsshallpassfromtheSellertotheBuyeruponthedeliveryoftheGoodsattheDeliveryPlace.

5.INSPECTIONANDACCEPTANCE

Inspection:TheBuyershallhavetherighttoinspecttheGoodswithin[specifythenumberofdays,e.g.,"5days"]afterthedeliveryoftheGoodsattheDeliveryPlace.TheinspectionshallbeconductedinaccordancewiththerelevantqualitystandardsandspecificationssetforthinthisContract.

Acceptance:IftheGoodsconformtothequalitystandardsandspecificationssetforthinthisContract,theBuyershallissueanacceptancecertificatetotheSellerwithin[specifythenumberofdays,e.g.,"3days"]afterthecompletionoftheinspection.IftheGoodsdonotconformtothequalitystandardsandspecifications,theBuyershallnotifytheSellerinwritingwithin[specifythenumberofdays,e.g.,"3days"]afterthecompletionoftheinspection,statingthenonconformitiesindetail.

6.WARRANTIES

Seller'sWarranties:

TheSellerwarrantsthattheGoodsshallbeofmerchantablequality,freefromdefectsinmaterialandworkmanship,andshallconformtothequalitystandardsandspecificationssetforthinthisContract.

TheSellerwarrantsthatithasthelegalrightandauthoritytoselltheGoods,andtheGoodsshallbefreefromanyliens,encumbrances,orthirdpartyclaims.

DurationofWarranty:TheSeller'swarrantiesshallbevalidfor[specifytheduration,e.g.,"12months"]fromthedateofacceptanceoftheGoodsbytheBuyer.

7.RIGHTSANDOBLIGATIONSOFTHEPARTIES

Seller'sRightsandObligations:

TheSellerhastherighttoreceivethepaymentfromtheBuyerinaccordancewiththepaymenttermssetforthinthisContract.

TheSellershallberesponsibleforprovidingallthenecessarydocumentsandinformationrelatedtotheGoods,suchasinvoices,packinglists,certificatesoforigin,andqualityinspectionreports.

TheSellershallindemnifytheBuyeragainstanylosses,damages,liabilities,orexpensesarisingoutoftheSeller'sbreachofthisContractortheSeller'swarranties.

Buyer'sRightsandObligations:

TheBuyerhastherighttoinspectandaccepttheGoodsinaccordancewiththeinspectionandacceptanceprovisionssetforthinthisContract.

TheBuyershallpaythepriceoftheGoodstotheSellerinaccordancewiththepaymenttermssetforthinthisContract.

TheBuyershallprovidetheSellerwithallthenecessaryinformationandassistancerequiredforthedeliveryoftheGoods,suchascustomsclearanceinformationattheportofdestination.

8.DEFAULTANDREMEDIES

Seller'sDefault:

IftheSellerfailstodelivertheGoodsonorbeforetheDeliveryDate,ortheGoodsdonotconformtothequalitystandardsandspecificationssetforthinthisContract,theSellershallbedeemedtobeindefault.

IncaseoftheSeller'sdefault,theBuyershallhavetherightto:

TerminatethisContractanddemandarefundofallthepaymentsmadebytheBuyertotheSeller,togetherwithinterestattherateof[specifytheinterestrate,e.g.,"5%perannum"]fromthedateofpayment.

RequiretheSellertoreplacethenonconformingGoodsorrepairthedefectswithinareasonabletime.

ClaimdamagesfromtheSellerforanylossessufferedbytheBuyerasaresultoftheSeller'sdefault.

Buyer'sDefault:

IftheBuyerfailstopaythepriceoftheGoodsinaccordancewiththepaymenttermssetforthinthisContract,theBuyershallbedeemedtobeindefault.

IncaseoftheBuyer'sdefault,theSellershallhavetherightto:

SuspendthedeliveryoftheGoodsuntiltheBuyermakesthepayment.

TerminatethisContractandclaimdamagesfromtheBuyerforanylossessufferedbytheSellerasaresultoftheBuyer'sdefault,includingbutnotlimitedtothecostofstorage,transportation,andlossofprofit.

9.FORCEMAJEURE

Definition:Forcemajeuremeansanyeventorcircumstancebeyondthereasonablecontrolofaparty,includingbutnotlimitedtoactsofGod,war,terrorism,strikes,lockouts,naturaldisasters,andgovernmentregulations.

EffectofForceMajeure:IfeitherpartyispreventedfromperformingitsobligationsunderthisContractduetoforcemajeure,theaffectedpartyshallnotifytheotherpartyinwritingwithin[specifythenumberofdays,e.g.,"5days"]aftertheoccurrenceoftheforcemajeureevent,statingthenatureandexpecteddurationoftheforcemajeureevent.Theaffectedpartyshallbeexcusedfromperformingitsobligationsforthedurationoftheforcemajeureevent,andtheperformanceoftheaffectedobligationsshallbeextendedforaperiodequaltothedurationoftheforcemajeureevent.

10.CONFIDENTIALITY

EachpartyshallkeepconfidentialalltheinformationobtainedfromtheotherpartyinconnectionwiththisContract,includingbutnotlimitedtobusinesssecrets,technicalinformation,andcustomerinformation.

Neitherpartyshalldisclosesuchconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

11.GOVERNINGLAWANDDISPUTERESOLUTION

GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[specifythejurisdiction].

DisputeResolution:AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughfriendlynegotiationsbetweentheparties.Ifthenegotiationsfail,thedisputeshallbesubmittedto[specifythearbitrationinstitutionorcourt]forresolution.Thearbitrationawardorcourtjudgmentshallbefinalandbindingonbothparties.
