2025采購合同范本英文xx2025PROCUREMENTCONTRACTTEMPLATEENGLISHXXthisPROCUREMENTCONTRACT("contract"或"thisagreement")ismadeandenteredintoasof(the"effectivedate"),byandbetween("seller"或"vendor")and("buyer"或"client"),collectivelyreferredtoasthe"parties").whereas,thesellerisengagedinthebusinessofprovidinghigh-qualityproducts/services,andthebuyerrequirestheprocurementofsuchproducts/servicesforbusinessoperations;now,therefore,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesagreeasfollows:Article1:DEFINITIONSANDINTERPRETATIONS1.1Definitions.Forthepurposeofthiscontract,thefollowingtermsshallhavethemeaningsspecifiedbelow:"Products"shallmeanthetangiblegoodsand/orintangibleservicestobesuppliedbythesellertothebuyerasdetailedinExhibitAattachedhereto."Deliverables"shallinclude,butnotbelimitedto,products,materials,components,technicaldocumentation,andanyotheritemsorinformationprovidedbythesellertothebuyerunderthiscontract."PurchaseOrder"shallrefertothewrittenorelectronicdocumentissuedbythebuyertotheseller,detailingthequantity,specifications,andothertermsoftheproducts/servicestobesupplied."Term"shallmeantheperiodduringwhichthiscontractisineffect,asstatedinSection2.1."EffectiveDate"shallmeanthedatewhenthiscontractcommences,asstatedinSection1.2.1.2Interpretation.Theheadingsofarticlesandsectionsinthiscontractareinsertedforconvenienceofreferenceonlyandshallnotbedeemedtoaffectthemeaningorinterpretationofanyprovision.Thesingularshallincludethepluralandviceversawherethecontextsorequires.Article2:SCOPEOFSUPPLY2.1ProductsandServices.Theselleragreestosupplytothebuyertheproducts/servicesasdescribedinExhibitA(attachedhereto),includingbutnotlimitedtotheirquantity,specifications,qualitystandards,deliveryschedules,andotherrelevantdetails.2.2QualityStandards.Thesellerwarrantsthatallproducts/servicesprovidedunderthiscontractshallcomplywiththehighestindustrystandardsandanyadditionalrequirementsstipulatedinExhibitA.Article3:PRICINGANDPAYMENT3.1Price.Thepricefortheproducts/servicesshallbeasspecifiedinExhibitA,subjecttoadjustmentasmutuallyagreedinwritingbybothparties.Allpricesarestatedincurrency,andanyapplicabletaxesordutiesshallbeclearlyindicated.3.2PaymentTerms.Thebuyershallmakepaymenttothesellerwithindaysoftheinvoicedate.Paymentshallbemadeviamethod,andallinvoicesshallbesubmittedtoaddress.Article4:DELIVERYANDPERFORMANCE4.1DeliverySchedule.Thesellershalldelivertheproducts/servicesinaccordancewiththetimelinesspecifiedinExhibitA.Anydelayindeliveryshallbenotifiedtothebuyerinwritingatleastbusinessdayspriortothescheduleddeliverydate.4.2LateDeliveryPenalty.Ifthesellerfailstodelivertheproducts/servicesontime,thebuyershallbeentitledtoapenaltyofpercentofthetotalvalueofthedelayedproducts/servicesforeachcalendarweekofdelay,uptoamaximumofpercentofthetotalvalue.Article5:OWNERSHIPANDRISKTRANSFERS5.1Ownership.Titleandownershipoftheproductsshallremainwiththeselleruntilfullpaymentisreceivedbythesellerfromthebuyer.5.2RiskTransfer.Theriskofloss,damage,ordestructionoftheproductsshallpasstothebuyerupondelivery,asevidencedbythesignatureofthebuyer'srepresentativeonthedeliverydocument.Article6:INSPECTIONANDACCEPTANCE6.1Inspection.Thebuyershallhavetherighttoinspecttheproducts/servicesupondeliverytoensurecompliancewiththetermsofthiscontractandthespecificationsoutlinedinExhibitA.6.2Acceptance.Thebuyershallnotifythesellerinwritingwithinbusinessdaysfromthedateofdeliverywhethertheproducts/servicesareacceptedorrejected.Failuretonotifywithinthisperiodshallbedeemedasacceptance.Article7:WARRANTIESANDINDEMNITIES7.1Warranties.Thesellerwarrantsthattheproducts/servicesshallbefreefromdefectsinmaterialsandworkmanshipforaperiodofmonthsfromthedateofdelivery,subjecttothetermsandconditionsoutlinedinExhibitA.7.2Indemnification.Theselleragreestoindemnifyandholdharmlessthebuyeragainstanyclaims,demands,losses,damages,costs,orexpenses(includingreasonablelegalfees)arisingfromthesale,supply,oruseoftheproducts/services,totheextentsuchclaims,demands,losses,damages,costs,orexpensesarisefromthenegligenceorbreachofcontractbytheseller.Article8:INSURANCE8.1Seller'sInsurance.Thesellershallmaintainadequateinsurancecoverageontheproductsduringthetermofthiscontract,includingbutnotlimitedtotransportationinsurance,toprotectagainstanyloss,damage,ordestruction.8.2Buyer'sInsurance.Thebuyermayobtaininsuranceontheproductsafterownershiphasbeentransferred,atthebuyer'ssolediscretion.Article9:DEFAULTANDREMEDIES9.1Default.Abreachbyeitherpartyofanytermorconditionofthiscontractshallconstituteadefaultunderthisagreement.9.2Remedies.Upondefaultbytheseller,thebuyershallhavetherightto:Terminatethiscontractimmediatelywithoutanyliabilitytotheseller.Seekdamagesforanylossessustainedasaresultofthebreach.Requirethesellertocorrectanydefectsattheseller'sexpense.9.3CurePeriod.Thesellershallbegivenbusinessdaysfromthedateofthebuyer'swrittennoticeofbreachtocurethedefault.Ifthesellerfailstocurewithinthisperiod,thebuyershallhavetherighttoproceedwithanyavailableremedies.Article10:DISPUTERESOLUTION10.1Negotiation.Intheeventofanydisputesarisingoutoforrelatingtothiscontract,thepartiesagreetofirstattempttoresolvethedisputethrough友好協(xié)商.10.2Arbitration.Ifthedisputecannotberesolvedthroughnegotiationwithindays,itshallbereferredtoarbitrationinaccordancewiththerulesofArbitrationInstitution,locatedin.10.3Enforcement.Thepartiesagreetocomplywithandbeboundbythedecisionofthearbitrationpanel,andtheawardshallbeenforceableinanyjurisdiction.Article11:TERMINATION11.1TerminationforConvenience.Thebuyershallhavetherighttoterminatethiscontractatanytimewithorwithoutcause,upondays'writtennoticetotheseller.11.2TerminationforCause.Eitherpartymayterminatethiscontractwithimmediateeffectiftheotherpartybreachesanymaterialtermorconditionofthiscontractandfailstocuresuchbreachwithinbusinessdaysafterreceivingwrittennotice.Article12:MODIFICATIONS12.1Amendments.Anyamendmentstothiscontractshallbeinwritingandsignedbybothparties.Nooralorwrittenstatementsbyanyrepresentativeofeitherpartyshallbesufficienttoamendthiscontract.Article13:SUPPLEMENTARYAGREEMENTS13.1AdditionalAgreements.Anyadditionaltermsorconditionsagreeduponbythepartiesshallbeoutlinedinaseparatewrittenagreement("補充協(xié)議"),whichshallbedeemedanintegralpartofthiscontractuponexecution.Article14:ASSIGNMENT14.1Non-Assignment.Neitherpartyshallassignortransferanyofitsrightsorobligationsunderthiscontractwithoutthepriorwrittenconsentoftheotherparty.Article15:ENTIREAGREEMENT15.1EntireAgreement.Thiscontract,togetherwithallexhibitsand補充協(xié)議appendedhereto,constitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,representations,oragreements,whetherwrittenororal.15.2NoWaiver.Nowaiverofanyprovisionofthiscontractshallbeeffectiveunlessmadeinwritingandsignedbythepartyagainstwhomthewaiverissoughttobeenforced.Thefailureofeitherpartytoenforceanyprovisionofthiscontractshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforcesuchprovisionatalatertime.Article16:GOVERNINGLAW16.1GoverningLaw.Thiscontractshallbegovernedbyandconstruedinaccordancewiththelawsofwithoutregardtoitsconflictoflawsprinciples.Article17:COUNTERPARTS17.1ExecutioninCounterparts.Thiscontractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesamein
