2025年可持續(xù)時(shí)尚產(chǎn)業(yè)協(xié)議ThisAgreementisenteredintoasof[EffectiveDate],byandbetweenthefollowingParties:PARTIES1.[PartyAName],havingitsprincipalplaceofbusinessat[PartyAAddress]("PartyA");2.[PartyBName],havingitsprincipalplaceofbusinessat[PartyBAddress]("PartyB");3.[PartyCName],havingitsprincipalplaceofbusinessat[PartyCAddress]("PartyC");EachofPartyA,PartyB,andPartyCisreferredtoasa"Party"andcollectivelyasthe"Parties".DEFINITIONSANDINTERPRETATIONSInthisAgreement,unlessthecontextotherwiserequires:1."Agreement"meansthis2025SustainableFashionIndustryAgreement;2."SustainableFashion"meansthedesign,production,distribution,andconsumptionoffashionproductsthatminimizeenvironmentalimpactandpromotesocialresponsibilitythroughouttheirlifecycle.Thisincludes,butisnotlimitedto,usingenvironmentallyfriendlyproductionprocesses,reducingwaterandenergyconsumption,utilizingaspecifiedpercentageoforganic,recycled,orbio-basedmaterials,implementingwastemanagementplans(suchasrecyclingandreuse),ensuringsupplychainlaborrights,conductingsupplychainduediligence,enhancingemployeewell-being,promotingdiversityandinclusion,andestablishingasustainablemanagementsystem.SustainableFashionfurtherentailsadherencetorelevantinternationalstandardsandbestpracticesconcerningenvironmentalstewardshipandsocialaccountability;3."EnvironmentalFootprint"meansthemeasurementofthetotalenvironmentalimpacts(bothpositiveandnegative)associatedwithaproductorprocessthroughoutitslifecycle,calculatedinaccordancewith[SpecifyStandardorMethodology,e.g.,ISO14040/14044];4."ResponsibleSupplyChain"meansasupplychainthatdemonstratescompliancewithapplicablelaborlaws,ensuresfairlaborpractices,conductsregularhumanrightsimpactassessments,undergoessupplychainduediligencetoidentifyandmitigaterisks,andpromotestransparency;5."RecycledMaterial"meansamaterialthathasbeencollected,processed,andtransformedintonewmaterialsorproducts,asdefinedby[SpecifyStandard,e.g.,EURecycledClaimStandard];6."Bio-basedMaterial"meansamaterialderivedfromrenewablebiologicalresources,asdefinedby[SpecifyStandard,e.g.,ISO50001orrelevantindustrystandard];7."TransparencyReport"meansareportdetailingaParty'ssustainableperformanceandprogress,includingenvironmental,social,andgovernance(ESG)metrics,andshallcomplywiththerequirementssetforthinthisAgreement;8."KPIs"meansKeyPerformanceIndicatorsagreeduponbythePartiestomeasureprogresstowardsthegoalsoutlinedinthisAgreement;9."GoverningLaw"means[SpecifyJurisdiction,e.g.,thelawsoftheStateofCalifornia,USA]asamendedfromtimetotime;10."Jurisdiction"meansthecourtsorarbitrationbodieslocatedintheGoverningLawjurisdiction.SCOPEANDPURPOSE1.ThePartiesherebyenterintothisAgreementwiththepurposeoffosteringtheadvancementandadoptionofSustainableFashionpracticeswithintheindustry,asof2025andbeyond.2.ThescopeofthisAgreementcoverstheimplementationofsustainablepracticesrelatedtotheproduction,supplychainmanagement,andmarketingoffashionproductsbytheParties.3.TheprimaryobjectivesofthisAgreementareto:a.EstablishandpromotetheuseofspecificSustainableFashionstandardsandpracticesamongtheParties;b.Setcollectivetargetsforenvironmentalperformance,suchasreducingoverallgreenhousegasemissionsby[X]%by2025,increasingtheuseofrecycledorbio-basedmaterialsto[Y]%by2025,andimprovingsupplychainlaborcompliance;c.Enhancetransparencyandreportingonsustainableperformance;d.Encouragecollaborationonresearch,development,andbestpracticesharingrelatedtosustainablefashionsolutions;e.Contributetothedevelopmentofamoresustainable,ethical,andresilientfashionindustry.COMMITMENTSANDOBLIGATIONSEachPartyherebycommitstoandagreestoperformthefollowingobligations:1.EnvironmentalCommitments:a.Adoptandimplementenvironmentallyfriendlyproductionprocessestominimizewaste,reduceemissions,andconserveresources.b.Strivetosourcematerialsinasustainablemanner,prioritizingrecycled,organic,andbio-basedmaterialswherefeasible,inaccordancewiththedefinitionsandtargetsestablishedherein.c.Implementandmaintaineffectivewastemanagementsystems,includinginitiativesforrecyclingandreuseofmaterialsandproducts.d.ContributetothereductionofthecollectiveenvironmentalfootprintoftheParties'operationsandproducts.e.DiscloserelevantenvironmentaldataandparticipateinthepreparationofthecollectiveTransparencyReport.2.SocialCommitments:a.Adherestrictlytoallapplicablelaborlawsandinternationallaborstandardsinallaspectsoftheiroperationsandsupplychains.b.Ensurefairlaborpractices,includingprovidingsafeworkingconditions,fairwages,andnon-discrimination.c.Conductsupplychainduediligencetoidentify,assess,andmitigateadversehumanrightsimpactswithintheirsupplychains.d.Promotediversityandinclusionwithintheirorganizations.e.DiscloserelevantsocialdataandparticipateinthepreparationofthecollectiveTransparencyReport.3.GovernanceCommitments:a.Establishormaintainaninternalgovernancestructuretomanagesustainabledevelopmentgoalsandpractices.b.AppointadesignatedrepresentativeresponsibleforoverseeingsustainableinitiativesandcompliancewiththisAgreement.c.ProvideregularinternaltrainingforemployeesonsustainablepracticesandthisAgreement'srequirements.d.Conductperiodicinternalreviewsofsustainableperformanceandcompliance.4.CollaborationCommitments:a.ParticipateactivelyinmeetingsofthePartiesandanyworkinggroupsestablishedunderthisAgreement.b.Sharebestpractices,information,anddatarelatedtosustainablefashioninamannerconsistentwithconfidentialityobligations.c.Cooperateonagreed-uponcollaborativeprojectsaimedatadvancingSustainableFashion,suchasjointresearch,developmentofindustrystandards,orcoordinatedmarketinginitiatives.TRANSPARENCYANDREPORTING1.EachPartyagreestoprepareandsubmitaTransparencyReportannually,coveringtheprecedingcalendaryear,detailingitssustainableperformanceagainsttheKPIsandcommitmentsoutlinedinthisAgreement.2.TheTransparencyReportshallcover,ataminimum,thefollowingareas:a.Environmentalperformance(includingemissions,waterusage,energyconsumption,wastegeneration,materialsourcingdata).b.Socialperformance(includinglaborpractices,supplychainduediligencefindings,humanrightsimpactassessment,diversityandinclusionmetrics).c.Governancestructuresandprocessesrelatedtosustainabledevelopment.d.ProgresstowardsthespecifictargetssetforthinthisAgreement.e.InformationoncollaborationactivitiesunderthisAgreement.3.TheformatandspecificcontentrequirementsfortheTransparencyReportshallbedeterminedbythePartiesthrough[SpecifyMechanism,e.g.,ajointcommittee]nolaterthan[Date].ThereportshallbemadeavailabletothepublicontheParty'sofficialwebsite.4.EachPartyshallensureitsTransparencyReportispreparedwithduediligenceand,whereappropriate,issubjecttoindependentassurance.COLLABORATIONANDCOOPERATION1.ThePartiesagreetoestablisha[NameofCommittee,e.g.,SustainableFashionIndustryCouncil]tooverseetheimplementationofthisAgreement,provideguidance,facilitatecooperation,andmakerecommendationsforimprovements.2.TheCommitteeshallbecomposedofrepresentativesdesignatedbyeachParty.3.ThePartiesagreetomeetregularly,atleast[Number,e.g.,twice]peryear,orasneeded,todiscussprogress,shareinformation,addresschallenges,andmakedecisionsregardingtheimplementationofthisAgreementandcollaborativeprojects.4.AnydecisionsmadebytheCommitteerequiringactionbythePartiesshallbedocumentedinwritingandshallbecomebindingonthePartiesuponapprovalbyamajorityoftheParties.MONITORING,EVALUATION,ANDIMPROVEMENT1.ThePartiesagreetomonitortheprogressofeachPartyinmeetingitscommitmentsandtheoverallobjectivesofthisAgreementthroughthereviewofTransparencyReports,committeemeetings,andotheragreed-uponmechanisms.2.ThecollectiveperformanceofthePartiestowardsthe2025targetsshallbeevaluatedannuallybytheCommittee.3.Basedonthemonitoringandevaluationresults,thePartiesshallidentifyareasforimprovementandshallcommittoimplementingcorrectiveactionsandenhancingtheirsustainablepracticesovertime.DURATIONANDRENEWAL1.ThisAgreementshallcommenceontheEffectiveDateandshallcontinueineffectforaperiodof[Number,e.g.,five]years("InitialTerm").2.UpontheexpirationoftheInitialTerm,thisAgreementshallautomaticallyrenewforsuccessivefive-yearterms(eacha"RenewalTerm"),unlesseitherPartyprovideswrittennoticeofitsintentionnottorenewatleast[Number,e.g.,six]monthspriortotheendofthecurrentTerm.3.AnyRenewalTermshallbegovernedbythetermsandconditionsofthisAgreement,exceptthatthespecifictargetsmaybereviewedandadjustedbythePartiesviaawrittenamendment.REVIEWANDAMENDMENTS1.ThisAgreementshallbereviewedatleastonceeverythreeyearsbytheParties,orasrecommendedbytheCommittee,toassessitseffectivenessandconsidernecessaryamendments.2.AnyamendmenttothisAgreementmustbemadeinwritingandsignedbyauthorizedrepresentativesofallParties.AnamendmentshallnotbeeffectiveuntilsignedbyallParties.DISPUTERESOLUTION1.Incaseofanydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,thePartiesshallfirstattemptingoodfaithtoresolvethedisputethroughnegotiationbetweenauthorizedrepresentatives.2.Ifthedisputecannotberesolvedbynegotiationwithin[Number,e.g.,thirty]days,thePartiesagreetosubmitthedisputeto[SpecifyArbitrationInstitutionandRules,e.g.,theInternationalChamberofCommerce(ICC)RulesofArbitration]forfinalandbindingarbitration.Thearbitrationshallbeconductedin[SpecifyLanguage,e.g.,English]andshalltakeplacein[SpecifyCityandCountry,e.g.,Paris,France].3.The仲裁裁決shallbefinalandbindingonthePartiesandshallbeenforceableinaccordancewiththelawsofthegoverninglawjurisdiction.ThecostsofarbitrationshallbesharedequallybythePartiesunlessthearbitralawardsodetermines.CONFIDENTIALITY1.EachPartyagreestokeepconfidentialallnon-publicinformationdisclosedbytheotherPartyorobtainedbyaPartyinconnectionwiththisAgreement("ConfidentialInformation").2.ConfidentialInformationshallnotbeusedbyaPartyforanypurposeotherthanfulfillingitsobligationsunderthisAgreement,exceptasrequiredbylaworcourtorderwithpropernoticetotheotherParty.3.TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[Number,e.g.,five]yearsfollowingtheendoftheAgreement.NON-TRANSFERABILITY1.NeitherPartymaytransferanyofitsrightsorobligationsunderthisAgreementtoanythirdpartywithoutthepriorwrittenconsentofallotherParties.Anyattemptedtransferwithoutsuchconsentshallbenullandvoid.GOVERNINGLAWANDJURISDICTION1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLawJurisdiction]withoutgivingeffecttoanychoiceorconflictoflawprovisionorrule.2.Anylegalsuit,action,orproceedingarisingoutof,orrelatedto,thisAgreementshallbeinstitutedexclusivelyinthecourtsof[GoverningLawJurisdiction],andeachPartyirrevocablyconsentstothepersonaljurisdictionandvenueofsuchcourts.ENTIREAGREEMENT1.ThisAgreement,includingthedefinitionsandannexesifany,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,betweenthePartiesrelatingtothesubjectmatterofthisAgreement.AMENDM
