孔子學(xué)院章程第一章總則第一條孔子學(xué)院致力于適應(yīng)世界各國(guó)(地區(qū))人民對(duì)漢語學(xué)習(xí)的需要,增進(jìn)世界各國(guó)(地區(qū))人民對(duì)中國(guó)語言文化的了解,加強(qiáng)中國(guó)與世界各國(guó)教育文化交流合作,發(fā)展中國(guó)與外國(guó)的友好關(guān)系,促進(jìn)世界多元文化發(fā)展,構(gòu)建和諧世界。

第二條本章程適用于世界各地的孔子學(xué)院。

第三條孔子學(xué)院的外文名稱應(yīng)與中文名稱相符合。

第四條孔子學(xué)院為非營(yíng)利性教育機(jī)構(gòu)。

第五條孔子學(xué)院本著相互尊重、友好協(xié)商、平等互利的原則,在海外開展?jié)h語教學(xué)和中外教育、文化等方面的交流與合作。

第六條孔子學(xué)院應(yīng)當(dāng)遵守注冊(cè)地法律法規(guī),尊重當(dāng)?shù)匚幕逃齻鹘y(tǒng)與社會(huì)習(xí)俗,并且不得與中國(guó)有關(guān)法律相抵觸。

第七條孔子學(xué)院不參與同孔子學(xué)院設(shè)立宗旨不相符的活動(dòng)。

第八條根據(jù)各國(guó)(地區(qū))特點(diǎn)和需要,孔子學(xué)院的設(shè)置模式可以靈活多樣。

第九條中國(guó)境外具有從事語言教學(xué)和教育文化交流活動(dòng)能力且符合本章程規(guī)定申辦者條件的法人機(jī)構(gòu),可以向孔子學(xué)院總部申辦孔子學(xué)院。

第十條孔子學(xué)院的漢語教學(xué)采用普通話和規(guī)范漢字。第二章業(yè)務(wù)范圍第十一條孔子學(xué)院提供下列服務(wù):

(一)開展?jié)h語教學(xué);(二)培訓(xùn)漢語教師,提供漢語教學(xué)資源;

(三)開展?jié)h語考試和漢語教師資格認(rèn)證;

(四)提供中國(guó)教育、文化等信息咨詢;

(五)開展中外語言文化交流活動(dòng)。第三章總部第十二條孔子學(xué)院總部是具有獨(dú)立法人資格的非營(yíng)利機(jī)構(gòu),擁有孔子學(xué)院名稱、標(biāo)識(shí)、品牌的所有權(quán),負(fù)責(zé)管理和指導(dǎo)全球孔子學(xué)院。孔子學(xué)院總部設(shè)在中國(guó)北京。

第十三條孔子學(xué)院總部設(shè)立理事會(huì),由主席、副主席、常務(wù)理事和理事組成。其中,主席1名,副主席和常務(wù)理事若干名,具體人選由中國(guó)國(guó)務(wù)院教育行政部門提出建議,報(bào)國(guó)務(wù)院批準(zhǔn)。理事15名,其中10名由海外孔子學(xué)院的理事長(zhǎng)擔(dān)任,第一屆理事由總部聘任,以后選舉產(chǎn)生或按孔子學(xué)院成立時(shí)間順序輪流擔(dān)任;其余5名由中方合作機(jī)構(gòu)代表?yè)?dān)任,由總部直接聘任。理事任期為兩年,可連任一次。理事會(huì)成員任職期間不從孔子學(xué)院總部獲取任何報(bào)酬。理事會(huì)設(shè)立總干事、副總干事??偢墒聻榭偛糠ㄈ舜?,由常務(wù)理事?lián)巍?/p>

第十四條理事會(huì)的職責(zé)是:制定、修改孔子學(xué)院章程,審議全球孔子學(xué)院的發(fā)展戰(zhàn)略和規(guī)劃,審議總部年度工作報(bào)告和工作計(jì)劃,研究孔子學(xué)院建設(shè)的重大事項(xiàng)。

第十五條理事會(huì)每年召開一次全體會(huì)議,由主席召集。必要時(shí)可由主席決定召開臨時(shí)理事會(huì)或常務(wù)理事會(huì)議。

第十六條孔子學(xué)院總部在理事會(huì)領(lǐng)導(dǎo)下履行日常事務(wù),其職責(zé)是:

(一)制訂孔子學(xué)院建設(shè)規(guī)劃和設(shè)置、評(píng)估標(biāo)準(zhǔn);

(二)審批設(shè)置孔子學(xué)院;

(三)審批各地孔子學(xué)院的年度項(xiàng)目實(shí)施方案和預(yù)決算;

(四)指導(dǎo)、評(píng)估孔子學(xué)院辦學(xué)活動(dòng),對(duì)孔子學(xué)院運(yùn)行進(jìn)行監(jiān)督和質(zhì)量管理;

(五)為各地孔子學(xué)院提供教學(xué)資源支持與服務(wù);

(六)選派中方院長(zhǎng)和教學(xué)人員,培訓(xùn)孔子學(xué)院管理人員和教師;

(七)每年組織召開孔子學(xué)院大會(huì);

(八)制定中方資金資產(chǎn)管理制度。

第十七條總部設(shè)專項(xiàng)工作委員會(huì),為總部提供咨詢意見。委員由總部聘任。

第十八條總部聘請(qǐng)中外知名人士擔(dān)任高級(jí)顧問。第四章設(shè)置第十九條孔子學(xué)院的申辦者須符合下列條件:

(一)申辦機(jī)構(gòu)是所在地合法注冊(cè)的法人機(jī)構(gòu),有從事教學(xué)和教育文化交流并提供公共服務(wù)的資源;

(二)申辦機(jī)構(gòu)所在地有學(xué)習(xí)中國(guó)語言和文化的需求;

(三)有符合辦學(xué)需要的人員、場(chǎng)所、設(shè)施和設(shè)備;

(四)有必備的辦學(xué)資金和穩(wěn)定的經(jīng)費(fèi)來源。

第二十條孔子學(xué)院的申辦者須向孔子學(xué)院總部提交申請(qǐng),其中應(yīng)包括下列內(nèi)容:

(一)申辦機(jī)構(gòu)負(fù)責(zé)人簽發(fā)的申請(qǐng)函;

(二)申辦機(jī)構(gòu)簡(jiǎn)介、注冊(cè)證書、申辦機(jī)構(gòu)負(fù)責(zé)人介紹;

(三)用于孔子學(xué)院的教學(xué)場(chǎng)所、設(shè)施和設(shè)備;

(四)市場(chǎng)需求預(yù)測(cè)、管理機(jī)制及運(yùn)營(yíng)計(jì)劃;

(五)經(jīng)費(fèi)籌措及管理;

(六)孔子學(xué)院總部要求提供的其他材料。

第二十一條孔子學(xué)院總部對(duì)申辦者提交的申請(qǐng)材料進(jìn)行審查,審查方式包括文件資料審查、當(dāng)面聽取報(bào)告、實(shí)地考察、專家咨詢等。

第二十二條孔子學(xué)院總部批準(zhǔn)申辦后,與申辦者簽訂協(xié)議并頒授孔子學(xué)院銘牌。第五章經(jīng)費(fèi)第二十三條對(duì)新開辦的中外合作設(shè)置孔子學(xué)院,中方投入一定數(shù)額的啟動(dòng)經(jīng)費(fèi)。年度項(xiàng)目經(jīng)費(fèi)由外方承辦單位和中方共同籌措,雙方承擔(dān)比例一般為1:1左右。

第二十四條孔子學(xué)院中方所提供經(jīng)費(fèi)實(shí)行項(xiàng)目管理,遵照《孔子學(xué)院中方資金管理辦法》執(zhí)行。第六章管理第二十五條孔子學(xué)院設(shè)立理事會(huì)。中外合作設(shè)置的孔子學(xué)院,理事會(huì)成員由雙方共同組成,其人數(shù)及構(gòu)成比例由雙方協(xié)商確定。

第二十六條孔子學(xué)院理事會(huì)負(fù)責(zé)審議孔子學(xué)院發(fā)展規(guī)劃、年度工作計(jì)劃、年終總結(jié)報(bào)告、項(xiàng)目實(shí)施方案及其預(yù)決算,聘任、解聘院長(zhǎng)、副院長(zhǎng)。

聘任、解聘院長(zhǎng)、副院長(zhǎng)須報(bào)總部備案;中外合作設(shè)置的孔子學(xué)院院長(zhǎng)、副院長(zhǎng)的聘任由雙方協(xié)商確定。

第二十七條孔子學(xué)院實(shí)行理事會(huì)領(lǐng)導(dǎo)下的院長(zhǎng)負(fù)責(zé)制。院長(zhǎng)負(fù)責(zé)孔子學(xué)院的日常運(yùn)營(yíng)和管理。

第二十八條孔子學(xué)院院長(zhǎng)應(yīng)當(dāng)了解和熟悉中國(guó)國(guó)情,熟練掌握所在國(guó)語言,具有與本崗位工作相稱的管理工作經(jīng)驗(yàn),具有較強(qiáng)的公共關(guān)系和市場(chǎng)開拓能力。

第二十九條孔子學(xué)院所聘教師應(yīng)具備崗位所需的專業(yè)水平和教學(xué)能力。

第三十條孔子學(xué)院須按規(guī)定期限編制項(xiàng)目實(shí)施方案及預(yù)算、項(xiàng)目執(zhí)行情況及決算,并報(bào)經(jīng)總部審批。中方資產(chǎn)變更、處置須報(bào)總部審批。同時(shí),須將年度工作計(jì)劃和總結(jié)報(bào)總部備案。

第三十一條孔子學(xué)院不以營(yíng)利為目的,其收益用于教學(xué)活動(dòng)和改善教學(xué)服務(wù)條件,其積累用于孔子學(xué)院持續(xù)發(fā)展,不得挪作他用。

第三十二條孔子學(xué)院總部負(fù)責(zé)組織對(duì)各地孔子學(xué)院的評(píng)估,對(duì)違背辦學(xué)宗旨或達(dá)不到辦學(xué)質(zhì)量標(biāo)準(zhǔn)的,孔子學(xué)院總部有權(quán)終止協(xié)議。

第三十三條孔子學(xué)院總部每年召開孔子學(xué)院大會(huì),交流辦學(xué)經(jīng)驗(yàn),研究孔子學(xué)院的建設(shè)和發(fā)展。第七章權(quán)利與義務(wù)第三十四條孔子學(xué)院的權(quán)利:

(一)享有本章程及協(xié)議規(guī)定的權(quán)利;

(二)有權(quán)使用孔子學(xué)院的名稱和統(tǒng)一標(biāo)識(shí);

(三)優(yōu)先獲取孔子學(xué)院總部提供的教學(xué)和文化資源。

第三十五條孔子學(xué)院的義務(wù):

(一)遵守本章程及協(xié)議的規(guī)定;

(二)維護(hù)孔子學(xué)院的聲譽(yù)、形象;

(三)接受孔子學(xué)院總部的指導(dǎo)和評(píng)估。

第三十六條孔子學(xué)院總部有權(quán)依法追究任何下列行為的責(zé)任:

(一)未經(jīng)孔子學(xué)院總部許可,擅自設(shè)立孔子學(xué)院;

(二)盜用孔子學(xué)院名義開展活動(dòng);

(三)違反本章程和協(xié)議規(guī)定,造成資金資產(chǎn)損失,破壞或嚴(yán)重影響孔子學(xué)院聲譽(yù)。第八章附則第三十七條各地孔子學(xué)院可根據(jù)本章程制定本院的規(guī)章制度,并報(bào)總部備案。

第三十八條孔子課堂的設(shè)置和管理參照本章程執(zhí)行。

第三十九條本章程由孔子學(xué)院總部負(fù)責(zé)解釋。

第四十條本章程自孔子學(xué)院總部理事會(huì)批準(zhǔn)之日起生效。ConstitutionandBy-LawsoftheConfuciusInstitutes(ProvisionalVersion)ConstitutionandBy-LawsoftheConfuciusInstitutesChapter1:GeneralPrinciples

1.ConfuciusInstitutesdevotethemselvestosatisfyingthedemandsofpeoplefromdifferentcountriesandregionsintheworldwholearntheChineselanguage,toenhancingunderstandingoftheChineselanguageandculturebythesepeoples,tostrengtheningeducationalandculturalexchangeandcooperationbetweenChinaandothercountries,todeepeningfriendlyrelationshipswithothernations,topromotingthedevelopmentofmulti-culturalism,andtoconstructaharmoniousworld.

2.ThisConstitutionandBy-LawsisapplicabletoallConfuciusInstitutesworldwide.

3.Inanyotherlanguage,thenamechosentorepresenttheConfuciusInstitutesmustbeequivalentinconnotationandmeaningtothatoftheheadinstituteinChinese.

4.TheConfuciusInstitutesarenon-profiteducationalinstitutions.

5.Adheringtotheprinciplesofmutualrespect,friendlynegotiations,andmutualbenefit,theConfuciusInstitutesshalldevelopandfacilitatetheteachingoftheChineselanguageoverseasandpromoteeducationalandculturalexchangeandcooperationbetweenChinaandotherinternationalcommunities.

6.TheConfuciusInstitutesshallabidebythelawsandregulationsofthecountriesinwhichtheyarelocated,respectlocalculturalandeducationaltraditionsandsocialcustoms,andtheyshallnotcontraveneconcerningthelawsandregulationsofChina.

7.TheConfuciusInstitutesshallnotinvolveorparticipateinanyactivitiesthatarenotconsistentwiththemissionsofConfuciusInstitutes.

8.AConfuciusInstitutecanbeestablishedinvariousways,withtheflexibilitytorespondtothespecificcircumstancesandrequirementsfoundindifferentcountries.

9.AnycorporateentityoutsideofChinacapableoffacilitatinglanguageinstruction,conductingeducationalandculturalexchangeactivities,andmeetingtherequirementsforapplicationasstatedinthisConstitutionandBy-LawsmayapplytotheConfuciusInstituteHeadquartersforthepermissiontoestablishaConfuciusInstitute.

10.TheConfuciusInstitutesconductChineselanguageinstructionsinMandarin,usingStandardChineseCharacters.

Chapter2:BusinessService

11.TheConfuciusInstitutesshallprovidethefollowingservices:

a.

Chineselanguageteaching;

b.

TrainingChineselanguageinstructorsandprovidingChineselanguageteachingresources;

c.

HoldingtheHSKexamination(ChineseProficiencyTest)andtestsfortheCertificationoftheChineseLanguageTeachers;

d.

ProvidinginformationandconsultativeservicesconcerningChina’seducation,culture,andsoforth;

e.

ConductinglanguageandculturalexchangeactivitiesbetweenChinaandothercountries.Chapter3:TheHeadquarters

12.TheConfuciusInstituteHeadquartersisanon-profitorganizationthathastheindependentstatusofacorporatebody.

Itownstheproprietorshipofthename,logoandbrandoftheConfuciusInstitutes.

TheHeadquartersistheregulatorybodythatprovidesguidelinestotheConfuciusInstitutesworldwide.

TheHeadquartersislocatedinBeijinginthePeople’sRepublicofChina.

13.TheConfuciusInstituteHeadquartersshallbegovernedbytheCouncil.

TheCouncilshallconsistoftheChair,theViceChairs,theExecutiveCouncilMembers,andtheCouncilMembers.

CandidatesfortheChair,severalViceChairsandtheExecutiveCouncilMembersshallberecommendedbytheeducationadministrativeagencyoftheChineseStateCouncilandapprovedbytheStateCouncil.

AmongthefifteenCouncilMembers,tenshallbetheHeadsoftheBoardofDirectorsofConfuciusInstitutesoverseas.

ThesetenmembersoftheFirstCouncilareappointedbytheHeadquarters,whilemembersoffollowingCouncilsshallbeelectedorrotateserviceonthebasisofthefoundingdatesofConfuciusInstitutes.

TheotherfiveCouncilMembersshallberepresentativesofChinesepartnerinstitutions,appointeddirectlybytheHeadquarters.

ThetermofserviceofCouncilMembersistwoyears.

Theycanpursuereappointmentforoneterm.

Duringtheirtenureofoffice,CouncilMembersshallnotreceiveanypaymentfromtheConfuciusInstituteHeadquarters.

TheCouncilshallestablishpositionsoftheChiefExecutiveandDeputyChiefExecutives.

TheChiefExecutive,whoshallalsobeanExecutiveCouncilMember,isthelegalrepresentativeoftheHeadquarters.

14.ThedutiesoftheCouncilinclude:FormulatingandamendingtheConstitutionandBy-LawsoftheConfuciusInstitutes,examiningandapprovingthedevelopmentstrategiesandplansofglobalConfuciusInstitutes,examiningandapprovingannualreportsandworkingplansoftheHeadquarters,anddiscussingissuesofsignificanceconcerningthedevelopmentofConfuciusInstitutes.

15.TheCouncilshallassembleonceayear,calledbytheChair.

Whenneeded,theChairmaydecidetocallforprovisionalCouncilMeetingsorExecutiveCouncilMemberMeetings.

16.UndertheleadershipoftheCouncil,theConfuciusInstituteHeadquarterscarriesoutitsowndailyoperations.

Thedutiesinclude:

a.

Formulatingdevelopmentplans,criteriafortheestablishmentofConfuciusInstitutes,andassessmentstandardsfortheConfuciusInstitutes;

b.

ExaminingandapprovingapplicationsfortheestablishmentofnewConfuciusInstitutes;

c.

Examiningandapprovingtheimplementationplansofannualprojects,annualbudgetaryitems,andfinalfinancialaccountsofindividualConfuciusInstitutes;

d.

ProvidingguidelinesandmakingassessmentstoactivitiescarriedoutbyConfuciusInstitutes,supervisingtheiroperationsanddoingqualityassurancemanagement;

e.

ProvidingsupportandteachingresourcestoindividualConfuciusInstitutes;

f.

SelectingandappointingdirectorsandfacultiesfromtheChinesesideforindividualConfuciusInstitutes,andtrainingadministrativepersonnelandinstructorsfortheseConfuciusInstitutes;

g.

OrganizingConfuciusInstitutesConferencesannually;

h.

ConstitutingregulationsandinstitutionsforthemanagementoftheChinesefunds.

17.TheHeadquartersshallestablishSpecialWorkingCommitteesthatcanprovideconsultativesuggestionstotheHeadquarters.

MembersoftheCommitteesshallbeappointedbytheHeadquarters.

18.TheHeadquartersshallinvitewell-knownleadersandvisionariesofbothChinaandabroadtobeSeniorConsultants.

Chapter4:Establishment

19.AnapplicationforthepermissiontoestablishaConfuciusInstitutemust

satisfactorilydemonstratethefollowing:

a.

Thattheapplicantisalegallyregisteredorganizationorcorporationattheplacewhereitislocatedwithresourcestoconductteaching,educationalandculturalexchanges,andpublicservice;

b.

ThatthereisademandforlearningtheChineselanguageandcultureattheapplicant’slocation;

c.

Thatthepersonnel,space,facilities,andequipmentsrequiredforlanguageandcultureinstructionareavailable;

d.

Thatthecapitalfortheestablishmentisinplace,andthatthesourceoffundsforoperationisstable.

20.AnapplicantforthepermissiontoestablishaConfuciusInstituteshallsubmitanapplicationpackagetotheConfuciusInstituteHeadquarters.

Thispackageshallinclude:

a.

Anapplicationlettersignedbytheprincipalorpresident;

b.

Anintroductionoftheapplicantsite,itsregistrationcertificate,andtheprincipalorpresident;

c.

Afloorplanfortherequiredinstructionalspace,andlistsoftherelevantequipmentandfacilitiesavailablefortheproposedConfuciusInstitute;

d.

Aprojectionofmarketdemand,managerialstructure,andoperationalplansfortheproposedConfuciusInstitute;

e.

Astatementdetailingthesource,regulation,andmanagementofthefundsfortheproposedConfuciusInstitute;

f.

OthermaterialsrequiredbytheConfuciusInstituteHeadquarters.

21.TheConfuciusInstituteHeadquarterswillassesstheapplicationpackagesubmittedbytheapplicant.

Theassessmentmayincludeverificationofthedocumentmaterials,debriefingsandinterviews,on-siteverification,andconsultationwithexperts.

22.Upontheapprovalofanapplication,theConfuciusInstituteHeadquarterswillsignanagreementwiththeapplicant,thusconferringthepermissionforestablishmentandtheofficialConfuciusInstitutePlaqueuponthatapplicant.Chapter5:Funds

23.AnewlyestablishedConfuciusInstitutewillreceiveaidtoitsinitialoperationintheformofasetamountoffundsprovidedbytheChineseParties.

ThefundsforitsannualprojectsshallberaisedbyindividualConfuciusInstitutesandtheChinesePartiestogetherinaratioofapproximately1:1commitmentingeneral.

24.TheaforementionedfundsprovidedbytheChinesePartieswillbemanagedthroughprojectmanagementmeasures.

DetailedmeasuresarestipulatedinRegulationsforAdministeringtheChineseFundsfortheConfuciusInstitutes.

Chapter6:Administration

25.AnindividualConfuciusInstituteshallestablishaBoardofDirectors.AConfuciusInstituteestablishedunderjointventurebetweenChineseandoverseaspartnersshallformaBoardofDirectorsconsistingofmembersfrombothsides.ThetotalnumberofmembersandthecomponentratiooftheBoardshallbedeterminedthroughconsultation.

26.TheBoardofDirectorsshallberesponsibleforassessingandapprovingtheConfuciusInstitute’sdevelopmentplans,annualplans,annualreports,projectimplementationschemes,budgetproposals,finalfinancialaccounts.

TheBoardshallalsoberesponsibleforappointinganddismissingDirectorsandDeputyDirectorsoftheConfuciusInstitute.

AppointmentsanddismissalsofDirectorsandDeputyDirectorsshallbeputonrecordsattheHeadquarters.

TheappointmentsofDirectorsandDeputyDirectorsforjointventureConfuciusInstitutesshallbedecideduponnegotiationsbetweentheChineseandoverseaspartners.

27.AnindividualConfuciusInstituteshalladoptasysteminwhichtheDirector,undertheleadershipoftheBoardofDirectors,shallassumethemainresponsibilityfortheInstitute’sdailyoperationandadministration.

28.TheDirectorofaConfuciusInstituteshallhavein-depthcomprehensionofChinesecurrentnationalissues,askillfulcommandofthelanguageofthecountryinwhichtheInstituteislocated,suitableadministrativeexperiencesinthisposition,andastrongabilitytopromotepublicaffiliationandmarketpotential.

29.InstructorsappointedbyConfuciusInstitutesshallhaveprofessionalknowledgeandteachingcompetencerequiredbysuchpositionsasteachers.

30.AnindividualConfuciusInstitute,intheallottedtime,shalldrawupexecutableplansforannualprojectsandbudgetproposals,summarizingtheimplementalefficacyreportsofannualprojectsandfinalfinancialaccounts,andsubmitthemtotheHeadquartersforexaminationandapproval.

ChangesanddispositionsmadetotheassetsontheChinesesideshallbereportedtotheHeadquartersforexaminationandapproval.

IndividualConfuciusInstitutesshallalsosubmittheworkingschedulesandsummariesoftheirannualprojectstotheHeadquartersforarchivingpurposes.

31.ConfuciusInstitutesarenotprofit-makingorganizations,hence,incomedrawnfromoperationoftheInstitutesshallbeusedforteachingactivitiesandimprovingteachingandserviceconditions.

TheaccumulatedincomeshallbeutilizedforsustainabledevelopmentoftheInstitutesandmaynotbeusedforpurposesotherwise.

32.TheConfuciusInstituteHeadquartersshallberesponsibleforconductingassessmentsofindividualConfuciusInstitutes.

TheHeadquartersreservestherighttoterminatetheAgreementswiththoseInstitutesthatviolatetheprinciplesorobjectives,orfailtoreachtheteachingqualitystandardssetforthbytheheadestablishment.

33.TheConfuciusInstituteHeadquartersshallconveneaConfuciusInstituteConferenceannuallytoprovidetheopportunityforindividualInstitutestoexchangeideasandexperiences,andtofurtherstudyissuesconcerningtheconstructionanddevelopmentoftheInstitutes.

Chapter7:RightsandObligations
