2025年化妝品原料銷售合同模板，中英文對照合同協(xié)議ThisContract("Contract")ismadeandenteredintoasof[EffectiveDate],byandbetween[Supplier'sFullLegalName],havingitsprincipalplaceofbusinessat[Supplier'sAddress]("Supplier"),and[Buyer'sFullLegalName],havingitsprincipalplaceofbusinessat[Buyer'sAddress]("Buyer").WHEREAS,Supplierisengagedinthebusinessofmanufacturingandsupplyingcosmeticrawmaterials;andWHEREAS,BuyerdesirestopurchaseandSupplierdesirestosellcertaincosmeticrawmaterials("Products")subjecttothetermsandconditionssetforthherein.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesheretoagreeasfollows:1.ProductDescription1.1TheProductssubjectofthisContractare[SpecificNameofCosmeticRawMaterial,e.g.,SodiumLaurylSulfate],hereinafterreferredtoasthe"Product".1.2TheProductshallbeof[Grade/Specification,e.g.,CosmeticGrade],conformingtothequalitystandardsspecifiedin[ReferencetoStandard,e.g.,ISO1223:2017].1.3ThequantityoftheProducttobesuppliedunderthisContractis[Quantity,e.g.,OneHundred(100)Kilograms]duringthetermhereof.1.4TheProductshallbepackagedin[PackingDescription,e.g.,sealedpolyethylenebagswithanetweightof25Kilogramseach].1.5TheSuppliershallprovideananalysiscertificateforeachbatchofProductsupplied,confirmingcompliancewiththespecifiedqualitystandards.2.PriceandPayment2.1ThepricefortheProductshallbe[UnitPrice,e.g.,OneHundredUnitedStatesDollars(USD)perKilogram].2.2ThetotalpriceoftheProductunderthisContractshallbe[TotalPrice,e.g.,TenThousandUnitedStatesDollars(USD)OneHundred(100)]([Quantity]x[UnitPrice]).2.3PaymentshallbemadebyBuyertoSupplierin[Currency,e.g.,UnitedStatesDollars(USD)]within[PaymentTerms,e.g.,thirty(30)days]aftertheSupplierissuesaninvoicetoBuyer.2.4Paymentshallbemadevia[PaymentMethod,e.g.,banktransfer]tothebankaccountofSupplierprovidedherein.3.Delivery3.1TheSuppliershalldelivertheProducttotheaddressspecifiedinSection1.4toBuyerwithin[DeliveryDate/Period,e.g.,sixty(60)days]fromthedateofthisContract.3.2Thedeliveryshallbemadeusing[ShippingMethod,e.g.,internationalseafreight],Incoterms[IncotermsTerm,e.g.,CIF][PortofDestination].3.3TheSuppliershallberesponsibleforthecostofshippingandinsuranceunderthetermsofthechosenIncoterms.3.4Buyershallberesponsibleforcustomsclearanceandanyapplicableimportdutiesortaxes.4.QualityAssurance4.1TheSupplierwarrantsthattheProductmeetsthequalitystandardsspecifiedinthisContractandisfreefromdefects.4.2BuyershallhavetherighttoinspecttheProductupondelivery.IftheProductisfoundtobenon-compliantwiththeagreed-uponspecifications,BuyershallnotifytheSupplierinwritingwithin[Number]daysofdelivery.TheSuppliershallthenhave[Number]daystorectifytheissue,eitherbyreplacementorrefund,atitsownexpense.5.LiabilityandIndemnification5.1TheliabilityoftheSupplierforanylossordamagearisingfromtheuseoftheProductshallbelimitedtothevalueoftheProductsupplied.Suppliershallnotbeliableforanyindirect,consequential,orpunitivedamages.5.2Eachpartyshallindemnifyandholdharmlesstheotherpartyfromandagainstanyclaims,losses,damages,orexpensesarisingoutoforinconnectionwiththebreachofthisContract.6.IntellectualPropertyRights6.1TheSupplierretainsallownershipandintellectualpropertyrightsintheProduct.BuyershallnotusetheProductforanypurposeotherthanthatspecifiedinthisContractwithoutthepriorwrittenconsentoftheSupplier.7.Confidentiality7.1Eachpartyagreestokeepthetechnicaldataandbusinessinformationdisclosedbytheotherpartyconfidentialandnottodisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.8.Termination8.1ThisContractmaybeterminatedbyeitherpartyupon[TerminationNoticePeriod,e.g.,thirty(30)days']writtennoticeiftheotherpartycommitsamaterialbreachofthisContractandfailstocuresuchbreachwithinthenoticeperiod.8.2Upontermination,BuyershallpayanyoutstandingamountsduetoSupplierwithin[Number]daysoftermination.SuppliershallreturnanyunusedProducttoBuyeratSupplier'sexpense.9.GoverningLawandDisputeResolution9.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLaw,e.g.,thePeople'sRepublicofChina].9.2AnydisputearisingoutoforinconnectionwiththisContractshallfirstbeattemptedtoberesolvedthroughnegotiationbetweentheparties.Ifnegotiationfails,thedisputeshallbesubmittedto[DisputeResolutionMethod,e.g.,arbitration]beforethe[ArbitrationInstitution,e.g.,ChinaInternationalEconomicandTradeArbitrationCommission]inaccordancewithitsrules.10.Miscellaneous10.1AnyamendmenttothisContractmustbemadeinwritingandsignedbybothparties.10.2Allnoticestothepartiesheretoshallbesentinwritingtotheaddressessetforthhereinortosuchotheraddressaseitherpartymaydesignatein
