2025最新常用商務(wù)英語談判分類詞：合同洽談與簽署技巧CONTRACTFORBUSINESSNEGOTIATIONANDEXECUTIONSKILLS(2025LATESTCOMMONLYUSEDBUSINESSENGLISHNEGOTIATIONCATEGORIES)ThisContractisenteredintoonthisdayof,2025,byandbetween(hereinafterreferredtoas"PartyA")and(hereinafterreferredtoas"PartyB"),以下簡(jiǎn)稱"雙方"。Recitals:WHEREAS,PartyAisengagedinthebusinessof,andPartyBisengagedinthebusinessof;ANDWHEREAS,the雙方intendtoestablishamutuallybeneficialbusinessrelationshipthroughtheexecutionofthisContract;NOW,THEREFORE,the雙方agreeasfollows:1.SCOPEOFTHECONTRACT1.1ThepurposeofthisContractistoregulatetherightsandobligationsofthe雙方inthefieldof,ensuringcompliancewithrelevantlaws,regulations,andbusinessstandards.1.2Thetermsandconditionshereinshallbeconstruedinaccordancewiththelawsofthejurisdictionof.2.SERVICESANDDELIVERABLES2.1PartyAshallprovidePartyBwith(hereinafterreferredtoas"Services")inaccordancewiththespecificationsoutlinedinExhibitA.2.2PartyBshallensurethetimelypaymentoffeesandcompliancewiththetermsoutlinedinthisContract.2.3TheServicesshallbeprovidedinaccordancewiththehigheststandardsofprofessionalismandexpertise.3.PAYMENTTERMS3.1PartyBshallpayPartyAthesumof(hereinafterreferredtoas"Fee")withindaysofthecommencementoftheServices.3.2TheFeeshallbepaidvia(e.g.,banktransfer,check,electronicfundstransfer),andallpaymentsshallbemadefreeofanydeductionsorwithholdings.3.3Anylatepaymentsshallincurapenaltyof%perannum.4.INTELLECTUALPROPERTYRIGHTS4.1Allintellectualpropertyrights,includingbutnotlimitedtocopyrights,trademarks,andpatents,shallremainwiththeoriginalowner.4.2PartyAshallnotuseanyproprietaryinformationofPartyBforanypurposeoutsidethescopeofthisContract.4.3AnymaterialscreatedaspartoftheServicesshallbetheexclusivepropertyofPartyA,unlessotherwisespecifiedinwritingbyPartyB.5.CONFIDENTIALITY5.1BothPartiesagreetomaintaintheconfidentialityofallinformationexchangedduringthenegotiationandexecutionofthisContract.5.2ConfidentialinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.5.3TheobligationsunderthisclauseshallcontinueforaperiodofyearsaftertheterminationofthisContract.6.WARRANTIESANDREPRESENTATIONS6.1PartyAwarrantsthatithasthenecessaryauthorityandcapacitytoexecutethisContractandtoprovidetheServicesasdescribed.6.2PartyBwarrantsthatithasthenecessaryauthoritytoenterintothisContractandtofulfillitsobligationshereunder.6.3BothPartiesshallindemnifyandholdharmlesstheotherPartyagainstanyclaims,damages,orexpensesarisingfromabreachofwarranty.7.LIABILITYANDREMEDIES7.1NeitherPartyshallbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutofthisContract.7.2Allclaimsfordamagesshallbesubmittedinwritingwithindaysoftheoccurrenceoftheeventgivingrisetotheclaim.7.3Theremediesprovidedhereinareinadditiontoanyotherremediesavailableatlaworinequity.8.VARIATIONANDTERMINATION8.1AnyamendmentstothisContractshallbemadeinwritingandsignedbybothParties.8.2EitherPartymayterminatethisContractwithdays'writtennoticeiftheotherPartybreachesanymaterialtermofthisContractandfailstoremedythebreachwithindaysofreceivingwrittennotice.8.3Upontermination,PartyAshallpromptlyreturnanyadvancepaymentsmadebyPartyB,minusanylegitimatefeesincurredpriortotermination.9.FORCEMAJEURE9.1NeitherPartyshallbeliableforanyfailureordelayinperformanceduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,orgovernmentactions.9.2ThePartyaffectedbyaforcemajeureeventshallpromptlynotifytheotherPartyinwritingandmakereasonableeffortstomitigatetheeffectsoftheevent.10.DISPUTERESOLUTION10.1AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughfriendlynegotiations.10.2Ifthedisputescannotberesolvedthroughnegotiation,theyshallbesubmittedtotheexclusivejurisdictionofthecourt.11.GOVERNINGLAW11.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.11.2AnylegalactionsarisingoutofthisContractshallbebroughtinthejurisdictionspecifiedinClause10.2.12.EXECUTIONANDSIGNING12.1ThisContractshallbeexecutedinoriginals,eachsignedbybothParties.12.2Signaturesmaybeelectronicordigital,providedtheyareauthenticatedinaccordancewithapplicablelaws.12.3Uponsigning,thisContractshallbedeemedtohavebeenfullyexecutedandbindingonbothParties.13.ENTRYINTOFORCE13.1ThisContractshallenterintoforceonthedateofsigningandshallremainineffectuntiltheobligationsofbothPartieshavebeenfulfilled.13.2Anyextensionsorrenewalsshall
